1 The Maryland Society of the Sons of the American Revolution War Minutes of the Board of Officers and Managers Meeting Maryland Club, Baltimore, Maryland January 7, 2017 A meeting of the Board of Officers and Managers of the Maryland Society of the Sons of the American Revolution was held on Saturday, January 7, 2017 in the Third Floor Meeting Room of the Maryland Club in Baltimore, Maryland. The meeting was called to order at 9:02 a.m. by President William P. Smithson. There was a quorum. Chaplain George Satterthwaite gave the Invocation. Compatriot J. D. Urbach led the members in the Pledge of Allegiance to our National Flag, Compatriot James Perry led The American s Creed, and Compatriot Eugene Moyer led the Pledge to the S.A.R. In addition to President William Smithson, there were 31 members in attendance including: G. Neal, K. Barnes, M. Saunders, D. Deering, E. Moyer, W. Batton, C. Christou, D. Stuart, C. May, C. Harbaugh, L. Park, J. Perry, D. Hoover, R. Caples, G. Satterthwaite, J. Adkins, D. Embrey, J. G. Bigwood, T. Mallory, J. Schaub, C. Raborg, C. Smithson, J. Fugett, Jr., H. Halsey, H. Glasby, J. Urbach, J. Engler, Jr., B. McKown, G. Ross, P. Barron, and P. Warner. The following chapters were represented: Sgt Lawrence Everhart (#1), General William Smallwood (#2), Col. John Eager Howard (#4), Col. Nicholas Ruxton Moore (#5), Col. Henry Hollingsworth (7), Col. Aquila Hall (#9), Charles Carroll of Carrolton (#10), John Hanson (#11), Captain John Smoot (#12), and Westminster (#13). In addition, Christian Ardinger Chapter (#3) submitted a report. However, there was neither a representative nor a report from the John Paul Jones (#6), Tench Tilghman (#8), Thomas Stone (#14), and Little Meadows (#15) Chapters. OFFICER REPORTS President William Smithson s report was posted on the MDSSAR website after this meeting; therefore, his full report is printed herein: I am happy to have attended meetings and functions for all but two of the chapters in the state and hope to reach my goal of 100% by the end of my term. Within the state, I have continued to attend chapter meetings and events. April 15: Col. I attended this year s Holiday Party on December 10 th for the Children of the American Revolution. We have had one EXCOM meeting, which centered on the MD 400 Award System and the GW luncheon. I worked with the MD 400 committee to refine the medal and award system. I work closely with Compatriot Dave Hoover on the Patriots Ball. On Friday my wife and I had dinner with President General J. Michael Tomme, his wife Cila and Dave Hoover and his wife Susan. I presented a Flag Certificate to Brightview Avondale Retirement Community. The residents asked many questions which I was happy to answer. I inducted a new member, who is ill, at his home and spent time visiting with him. In addition, he thanked the many chapters for the hospitality he received during his visits to their meetings and events. President Smithson reminded those giving reports at this meeting to refer to the website if their report is online, and to keep the comments brief if they have additional remarks because he intends to begin the New Business part of our meeting at 10:00 a.m. 1st Vice President Donald Deering s report had been electronically distributed prior to the meeting. He informed the members that our 2017 Annual Meeting will take place on Saturday, April 29 th, and it will be held at the Annapolis Waterfront Hotel in Annapolis. The meeting of the Board of Officers and Managers will begin at 8:30 a.m. and the room will be reserved until 4:00 p.m. He has asked Governor Larry Hogan to be our speaker, but has not reviewed confirmation. We will have a special room rate for those planning to stay overnight. The charge per attendee will be approximately $60.00 and this will include breakfast and lunch. He requested comments and questions regarding his plans from the members, and said he is scheduled to sign a contract on January 9th with the hotel. Since there were no comments, concerns, or questions, President Smithson authorized the signing of the agreement with the hotel for the meeting. 2 nd Vice President James Adkins s report had been electronically distributed prior to the meeting. 3 rd Vice President Timothy Mallory s report had been distributed electronically prior to the meeting. Secretary Patrick Warner s report had been distributed electronically prior to the meeting. He announced that reports he receives will be filed electronically prior to future meetings and they will also be posted on the MDSSAR website. A motion to approve the minutes of the October 2016 Semi-Annual meeting was made by Secretary Warner and seconded by King Barnes. The minutes were approved by unanimous voice vote. Secretary Warner reminded the chapter officers that the chapter databases and records are inherently more accurate and reliable than the database of the Maryland Society. Therefore, it is the responsibility of the chapters to inform its members about meetings and items of important information. He also reminded the chapters to notify him immediately of officer changes; he needs the name, title, and of contact information of each chapter officer. He reminded the members of the requirement to send the financial chapter to
3 MDSSAR Treasurer Gary Neal by March 15 th and to file the IRS Form 990 e-postcard annually. He distributed a printout of each chapter s report status with the IRS to members of the chapters who were at the meeting. Secretary s Note: As of January 6, 2017, the following chapters were at least one year behind in filing the required Form 990 with the IRS: John Paul Jones (#6), Col. Henry Hollingsworth (#7), Col. Tench Tilghman (#8), Capt. John Smoot (#12), and Little Meadows (#15). Each have been notified and urged to file immediately. Treasurer Gary Neal s report was distributed electronically prior to the meeting and is available on the MDSSAR website. Treasurer Neal made a motion to approve the financial report and it was seconded by Gene Moyer. The reports were approved by unanimous voice vote. Treasurer Emeritus Barry McKown had no report. Registrar Christos Christou, Jr. s report is available on the website of the Maryland Society and the names of both new members and those with supplementals are listed therein. Secretary Warner made a motion to approve the named new member applications and the motion was seconded by King Barnes. The new members were approved by unanimous voice vote. 4 His report as Chairman of the Membership Committee is also included. Genealogist Emeritus Henry Peden, Jr. was absent and no report was received. Chancellor Christopher May, Esq. s reported he contacted the city of Hagerstown regarding the status of the statue that was planned in honor of George Washington and was informed the project had stalled due to insufficient money only $30,000 has been raised and a decision would be made in 2017 by the new mayor and city council regarding the statue project. We will receive a refund if the project is dropped. Chaplain George Satterthwaite reported there have been no member deaths reported to him since our October 2016 meeting. President Smithson reminded the members that the S.A.R. has a ceremony to honor deceased members and to make timely notification when the ceremony is requested. Assistant Chaplain Lester A. Foster, Jr. was absent and did not submit a report. Surgeon Lee Park, M.D., commented that a major cause of injury is falling, especially be older adults, and therefore, our older members should take extra care to avoid falling; especially when on stairs. He also reminded the members to get their flu chapters. National Trustee James F. Engler, Sr.s report is posted to the website of the Maryland Society. Alternate National Trustee Douglas Stuart was in attendance, but had no report. Webmaster Christopher Raborg was in attendance, but had no report.
5 Assistant Webmaster Dustin Hedrick was not in attendance and no report was received. PAST PRESIDENTS REPORTS Each past president of the Maryland Society in attendance brought greetings. The following were in attendance: W. King Barnes (#5), Barry McKown (#6), Douglas B. Stuart (#11), Christos Christou, Jr. (#4), David W. Hoover (#9), J. Patrick Warner (#2), and James Engler, Sr. (#13). None had additional comments. CHAPTER REPORTS #1 Sgt Lawrence Everhart Chapter - Report had been distributed electronically prior to the meeting. #2 General William Smallwood Chapter - Report had been distributed electronically prior to the meeting. #3 Christian Ardinger Chapter Report had been distributed electronically prior to the meeting. #4 Col. John Eager Howard Chapter - Report had been distributed electronically prior to the meeting. Christos Christou commented the chapter will hold a meeting on January 8 th at the DAR Chapter House and a CAR/DAR/SAR quiz contest will be held. #5 Col. Nicholas Ruxton Moore Chapter President James Bigwood made a verbal on the past and future activities of the chapter. #6 John Paul Jones Chapter In the absence of President John Harvey and since no report was received from him, Secretary Barry McKown reported on the Christmas Party which was well attended and held in December #7 Col. Henry Hollingsworth Chapter A verbal report was made by Secretary Christopher Smithson on the activities of the chapter. #8 Col. Tench Tilghman Chapter No officer was present and no report was received. #9 Col. Aquila Hall Chapter A verbal report was made by President Christopher Smithson. He commented 2016 marked the 40 th anniversary of the chapter. #10 Charles Carroll of Carrolton- Report had been distributed electronically prior to the meeting. #11 John Hanson Chapter Verbal and written verbal reports were made by President Douglas Stuart. He praised the efforts of Compatriot George Satterthwaite in managing the annual Wreaths Across America project. The members applauded Compatriot Satterthwaite for his excellent work. #12 Capt. John Smoot Chapter - Report had been distributed electronically prior to the meeting. #13 Westminster Chapter - Report had been distributed electronically prior to the meeting. #14 Thomas Stone Chapter No officer was present and no report was received. #15 Little Meadows Chapter No officer was present and no report was received. COMMITTEE REPORTS Americanism Committee: Chairman James Engler, Sr. s report had been distributed electronically prior to the meeting. Annual Meeting: Chairman Donald Deering s report 1 st Vice President s report (above). Budget/Audit/Finance Committee: Chairman James Perry had no report, but thanked Treasurer Gary Neal for his support. CAR/DAR/SAR Committee: Chairman Patrick Warner made a verbal report on his work with the Maryland DAR and CAR and discussed the need for members of the SAR to assist the CAR.
6 He made a motion to once again to donate $1, to the Maryland Society of the Children of the American Revolution to support the 2017 State Conference. An amendment was offered to have each MDSSAR chapter to voluntarily contribute $ Both the amendment to and the amended motion were seconded by J. D. Urbach and Treasurer Gary Neal confirmed the donation is in our state budget. Both motions passed by unanimous voice vote. Color Guard Commander: Commander David Embrey s report was submitted electronically and is available online. He asked that ample notice be given when the MDSSAR Color Guard is needed. He said this will be his last year as commander. Council of Past Presidents: Chairman James Engler, Sr. reported there has been no activity except for the work on the nominations for Eagle Scout Committee: Chairman Jon Streett was absent and did not submit a report. However, Compatriot J.D. Urbach reported that seven entries have been received for Eagle Scouts for annual state award, including one which arrived after the deadline. He said the winner will be announced at our 2017 George Washington Birthday Luncheon. Educational Efforts Committee: Chairman Louis Raborg was absent and did not submit a report. Subcommittee Chairman Christopher Smithson report on the deadlines for the various contests; the deadline for the Rumbaugh Orations Contest is April 15, Executive Committee: Chairman William Smithson reported there has been no special activity. Flag Awards Committee: Chairman Eugene Moyer s report was distributed electronically prior to the meeting. President Smithson made additional comments urging each chapter to give out this easy to give award at least once a year. He said this is one way to involve new members of the chapters. Fundraising Committee: Chairman Bill Batton reminded members to contribute items to the silent auction at the 2017 George Washington Birthday Luncheon. George Washington Luncheon Committee: Chairman Timothy Mallory passed out the announcement/invitation flyer for and commented on the 2017 event to be held on February 18 th at the Eagles Nest Golf and Country Club in Phoenix, Maryland. He has received permission to use the color print of the Smallwood Regiment at the GW Birthday Luncheon. He made a motion to present a print of the painting of General Smallwood s Regiment Leaving Annapolis for auction at the upcoming GW Birthday Luncheon subject to receiving permission for the Maryland 5 th Regiment which owns the original. Christos Christou reminded Chairman Mallory about the need to get permission from the owner. The motion was seconded and passed by unanimous voice vote. President Smithson asked that Chairmen Tim Mallory and Bill Batton develop a plan regarding the selling of the print at the GW Birthday Luncheon. It is important to note that It was stated at the meeting by Chairman Mallort that we would donate the proceeds back to the 5th Regiment that owns the painting and our sale of it was only to bring attention by a visual of the overall project that we are doing for the Maryland 400 research. We do not own the painting and are granted permission to make reproductions. We are not in the business of raising funds for other groups but they are also a 501(c)(3) and it is their painting not ours. MD 400 Board of Trustees: Chairman Timothy Mallory s report was submitted electronically and is online. He commented on the new MD400 military-type ranking fundraising program which replace the former program and urged the members to participate. The ranks will be awarded at the 2017 George Washington Birthday Luncheon. Medals & Awards Committee: Chairman J. D. Urbach commented he is in communication with the Maryland National Guard regarding the honorees at our 2017 GW Birthday Luncheon. Membership Committee: Chairman Chris Smithson submitted a written report. See Genealogist Report above. Discussion ensued regarding the need for all applicants to submit clean and complete applications and the delay in processing which happens at National when
7 an incomplete application for membership is received. Monuments and Grave Markers Committee: Chairman Chris Smithson had nothing to report. Nominating Committee: Chairman James Engler, Sr. thanked everyone who served on the committee. The two members who served on the committee and were not former MDSSAR presidents were Compatriots Eugene Moyer and James Schaub. Chairman Engler reported his committee s results, and his full report is listed below. A motion was made by Chairman Engler and seconded by King Barnes. The slate was approved by unanimous voice vote to accept the slate. 11 Chairman Hoover made additional comments regarding the lessons learned from this event and the need to have a new chairman and debutant coordinator for the 2017 Patriots Ball appointed immediately. He recommended the $900 profit from this event be earmarked for the 2017 Patriots Ball, but after discussion it was determined this was not necessary since the budget will be adjusted accordingly. More discussion ensued and Patrick Warner made a motion which was seconded by James Adkins to approach the leadership of the Maryland DAR regarding our Society partnering with them for future debutant balls. This motion was approved by unanimous voice vote. President Smithson directed Secretary Warner to contact the leadership of the MDSDAR as per the above. Program Committee: Chairman James Adkins had nothing to report. PR Committee: Chairman Donald Deering had nothing to report. Public Safety and Heroism Committee: Chairman Donald Deering had nothing to report. ROTC/Outstanding Citizenship Awards Committee: Chairman George Satterthwaite s report was submitted electronically and is available online on the MDSSAR website. Semi-Annual Meeting Committee: Chairman James Adkins had nothing to report. Webpage Committee Report: Chairman Christopher Raborg has nothing to report. The members applauded him for his excellent work. Yearbook Committee: Chairman Christopher Raborg distributed the Maryland Society Yearbooks. UNFINISHED BUSINESS During the 2016 Semiannual Meeting, the following was presented: Chairman Raborg and National Trustee Engler announced that National is requesting each State society to contribute $1,000 to the NDSSAR for youth programs. They mentioned that President General Thomas Lawrence and his wife have pledged up to $10,000 to the youth programs. Timothy Mallory made a motion, which was seconded by Eugene Moyer, for the Budget/Finance Committee to approve the donation of $1,000 to the NDSSAR and, if it is approved, to vote on the matter at the January 2017 Board of Officers and Managers meeting. This motion was approved by unanimous voice vote. Louis Raborg promised to personally donate $100 and Douglas Stuart promised to donate $500 to the $1,000 fund. After hearing about the personal donations totaling $600 from Compatriots Lou Raborg and Douglas Stuart, David Hoover made a motion for this assembly of State managers to approve the remaining $400 needed to raise the $1,000 gift. This motion was seconded by Christos Christou, Jr and passed unanimously by voice vote. This second motion supersedes the earlier motion made by Timothy Mallory. In accordance with the approved motion (stated above), J. D. Urbach made a motion to release the funds from the Maryland Society to National headquarters in response to the challenge from the President General. The motion was seconded by Douglas Stuart and passed by unanimous voice vote. President Smithson directed Treasurer Neal to send the donation to the National Society. NEW BUSINESS AND COMMENTS FOR THE GOOD OF THE SOCIETY Regarding the Maryland 400 Research Project for the Biographies of the Soldiers from Maryland who fought at the Battle of Brooklyn in August 1776, Patrick Warner made the following three-part motion:
12 The motion was seconded by Christos Christou and discussion ensued. The motion passed by majority vote with two members voting to not approve. Chairman Adkins promised to name members to the committee as soon as possible and, with the assistance of Chris Christou, to keep the members of the Board of Officers and Managers informed about the progress of the research. 3 rd Vice President Timothy Mallory, chairman of the MD400 Board of Trustees, and the members of the Board met and approved the use of up to $35,000 for the committee chaired by James Adkins. Webmaster Christopher Raborg reported on a fraudulent attempt via to have Barry McKown send a money draft which was identified as fraud. He cautioned the members to be alert regarding this type of fraud because it is on the rise. Discussion ensued. There being no other business before the members, Patrick Warner made a motion to adjourn. Chaplain George Satterthwaite gave the Benediction and the SAR Recessional was led by Donald Deering.
