2 April 14, 2016 To: From: Subject: Transit Committee Darrell Johnson, Chief Executive Officer Amendment to Agreement for Coach Operator, Operations Overview On May 25, 2012, the Board of Directors approved a three-year agreement, with two, one-year option terms with Galls, An Aramark Company, LLC, in the amount of $853,775, to provide uniforms for Orange County Transportation Authority coach operators, operations instructors, and field supervisors. The first option term of the current agreement expires June 30, 2016, and an amendment is required to exercise the second option term and extend the agreement through June 30, Recommendation Authorize the Chief Executive Officer to negotiate and execute Amendment No. 2 to Agreement No. C between the Orange County Transportation Authority and Galls, An Aramark Company, LLC, in the amount of $193,561, to supply coach operator, operations instructor, and field supervisor uniforms. This will increase the maximum obligation of the Agreement to a total contract value of $1,306,079. Discussion The Bus Operations department provides a uniform program to transit employees operating buses and supporting bus operations as trainers and field supervisors for uniforms as per the Collective Bargaining Agreement and Personnel and Salary Resolution. The program operates as an allowance system to purchase uniforms from Galls, An Aramark Company, LLC (Galls). Project administration is shared between the Bus Operations department and Galls. 3 Amendment to Agreement for Coach Operator, Operations Page 2 Galls has been providing Orange County Transportation Authority (OCTA) transit employees with uniforms since fiscal year (FY) Having contracts with various public and private agencies, including the Orange County Sheriff s Department and the United States Postal Service, Galls has been in the uniform and career apparel business for over 40 years. In the southern California area, Galls services OCTA with its main store in the City of Orange, along with other locations in Los Angeles, Riverside, and San Diego counties. Procurement Approach On May 25, 2012, the Board of Directors (Board) approved a three-year initial term, with two, one-year option terms with Galls, to provide uniforms. This procurement was originally handled in accordance with OCTA Board-approved procedures for professional and technical services. The original agreement was awarded on a competitive basis. An amendment is necessary to exercise the second option term of the agreement to continue the supply of uniforms to transit employees. Option year pricing was negotiated in the original agreement as firm-fixed unit pricing. The first option term of this agreement will expire on June 30, 2016, requiring the second option term to be exercised. Amendment No. 2 will extend the term through June 30, 2017, in the amount of $193,561, bringing the total contract value to $1,306,079 (Attachment A). Fiscal Impact The uniform service described in Amendment No. 2 to Agreement No. C is included in OCTA s proposed FY Budget, Bus Operations Department, Account D , and is funded through Local Transportation Funds. Summary Staff recommends the Board authorize the Chief Executive Officer to negotiate and execute Amendment No. 2, to Agreement No. C , in the amount of $193,561, with Galls to exercise the second option term bringing the total contract value to $1,306,079.
