Wade Saadi called the meeting to order at 1:02 p.m. and welcomed the Board and guests. 2. Dan Walker moved and Steve Reinhard seconded a motion to approve the minutes of August 10, 2011, Columbus StampShow Meeting; August 12, 2011, Columbus Joint APS APRL Meeting; August 13, 2011, Columbus General Meeting; October 4, 2011, APS Teleconference; November 1, 2011, Joint APS/APRL Teleconference; and December 12, 2011, APS Teleconference. Approved unanimously. 3. Society Attorneys Report: Society Attorney Virginia Eisenstein reported that there is no current litigation involving the APS. She has continued to provide advice to the Executive Director and other staff and board members as well as reviewed APS contracts and leases. Regarding the APS contract with the US Bank Visa charge card, Virginia noted that U.S. Bank has the right to renew the contract for two more one-year terms. Dan Walker moved Mark Banchik seconded a motion to accept the Society attorneys report. Passed unanimously. 4. Treasurers Report: Kathy Johnson reported that the Society finished the year on budget and that we have a positive cash position. We are benefiting from lower interest rates on our outstanding loans. Dan Walker moved and Nick Lombardi seconded a motion to accept the Treasurers report. Passed unanimously. 5. Executive Directors Report: The APS website is live, and the Society currently has approximately 6,000 user accounts. From December 20, 2011, to January 20, 2012, the website has tallied 5173 visits and 15,000 page views different pages have been viewed. The Society has processed about 4,000 orders online (1500 of which were dues payments). Mortgage: The smallest mortgage reset from over 5% to 3.22%. Membership: Gross losses have been the least since The Society currently maintains an approximately 90% retention rate, which indicates a high level of satisfaction with the APS. Our challenge has been the number of new admits. Fund Raising: In 2011, the Society raised $ , the fourth best year ever. That figure does not include $91,000 from in-kind sales. The Bill Bauer postal history collection has not yet been consigned for auction and will yield additional funds. Education and Library: The Stamps Teach program has launched, and the APS has over 100 teachers who are participating. The APS increased the number of Young Philatelic Leaders and

2 digitized three books. The number of library shipments have increased from approximately 1,400 to 1,700 in Circuit Sales and Expertizing: Circuit sales, buyers and sellers both increased as did the number of books received. This year, Circuit Sales introduced clearance circuits. The number of circuit books sent out did decrease from 10,000 to 9,000, perhaps because of staff sickness, not decreased member demand. Expertizing has remained basically flat and Internet sales were somewhat down. Finally, the APS was nominated for a Quality of Life Award by the Center County Chamber of Commerce and Industry. Dan Walker moved Steve Reinhard seconded a motion to approve the Executive Directors report. Passed unanimously. 6. Dealers Representative: Roy Delafosse explained his role as the individual responsible to transmit dealer concerns to the APS Board and to communicate Board information back to the dealers. Roy praised Dana Guyer and the show staff for their hard work in support of APS dealer members. The show staff has been extremely responsive to dealer needs. Roy raised the issue of a dealer forum for communication on the Internet. Ken Martin indicated that there are two dealer newsletters that are sent out annually. The APS website has the capability for dealer-only web pages. The APS can also do e-blasts to APS Dealer members if they would like this. There are 142 active APS Dealer Members who participate in the two APS StampShows. Roy Delafosse wanted dealers to understand that David Cole resigned from his position as co-dealer representative and that Roy took over as sole Dealer Representative. 7. Postal History Symposium: This November 2-4, 2012, there will be another Postal History Symposium which will be held in conjunction with the meeting of the U.S. Philatelic Classics Society. The theme of the Symposium will be Blue and Gray: Mail and the Civil War 8. Council of Philatelists: The New Initiatives Committee serves as a think tank focused on increasing the number of stamp collectors. One of areas given special attention is outreach for adults. The LearnAboutStamps.Com website provides very quick answers for people who have questions about stamp collecting. The APS manages this portal style website. The first Congressional Stamp Exhibition was held in At that Exhibition, members of Congress displayed items from their own collections. Members of Congress are once again going to exhibit their philatelic material in 2012 at the Rayburn House Office building. The APS supports a Facebook page for LearnAboutStamps.com. Speaking About Stamps provides general interest programs for groups seeking speakers about stamp collecting. PhilGen.org is a site that attempts to connect philatelists with genealogists. Finally, the APS and the New Initiatives Committee will promote a third You Tube Stamp contest. The New Initiatives Committee of the Council of Philatelists is always looking for new ideas and initiatives. 9. USPS Federal Credit Union: Steve Cimino and Jennifer Audette gave a presentation to the Board on the USPS Credit Union and discussed a possible partnership between the APS and the USPS Credit Union. Jennifer Audette provided background information about credit unions and their not-for-profit nature. The USPS Credit Union was founded in 1934 and currently has 70,000 ATMs located across the United States. The USPS Federal Credit Union is working on an agreement which would allow its members to make deposits through any other credit unions. If the APS and the Credit Union were to develop a partnership, the Credit Union would support the APS by putting information about the APS in its mailings and the APS would reciprocate by advertising the Credit Union on the APS website. Wade Saadi asked if we had any conflict with

3 our contract with US Bank. The Society Attorney indicated that U.S. Bank would have a right of first refusal for any debit card that carried the APS logo or name. The consensus is to continue to investigate this possible partnership. 10. Luff Award Criteria: Roger Brody submitted some suggested changes to the Luff Award Criteria. Allen Warren has stepped down as chair and Roger Brody was named by Wade Saadi as the new chair. There are currently two new members serving on the committee. Because there were new members to the committee, they reviewed the guidelines for the Luff Award which had been recently updated. Nick Lombardi moved and Dan Walker seconded a motion to make the following changes: Guideline 5 is amended to read All nominations must be submitted to the subcommittee in writing and on a completed nomination form by the 15 th of December for consideration for the following year. Guideline 13 is amended to read The Luff Award Subcommittee has the responsibility of recommending nominations to the Board of Directors by the end of March each year. Guideline 21 is amended to read: Members of the Board of Directors will not be eligible for consideration. Guideline 26 is amended to read: The guidelines may be updated by the Luff Award Subcommittee with the approval of the APS Board of Directors. Passed unanimously. 11. Website Contest for Chapters: Kristin Patterson has proposed a Website Contest for Chapters, Shows, and Philatelic Websites. The proposal is to have a Website award competition. Reaction from the board for this idea was positive. 12. Edgar Hicks asked if all of the meetings listed on the show program were open. In general, all such meetings are open unless indicated otherwise. In some cases, tickets are required. The ASDA meeting that Edgar attempted to attend was a closed session, but inadvertently not listed as such in the show program. Steve Zwillinger is developing an exhibit on World Series of Philately Shows. 13. Nick Lombardi moved and Ken Grant seconded a motion to adjourn the meeting. Passed unanimously.

4 DRAFT Minutes of the General Meeting Saturday, January 28, 2012, 9:00 a.m. e.s.t. Atlanta, GA 1. Call to Order: APS President Wade Saadi called the meeting to order at 9:03 a.m. and welcomed the audience to the general membership meeting. 2. Introductions: Wade Saadi introduced the APS Board of Directors as well as APRL President Roger Brody who introduced the APRL Board. 3. Ken Martin introduced the APS Staff in attendance, and Wade Saadi thanked the show volunteers. 4. Wade Saadi brought Alex Haiman to the stage and presented him with the Century Award for recruiting 100 APS members. Alex Haimann introduced the Young Philatelic Leadership Fellows and asked the audience to introduce themselves to the young collectors when they see them at the show. 5. Ken Martin announced the 25 year and 50 year membership awards. Wade Saadi presented pins to those individuals who reached their 25 th anniversary and medals to the three individualslarry Davidson, Jim Dempsey, and Webster Stickneywho had achieved their 50 th year of APS membership 6. Wade Saadi provided a brief summary of the January 26, 2012, APS board meeting. 7. Board of Vice Presidents Report: Nick Lombardi gave the Board of Vice Presidents Report. He indicated that Wendy Masorti screens complaints for the Board. He offered the suggestion that members should take 24 or 48 hours before filing a complaint. 8. Treasurers Report: Kathy Johnson observed that the APS finished on budget last year and that the APS expects to finish on budget this year as well. Because of the efforts of the Board and Staff, there was no dues increase for Donor dollars have helped the APS make some excellent purchases including the new library scanner and the construction of additional restrooms. 9. Attorneys Report: Virginia Eisenstein reported that currently the APS is not involved in any litigation. Her efforts are intended to keep the Society from experiencing any litigation. 10. Executive Directors Report: Ken Martin indicated that the redesigned APS website is live. He observed that this year the APS experienced the smallest decline in membership since In the area of fund raising, members gave the APS over $600,000 in cash, the fourth best year. He also reported that volunteers contributed over 8,000 hours to the APS. Circuit sales showed an increase in both buyers and sellers. 11. Question and Answer Session: A member suggested a possible article in the American Philatelist on the development of the Match Factory into the American Philatelic Center. Janet Klug talked about the New Initiatives Committee, particularly Stamps Teach and the programs being developed for baby boomers. The New Initiatives Committee has facilitated a speakers program for groups such as Rotary. Additionally she mentioned the upcoming You Tube stamp competition and the July exhibit of stamps by members of Congress at the Rayburn building. She also pointed out that LearnAboutStamps.com is a helpful site sponsored by the APS and the National Postal Museum. Steven Rod reported that New York 2016 will open on May 28 th at the Jacob Javits Center and suggested that members support this International show by joining the Liberty Club. 12. A motion to adjourn passed.

Moved by Dan Walker seconded by Kathy Johnson a motion directing the Executive Director to pursue a potential agreement with the USPS Credit Union allowing APS members to become members of that Credit Union. Yes: Janet Klug, Steve Zwillinger, Kristen Patterson, Ken Grant (4). No: Nick Lombardi, Steve Reinhard, Kathy Johnson, Mark Banchik, Dan Walker (5). Motion fails. 2. Dan Walker moved seconded by Steve Zwillinger a motion to approve revisions to the Thematic and Youth chapters of the Manual of Philatelic Judging. Passed unanimously. 3. Wade Saadi formed a three-person committee to consider what is acceptable and what is not regarding the use of current or past Society titles in either compensated or uncompensated endorsements. The committee is comprised of Steve Zwillinger, Mark Banchik, and Dan Siegel. 4. Dan Walker moved and Nick Lombardi seconded a motion to approve actions taken in Executive Session.
