1 2017 Minutes of the CUTCHOGUE FIRE DISTRICT Page 1 of 8 October 17, 2017 The regular meeting of the Cutchogue Fire District was called to order by Commissioner Sanford Friemann, at the Cutchogue Firehouse, at 8 pm with the pledge to the Flag. Roll call of the Officers taken as follows; Sanford Friemann, present; Robert Fisher, absent; James Fogarty Jr., absent; Joseph Zuhoski Jr, present; Arthur Brewer, present; Treasurer Peter Zwerlein, present and Secretary Matthew Martin, present. Motion was in order to accept the October 12th minutes and the October 17th treasurers report as distributed to commissioners. Motion by Comr. Brewer seconded by Comr. Zuhoski, motion carried unanimously. Treasurer Zwerlein read current bills for board approval totaling $60,604.94, so moved by Comr. Friemann seconded by Comr. Zuhoski motion approved unanimously. A copy thereof is on the last page of these minutes as Attachment #1. Correspondence: Certificate of Insurance received from Suffolk County to provide insurance coverage for the public elections held on November 7, Also notice from board of elections to use our firehouse as a polling place on November 7, Commissioner s reports: Comr. Friemann: Insurance certificates, for Southold Town, will be required for both the Halloween Parade on October 31 st and the 5K Stuff the Sleigh fund raiser on December 10 th, Update on the new truck completion; it is expected to arrive on Long Island at the Hendrickson Dealership in Islandia, NY October for a final review. We should take delivery on November 2 nd and shortly thereafter have the truck lettered by Jim Fetton and to begin outfitting the cabinets, etc. to put the vehicle into service. Captain Ken Burns has been issued the 31 car to use locally but not for his job travel. Chairman Friemann welcomed Comr. Arthur Brewer to the board. Comr. Zuhoski: Ambulance is at the Chevy Dealers shop for minor repairs. Also the Pulse-Ox cable is in need of replacement. Attorney Richard Lark was present and he discussed an from William Burns concerning his additional 45-day suspension. Lark replied to Mr. Burns stating that he would inform him after the boards meeting tonight. A brief discussion was held followed by a motion by Comr. Friemann to direct the secretary to send Mr. Burns a letter informing him that the suspension is still in effect pending a decision by the hearing officer, Mr. Glass. Motion seconded by Comr. Brewer, carried unanimously. Comr. Brewer: Thanked the members of the board for his appointment as a commissioner to fill the unexpired term. Joseph Dibernardo firematic training seminar November 3 rd and 4 th. Approximate cost dollars. 2. Request to use Fire District grounds for Stuff the Sleigh 5k Race on December 10, Request to use firehouse grounds and fire police assistance for 5k race on November 11, See attached letter. 4. Travel Policy Clarification 5. Paint Boat to be ready in Misc: 1. Chief Behr currently getting price quotes for 2000 feet of 5-inch hose. All UHF radios to be obsolete in the next few years. Chief Behr read a letter from Garrett Lake, Narcotic Agent for Department, advising that the drug Diazepam has been taken of the market, country wide, and does not affect our ambulance compliance status. Chief Behr also read a letter from Michael McCaffery informing that a memorial walk/run will be held for his brother Ex-Chief/Commissioner Andrew McCaffery on November 11, 2017 from Route 48 to Depot Lane ending at the fire department drill track. He is requesting permission to end the walk/run at the drill track and to have fire police and ambulance support for the event. Following a brief discussion, Comr. Friemann moved to approve Mr. McCafferys request, seconded by Comr. Zuhoski, motion carried unanimously. New Business Annual Election Resolution: Upon a motion by Commissioner Friemann: Whereas: The Annual Election for Fire Commissioner is to be held on Tuesday December 12 th between the hours of 3-9 pm. It is therefore necessary, in accordance with town law, to appoint an election committee for this purpose. Be it resolved: that the following persons be appointed as a committee for the District elections on December 12, 2017: Chairperson Tellers Inspectors John Lademann Carolyn Lubanski Everett Glover Christopher Talbot Mary Colombo

Be it further resolved: That any candidate for the office shall file with the Fire District Secretary a petition containing the name and signed by 25 qualified registered voters and must be submitted on behalf of the candidate at least 20 days prior to the election. (November 22nd) Seconded by Commissioner Zuhoski, Chairman Friemann called for a voice vote as follows: James R Fogarty Jr. Absent Joseph S Zuhoski Jr. Aye Sanford H. Friemann Aye Robert Fisher Absent Arthur Brewer Aye Chairman Friemann declared the motion carried and instructed the secretary to proceed with the election process. M&T Bank Financing for Spartan Pumper: Commissioner Zuhoski stated the Board on various previous occasions had discussed and evaluated the various methods of financing which could be utilized to pay the cost of purchasing the new Class A pumper with a 75' aerial ladder. In order to vote on the low bid submitted by M&T Bank for a $500, Installment Purchase Contract, Commissioner Zuhoski wanted to review with the Board the various financing alternatives and bring the Board, particularly the new Commissioner, Arthur Brewer, up to date so the Board can award the bid for the financing and then accept delivery of the fire vehicle. The Treasurer of the Cutchogue Fire District has consulted with local banks and national lending institutions that specialize in the financing of fire trucks as well as having consulted with Munistat Services, Inc., which is a municipal advisor to local governments and is registered by the Securities and Exchange Commission, to evaluate the various cost effective options for municipalities such as the Cutchogue Fire District to finance the costs of new fire apparatus pursuant to the New York State Local Finance Law and New York State General Municipal Law. Commissioner Zuhoski reminded the Board that the voters of the Cutchogue Fire District had previously approved by vote to purchase a new Class A pumper and to pay up to $755, for it by authorizing the expenditure of up to $255, to be taken from the Capital Reserve Apparatus and Equipment Fund and $500, by an Installment Purchase Contract. The actual purchase of the Class A pumper with a 75' aerial ladder. together with all Change Orders, will cost the Cutchogue Fire District $716, Commissioner Zuhoski reminded the Board that the voters of the Cutchogue Fire District have previously voted to pay the cost of the new Class A pumper by authorizing the expenditure of up to $255, from the Capital Reserve Apparatus and Equipment Fund and $500, by an installment purchase contract. Commissioner Zuhoski then indicated that financing can be accomplished with serial bonds, capital notes, revenue anticipation notes or budget notes under the New York State Local Finance Law. Revenue anticipation notes may only be issued in anticipation of a specific type of revenue which the Cutchogue Fire District does not have any such revenue. Budget notes can be issued by a fire district for specific listed purposes, of which the purchase of a new fire truck is not authorized. Capital notes may be used and such capital notes, including any renewals, shall mature not later than the last day of the second fiscal year after which the notes are issued. Further, an installment payment of not less than fifty percent (50%) of the
4 2017 Minutes of the CUTCHOGUE FIRE DISTRICT Page 4 of 8 amount of such notes shall mature in the fiscal year succeeding when the notes are issued unless the notes are issued after the adoption of the annual budget and then it would have to be paid in the next succeeding year. As a result, the use of capital notes are not feasible for the Cutchogue Fire District as it will require a minimum of $250, to be paid off in the following year which would create a tremendous budget problem and increase the tax rate. Commissioner Zuhoski then stated the issuance of serial bonds may be authorized for payment up to twenty (20) years. Munistat Services, Inc. has advised the Cutchogue Fire District that considering the status of market interest rates, a ten (10) year payout period is feasible as the current market interest rates are between 2.75% and 3.00%. Since serial bonds are general obligations of the Fire District, Munistat Services, Inc. advised that a bond rating would have to be obtained as well as hiring a bond counsel and a financial advisor in order to be able to successfully market the bonds at a favorable interest rate. These additional costs would be approximately $7, and are not warranted due to the size of the $500, note. Munistat Services, Inc. furnished the Fire District a sample serial bond schedule utilizing a 2.6% interest rate with a ten (10) year payout which produced a total interest cost of $74,249.82, with a total payback of the loan of $574, plus the estimated $7, for soft costs or a total of $581, The Cutchogue Fire District has received a bid utilizing an Installment Purchase Contract method (Lease Purchase Agreement) from M&T Bank for $500, for a ten (10) year period with an interest rate of 2.594% with an annual payment of $56, for a total interest cost of $60, which represents a total cost to be paid over a ten (10) year period of time of $560, Commissioner Zuhoski stated in comparing the total estimated cost using a serial bond versus an Installment Purchase Contract it appears that the utilization of the Installment Purchase Contract would cost the Cutchogue Fire District $21, less than if serial bonds were used. Munistat Services, Inc. recommends it would be in the best interest of the Cutchogue Fire District at this time to proceed with the $500, financing with an Installment Purchase Contract especially since the Fire District has a firm bid from M&T Bank at a very favorable interest rate of 2.594% with constant periodic payments of $56, which would comply with the budgetary constraints and requirements of the Cutchogue Fire District having a minimum effect on the tax rate in the payment for the new fire truck. After discussion amongst the Board Members and after consideration and the evaluation of various financing alternatives, Commissioner Zuhoski then made a motion, seconded by Commissioner Friemann, it is RESOLVED, that after evaluating various financing alternatives, the Board of Fire Commissioners has determined it is in the best interest of the Fire District to authorize the use of an Installment Purchase Contract (Lease Purchase Agreement) as the most economical and efficient means of acquiring and paying for the 2017 Class A Pumper with a 75 aerial ladder. The Chairman then asked for a roll call vote and the following vote was taken: Sanford H. Friemann Voting Yes Robert Fisher Voting Absent James R. Fogarty, Jr. Voting Absent Joseph S. 5 2017 Minutes of the CUTCHOGUE FIRE DISTRICT Page 5 of 8 MOTION made by Commissioner Zuhoski and seconded by Commissioner Friemann, it is RESOLVED, that the Cutchogue Fire District award to M&T Bank, 1310 West Chester Pike, Havertown, Pennsylvania 19083, a $500, Installment Purchase Contract (Lease Purchase Agreement) with an interest rate of 2.594% with annual periodic payments of $56, for a ten (10) year period for a total of $560,284.10, to pay a portion of the cost of a new Class A pumper with a 75' aerial ladder; and it is FURTHER RESOLVED, that the Cutchogue Fire District is hereby authorized to enter into an Installment Purchase Contract (Lease Purchase Agreement) with M&T Bank for $500, for a ten (10) year period at an interest rate of 2.594% with annual periodic payments of $56, together with all riders, certificates, schedules and amendments thereto and any other instruments on the advice of counsel as necessary or appropriate to accomplish the Installment Purchase Contract (Lease Purchase Agreement). The Chairman then asked for a roll call vote and the following vote was taken: Sanford H. Friemann Voting Yes Robert Fisher Voting Absent James R. Fogarty, Jr. Voting Absent Joseph S. Zuhoski, Jr. Voting Yes Arthur W. Brewer Voting Yes The resolutions were declared adopted. MOTION made by Commissioner Zuhoski and seconded by Commissioner Friemann, it is RESOLVED, the Treasurer of the Cutchogue Fire District is authorized to withdraw $56, from the General Fund Unassigned Fund Balance and to pay M&T Bank the first payment pursuant to the Installment Purchase Contract (Lease Purchase Agreement) prior to the next Board of Fire Commissioners meeting. The Chairman then asked for a roll call vote and the following vote was taken: Sanford H. Friemann Voting Yes Robert Fisher Voting Absent James R. Fogarty, Jr. Voting Absent Joseph S. Zuhoski, Jr. Voting Yes Arthur W. Brewer Voting Yes The resolution was declared adopted. MOTON made by Commissioner Zuhoski and seconded by Commissioner Friemann, it is RESOLVED, the Treasurer of the Cutchogue Fire District is authorized to withdraw $216, from the Capital Reserve Apparatus and Equipment Fund and to pay Spartan Motors USA, Inc. for a portion of the cost of the new Class A Pumper with 75' aerial ladder prior to the next Board of Fire Commissioners meeting.
