1 Item 2.3.A.2 Attachment M I N U T E S NSPE House of Delegates Annual Assembly July 16, 2011 Las Vegas, Nevada 1. CALL TO ORDER The 2011 NSPE House of Delegates (HoD) Assembly was called to order at 8:30 am by Assembly Chair and NSPE President, Christopher M. Stone, P.E., F.NSPE, LEED AP. 1.1 Invocation An invocation was delivered by John J. Plaisance, II, P.E., L.S., F.NSPE. 1.2 Pledge of Allegiance Samuel W. Grossman, P.E., F.NSPE led the members of the House of Delegates in the Pledge of Allegiance. 1.3 Roll Call (Attach. 1.3) The NSPE Secretary, Lawrence A. Jacobson, conducted the roll call of the House of Delegates after which it was determined that a quorum was in attendance. 1.4 NSPE Vision and Mission Statements (Attach 1.4) The NSPE Vision and Mission statements were read by Dan J. Wittliff, P.E., F.NSPE. 2. REVIEW AND APPROVAL OF AGENDA 2.1 Approval of Minutes from 7/17/2010 HoD Assembly (Attach 2.1) Stone reported that the minutes of the July 17, 2010 HoD Assembly were approved electronically by unanimous consent (without objection by any voting member of the HoD) on August 17, Handout Review Stone reviewed the following handouts that were provided to HoD members at their seats: Conflict of Interest Policy Statement Travel Reimbursement Form NSPE Counsel s Review of Revisions to Bylaw 9 Processional Chart for Installation Ceremony Conflict of Interest Policy (Attach 2.2.1) Stone requested that the members of the HoD execute/sign the NSPE HoD Conflict of Interest Policy statement and leave it at their seats for collection by NSPE staff following the meeting. 2 2.3 Modifications to Main Agenda Stone noted that item 6.2 will be considered before item 6.1. There was then a call for modifications to the main agenda (NSPE Bylaw 15 requires a 2/3 vote of the delegates for an item to be added). There being none, the agenda was approved as prepared. 3. 3 3.2 Introduction of NSPE and NICET Staff Stone recognized the following NSPE and NICET staff participating in this year s Annual Meeting: From NSPE: Larry Jacobson, Executive Director Art Schwartz, CAE, Deputy Executive Director & General Counsel Felisha Battle, CAE, Director, Membership Dave Siegel, Director, Communications Polly Collins, CMP, Director, Meetings Kim Granados, CAE, Director, Professional Practice Roger Murphy, Supervisor, Data Services and Meeting Registrar Erin Garcia-Reyes, Senior Manager, Professional Practice Stacey Ober, Senior Manager, Public Relations Nancy Oswald, Executive Assistant Allison Leisner, Summer Intern Allison will be beginning her senior year at Longwood University and is receiving credit for her internship at NSPE. From NICET Mike Clark, CAE, Chief Operating Executive Chip Hollis, Manager, Marketing and Public Relations 4. ELECTIONS 4.1 Explanation of Voting Procedures Stone provided an explanation of the voting procedures that will be used for electing the NSPE Vice President and NSPE Treasurer, i.e. election by simple majority. He noted that both candidates are running unopposed which will simplify the voting process. 4.2 Report of Candidate Screening Committee (Attach 4.2) Samuel W. Grossman, P.E., F.NSPE, Chair of the Candidate Screening Committee (CSC), referred to the CSC report that was previously transmitted electronically to all members of the HoD and was also included as an attachment to the Assembly agenda. He briefly summarized the process that was undertaken in reviewing each candidate s qualifications and credentials which also included personal interviews. Grossman recognized and thanked the members of this year s Candidate Screening Committee for their participation and service Introduction of Vice President and Treasurer Candidates Grossman introduced NSPE Vice President candidate Robert Green, P.E., F.NSPE and NSPE Treasurer candidate Leanne Panduren, P.E., F.NSPE, inviting each to address the delegates Remarks by Vice President Candidate Robert Green addressed the NSPE House of Delegates and reviewed his vision for NSPE Remarks by Treasurer Candidate Leanne Panduren addressed the NSPE House of Delegates and reviewed her vision for NSPE. 4 4.3 Voting for Officers Vote for Position of NSPE Vice President Moved and seconded that the NSPE House of Delegates elect Robert Green to the position of NSPE Vice President. Carried Vote for Position of NSPE Treasurer Moved and seconded that the NSPE House of Delegates elect Leanne Panduren to the position of NSPE Treasurer. Carried. 4.4 Introduction of Board of Directors Candidates (Attach 4.4) Stone introduced the following Board of Directors candidates who are candidates for election: David D. Dexter, PE, NSPE Director, Central Region Joseph J. Duncan, PE, F.NSPE Director, Northeast Region Raul Pena, III, PE, F.NSPE Director, Southwest Region Kevin C. Skibiski, PE, PLS, F.NSPE Director, Interest Group Austin S. Lin, EIT Director, Young Engineers Election of Board Members (by simple majority) It was moved and seconded that the slate of Board of Directors candidates be elected. Carried. Stone also introduced the following members of the Board of Directors who have been appointed as set forth in the Bylaws and are not formally elected by the House of Delegates: Kim Robinson, CAE President, State Society Executive Council Term: 7/1/2011 6/30/2012 William J. 5 4.5 Ratification of Candidate Screening Committee (Attach 4.5) Stone introduced the following slate of Candidate Screening Committee members: John F. Bradshaw, PE, PLS, F.NSPE (Pennsylvania) Northeast Region Representative Eric Johnston, PE, NSPE (Michigan) Central Region Representative Marlon W. Vogt, PE, NSPE (Iowa) North Central Region Representative Harry E. Clark, PE, F.NSPE (Tennessee) Southeast Region Representative John J. Plaisance, II, PE, LS, F.NSPE (Louisiana) Southwest Region Representative J. Nestor Fernandez, PE, F.NSPE (Idaho) Western & Pacific Region Representative Michael Hardy, PE, F.NSPE Chair Moved and seconded that the Candidate Screening Committee slate be ratified. Carried. 5. REVISION TO BYLAW 9 (Attach 5) Prior to a discussion on Bylaw 9, Stone formally announced that the Bylaw revisions as prepared and recommended by the NSPE Bylaws Task Force -- and approved by the NSPE Board of Directors at its meeting in April were approved by the House of Delegates via an electronic vote conducted June 30- July 6, The Bylaw amendments passed with the required 2/3 quorum and with 93 votes to approve the revisions, 2 votes not to approve, and 3 votes abstaining Request for waiver of 60 day notice of Revision to Bylaw 9 (requires ¾ approval by House of Delegates) Moved and seconded that the 60 day notice period be waived. Carried by the required ¾ approval by HoD. Moved and seconded that the revision to Bylaw 9 be approved. Carried. 6. RATIFICATION OF PROFESSIONAL POLICIES 6.2 Revision to PP No. 130 Procurement of Engineered Products renamed The Design of Products, Machines, Processes and Systems (Attachment 6.1) Moved and seconded that the NSPE House of Delegates approve revisions to NSPE PP No Motion to amend to add structures in the title and in body (after the word products ), to delete the word and before the word safety, and to add the words and welfare (after the word safety ). 6 6.1 New Professional Policy Industrial Exemptions (Attachment 6.2) Moved and seconded that the NSPE House of Delegates approve proposed NSPE Professional Policy - Industrial Exemptions. Motion to amend to replace phasing out with early termination in the proposed professional policy. Motion failed. Main motion carried. 7 YEAR END REPORTS 7.1 President s Report Michael Hardy, P.E., F.NSPE, NSPE President, offered his year-end report. He highlighted national and international travel, launching the standard of care issue, and the implementation of state/national agreements Special Presentation Hardy recognized the outstanding efforts and contributions of Leanne Panduren in her role as NSPE Treasurer and as an invaluable member of the NSPE leadership team. 7.2 Executive Director s Year End Report Jacobson provided his year-end Executive Director s report. Advising that the Society is stable, he further reported and updated delegates on NSPE operations, staffing, finances, communications, government relations and other related issues. 7.3 Treasurer s Report (Attach 7.3) Panduren reported that NSPE is poised to end the year with a surplus of about $35,000, and NICET will end the year with a deficit of approximately $220,000. She further reported on the status of NSPE headquarters building rental, interest income, member contributions, advertising, job board, continuing education and other issues. Both NSPE and NICET budgets for the coming year are balanced. A $12 NSPE national dues increase has been approved by the NSPE Board of Directors. 8. INTERNATIONAL GUESTS INVITED TO ADDRESS THE HOD 8.1 Korean Professional Engineers Association (KPEA) JooBong Kim, Deputy Director of Science and Technology, HR Policy Division, Ministry of Education, Science and Technology, addressed the NSPE House of Delegates on behalf of the KPEA. Mr. Kim expressed his appreciation for the many opportunities to work with NSPE. 8.2 Japan Society of Professional Engineers (JSPE) Takeya Kawamura, P.E., Vice President, Japan Society of Professional Engineers, addressed the NSPE House of Delegates and indicated his organization s desire to continue to bridge strong relationships with NSPE. 8.3 Engineers Canada Brent Smith, FEC, P.Eng, President, Engineers Canada, addressed the NSPE House of Delegates and stated Engineers Canada s desire to forge greater ties between Canadian and US engineers. 7 9. UPDATE ON STATE-ONLY/NATIONAL-ONLY MEMBERSHIPS (Attach 9) Hardy provided a report on state-only/national-only member programs including states that have opted into the state-only/national only membership option. Hardy noted that NSPE s primary emphasis will be on those individuals who are neither NSPE nor State Society members, and have no current affiliation with NSPE. Hardy emphasized that it was critical for both NSPE and State Societies to be marketing to those individuals that have no current affiliation with NSPE. He further noted that it was important for NSPE to have the lists of State Society-Only members so that NSPE does not inadvertently contact them via a mass mailing/marketing effort. There was general discussion concerning three-tier, state only and national only membership marketing efforts. It was noted that NSPE is prepared to partner with state societies on a 50/50 marketing cost basis for three-tiered marketing. 10. OTHER BUSINESS TO BRING BEFORE THE HOD 10.1 Lessons Learned from Selling Memberships Jacobson reported that among the key issues learned is simplification, professionalism and a strong sales effort. Jacobson noted that in view of the low market share that NSPE and the state societies have, there is a huge opportunity to grow membership Transformation Plan Task Force Stone reported on his 2020 Transformation Plan Task Force and the focus group sessions scheduled to follow the afternoon installation ceremony Explanation of Afternoon Focus Group Sessions LEADERS (Attach 10.3) (Licensure, Ethics, Advocacy, Diversity, Education, Recruitment, Sustainability) Stone elaborated on the focus group effort, why each one is an important component and how the results of each of these focus groups will feed into the 2020 Transformation Plan Task Force. 11. OPEN DISCUSSION John J. Martin, P.E., F.NSPE reported that the NSPE PAC has raised over $6,000 during the NSPE Annual Meeting. 12. NEW BUSINESS There was no new business to be brought before the Assembly. 13. ADJOURNMENT The 2011 HoD Assembly was adjourned at 12 noon.
