1 District Meeting Guidelines October 2018 For Selecting Nominees to Serve on the AFP Committee on Directorship 1. The current Committee on Directorship member will facilitate each individual District meeting. 2. Chapter Presidents or Presidents-Elect representing the Chapter will constitute the voting members of this District. 3. Districts with vacant positions (as shown below) will elect a representative to the Committee on Directorship; Districts will elect one alternate for a two-year term, if needed. 4. If interested in serving on the Committee on Directorship, applicants should fill out the COD nomination form and return to Rebecca Powell at AFP before October 10, 2018 or submit the form to staff at the AFP registration desk by 1:00 p.m. on Thursday, October 11 th. 5. Nominations should be received in advance of the meeting. If no candidates received prior to the meeting, you may accept nominations from the floor. You should ask a nominator to present your name and speak on your behalf at the meeting. Candidates will not speak on their own behalf. 6. The individual with the largest number of votes will be the District s representative on the Committee on Directorship; the individual with the next highest number of votes will be the District s alternate. 7. Nominations from the floor will be accepted. If the candidates attend the meeting, they will be asked to leave the room during the voting process. 8. The facilitator will present names of candidates and a vote will be taken by hand to determine the top two nominees. 9. In the case of more than two candidates and a tie vote, a second vote may take place between the top two nominees to determine who will serve as the District s representative and who will serve as the alternate. 10. The facilitator will complete a form with the results of the election and turn the form over to an AFP staff member. 2 JOB DESCRIPTION FOR THE AFP COMMITTEE ON DIRECTORSHIP The Committee on Directorship determines the future of AFP--the people selected for the board of directors will influence every key decision the organization makes in the years ahead. To recruit the right people for the board of directors, the Committee on Directorship must know what skills, geographic and diversity the board needs. Therefore, it should be made up of AFP members familiar with the organization. The Committee on Directorship consists of 18 members: the immediate past chair of the Association, who serves as chair; the current chair of the Association; the chair-elect; twelve members elected by each member district elected by the chapter presidents from that district, plus an equal number of alternates (one from each district) who shall serve if any member of the committee resigns; two members appointed by the chair of the Association. The president and CEO is ex-officio as a nonvoting member. The Committee on Directorship nominates officers and members of the board of directors; ensures orientation of new board members; and evaluates board members performance based on criteria. COD members are strongly encouraged to put forward a candidate interested in serving on the Board after rolling off the Committee. The Committee on Directorship announces a slate of nominees to the full membership prior to the established date of the fall board meeting, at which time the ratification occurs. Members serve on the Committee on Directorship for two years (maximum of a two-year term); the term of office commences January 1. The Alternates serve for a two-year term as well. The Committee convenes as necessary and no fewer than two times per year. (The Association will reimburse committee member for the July face-to-face meeting.) Members of the Committee on Directorship, exclusive of the chair of the Association and the chair-elect, may not be considered as nominees for any officer position or director position under discussion by that committee. Recommended criteria used by the Committee on Directorship to evaluate board candidates: Leadership ability which demonstrates the skills needed to govern a professional Association No less than two (2) years of volunteer service to AFP, philanthropy and the community locally, nationally and/or internationally Relevant Professional Certification Five (5) years experience and/or employment in the profession or in an industry that serves philanthropy and/or fundraising Education and Training Geographic location Diversity (all inclusive) Type of professional practice Support of the AFP Foundation s for Philanthropy Like-size Groupings (I V) Chapters Membership current and in good standing (has signed the Code of Ethical Standards Specific leadership needs of the Association at the time candidate is being considered Revised April 2018

4 Chapter Presidents Council Terms of Reference The Chapter Presidents Council (CPC) will consist of the presidents of all AFP Chapters, including Collegiate Chapters (Collegiate Chapters will participate as ex officio, nonvoting members), as well as the Chair and the President/CEO of AFP. Members of the association executive committee would be asked to participate in meetings of the council so as to encourage an informed and collaborative exchange. The council will provide chapters with a means of networking among chapter presidents. In addition, the council will: serve as a forum for feedback, issues identification and dialogue for chapters; provide chapter leaders with the opportunity for dialogue about critical issues impacting members and chapters (such issues could include changes to the AFP Code of Ethics, diversity and inclusiveness, member categories, dues, association bylaws and other issues that arise); inform the work of association committees, divisions, and the board; act as a sounding board for new products and services; consider issues impacting chapters of similar size, geography, etc.; advise on programming for the Leadership Academy; and encourage chapter leaders to participate on, and discuss issues addressed by, association committees, task forces, and councils. The council will meet once or twice a year depending upon needs and resources. One of the meetings will occur during the Leadership Academy; the other meeting could be scheduled during the International Conference. The AFP Chair will serve as the convenor of CPC meetings, while the council-based board member (see below) will serve as chair and will preside over meetings of the council. The Chapter Presidents Council s primary duty is to elect the district members of the Committee on Directorship (COD). In addition, the council will annually nominate a member of the council to serve as an atlarge member of the association board of directors. This individual will also serve as the chair of the CPC. The council-based board member will be subject to the same service terms as all other directors except that the term for this director will be one year, nonrenewable (the council-based board member would be eligible for additional regular board service with one year charged against service as an at-large director). The councilbased board member will act as a liaison between the council and the AFP Board and will provide semi-annual reports from/to the board from/to the council.

5 OCTOBER 2018 AFP OFFICIAL PROXY VOTING FORM DEADLINE IS OCTOBER 10 th Please read carefully before assigning your proxy vote. 1. Only current AFP members may vote in AFP elections. 2. AFP bylaws provide the Chapter President or President-elect in good standing the option to cast his or her vote at any membership meeting either in person, by proxy or through the official designee of his or her affiliated chapter. 3. Proxy voting must follow these rules: 4. If you wish to vote by proxy, you must use this official form (a proxy form may be a copy or facsimile of the official proxy form, but must have a signature in order to be official). The proxy form must be dated and signed to be valid. The deadline to receive a proxy is October 10 th. Please to AFP Headquarters to Rebecca Powell at rpowell@afpnet.org. 5. The designated proxy holder must be a voting member of AFP s Chapter Presidents Council in good standing and in the same district. 6. No AFP member may hold more than one proxy vote in any given meeting. 7. In the event that absentee member should be able to attend the meeting after assigning proxy, the written statement of proxy is rendered invalid. REMINDER: The President or President-elect may vote at this meeting from your Chapter. If one of you are attending from your chapter, then no need to apply for a proxy.
