2 TENTH AMENDMENT TO AGREEMENT NUMBER C-IOS41 BETWEEN THE CITY OF LOS ANGELES AND SIERRA SYSTEMS INC. (formerly known as SIERRA SYSTEMS GROUP, INC.) THIS TENTH AMENDMENT to Agreement Number C-I 541 between the City of Los Angeles, California, a municipal corporation (hereinafter referred to as the "City") and Sierra Systems, Inc., a Washington corporation (hereinafter referred to as the "Contractor") is entered into as follows: WHEREAS, effective July 3, 23, the parties entered into Agreement Number C-I 541 (which together with all amendments and Change Order Notices thereto is hereinafter referred to as the "Agreement"), for the Contractor to design, develop, and implement the Risk Management Information System (RMIS) and the Use of Force System (UOFS) for the Los Angeles Police Department (LAPD); and WHEREAS, the City is responsible for the on-going support and operation (application management, confignration management, environment management, computer operations, and application support and enhancement) of the RMIS and UOFS, as well as other TEAMS II Development Program systems, including the Claims and Lawsuits Information System (CLlS), the Deployment Period System (DPS) and the Complaint Management System (CMS); and WHEREAS, the Contractor has successfully implemented the UOFS and RMIS for production use by LAPD and has experience with the technology and tools used to develop the various TEAMS II systems; and WHEREAS, the Contractor represents that it has the expertise, skills, and abilities to further assist the City in the performance of its TEAMS II on-going support and operations support responsibilities; and WHEREAS, although City staff is being trained by Contractor to independently perform the required TEAMS II on-going support and operations tasks, at the conclusion of the Ninth Amendment of this Agreement, the City still requires Contractor professional services for TEAMS II confignration management and integration testing, including knowledge transfer; and support for the RMIS, UOFS, CLlS, DPS, and CMS; and Tenth Amendment to Agreement Number Col 541 City of Los Angeles - Sierra Systems Inc. 3 WHEREAS, as a result of a corporate reorganization, Sierra Systems Group, Inc., the California Corporation was part of a merger creating Sierra Systems Inc., a Washington corporation, and Sierra Systems Group, Inc., the BC Corporation, is no longer the parent of Sierra Systems Inc. WHEREAS, Sierra Systems Inc. is the sole contracting party of the Contractor, as a result of the aforementioned merger; and WHEREAS, prior to the execution of this Amendment, the Los Angeles City Council acted to authorize the Chief Legislative Analyst and the Mayor's Office to negotiate and execute an Amendment to this Agreement to increase the total compensation to not exceed $24,44, for continued professional services for TEAMS II configuration management and integration testing, including knowledge transfer; and report development support for the RMIS, UOFS, DPS, and CMS (C.F. # 1-243); and WHEREAS, Agreement; Section 81, Amendments, of the Agreement provides for amendments to the NOW THEREFORE, the parties hereby agree to amend Agreement Number C as follows: I. Article II, Term and Services to be Provided, Section 21(A) is hereby modified to extend the Agreement for twelve months, for a new Agreement termination date of June 3,213. This twelve month extension exercises the second of two (I) one year extension options established in Section 21(B) ofthe Agreement. 2. Article HI, Compensation and Method of Payment, Section 31(B) is hereby amended to increase the amount of compensation the City will pay the Contractor for services to be performed, tasks to be implemented, and Deliverables to be provided as specified in this Agreement and Exhibit C, Statement of Work, by One Million Four Hundred Thousand Dollars ($1,4,), increasing the existing Project Compensation Amount of Twenty Two Million Nine Hundred Forty Thousand Dollars ($22,94,)to a revised Project Compensation Amount of Twenty Four Million, Three Hundred Forty Thousand Dollars ($24,34,). 3. Exhibit B, Implementation Schedule, is hereby amended to adjust the schedule for UOFS and RMIS Maintenance. The previous Exhibit B, Implementation Schedule, is hereby replaced in its entirety with "Exhibit B, Implementation Schedule, as Revised July 17, 212" attached hereto as Attachment I and made a part hereof. 4. Exhibit H, Payment Schedule, is hereby amended in its entirety to reflect the increase in the amount the City will pay the Contractor for services performed related to UOFS and RMIS Maintenance. The previous Exhibit H, Payment Schedule, is hereby replaced in its Tenth Amendment to Agreement Number C-l 541 City of Los Angeles - Sierra Systems Inc. Page 2

4 entirety with "Exhibit H, Payment Schedule, as Revised July 17, 212" attached hereto as Attachment 2 and made a part hereof. 5. Exhibit J, Systems Maintenance and Support Services, Section A(S), Supplemental Maintenance and Support Services, is hereby modified to read in its entirety as follows: A (5) Supplemental Maintenance and Support The Contractor will provide 912 hours per month supplemental maintenance and support services for the period of July 1, 28 through June 3,29. The Contractor will provide 75 hours per month supplemental maintenance and support services for the period of July 1, 29 through November 3, 29. The Contractor will provide 85 hours per month supplemental maintenance and support services for the period of December 1, 29 through June 29, 2 II. The Contractor will provide 93 hours per month supplemental maintenance and support services for the period of July 1,211 through June 29,212. The Contractor will provide 826 hours per month supplemental maintenance and support services for the period of July I, 212 through June 3, 213. These supplemental maintenance and support services are in addition to those services provided in Section A(l). The Contractor will provide such supplemental maintenance and support services for TEAMS II and other LAPD systems as directed by the City Project Manager. The Contractor will provide Systems maintenance and support during business days. Unused hours may be rolled over month-to-month. The Contractor will not be required to reimburse the City for any unused Systems Maintenance and Support Services hours remaining at the end of the Supplemental Maintenance and Support Services term. 6. All references in the Agreement to "Sierra Systems Group, Inc., the California Corporation," and "Sierra Systems Group, Inc., the BC Corporation" are replaced with "Sierra Systems Inc., a Washington Corporation." 7. This Tenth Amendment is effective as of June 3, 212. Due to the City's need to expedite services related to TEAMS II integration testing, application management, and enhancement planning, and CLlS testing coordination, the Contractor began performance ofthe services specified herein prior to execution of this Tenth Amendment. The City acknowledges the services previously performed by the Contractor and ratifies the Contractor's performance of such services to the extent such services were performed in accordance with the terms and conditions of this Agreement. 8. This Tenth Amendment contains the full and complete amendments to Agreement Number C-I 541 between the parties. Except as amended by this Tenth Amendment, all other provisions of Agreement Number C-I 541 will remain in full force and effect. No verbal agreement nor conversation with an officer or employee of either party will affect or modify any terms and conditions of this Agreement. 5 9. This Tenth Amendment is executed in three (3) duplicate originals, each of which is deemed to be an original. This amendment includes five (5) pages and two (2) attachments.
