3 RESOLUTION NO. 1_2_ 1_ 6_5_ WHEREAS, the Los Angeles Department of Water and Power (LADWP) and Logica North America Inc., (Logica) entered into an agreement wherein Logica agreed to provide software and software support services for LADWP's Work Information Management System; and WHEREAS, effective March 12, 2008, LADWP and Logica entered into Agreement No ; and WHEREAS, Enterprise Work Management Information System and Mobile Work Management Information System are part of LADWP's work management, scheduling, timekeeping, and job coordination system and is a pivotal component in serving the City of Los Angeles residents' and business owners' power needs; and WHEREAS, the LADWP proposes to execute Amendment No. 1 to Agreement No , to increase the expenditure limit by $889,164 without extending the duration for a total not-to-exceed amount of $6,41 0,594; and NOW, THEREFORE, BE IT RESOLVED that proposed Amendment No. 1 to Agreement No between LADWP and Logica, approved as to form and legality by the City Attorney and filed with the Secretary of the Board, to provide services of non-proprietary software programming to keep the Enterprise Work Management Information System and Mobile Work Management Information System in operation, be and the same are hereby approved. BE IT FURTHER RESOLVED that pursuant to Section 1022 of the City Charter, such services can be performed more feasibly by independent contractors than by LADWP or City employees due to the proprietary knowledge of Logica. BE IT FURTHER RESOLVED that the President or Vice President of the Board, or the General Manager, or such person as he shall designate in writing as his designee, and the Secretary, Assistant Secretary, or Acting Secretary of the Board are hereby authorized, empowered, and directed to execute Amendment No. 1 to Agreement No for and on behalf of LADWP. BE IT FURTHER RESOLVED that the Chief Accounting Employee of LADWP, upon proper certification, is authorized and directed to draw demands on the Power Revenue Fund in payment of the obligations arising under said Agreement. It remains the same as the original Agreement from March 12, 2008 through March 11, BACKGROUND EWMIS/MWMIS are proprietary software provided by Logica, which handles coordinating, scheduling, timekeeping, and job tracking for the Power System's electrical distribution system. EWMIS/MWMIS supports all electric distribution work where all of the design and accelerated work by engineering personnel is handled through EWMlS, and then passed on to construction personnel with an accurate realtime estimate of length of job, material to be used in construction, and cost of job using a mobile unit. All of the Customer Service Division's meter jobs, which include meter type orders, meter installation field orders sent to the meter setters, and electricity rate assignment, are also supported in EWMIS/MWMIS.
6 Board of Water and Power Commissioners January 24, 2012 Page3 In July 2007, Power System's EWMIS was upgraded to the latest version, and LADWP now has full capability of using the lnternet/lntranet technology to supp01i customer se!vice on the internet. Consistent with LADWFs ongoing EWMlS/MWMIS software maintenance and support needs, this Amendment to Agreement No will allow the EWMIS/MWMIS to function without interruption. lt is needed as soon as possible to provide support to the EWMIS/MWMIS users as well as to the CISCON system which is being developed. Such work was not part of the original Agreement. The Amendment will include consulting services and programming tasks: Provide non-proprietary programming task suppo1i services for management reports (LA Reports). Provide non"proprietary programming task suppoti services for Interfacing between Logica's WMIS a~d LADWP CISCON system. Per Charter Section No. 373, Los Angeles City Council approval is required. Accordingly, an ED4 waiver was given by the Mayor's office on January 24, METHOD OF SELECTION D Competitive 0 Cooperative Purchase IZl Sole Source Logica is the sole provider of LADWP's Work Management Information System Software. Logica provides proprietary services, owns the source code necessary to make changes to the software, ensures that changes are made to the software, and provides proprietary support for enhancements and fixes to the core software and system interfaces. Therefore, pursuant to City Charter Section 371 (e){2), it has been determined that the competitive bidding process is not practical or advantageous for these services.

9 Amendment No. 1 to Agreement for Information Technology Products and Services No Between The Los Angeles Department of Water and Power And Logica North America, Inc_ THIS AMENDMENT NO. 1 to Agreement No is made and entered into by and between the City of Los Angeles, a municipal corporation acting by and through the Los Angeles Department of Water and Power (LADWP), and Logica North America Inc. (formerly known as LogicaCMG lnc.) (Referred to herein as "Logica"). WHEREAS, effective March 12, 2008, the LADWP and Logica entered into Agreement No 47724~8 (which together with all amendments and supplements thereto hereinafter shall be referred to as the "Agreement"); and WHEREAS, the amendment is necessary and proper to add consulting services of non~ proprietary software programming to keep the Enterprise Work Management Information System (EWMIS) and Mobile Work Management Information System (MWMIS) and their Application Extensions in operation AND to provide EWMIS interface with Customer Information System Connection (CISCON) system; and WHEREAS, the LADWP and Logica desire to amend the Agreement for purpose of increasing the total agreement amount by $889,164, inclusive of expenses for a maximum expenditvre limit of $6,410,594. NOW, THEREFORE, the LADWP and Logica agree to amend the Agreement No_ as follows: AMENDMENT 1. The following language shall be added to Exhibit~ A.5.3 Term and Pricing (pages 46~ 47). A.5.3 TERM AND PRICING for Non~Proprietary Support Tasks in POWER System and CUSTOMER Services {Programming Tasks} Two programmers are required to provide the programming task support services. Programmer 1 will support the Power System with programming service levels as defined herein Exhibit A2 Section 3.1. Programmer 2 will support the Customer Service Organization with programming interface support between the WMIS systems and the CISCON system. In addition to the above-mentioned tasks, the Programmer 2 may perform tasks as defined herein Exhibit A.2 Section The tasks will begin as of the date of the Execution Letter received by Logica from the Department, and will end on March 11, 2013 thereafter (the "Term") for the amount of $889,
