Santana, City Administrative Office~-~ d. f':.i Reference: Subject: Transmittal from the Los Angeles World Airports dated May 8, 2012; referred by the Mayor for report on May 10, 2012 REQUEST TO EXECUTE A SECOND AMENDMENT TO AGREEMENT DA=4497 WITH ANDERSON & KREIGER, LLP FOR LEGAL SERVICES IN SUPPORT OF THE LOS ANGELES WORLD AIRPORTS TO EXTEND THE TERM OF PERFORMANCE FOR ONE ADDITIONAL YEAR TO JULY 13, 2013 SUMMARY The Executive Director ofthe Los Angeles World Airports (LAWA; Department) requests approval to execute a Second Amendment to Agreement No. DA-4497 (copy attached) with the law firm of Anderson & Kreiger, LLP (contractor) to extend the existing contract for legal services in support of the City Attorney with respect to federal regulatory matters that include, among other things, Federal Aviation Administration compliance, noise issues, and airport rates and charges. The proposed oneyear extension (from July 14, 2012 to July 13, 2013) to the current five-year agreement will allow LAWA to (1) benefit from the law firm's experience, expertise, and history with LAWA's complex federal administrative and judicial proceedings involving aviation law; and (2) acquire, through training provided by the contractor, legal expertise to successfully address many of these issues in the future using in-house attorneys rather than outside counsel. The above-mentioned aspects of the proposed Second Amendment, and this report, are based upon revised information received from the Department subsequent to the initial request submittal. The contract amendment is subject to City Attorney approval as to form. Budgeted and available funds sufficient to finance the proposed one-year extension to Agreement No. DA-4497 are available in the LAWA operating budget, LAX Cost Center ~ Legal Services Division. Expenditures for the original three-year agreement (DA-4153) were $386,565. For the first two years of the new agreement (DA-4497), the expenditures were $$95,056 with estimated expenditures for the third year (i.e., the one-year extension as proposed in the Second Amendment) totaling $76,853. The law firm of Anderson & Kreiger, LLP was originally selected through a competitive process to assist the Department with its compliance with federa! aviation rules and regulations.

5 CAO File No. PAGE Background Over the next twelve months, the experience and expertise provided by the contractor are needed to provide legal counsel to LAW A's City Attorneys on (1) complex federal administrative judicial proceedings related to aviation law; (2) federal regulatory and litigation matters; (3) lease and tariff issues; (4) administrative proceedings with the United States Department of Transportation; (5) federal antitrust and grant assurance issues; and (6) airport revenue and diversion matters. In addition, according to the City Attorney, the firm of Anderson & Kreiger, LLP is needed to assist LAWA with reducing or eliminating any financial obligations that a government agency (e.g., the Federal Aviation Administration, Department of Transportation) may try to impose on the Department. According to the City Attorney, the contractor is assisting LAWA with the audit being conducted by the Office of the Inspector General of the Department of Transportation where its knowledge of aviation law and regulations is invaluable. The original agreement (DA-4153) with Anderson & Kreiger, LLP was executed in March 2007 for $250,000 for three years. A First Amendment to agreement DA-4153 was executed in December 2008 increasing the expenditure limit by an additional $500,000 for a total of $750,000 over three years. A second agreement (DA-4497) was executed in July 2010 for one year with an additional one-year option (to July 2012) for $138,000. A First Amendment, executed in December 2010, increased the contract amount by $862,000 for a total of $1 million and extended the agreement one year to July 13, If approved, the proposed Second Amendment will extend the contract one additional year to July 13, 2013, using funds that were budgeted and available from previous years. While the available funding is believed to be sufficient for the legal services to be provided by Anderson & Kreiger, LLP, the City Attorney will further define the scope and nature of the work needed and, at the same time, maximize the work managed by in-house staff as well as the process of knowledge transfer from the contractor's attorneys to the City's attorneys. Should future funding be required, the Department will make the request as part of the annual budget process. Funding for the proposed Second Amendment is available in the Fiscal Year , Los Angeles World Airports Operating Budget in Cost Center Legal Services Division, Commitment Item Contractual Services. California Environmental Quality Act Compliance With respect to LAWA's compliance with CEQA (California Environmental Quality Act) guidelines, continuing administrative, maintenance and personnel-related activities are exempt from the requirements of the CEQA pursuant to Article II, Section 2.f of the Los Angeles City CEQA Guidelines. Compliance with City Administrative Requirements Due to the subject matter expertise needed to adequately represent the Department in its complex legal matters, as well as the volume of work required, LAWA determined, pursuant to Charter

6 GAO File No. PAGE 0 i Section 1 022, that the work can be performed more feasibly or economically by an independent contractor than by City employees. Pursuant to City Charter Section 275 "Employment of Other Legal Counsel," the City "may contract with attorneys outside the City Attorney's Office to assist the City Attorney in providing legal services to that department... upon written approval of the Council and the City Attorney." Pursuant to Charter Section 245, the proposed contract amendment will become final upon the Board of Airport Commissioners' approval unless that action is vetoed by the Council. Additionally, to become effective, the proposed Second Amendment must be approved by the City Attorney as to form. There were no objections by the City's unions to the original Agreement or to the proposed Second Amendment in that there are currently no City Attorneys with the required expertise in federal aviation and regulatory matters. Anderson & Kreiger, LLP is either in compliance with or the Department will monitor and ensure the firm's compliance with the City's Living Wage Ordinance, Affirmative Action Program, Child Support Obligations Ordinance, Contractor Responsibility Program, and First Source Hiring Program for all non-trade airport jobs. The Department of Public Works, Office of Contract Compliance, has determined that the contractor is in compliance with the provisions of the Equal Benefits Ordinance. Upon review by the Department's Contract Services Division, it was determined that there were no specific Minority/Women Business Enterprise levels of participation established for this project since there were no subcontracting opportunities identified. Anderson & Kreiger have approved insurance, in the terms and amounts required, on file with the Department. Additionally, the contractor must submit the Bidder Contributions, City Ethics Commission Form 55 pertaining to the City's contract bidder campaign contribution and fund raising restrictions (Charter Amendment H) that became effective in Apri12011 and is, likewise, subject to the Charter Section 609(e) provisions governing political contributions. Alternatives to the Proposed Amendment According to the Department, the law firm's experience with and expertise in federal aviation rules and regulations affecting LAWA's major initiatives and operations is critical to the ongoing management of its airports; consequently, LAWA would be negatively impacted by the loss of Anderson & Kreiger's services, especially given the ongoing audit of LAWA by the Office of the Inspector General of the Department of Transportation. The use of City staff is not possible at this time given (1) the volume of work, (2) the required expertise, and (3) the time constraints that must be addressed; likewise, use of another law firm would be inefficient due to the steep learning curve and the resulting cost to the :City. RECOMMENDATIONS That the Mayor: 1. Approve, subject to City Attorney approval as to form, the proposed Second Amendment to Contract DA-4497 with the law firm of Anderson & Kreiger, LLP to extend the contract term for an additional twelve months for a total contract term of three years, for a not-to-exceed amount of $1 million, to continue the provision of legal services to the Los Angeles World Airports for matters related to federal regulatory issues, litigation, and rates and charges; and

7 CAO File No. PAGE Return the proposed Second Amendment to the Department for further processing, including Council consideration. FISCAL IMPACT STATEMENT Approval of the proposed Second Amendment will have no impact on the General Fund. Funding for Contract DA-4497 with Anderson & Kreiger, LLP is available in the FY Los Angeles World Airports Operating Budget. Future funding will be requested as part of the annual budget process. The proposed Amendment complies with the Department of Airports' adopted Financial Policies. Time Limit for Council Action In accordance with Charter Section 245, the proposed Second Amendment will become final upon the Board of Airport Commissioners' approval unless vetoed by the Council within 21 calendar days of its consideration of the item. 10 DISCUSSION: 1. Executive Summary Los Angeles World Airports (LAWA) management and the City Attorney's Office (City Attorney) seek approval from the Board of Airport Commissioners (BOAC) to amend Contract DA~4497 (Contract) to extend the contract for an additional one year to July 13, 2013 and requesting the BOAC to authorize the Executive Director to execute the same with the law firm. The law firm will assist the City Attorney and LAWA with advisory and litigation counsel service's in connection with federal regulatory laws and related matters. 2. Prior Related Actions From March 7, 2007 through March 6, 2010, under contract DA-4153 (BOAC Resolution No ), Anderson Kreiger LLP assisted the City Attorney and LAWA with legal services. On July 14, 2010, the BOAC awarded a one-year contract with an option for an additional year, under contract DA-4497 (BOAC Resolution No ) with Anderson Kreiger to assist the City Attorney and LAWA with legal services. On December 6, 2010, the BOAC authorized its Executive Director and the City Attorney to approve a First Amendment to the Contract (Resolution No ) for an increase in the maximum amount of the Contract to a not to exceed amount of $1,000,000 and to extend the Contract for one year. 3. Current Action LAWA management and the City Attorney seek the BOAC's approval of the Second Amendment to Contract No and to extend the Contract term for one additional year to July 13, Anderson &.Kreiger, LLP provides specialized legal assistance to the City Attorney and LAWA on various federal regulatory matters including, but not limited to, the following: (1) FAA compliance issues, (2) lease and tariff with aeronautical issues from a federal regulatory perspective, (3) onairport and off-airport rates and charges, (4) federal aeronautical noise issues, (5) complex Part 13, Part 16 and 161 federal administrative proceedings before the U.S. Department of Transportation, (6) federal antitrust and grant assurance issues, and (7) airport revenue use and diversion matters. The law firm's assistance with these and other related matters is vital to LAWA's major initiatives and operations. Ongoing and anticipatedjuture federal regulatory matters require the law firm's continued assistance. Based on anticipated levels of work, the requested appropriation for increased funding for fees and costs and for a one-year extension are warranted. LAWA management and the City Attorney will return to the Board when appropriate and if necessary for any additional appropriation. The law firms hourly rates are as follows: senior partner- $395; partner- $375; associate counsel - $250; associate- $250; paral~ga! - $125. ln addition, the law firm will be reimbursed for travel and subsistence expenses, to the extent that such expenses are not greater than would be permitted to a City employee pursuant to the City Administrative Code and City LAWA's Travel Policies, as well as reasonable out-of-pocket expenses. 2

11 The_ City Attorney will work closely with the law firm to identify the scope and nature of the work required while providing as much in-house services as possible to minimize the law firm's overall fees and costs for that work. The law firm will also be required to provide training to the City Attorney's Office, so that in the future much of this work may be performed by skilled in-house counsel. It is the request and recommendation of LAWA management that this contract be amended. Currently there is $900,483 remaining of the not-to-exceed contract amount of $1,000,000 for this Contract. Both LAWA and the City Attorney respectfully request BOAC to authorize the Executive Director to execute the Second Amendment to the Contract and extend the Contract term for one additional year to July 13, Alternatives Considered Because of the high volume of legal work related to federal regulatory and related matters, LAWA and the City Attorney require the temporary and occasional assistance of outside counsel for these specialized services. There is insufficient in-house City Attorney staff with the level of legal expertise to address all the legal work related to federal regulatory matters at LAWA, much of it of priority nature, which needs to be accomplished in an expedited manner. Furthermore, Anderson & Kreiger, LLP brings particular federal regulatory expertise and experience, especially in connection with complex federal administrative and judicial proceedings related to Aviation Law. The hiring of additional in-house attorneys for this work is impractical because it would not meet the immediate needs for counsel with extensive in-depth, sophisticated experience in a wide range of specialized airport federal regulatory matters. It is in the best interests of LAWA to amend this contract and utilize the services of this law firm. FISCAL & ECONOMIC IMPACT STATEMENT: Funds for the Agreements are currently available in the Fiscal Year Los Angeles World Airports Operating Budget in LAX Cost center Legal Services Division, Commitment Item 520 ~ Contractual Services. Funding for subsequent periods will be requested as part of the annual budget process. 3

12 STANDARD PROVISIONS: 1. This action, as a continuing administrative activity, is exempt from the requirements of the California Environmental Quality Act (CEQA) as provided by Article 11, Section 2.f of the Los Angeles CEQA Guidelines. 2. This contract will be reviewed and approved by the City Attorney as to form. 3. This contract shall become final pursuant to the provisions of Los Angeles City Charter Sections Anderson & Kreiger, LLP is required by contract to comply with the provisions of the Living Wage Ordinance. 5. Procurement Services revised this action (File No. 5576). No specific Minority/Women Business enterprise levels of participation were set for this project, as no subcontracting opportunities were identified. 6. Anderson & Kreiger, LLP is required by contract to comply with the provisions of the Affirmative Action Program. 7. Anderson & Kreiger, LLP has been assigned Business Tax Registration Certificate No Anderson & Kreiger, LLP is required by contract to comply with the provisions of the Child Support Obligations Ordinance. 9. 13 SECOND AMENDMENT TO PROFESSIONAL SERVICES CONTRACT NUMBER DA-4497 BETWEEN THE CITY OF LOS ANGELES AND ANDERSON & KREIGER, LlP THIS SECOND AMENDMENT to Contract Number DA-4497 is made and entered into by and between the City of Los Angeles, a municipal corporation (hereinafter referred to as the "City"), acting through the Office of the City Attorney (hereinafter referred to as "City Attorney") and its Board of Airport Commissioners (hereinafter "Board") and ANDERSON & KREIGER, LLP (hereinafter referred to as "Outside Counsel"). WITNESSETH WHEREAS, the City and the Outside Counsel entered into a contract wherein Outside Counsel agreed to assist the City Attorney with legal representation in the matter of federal regulatory and litigation matters and other related legal services, said Contract effective July 14, 2010, which hereinafter shall be referred to as the Contract; and WHEREAS, the Contract provides for amendments; and WHEREAS, the City and Outside Counsel are desirous of amending the Contract for the purpose of extending the Contract for an additional year and revising Exhibit A, Standard Provisions for City Contractor and Exhibit B, "Hourly Rates for ANDERSON & KREIGER, LLP"; and WHEREAS, the amendment is necessary and proper to continue or complete certain activities authorized under the Contract; NOW~ THEREFORE, the City and Outside Counsel agree that the Contract be amended as follows: AMENDMENT 1. Section II, paragraph A, Period of Performance, is amended to extend the contract by an additional year as follows: This Agreement shall begin on July 14, 2010 and shall continue until July 13, 2013, unless terminated earlier under the provisions of this Agreement. 20 Exhibit A, Standard Provisions fo1_city Contractor, Is amended to add the following as Sections PSC-30 and PSC~31: 1 Anderson Kreiger DA-4497 A02

14 "PSC-30. Municipal Lobbying Ordinance. Outside Counsel shall comply with the provisions of the City of Los Angeles Municipal Lobbying Ordinance." "PSC ( c)( 12}. Compliance with Los Angeles City Charter Section Outside Counsel, its Subcontractors, and their Principals are obligated to fully comply with City of Los Angeles Charter Section 470(c)(12) and related ordinances, regarding limitations on campaign contributions and fund raising for certain elected City officials or candidates for elected City office if the contract is valued at One Hundred Thousand Dollars ($100,000) or more and requires approval of a City elected official. Additionally, Contractor is required to provide and update certain information to the City as specified by law. Any Contractor subject to Charter Section 470(c)(12), shall include the following notice in any contract with a subcontractor expected to receive at least One Hundred Thousand Dollars ($100,000) for performance under this contract: "Notice Regarding Los Angeles Campaign Contribution and Fundraising Restrictions. As provided in Charter Section 470(c)(12) and related ordinances, you are subcontractor on City of Los Angeles contract # Pursuant to City Charter Section 470(c)(12), subcontractor and its principals are prohibited from making campaign contributions and fundraising for certain elected City officials or candidates for elected City office for 12 months after the City contract is signed. Subcontractor is required to provide to Contractor names and addresses of the subcontractor's principals and contact information and shall update that information if it changes during the 12 month time period. Subcontractor's information included must be provided to Contractor within 5 business days. Failure to comply may result in termination of contract or any other available legal remedy, including fines. Information about the restrictions may be found at the City Ethics Commission's website at or by calling 213/ " Outside Counsel, its Subcontractors, and their Principals shall comply with these requirements and limitations. Violation of this provision shall entitle the City to terminate this Agreement and pursue any and all legal remedies that may be available." 2 Anderson Kreiger DA-4497 A02
