1 Ogle County Civic Center Authority Meeting Minutes from August 11 th, 2016 Call to Order President John Schindewolf called the meeting to order at 7:00pm Roll Call Present were Naomi Baldwin, Dawn Smith, Doug Kroupa, Mary-Ellen Gomez, Rick Painter, and Robin Baldwin- Gounaris. Absent was Nitesh Singh. Special welcome to the Board s newest member, Amie McDermott. Also present was Mayor Chet Olson and guest Glenn Baldwin. Minutes Minutes from the July 2016 meeting was reviewed and motioned for approval by Doug, 2 nd by Rick. Approved by all in vote. John advised that Ogle County Board Chairman Kim Gouker inquired if the OCCCA board would accept a change to a seven member board, versus the current nine as set in the by-laws. We currently have two open positions, that Ogle County is finding difficult to fill. John called for a vote to approve the change, and all accepted by unanimous vote. John will so advise Kim Gouker. Treasurers Report Doug presented the Treasurer s report: Current checking account balance is $32, All checks have cleared. High balance is due to deposit of Inter-Governmental agreement by the City of Rochelle for $30,000, which OCCCA will pay to RMU on behalf of Abrahams. Doug motioned for approval, 2 nd by Dawn, to pay the $30,000 to RMU. Approved by unanimous vote. Outstanding bills = $4, to Anderson, $3, Query ins. quarterly payment due in Aug. Doug motioned, 2 nd by Mary-Ellen, to make a $ payment to Anderson Plumbing. Approved by unanimous vote. Abe s 9+ months in arrears. Robin continuing to make small installment payments as possible with special events. Doug advised by board to adjust back rent total due by approved capital offsets from the June meeting. Swim & Fitness 3 months in arrears. No new capital expenditures have been submitted. Doug advised to adjust Capital Offset balance by $ from last payment.

2 Amie motioned to approve report, 2 nd by Rick. Approved by unanimous vote. Lease Sub-Committee Rick Painter advised results of meeting to finalize the recommendation to the board on contract wording and adjustments. Sub-Committee recommended to Board to relieve Abrahams of 3 months of 2014 missed lease payments. Approved by board by unanimous vote. Sub-committee recommended to freeze Abrahams current monthly lease payment of $ through the end of this option period (Option Period #2 through March 2019). Approved by board by unanimous vote. Doug will draft an amendment, for review and approval, to be added to the lease. Sub-Committee advised that current lease does, in fact, spell out that Abrahams is responsible for capital improvements and repairs. However, the Board had previously voted to approve certain capital offsets incurred by Abrahams and submitted to the board for review. Each item must be reviewed and approved by the board for such offsets. Board approved by unanimous vote to take over responsibility for Fire panel, with Robin staying as immediate contact for alarms. This will get added to the lease amendment. Landscape Committee Naomi updated the workings of the Landscape Committee. Continuing to use the mulch pile on the northwest corner of the parking lot, and clean up that area. Mulch has been spread out onto the gravel area, opening up the last two parking areas. Naomi and a volunteer crew did a great job cleaning the grounds, and preparing the facility for a visit by Senator Dick Durbin. Naomi advised Kishwaukee College will be staring up soon for school year. She is awaiting contact back from them on school projects to work on the HGCC building. Still no word from Road Ranger on tree blocking the marque. Mayor Olson will look into possibility that the tree is on state property (Il-251 right-of-way). It was discussed that the Dolphin Swim Class advertising car is using a valuable parking space. Sheri form Swim & Fitness has not been able to have car moved. John will follow-up and see if he can get the car moved to the north-west or south-west corner of the parking lot. East island still open for clean-up and use ideas. Parking curbs between west parking lot and Road Ranger still need Gorilla Glued in place. Broken Main Lobby Entrance window: Case still in court for perpetrator to pay for. Naomi voted in as President of the Downtown Rochelle Association. She will arrange for OCCCA to join.

3 Old Business John advised that OCCCA, tenants, the City of Rochelle, and the Ogle County Board are meeting on a monthly basis to investigate the current status and review the future of the Hickory Grove building. All are in agreement that the OCCCA board is a governmental body, and such, the building is government owned. This will allow inter-governmental agreements to be entered into between OCCCA and the City and County. To begin the process, we must start by compiling a list of board projects to be addressed. Main focus will start with curb appeal projects. All previous projects listed as On Hold will be captured on this list, added to this report as an addendum. It was also discussed that the building be renamed to the Ogle County Civic Center, to reflect the true nature of the facility, and to help make the public aware of its status. Replacement LED bulbs for the Paddock room This has been added to the project list, however, Doug advised that bulbs are now available that are compatible with the current dimming system. They currently run $18.99 a pair, and Doug will pick up one to two pairs per month. We are a tax exempt government entity. Doug still looking into a 501(c)(3) application. By way of the DRA, Naomi and Dawn advise that Mr. Bob Johnson CPA, is working on the application for DRA. They feel he can coordinate this work with OCCCA also, and this will save funds on the application process. They will advise as they learn more. Robin still to have her maintenance man to look into power flushing the overhead patio drains. Naomi continuing to work on organizing a building fundraiser. Work with Michelle Pease to schedule a date that will fit with city happenings. Possibly April Naomi is inquiring on a Big Band for an old fashioned dance. Michelle Pease is looking into coordinating bus tours to the event. Main goal is to raise money for needed building maintenance, and to get the community knowledgeable about Hickory Grove being their civic center. Doug advised VCCT still awaiting AIP painters to paint stage area. Still need to have door closers switched in main entrance to Paddock. Board discussed and decided we are not in a good position to offer a sponsorship of the Creston Booster Days event. Abrahams Robin advised she was allowed to go through the old Sunset Package Liquor Store & Bar and acquire any usable equipment prior to its demolition. She did find approximately 150 new ceiling tiles in storage that can be used in Hickory Grove. Robin had previously requested a new lease agreement be negotiated. She feels she is having to take care of too much of the building maintenance issues for the amount of business she does each month. The Board agreed we will consider a new lease, and she was advised to put together a proposal. Her father, Glenn Baldwin, gave a presentation of the current Profit & Loss for Abrahams and Hickory Grove Banquet Center, along with their prosed required changes to their areas of responsibility and lease amount in order for the business to stay solvent. The board will take this presentation into consideration, with the caveat that any of the proposed

4 changes will be contingent on OCCCA s ability to secure the previously discussed inter-governmental agreements/assistance from the city and the county. Swim & Fitness Nitesh not present. Doug to Nitesh concerning remaining overdue rent. New Business Robin advised there is a sink hole that has formed in the main parking lot. Mayor Olson advised he had the street department investigate this hole, and found it is due to underground wiring work being performed by the city. The city will take care of the situation. John motioned to adjourn and it was 2 nd by Doug. Approved by unanimous vote. Meeting adjourned at 9:13pm. We will be successful in this goal by planning, providing, and maintaining the facility in a safe, reliable, and efficient manner. We will strive to generate, develop, and support enhanced economic opportunities to preserve and improve the physical, social and economic health of the Hickory Grove Civic Center for the benefit of the local community and all future visitors.
