3 TERMS & CONDITIONS: 1) SCOPE OF WORK: The Scope of Work shall be Disposal of Scrap generated from the company s plants situated at Atladra-Vadodara and Ekalbara Dist.Vadodara in Gujarat, Silvassa (D&NH) and Unifab Engineers, GIDC, Makarpura, Vadodara as per Annexure(s) appended hereto in accordance with all other Terms and Conditions given below as per the schedule given by TSIPL. 2) Rates should be quoted for scope of work in the Annexure(s) itself. The rates shall be fixed during the contract period irrespective of market trends & shall be binding on both the parties till the expiry of the contract. The rates quoted should be inclusive of GST F.O.R our site. 3) CONTRACT PERIOD: The contract shall commence for the period from to However, at the desecration of the Company it can be extended this one up to 1 month or till the new contract is awarded as it may be deemed fit and necessary on the same terms & conditions. 4) Weighment at our end shall be final and binding on the Contractor. 5) NO QUANTUM GUARANTEE: TSIPL gives no guarantee for the quantum of work and reserves the right in its sole and absolute discretion notwithstanding anything to the contrary contained herein to alter, increase or decrease or stop the work as per operational needs and circumstances 6) Payment shall be 100% in advance. 7) SECURITY DEPOSIT: As security for the due, proper and faithful fulfillment of the contract and compliance with the provisions of this contract, the vendor will furnish Security Deposit of: 1) Rs /- (Rs. Two lacs) for Atladra site 2) Rs /- (Rs. Two lacs) for Ekalbara site 3) Rs / - ( Rs. Fifty thousand ) for Silvassa site 4) Rs / - (Rs. One lac fifty thousand) for Unifab Engineers, GIDC, unit. to TSIPL in form of Demand Draft / RTGS/ NEFT. TSIPL shall not be liable for payment of any interest on the security deposit or any depreciation thereof. 8) The contractor shall have all necessary permits and licenses from the concerned statutory authorities to carry out the above job. 8 a) Contractor should have valid consent of GPCB to ensure compliance of GPCB rules i.e The Plastic waste management Rule ) Labourers required to carry out the job is in Contractor s scope. All statutory requirements with respect to the labourers to be fulfilled & the same shall be of contractor s scope. It is the responsibility of contractor to ensure provision & usage of PPEs by labourers carrying out disposal of scrap. 3

4 10). Truck/Tanker driver must be educated enough to handle the crisis situations as and when they arise. Driver must very well know what product he is handling and what precautions he must take 11) RISK & COST: In the event of failure on the part of Contractor to undertake the work as per scope at any given time as per the plan given by the Officer In-charge of TSIPL Receiving unit, TSIPL reserve the right to engage alternate source / agency at the entire risk and cost of the transporter. TSIPL shall, at its option, get the work executed elsewhere at the risk and cost of the transporter irrespective of the fact whether the scope of work is identical to the scope of contract or not and in case TSIPL chooses this course, it will be entitled to recover compensation / damage from the transporter. 12) ACCIDENT AND INCIDENT : In case of any accident and/ or incident resulting in the loss of the material/ property of TSIPL due to the act(s) of the contractor, entire cost of loss/ damage will be recovered from the contractor either from the bills or from the security deposit or otherwise. Recoveries will be made on the basis of prevailing rate of the material, plus Excise duty, Sale Tax etc. 13) TERMINATION: TSIPL shall be at liberty to terminate this agreement forthwith without any notice to the vendor or payment of compensation in lieu thereof, if any Statute or order or Rule or Regulations, award, or judgment materially affects this agreement. Without prejudice to what is mentioned in indemnity clause hereinafter, TSIPL shall, at its sole and absolute discretion, be entitled to terminate this agreement forthwith by written notice and without payment of any compensation, if: a) In TSIPL s Opinion the service provider failed or refused to implement this agreement to company s satisfaction. The vendor shall not challenge the decision of the company. b) The service provider commits breach of any of the terms and conditions of this agreement. c) The service provider is adjudged an insolvent d) For any reason whatsoever the service provider becomes disentitled in law to perform its obligation under this agreement. e) There is any variation in service provider s constitution or its business without the prior approval in writing by TSIPL to such variation. 14) GOVERNING LAW & JURISDICTION: The contract shall in all respects be deemed and construed in conformity with the Indian laws and shall be subject to the exclusive jurisdiction of the Courts at Vadodara alone in the State of Gujarat. TSIPL shall not accept any conditional offer. The conditional offer deviated to our terms and conditions shall be rejected Vehicle placed for lifting of scrap should be provided as per rules and permitted capacity by the Loading units of the TSIPL. Vendor shall ensure total compliance of Indian Motor Vehicle Act and its subsequent amendments issued by Govt. from time to time for the vehicles placed for lifting of Scrap. 4

5 Trucks provided for transportation must adhere to all Statutory and Safety rules applicable as per Central motor vehicles rule 1989 and amendment if any All trucks/tanker must carry PPEs, PUC and Explosive license for carrying Hazardous chemicals (spark arrestor) Company reserves the right to accept / reject Bids without assigning any reasons thereof.
