GENERAL TERMS AND CONDI TIONS : ENCLOSED OF THE CONTRACT PROCEDURE FOR SUBMITTING TENDERS: - Tenderers should quote as per Schedule of Rates for the jobs under scope of work. All tenders should be submitted in sealed envelope, duly super scribed as RUBBER LINING OF PIPES AND VALVE IN BFW, HCN & ETP SECTION The envelope should contain three separate sealed envelopes therein as follows: I One sealed envelope will contain Earnest Money & Tender Fee of Rs 10150/-in the form of DD/BANKER CHEQUES issued by any scheduled Bank favouring National Fertilizers Ltd,

2 II III. only payable at Naya Nangal/Nangal. This envelope should be inscribed Earnest Money & Tender Fee. NFL will not adjust the earnest money/security deposit of other tender/contract of the tenderer /contractor against this contract. Cheque shall not be accepted in any case. Second envelope should be inscribed TECHNICAL AND COMMERCIAL BID Containing the following documents: a) Signed copies of complete tender documents, but excluding Performa for price bid. Each page of copy of these documents should be signed by tenderer in token of acceptance of our terms and conditions. b) Fully completed copy of Undertaking at Annexure-A c) Fully completed copy of Undertaking at Annexure-C d) If the party is registered as Micro/Small/Medium Enterprises as per MSMED Act, 2006 the same may be confirmed by the party and submit a photocopy (Self certified) of the registration certificate in support thereof. Otherwise it will be construed that the party is not registered as per MSMED Act Third sealed envelope inscribed, PRICE BID- DO NOT OPEN IN RED. This envelope should contain the price bid as per Annexure B therein duly completed and signed by the tenderer. 1. The price bid should be submitted, clearly inscribing the name of the tenderer. 2. The tenderer shall quote for the total quantity. 3. THE PRICE BID SHOULD NOT CONTAIN ANY COMMERCIAL AND TECHNICAL CONDITIONS/TERMS. SUCH TERMS AND CONDITIONS, IF ANY, SHOULD BE MENTIONED IN TECHNICAL AND COMMERCIAL BID ONLY. CONDITIONAL PRICE BIDS ARE LIABLE TO OUTRIGHT REJECTION. 4. Price bid may or not be opened on the date of tender opening. However, if the price bid is not opened on the same date, price bid opening date shall be suitably communicated to all the bidders. Incomplete Tenders or Tender without earnest money and tender received after the closing date is liable to be out rightly rejected. 3 1. SCOPE OF WORK a) Ebonite Rubber lining to be carried out as per IS-4862 Part-I. b) Ebonite hard Rubber lining should be suitable for 33% Hydrochloric acid/dilute sulphuric acid service. c) Pipe will be in different lengths and maximum length of individual piece will not be more than 4 meters. Some quantity may be in the form of bend /Tee. d) Thickness of ebonite rubber lining should be 3mm for 25NB & 40 NB pipes, 5mm for other pipes & vessels. For drum rubber sheet, thickness should be 12mm. e) Pipe is to be rubber lined in bore and flange faces only. f) The metal surface should be sand blasted and thoroughly cleaned prior to providing rubber lining. Removal of old rubber where ever applicable in the scope of the party. g) Lining should be duly cured to attain shore hardness as specified & the party to furnish the certificate. h) Vessel s rubber lining, when required will be done at NFL site. For which free air, steam (Utility) and Crane will be provided by NFL, as per genuine requirement to do this job. All other requirement e.g. scaffolding material etc. will be arranged by the contractor. i) The party at its own expenses will collect the material for rubber lining from NFL site/store within 72 hours. of intimation. In case of emergent requirement, the job will be completed and delivered within 72 hours. In case of extreme emergency the material will be delivered by NFL at party s works and shall be supplied by the contractor within 48 hours. j) For repair jobs PATCH REPAIR WORK OF TANK/VESSELS (JOB NO 27,28) the party s staff should reach the site for taking up the job at a notice of 24 hours. Falling which the repair can be done at cost and expenses of the party. k) Party has to furnish following certificate alongwith the supply: a. That they have cured and spark tested the rubber lining. b. Guarantee certificate for 12 months against bad workmanship /material and the party will repair the same free of costs in case rubber lining fails during this period. l) Validity of the purchase order for sending the material to the party for a.rubber lining shall be minimum 2 years from the date of placement of b.order. Material will be sent in lots as and when required ready with us. c.party must complete the job of individual lot within 7days. Party to follow d.time schedule provided by NFL s Engr. Depending up on size and work e.involved. m) Contract will start from n) The party shall deliver the material after lining in NFL stores. o) In case of complete rubber lining of vessel NFL may send the complete vessel to party works on freight paid basis, but the sole decision remains with the NFL s Engineer-incharge. 2. Execution of Work order against instant case shall start from and the work order shall remain valid till c. The tenderer shall quote the price strictly as per Performa enclosed as annexure-b for schedule of prices. Parties should quote one rate for specific quantity quoted by them. Tenders with quotation of different rates for different quantities shall be rejected without any further reference. d. Bidders may ensure that tender documents/offer has been signed by appropriate/authorized representative of the company. Withdrawal of offer/ non-acceptance of orders placed, based on offers submitted by bidders on their letter head, will not be allowed on the ground that offer was not signed by the authorized person. e. You must confirm that whether you are registered as Micro/Small/Medium Enterprises under MSMED Act-2006 promulgated by Govt. Of India vide

5 notification dtd If so, pl. indicate the relevant category in your offer & furnish copy of the Regn. Certificate: I. Micro: - Investment in plant & machinery- upto 25 lacs Or II. Small: - Investment in plant & machinery - above 25 lacs & less than 5 crores. Or III. Medium: - Investment in plant & machinery-above 5 crores & less than 10 crores. E. The material shall be sent to the works of the successful tenderer in lots as and when required for rubber lining of pipes & valves, during the validity of the Work Order F. The successful tenderer shall furnish indemnity bond for a value of Rs. 50,000/- (Rupees five thousand only) against the material to be sent to the works. G. The delivery period shall be maximum 7 days for one lot after the receipt of pipes & valves at your works. H. The successful tenderer to furnish material test certificate for rubber used (polymer identification) from Govt. approved test house. I. The successful tenderer to furnish certificate for hardness of Rubber lined surface. J. The successful tenderer to furnish guarantee against defective workmanship / material for peeling off of the Rubberlinning for a period of 12 months from the date of commissioning or 18 months from the date of despatch, whichever is earlier K. Tenderer must quote the rates on for Nangal basis and material is to be despatched on freight paid basis, to Nangal through following Transporters (i) TCI (ii) ETO (iii) Kamal Goods Carriers (iv) Bharat Motor Transport Company (v) Northern Carriers (vi) Chadha Golden Transport Co. (vii) Amritsar Transport Company. L. In case CST/Vat chargeable extra, the rate of sales tax applicable must be clearly mentioned in the quotation. Tenderers must also mention their CST/Vat Regn. No. In the quotations. M. Excise duty/other levies should be indicated separately. The same shall be paid against submission of documentary evidence. N. Party shall have option to receive payment through Electronic Fund Transfer (EFT), in case, you have your bank account with State Bank of India (SBI), and your branch accepts payment through EFT. If so, you may submit your bank particulars i.e. Bank A/c no., name & place of branch, branch code, to enable us to release your payment through EFT. O. In case of delay in supplies, liquidated 0.5% per week or part thereof of the value of stores not delivered, subject to maximum 5% of the order value shall be recovered. However, we reserve our right to cancel the order and/ or purchase the material in open market on your account and at your risk in case of delay in supplies. P. Please confirm whether any ex-employee (s) of NFL is/are employed with you, if so the Name, designation, Department and employee number of such employee (s) be indicated.

6 Q. Please confirm whether any of your relative (s) is/are working in NFL, if so, the Name, designation, Department & employee number of such employee (s) be indicated. R. You must confirm each clause of our this NIT specifically. In case, you do not comment on any of the clause, we shall presume that the same has been accepted by you unconditionally. Deviation, if any, must be mentioned explicitly. However, in case of any deviation from our above said terms & conditions, we reserve our right either to ignore your offer or load the same suitably at our sole discretion. S. In case a tenderer is not interested to quote, a regret letter giving reasons for the same must be sent to us. T. In all cases of disputes, the decision of this Company shall be final, failing this, the matter will be referred to the arbitration in accordance with the Indian Arbitration Act and amendments thereof. 4. ARBITRATION: The contract shall be governed by and Construed in accordance with the laws of India. A) Contracts having contract value up to Rs 5.00 Lacs. Except where otherwise provided in the contract all matters, questions, disputes or differences whatsoever which shall be arise between the parties hereto, touching the construction, meaning, operation or effect of the contract, out of the matters relating to the contract or breach thereof, or the respective rights or liabilities of the parties, whether during or after completion of the works or whether before or after termination, shall after written notice by either party to the contract be referred to Unit Head,NFL Nangal Unit or his nominee whose decision shall be final and binding upon both the parties. The contractor hereby agrees that he shall have no objection if the Arbitrator so appointed is an employee of NFL and he had to deal with the matter to which the contract relates and that in the course of his duties as such he has expressed his views on all or any of the matter in dispute of differences. If the arbitrator to whom matter is referred, vacate his office by any reason whatsoever then the next arbitrator so appointed shall start the proceedings from where his predecessor left It is agreed by and between the parties that in case a reference is made to the arbitrator or the arbitral tribunal for the purpose of resolving the disputes /differences arising out of the contract by and between the parties hereto, the arbitrator or the arbitral tribunal shall not award interest on the award amount more than the rate of SBI PLR or actual interest rate paid by the owner (NFL) whichever is lower, prevailing on the date of award of contract. Civil courts jurisdiction is excluded in respect of above and for any cause of action in respect of arbitration shall be subject to the principle civil court of original jurisdiction at Rupnagar only Distt. Roopnagar (Pb). Subject to as aforesaid the arbitration proceedings shall be governed by the arbitration & conciliation Act,1996 or any statutory modification or reenactment thereof and the rule s made there under.

7 B) Contract having contract value more than Rs 5.00 Lacs. The contract shall be governed by and construed in accordance with the laws of India. Except where otherwise provided in the contract all matters, questions, disputes or differences whatsoever which shall at any time arise between the parties hereto, touching the construction, meaning, operation or effect of the contract, or out of the matters relating to the contract or breach thereof, or the respective rights or liabilities of the parties, whether during or after completion of the works or whether before or after termination, shall be settled by arbitration in accordance with the rules of conciliation and Arbitration of the SCOPE and the award made in pursuance thereof shall be final and binding on both the parties. It is agreed by and between the parties that in case a reference is made to the arbitrator or the arbitral tribunal for the purpose of resolving the disputes/differences arising out of the contract by and between the parties hereto,the arbitrator or the arbitral tribunal shall not award interest on the awarded amount more than the rate of SBI PLR or actual interest rate paid by the owner(nfl) whichever is lower,prevailing on the date of award of contract. Civil courts jurisdiction is excluded in respect of above and for any cause of action in respect of arbitration shall be subject to the principle civil court of the original jurisdiction at Rupnagar only, Distt Rupnagar (PB.) Subject as aforesaid the provision of India s arbitration and conciliation act 1996 and the rules made there under or statutory modification or reenactment thereof from time to time shall apply to the arbitration proceedings under the clause. 5. PAYMENT TERMS: i) 90% payment shall be released within 30 days of the acceptance of material at site. ii) 10% shall be deducted towards security deposit and will be released after 12 months from the date of commissioning or 18 months from the date of dispatch whichever is earlier, as per guarantee clause. 6. In case Service Tax is chargeable extra, the same may be indicated clearly in the quotation (i.e. rate of service tax and amount on which it will be applicable) Tenderer must also mention their service tax registration number in the quotation.
