1 TERMS AND CONDITIONS 1. The tender documents with tender form along with complete details can be downloaded from website The same are also available at our Area Office located at First Floor, Vikas Tower, Navlakha, Indore(MP).The tenders duly signed and sealed along with demand draft (in favour of National Fertilizers Limited,payable at Bhopal) should be submitted up to PM on dt at National Fertilizers Limited, Area Office, Indore at First Floor, Vikas Tower, Navlakha, Indore(MP). The tenders so received shall be opened by the committee on the same day i.e. on dt at PM in presence of tenderers /their representatives who wish to be present at NFL, AO, Indore. Tenders must be accompanied with EMD of Rs 2% of bid value. 2. The tenders should be submitted only after agreeing with all terms and conditions. For acceptance of terms and conditions, tenderer is required to sign on all pages. They should submit tender in two envelopes i.e. (1) in the first envelope, Technical Bid accompanying with Demand Draft (EMD), duly accepted and signed copy of terms and conditions, Xerox Copies of PAN card, Trade License, GST Registration etc (2)in second envelope Financial Bid i.e. Rate for purchase of Soyabean Seed as grain. These two separate envelopes should be put in one big envelope and be put in tender box. 3. The stock is available for sale on As is where is Basis. The stock is available for inspection by the interested parties between AM to 4.00 PM on any working days. They may contact Area Manager, NFL, Indore in this regard. The tenderer must check thoroughly the quality of the stock before submission of the tender. NFL does not take any guarantee /warrantee /effectiveness of stock offered for sale and no claim on this account shall be entertained by NFL. 4. All seed are available As is where is Basis. The arrangements for lifting of seed will be made by the tenderer at his own cost. The cost of removing bags, tags, labels, seals & defacing of bags will be borne by tenderer. The above job should be done in coordination of Area Manager Concerned. The bags/containers will not be provided by NFL. Packing, Lifting, weighment & transportation expenses will be borne by purchaser. 5. Successful Bidder shall deposit 100% of the Order value within 7 days of the receipt of the order by RTGS in NFL s Account. 6. Lifting of seed shall be made from above stocking points after making 100% payment. Labour charges, if any on this account shall be borne by the purchaser. 7. Tender must be accompanied with EMD of 2% of bid value in the form of DD in favour of National Fertilizers Limited, payable at Bhopal or through transfer to NFL SBI Account No IFSC Code SBIN Branch Mahavir Nagar,Bhopal. Tender without EMD shall be rejected. No interest shall be paid on EMD. 8. In the case of successful Tenderer not deposit 100% value of the stocks within 7 days, EMD shall be forfeited and NFL shall have the right to sell the stock at the risk and cost of the purchaser.

2 9. If the party does not lift the stock within stipulated time of 15 days from the award of contract/order, the order shall be treated as cancelled unless extension of time is granted by NFL. However, in case of some unforeseen circumstances party is unable to lift the material within 15 days, the party should contact concerned Area Manager for extension of the time limit. In this case final discretion to extend the period shall lie with NFL. The godown rent on un lifted quantity will be Rs 06/Quintal/Week or part thereof after lapse of 15 days time period allowed for lifting of material. 10. Taxes as applicable shall be borne by the Tenderer. 11. Conditional / Fax Tenders/Tenders without EMD shall not be accepted. 12. Arbitration Clause: Except where otherwise provided in the contract all matters,questions,disputes or differences whatsoever, which shall at any time arise between the parties hereto touching the construction,meaning,operation or effect of the contract, or out of the matters relating to the contract or breach thereof, or the respective rights or liabilities of the parties, whether during or after completion of works or whether before or after termination shall after return notice by either party to the contract be referred to Functional Director, National Fertilizers Limited for appointment of Arbitrator. The arbitration proceedings shall be governed by the arbitration & conciliation Act, 1996, The Arbitration & Conciliation(Amendment Act,2015) or any further statutory modification or reenactment thereof and the rules made thereunder. If the arbitrator to whom matter is referred, vacates his/her office by any reason whatsoever then the next Arbitrator so appointed by the authority referred above may start the proceedings from where his predecessor left or at any such stage he may deem fit. It is agreed by and between the parties that in case a reference is made to the Arbitrator or the Arbitral Tribunal for the purpose of dissolving the disputes /differences arising out of the contract by & between the parties hereto, The Arbitrator or The Arbitral Tribunal shall not award interest on the awarded amount more than the rate SBI PLR /Base Rate applicable to NFL on the date of award of contract. 13. NFL is not bound to accept the highest quotation. Any or all the quotations may be rejected without assigning any reason therefor. The NFL reserves the right to accept in whole or part of the offers made. The decision of the NFL in this matter shall be final and binding. 14. Tender shall be submitted in the prescribed Form. 15. Quantity of lot may decrease / increase at the time of supply & actual quantity available at the time of supply only will be delivered. 16 Area Manager reserves the right to accept or reject any or all the tender without assigning any reason whatsoever.
