1 Consttuton of the Broad MBA Assocaton (presented for ratfcaton to the General Membershp September 11, 2003; amended by the Executve Board on January 27, 2011) Artcle I. DECLARATIONS Secton 1.01 Secton 1.02 The name of ths organzaton shall be The Broad MBA Assocaton. Msson The MBAA s an organzaton of student professonals who: promotng a clmate conducve to promotng a learnng envronment; encouragng the fosterng of new relatonshps mprovng the qualty of lfe n the Broad communty cultvatng a sprt of cooperatve communty effort; and servng as a lason between the student body and admnstraton

2 Artcle II. MEMBERSHIP Secton 2.01 Secton 2.02 Secton 2.03 Secton 2.04 Secton 2.05 The Broad MBA Assocaton (hereafter referred to n ths document as MBAA) wll be open to any Broad MBA student. The MBAA wll not dscrmnate on the bass of race, creed, ethnc orgn, gender, age, poltcal persuason, sexual preference, dsablty, or martal status. Only Broad MBA students may be offcers and/or votng members. General Membershp s defned as actve student members. A person may become a member of the MBAA by payng dues. Dues are currently eghty dollars (US$80) for lfetme membershp, pad n full. The Executve Board shall revew ths amount on an annual bass; at the end of each school year, the Executve Board must notfy the MBAA General Membershp as to any changes of the dues. The event of changng of dues must be accepted by two-thrds of quorum. A person remans n good standng by adherng to the prncples outlned n ths Consttuton and havng no outstandng debts to the MBAA greater than sxty (60) days. A member may have hs or her membershp repealed or suspended by a smple majorty vote of the Executve Board. The Executve Board must show cause for any such acton. The followng wll be consdered cause: v v Usng MBAA funds for personal gan, or msappropratng MBAA funds. Usng MBAA representaton for personal gan, msrepresentaton of the MBAA, or unauthorzed representaton of the MBAA, ncludng msrepresentaton of self as a Commttee Charperson or Executve Board member. Gross neglgence resultng n damage to the MBAA. Removal from the Broad MBA Program. Any other cause seen as morally unft A moton to repeal or suspend membershp may be made by any MBAA member n good standng. Such moton must be accompaned by cause as defned n Secton 2.04 for potental repeal or suspenson.

EXECUTIVE BOARD Secton 3.01 The Executve Board of the MBAA shall consst of the followng offces: Presdent Treasurer Vce Presdent, Membershp v Vce Presdent, Corporate Relatons v Vce Presdent, Communty Events v Vce Presdent, Fundrasng v Vce Presdent, Internatonal Relatons Secton 3.02 v x x x Vce Presdent, 1 st year Relatons Audtor Secretary of Student Affars Cohort Representatves Dutes of the Executve Board Offcers The Executve Board wll revew all proposals and requests submtted to the MBAA, as well as all proposals and requests that are to be made by the MBAA. The Presdent wll: a. Convene and presde at all meetngs b. Meet regularly wth the organzaton s advsor/s, no less than monthly when classes are n sesson c. Approve the formaton or termnaton of any commttees d. Approve all expendtures (together wth the Treasurer) and revew the ledger as well as bank statements e. Wll be a co-sgner on any MBAA bank account f. Oversee relatons wth other student organzatons g. Assst the other offcers n the executon of ther dutes h. Wll break any Board vote tes wth a fnal decson vote. Perform or delegate any other tasks that arse and are not specfcally outlne n ths document j. Communcate wth members va e-mal or n-person n a tmely manner

4 v k. Convenes emergency meetngs for the board or members l. Oversee the former functons of the Student Councl Presdent m. Set up and take down one of the MBAA Talgates The Treasurer wll: a. Mantan all fnancal records of the MBAA b. Establsh and mantan a system of nternal control to be approved and followed by the Board c. Balance the MBAA account d. Budget MBAA expenses e. Delver fnancal statements at each and every MBAA board meetng, balanced and updated to the extent possble f. Prepare tax forms for the MBAA and safeguard the tax-exempt status of the MBAA g. Approve all expendtures (together wth the Presdent) h. Oversee any commttees formed under ths offce. Set up and take down one of the MBAA Talgates The Vce Presdent, Membershp wll: a. Oversee the Mentor Program b. Admnster new members ncludng record keepng of members and payment c. Admnster MBAA lockers ncludng record keepng of payments and locker numbers assgnments d. Assst wth other MBAA programs nvolvng members (.e. talgates, Talent Show, and happy hours) e. Provde recepts to members for member dues and lockers f. Oversee membershp functons, ncludng membershp drves and membershp trackng g. Admnster the procurement and sales of the MSU Football tckets h. Assst n the publc relatons for MBAA events. Responsble for the MBAA Socal Meda pages

5 v v v j. Track MBAA Alumn and keep track of them k. Collect contact nformaton from the graduatng second years for networkng purposes. l. Oversee any commttees formed under ths offce m. Set up and take down one of the MBAA Talgates The Vce Presdent, Corporate Relatons wll: a. Recrut sponsorshp and oversee corporate talgates b. Recrut sponsorshp, encourage partcpaton and oversee the corporate golf outng (together wth the VP, Fundrasng) c. Coordnate any corporate lectures/semnars d. Oversee any other programs drected to mprove career potental for MBAA members and Broad MBA students e. submt nvoces to recruters and Treasurer f. Oversee any commttees formed under ths offce g. Set up and take down one of the MBAA Talgates The Vce Presdent, Communty Events wll: a. Oversee MBAA responsbltes for the MBA Welcome pcnc and coordnate such actvtes wth the Broad MBA Program Offce b. Oversee tradtonal MBA events such as SpartyGras and the Food Fght c. Oversee all communty servce actvtes d. Responsble for the monthly MBAA Socal Outngs e. Assst wth other MBAA programs nvolvng members (.e. talgates, fundrasng events and happy hours) f. Oversee any commttees formed under ths offce g. Set up and take down one of the MBAA Talgates The Vce Presdent, Fundrasng wll: a. Oversee all MBAA merchandse sales b. Oversee the Charty Aucton c. Oversee any other fundrasng actvtes performed by or for the MBAA d. Provde recepts to members for fundrasng (ether Charty Aucton or other actvtes)

Improve the multcultural understandng and ntegraton among student body c. Brdge the socal gap between U.S. natonals and foregn natonals d. Address the needs of nternatonal students and ncrease ther nvolvement n varous MBAA actvtes e. Oversee any commttees formed under ths offce f. Set up and take down one of the MBAA Talgates The Vce Presdent, Frst Year Relatons wll: a. Be a frst year student b. Represent the nterests and concerns of all frst year students c. Improve relatons between frst and second year students d. Assst n the promoton of all MBAA-sponsored events e. Oversee any commttees formed under ths offce f. Set up and take down one of the MBAA Talgates The Audtor wll: a. Act ndependently of the board s operatons b. Oversee and audt the treasurer s books on a monthly bass c. Make recommendatons for mprovng fnancal systems

Set up and take down one of the MBAA Talgates The Secretary of Student Affars wll: a. Keep the Offcal Record (Mnutes) of Board Meetngs and General Membershp Meetngs b. Responsble for coordnatng the former Student Councl actvtes c. Attend the MPC Masters meetng d. Responsble for academc feedback wth the MBA Program Offce e. Mantan MBAA web page f. Oversee any commttees formed under ths offce g. Set up and take down one of the MBAA Talgates. The Cohort Representatves wll: a. Work wth the Secretary of Student Affars and Audtor b. Represent the nterests and concerns of all frst year students c. Improve relatons between frst and second year students d. Assst n the promoton of all MBAA-sponsored events e. Assst wth other MBAA programs nvolvng members (.e. talgates, fundrasng events and happy hours) f. Be responsble for the Communty Honors Dnner n Aprl of each year g. Set up and take down one of the MBAA Talgates

8 Secton 3.03 Removal of Sttng Offcers v v v Offcers may be removed only by smple majorty vote of the membershp, and only on the bass of cause outlned n Secton The moton to remove an offcer may be made by any MBAA member. Such moton must be accompaned by cause for removal. No moton to remove prevously defeated wthn the rules of ths artcle shall be allowed to proceed. A notce of the moton to remove and underlyng cause wll be gven to all members for ther revew. A meetng of the membershp shall be called to vote on the moton of removal at the earlest possble convenence, but no earler than fve (5) school days to provde ample tme for the membershp to consder the matter. A quorum must be establshed n order to vote on the moton. For purposes of ths Secton, a quorum s defned as one-half of the current members n good standng. a. The Vce Presdent, Membershp and Audtor wll conduct an attendance to ensure a quorum s establshed. If ether s the subject of the moton to remove, the Presdent shall stand n for that Offcer. b. If a quorum s not reached, a new vote wll be called by the Board, wth no less than twenty-four (24) hours notce to the membershp. If a quorum cannot be establshed after three calls for votng, the moton wll be consdered defeated. c. The Executve Board, at ts dscreton, may choose to delay any votng on motons to remove durng tmes when geographc dspersal of members makes achevng a quorum dffcult (e.g., wnter break, sprng break, summer months) A two-thrds majorty vote of the assembled quorum wll pass the moton. a. Three Offcers wll be chosen by the Presdent to count the votes and announce the results. If the Presdent s the subject of the moton to remove, the Treasurer shall choose the Offcers. No Offcer chosen may be the subject of the moton to remove.

9 Artcle IV. Executve Board Electon Procedures Secton 4.01 Secton 4.02 Secton 4.03 Secton 4.04 Secton 4.05 Only members n good standng may nomnate, be nomnated, and vote for Executve Board postons. Members must declare these nomnatons two (2) days pror to electons. The sttng Board shall set a deadlne for nomnatons and the date, tme and place to hold the electons. The sttng Board shall set the electons to take place no earler than two (2) school days after the nomnaton deadlne. The sttng Board shall announce the deadlne for nomnatons and the date, tme and place for the electons at the earlest possble convenence. Announcement of nomnatons to the General Membershp shall be made at the dscreton of the sttng Board. Offcers shall be elected by secret ballot and requre a smple majorty of members present for votng. Members arrvng late for the votng shall not be allowed to vote for offces already voted on. No absentee ballots wll be accepted. The sttng Board shall allow tme for nomnees to speak to the membershp pror to votng. The tme shall be restrcted to allow the tmely and effcent runnng of the electon. The sttng Board shall decde on how the votng wll take place, allowng ether one offce to be voted on at a tme or havng all offces voted on at once. A group of no less than three (3) offcers wll be apponted by the Presdent to count the votes and announce the wnners. If a sttng Offcer s seekng re-electon, that Offcer s barred from the appontment. There shall be two electons for Executve Board Offcers: Sprng Electons wll be held n January or February for the followng Offces:

Secretary of Student Affars. There are no restrctons on who may hold these offces other than those mposed by Secton 4.01 j. It wll be suggested to the membershp that the Audtor poston be flled by a CPA, former CPA, or other member wth a background n fnancal controls. Fall electons wll be held n late September or early October for the followng Offces a. Vce Presdent, Internatonal Relatons 1. In addton to the restrctons mposed by Secton 4.01, ths Offce must be held by an nternatonal student as defned by Secton 3.02, part x. 2. Ths offce s restrcted to a frst-year student. b. Vce Presdent, Frst Year Relatons 1. In addton to the restrctons mposed by Secton 4.01, ths Offce must be held by a frst year student. c. Cohort Representatve 1. In addton to the restrctons mposed by Secton 4.01, ths Offce must be held by a frst year student. 2. There shall be two Cohort Representatves for each Cohort. The newly elected Executve Board shall take offce no later than March 31 of each year. The sttng Board shall have the power to hold any specal electons needed to replace Offces vacated by suspenson, removal or resgnaton, followng the rules set forth n Artcle IV to the extent possble.

COMMITTEES Secton 5.01 Secton 5.02 Secton 5.03 Commttees may be formed by any Offcer for programs, events, or actvtes that they feel are necessary or benefcal to carryng out the responsbltes of the offce. Commttees may be dsbanded by the presdng Offcer at such tme as the Commttee has performed ts ntended functon, or when t s determned that the Commttee no longer provdes the benefts that t was ntended to when t was formed. The Presdent must approve formaton and/or dsbandng of any Commttee. Each Commttee shall have a Charperson. The Charperson must be an MBAA member n good standng. The Offcer overseeng the commttee may select the Charperson by: Commttee Descrptons appontng a member to the poston holdng a vote of commttee members, whereby the member ganng a smple majorty of those votng s apponted choosng to Char the Commttee hm or herself. Academc Commttee: 1 poston The Academc Commttee s charged wth revewng the currculum, teacher evaluatons, and helpng uphold the Honor Code. The Secretary of Student Affars s automatcally apponted to ths poston. Whle one student heads ths commttee, other students may be nvolved n actvtes.. Goals and objectves: a. Present the Honor Code to ncomng frst-year class durng orentaton. b. Wth MBA Student Affars offce, revew and help resolve any academc ndscretons throughout the school year. c. Be a lason to the faculty to help determne academcapproprate study and testng materals Socal Commttee 1 poston - The Socal Commttee plans and carres out socal events that buld and strengthen the communty among Full-Tme MBA students. Must ensure actvtes fall wthn the lmts of the Unversty s lablty coverage. The VP of Communty Events s automatcally apponted to ths poston. Whle one student heads ths commttee, other students may be nvolved n plannng and actvtes. Communcatons Commttee: 1 poston The Communcatons Commttee s responsble for makng lght of the Broad experence, as well as communcatng the events planned out

12 v. by the Socal Commtee. The VP of Communty Events s automatcally apponted to ths poston. Whle one student heads ths commttee, other students may be nvolved n actvtes. Communty Affars Commttee: 1 poston The VP of Communty Events s automatcally apponted to ths poston. The Commttee Vson: The Communty Affars Commttee wll serve as a way for Broad students to further buld ther leadershp sklls through volunteer opportuntes wthn the greater Lansng communty. Whle one student heads ths commttee, other students may be nvolved n actvtes. Commttee Msson: The Communty Affars Commttee wll algn ts actvtes wth the Broad MBA Program to: a. Charty Aucton (responsble for plannng and executng ths event ncludng plannng startng the year before to work wth out gong leaders n settng a plan for future years) v. Corporate Relatons Commttee: 1 Poston The VP of Corporate Relatons s automatcally apponted ths poston. v. a. Natonal Recrutng (work wth the Broad on ongong efforts to ncrease Broad s recrutng base) b. Company Lasons (work wth the Alumn Assocaton to establsh formal communcaton channels between the school and key companes). Talgate Commttee: 1 poston The VP of Corporate Relatons s automatcally apponted to ths poston. Whle one student heads ths commttee, other students may be nvolved n actvtes. a. Work wth caterng servce for each talgate b. Buld rapport wth sponsorng company c. Responsble for set-up and tear-down of home game talgates.

13 Artcle VI. OPERATIONAL PROCEDURES Secton 6.01 There wll be one general membershp meetng at the begnnng of the school year. A two-thrds majorty wll consttute a quorum. Secton 6.02 There wll be one Executve Board meetng per month, wth at least 60% of the Offcers present. Offcers may attend by means of telecommuncaton technology, such as conference callng, NetMeetngs, or smlar means. All tems voted on by the Executve Board stll requre a smple majorty of the entre Executve Board regardless of the number of Offcers present at a meetng. Secton 6.03 Secton 6.04 Secton 6.05 Board members may not mss more than three meetngs scheduled n advance by the Presdent. Mssng more than three meetngs s cause for dsmssal from the board under the procedure outlned n Secton Any MBAA member or group of members may call an MBAA meetng upon communcatng ths ntenton to the Executve board. Any MBAA member may have access to the Treasurer s books upon request. Ths access shall be restrcted such that the safety of the MBAA assets wll not be jeopardzed.

14 Artcle VII. AMENDMENTS Secton 7.01 Secton 7.02 Secton 7.03 Secton 7.04 Any member n good standng may propose Amendments to ths Consttuton. Proposed Amendments must be approved by a smple majorty vote of the Executve Board. If the Executve Board does not approve the proposed Amendment, a member may request an overrdng vote from the membershp. Overrdng votes wll be allowed to move forward f: a. The Executve Board agrees to the vote wth a smple majorty, or b. A petton sgned by no less than one-thrd of the members n good standng requestng the vote s presented to the Executve Board wthn three (3) school days of the Board s dsapproval. Once approved by the Executve Board, the proposed Amendment wll then be presented to the general membershp n the form t shall appear n ths document. A meetng of the membershp shall be called to vote on the amendment at the earlest possble convenence, but no earler than fve (5) school days to provde ample tme for the membershp to consder the matter. The Executve Board, at ts dscreton, may choose to delay any votng on amendments durng tmes when geographc dspersal of members makes achevng a quorum dffcult (e.g., wnter break, sprng break, summer months) Secton 7.05 The Presdent shall presde over the votng and choose one (1) of three (3) methods to tally the votes: Secton 7.06 Assembly vote Yes and No votes are determned by show of hands Roll Call vote each attendee s called by name and asked to vote Yes or No. A record of the votng wll be kept by the Audtng Charperson. Secret Ballot each attendee marks preference on a ballot and turns n for countng wthout publc knowledge of that vote. To be conducted n the same manner as Executve Board Electons as descrbed n Secton 4.04, part. An amendment wll be consdered ratfed f: A smple majorty ratfes, f the Executve Board prevously approved the proposed amendment. A two-thrds majorty ratfes, f the Executve Board prevously dd not approve the proposed amendment.

Notfcaton to General Membershp Secton 8.01 Secton 8.02 The General Membershp of the MBAA wll be consdered duly notfed of any membershp assembly or votng matters once the Executve Board has done all of the followng: Sent such notce to members usng electronc mal to addresses provded by Mchgan State Unversty. Posted such notce on the MBAA Bulletn Board located n the MBA Lounge.
