Corporations need to consider the interests of society by taking responsibiity for the impact of their activities on customers, empoyees, sharehoders, communities and the environment in a aspects of their operations. It is one of the most important goba issues with serious chaenges and impications on amost a sectors. FICCI has been working diigenty towards promoting CSR among its constituents for more than a decade; this has resuted in the estabishment of first of its kind centre of exceence in India - "The FICCI-Aditya Bira CSR Centre for Exceence" in Over the course of 3 years, the centre has grown into a we estabished knowedge centre. The government of India is making significant effort to hep bridge the country's socioeconomic gap, but the task is daunting as the chaenge is not ony about the resources but about their avaiabiity, affordabiity and impact. It is therefore imperative that the corporate sector works with the government, reguators and other key stakehoders and create sustainabe, incusive and empowered communities. The concept of responsibe business is not new in India; initiay practiced as phianthropy, the concept of trusteeship, as espoused by Gandhi, in the period of fading infuences of cooniaism and imperiaism is undoubtedy an important contributor in the recent history of CSR... FICCI Aditya Bira CSR Centre for Exceence organized an excusive discussion on June 28th, 2012, at FICCI Federation House, New Dehi with an aim to share and understand the impact of the innovative and pioneering approaches of India Inc's initiative in partnership with Government of India. The discussion was graced by sixty eading personaities possessing powerfu expertise in the fied of socia deveopment, business and socia enterprises. In the discussion Dr. Rajiv Kumar, Secretary Genera, FICCI shared that, 'the best form of incusion is fufiing and generating productive empowerment'. Ms. Pamea Faherty, President & Chief Executive office, Citi foundation in her address pointed out that 'corporate socia responsibiity' is often taken as responsibiity that is externay pushed upon corporate. Ajit Kanitkar, Ford Foundation, focused on the fact that Incusion is a ong term phenomenon with deeper commitment for human resources. He said that working in excuded areas of deveopment is a ong term process and requires at east eight to ten years to gain some resuts. The first three to four years estabish credibiity, and then does some kind of incusion take pace in the 5th or 6th year, which further is abe to create impact on iveihoods. Neeima Khaitan, Head- CSR, Coca Coa, pointed out, that for an overa hoistic incusive effort the corporates must go beyond the indices, as everything can't be measured. They shoud not restrict to areas where things can be quantified and are reated, by this they miss out on a arge chunk of deveopment areas. It is here, where corporates can very successfuy intervene. When we tak of incusion, we have to educate our stakehoders especiay sharehoders about creating an overa impact and not ony work in approachabe areas. Deveopment can be achieved ony through continued sustainabe efforts. Bharat Wakhu, whie chairing the event said, that "The fear of peope to speak for their rights shoud be a concern to bring about change for the corporate". He aso mentioned that the corporate suppy chains are a good way to reach the interiors of the company. Other subjects of discussion incuded topics such as how corporates cannot repace the government in fund fowing for deveopment. The need for transition from CSR to ISR( Individua Socia responsibiity), the need for corporates to aso address the unprivieged peope of urban areas ike rickshaw puers, street vendors who are excuded from corporate wefare services ike microfinance etc.

3 FICCI Aditya Bira CSR Centre for Exceence Newsetter Equa Opportunity for Persons with Disabiities "Liveihood of Persons with Disabiities(PWDs) shoud start with identification, incusive education, ski training etc. Whie disabiity is a state subject, according to the Indian Constitutiona Framework, the centra government has aso been supporting the initiatives with NHFDC and Nationa Trust", said Shri KM Acharya, at the Nationa Conference on Liveihoods for Persons with Disabiity organized by FICCI Aditya Bira CSR Centre for Exceence on 25th May 2012 at New Dehi Deveoping the productive capacity of persons with disabiity and giving them access to work, pays a major roe in sustainabiity of a nation, community and corporates. The socio-economic integration of persons with disabiity is not just a question of their right to participate, but aso a prerequisite for a broad-based and pro-poor sustainabe growth. This session was focused on sharing knowedge on Disabiity Rights aong with the corporate perspective. Shri PK Pincha, Chief Commissioner for Persons with Disabiities, Ministry of Socia Justice and Empowerment, spoke of a few critica dimensions for iveihood for peope with disabiities - empoyabiity, the need to recognize inherent potentia of PWDs, the need to unearth this potentia, the need for massive training programmes and massive research, empoyment in both pubic and private sector, as we as sef empoyment. He aso mentioned artices 9 and 27 of the United Nations Convention on the Rights of Peope with Disabiities (UNCRPD) as we as the PWD Act of 1995, thus addressing both internationa and nationa poicies on the same. Shri Mahesh Chandrashekhar, Internationa Poicy and Campaigns Manager, LCD UK, spoke of enabing an accessibe environment to PWDs by making the environment a barrier free one and gave a comprehensive framework for incusion. The third session was a pane discussion on Proactive actions of corporate agencies in promoting empoyment of PWDs. The pane was headed by Dr. K K Upadhyay and paneists incuded Aquee Merchant, Niranjan Khatri from ITC Hotes, Gouri Rivekaer from Nasscom, Ashish Chanana from Pizza Hut and Rajendra Thakur from Ein Appiances Pvt. Ltd. A of them spoke of the work of their respective companies in the fied, and about their goas for the future. Fourth and fifth session were excsuive pane discussion on the Roe of the Centra Government and Pubic Sector in Ski Deveopment and promotion of iveihoods for PWDs and discussion on breakthrough initiatives of civi society organizations in enhancing the empoyabiity of PWD In the concuding session, four working groups were made to deveop a road map for iveihoods for PWDs. The topics incuded - ski deveopment, financing for sef empoyment ventures, the roe of government and pubic sector, and the roe of the private sector. The Group Work Faciitators were from Leonard Cheshire Disabiity(LCD),Cheshire Disabiity Trust (CDT), Chief Commissioner for Persons with Disabiities [CCPD] and FICCI. Each group came up with insightfu soutions to the probem and the conference brought out severa recommendations and deiberations for future. Aquee Merchant, Senior Vice President, Accenture, spoke of Accenture's view on incusion of PWD's. He expressed his wish to create a cuture where a empoyees, regardess of their diversity, fee part of one organization. Shri Muku Wasnik, Minister for Socia Justice and Empowerment sent a message expressing his happiness on organizing such a conference. This message was read out by Shri T.D Dhariya, Dy. However, aong with cutura differences of trading and others issues, what remains as a big issue is that of corruption and bribery in internationa business transactions. In this regard, India has signed the UN convention against corruption of December, 2005, Prevention of Corruption Act, 1988 and the Prevention of money aundering act, Aso more recenty, India has ratified the UNCAC (United Nations Conventions against corruption- the first egay binding goba anti-corruption instrument adopted by the word community) in May Subsequent to that India has formuated the "The Prevention of Bribery of Foreign Pubic Officias and Officias of Pubic Internationa Organizations Bi, 2011, which has been introduced in the Pariament. Recognizing the importance of the issue, foowing the discussion in September'11, FICCI partnered again with OECD(Organization for Economic Co-operation and Deveopment, PARIS) to hod roundtabe discussion on "THE PREVENTION OF BRIBERY OF FOREIGN PUBLIC OFFICIALS AND OFFICIALS OF PUBLIC INTERNATIONAL ORGANISATIONS BILL, 2011". The main theme of the discussion invoved around GOI and Non-Government initiatives on fighting bribery, Indian Private Sector Initiatives for Addressing Bribery Risks in Internationa Business, goba support initiatives for the reinforcement of the bi. The event was organized in May, 2012 both in Mumbai and Dehi for seected group of Vice Presidents, CVO, CCO, Senior officias from GOI, Head of the Anti-corruption Dr. S.K. Sarkar, Ministry of Personne, Pubic Grievances and Pensions ; Dr. K K Upadhyay, Head-CSR,FICCI ; Mr. Patrick Mouette, Head, OECD, Anti Corruption Division, Department- OECD etc. Some of the main speakers of the event were Dr. K.K Upadhyay, Patrick Mouette, Head, OECD, Anti-Corruption Division, Dr. S.K. The discussions expored the eve of corruption in the business, incuding identification of the main Key Risk Areas in business, chaenges of fighting corruption in system. 5 FICCI Aditya Bira CSR Centre for Exceence Newsetter Creating an enabing environment for CSR The association between FICCI Aditya Bira CSR Centre for Exceence and CBI (Netherands), aims to create an 'enabing environment' that wi contribute to answer the rising CSR standards in the goba business market. Loca Experts Meeting Sharing Experiences on CSR Baseine Assessment Apri 2012, India Internationa Centre, New Dehi In order to contribute towards a more enabing environment for CSR in India, FICCI Aditya Bira CSR Centre for Exceence has been organising various capacity buiding and training programmes for Indian companies and CSR professionas. Through these programmes Indian companies and CSR professionas have been capacitated with sector specific sustainabiity codes, guideines and trends in this arena of CSR. The Centre in coaboration with Promotion of Imports from Deveoping Countries (CBI), Netherand have undertaken a series of workshops on CSR in India. The objectives of these workshops has been to provide business experts in India with toos for companies to respond effectivey to EU sustainabiity codes, guideines and trends. Under this series, the second workshop was organised on January 19-20, 2012 with the theme "CSR Baseine Assessment". The third workshop was organized on Apri 18 and 19, These workshops were faciitated by trainers from Netherand and was attended by representatives from 9 companies and 13 consutants. 6 FICCI Aditya Bira CSR Centre for Exceence Newsetter Promoting incusive Deveopment through sports To enhance the impact of CSR in communities around the word, sport and physica education has emerged as an infuentia channe today. Sport and physica education are goba phenomena that transcend anguage, reigion and cuture. It heps in generating and supporting the exchange of knowedge and ideas. Thus, it is being recognized as an invauabe deveopment too, which has a positive impact on - education, heath, iveihoods, socia incusion and community empowerment. FICCI Aditya Bira CSR Centre for Exceence is aware of the need for correation between CSR and sport for the incusive deveopment of society. The Centre for Exceence as knowedge partner, British Counci as strategic partner together with Abhinav Bindra Foundation and the Sport Authority of India as management partners organized an Incusive 3 days 'Youth Sport Leadership Camp' for sports enthusiasts, from February24 to 26, 2012 in New Dehi. The aim of the camp was to insti eadership vaues and skis in young students through active panning and organization of sport activities. The camp brought together 250 students and 50 teachers with UK and Indian trainers. Mukta Narain-Director initiatives- Specia Oympics, Baichung Bhutia, the famous Indian footbaer ; Charie Waker, Programme Director British Counci, Dr. KK Upadhyay, Head -CSR,FICCI Each schoo was represented by three students and one teacher coordinator. Major emphasis was paced on the participants who came from the Bind Schoo and from Government Schoos across the country. The goa was to hep schoos set up and run eadership cubs to enabe sharing of best practices with other schoos within the community. The highights of the camp incuded an exciting array of themed workshops and hand-on activities from British Counci's partner organizations that incuded-youth Sport Leadership Training experts, Abhinav Bindra Foundation (Kridaku), Specia Oympics Bharat. There were workshops on eadership deveopment through sport; there was a Sport Leadership Festiva, face to face with star sportsmen, and visit to Dehi heritage sites. Oympic god medaist Abhinav Bindra and footbaer Bhaichung Bhutia participated in the programme. Their presence enthused and inspired the students who showcased their earning by sharing their pans on setting up eadership cubs in schoos. Latest News.. This is to share with you that in ine with the NVGs and pubic discosure regarding steps to be taken by isted entities from an ESG perspective, the SEBI vide circuar number CIR/CFD/DIL/8/2012 dated August 13, 2012 has decided to mandate incusion of Business Responsibiity Reports (BR report) as part of the Annua Reports for isted entities. Therefore, in ine with the objective to enhance the quaity of discosures made by isted entities, certain isting conditions are hereby specified by way of inserting Cause 55 in the equity Listing Agreement. The requirement to incude BR Reports as part of the Annua Reports sha be mandatory for top 100 isted entities based on market capitaization at BSE and NSE as on March 31, BSE and NSE sha independenty draw up a ist of isted entities to which the circuar woud be appicabe based on the said criteria and disseminate the same in their websites respectivey. Other isted entities may vountariy discose BR Reports as part of their Annua Reports. 06

7 FICCI Aditya Bira CSR Centre for Exceence Newsetter Corporate Socia Responsibiity under the Companies Bi, 2011 The CSR measures are actuay part of a new Companies Bi that has been in the works for severa years. The Companies Act of 1956, which is currenty the rue of aw, has severa causes inappropriate to the current business and economic environment. The review and redrafting of the Companies Act, 1956 was taken up by the Ministry of Corporate Affairs. The Companies Bi 2011 was introduced in Pariament on Wednesday, 14th December The CSR provisions in the (Cause 135 of the Companies Bi 2011) are as foows : Every company having net worth of 500 crore or more, or turnover of 1000 crore or more or a net profit of 5 crore or more during any financia year sha constitute a Corporate Socia Responsibiity Committee of the Board consisting of three or more directors, out of which at east one director sha be an independent director. 2% of average net profits of the previous three years wi have to be spent on corporate socia responsibiity activities with discosure to sharehoders about the poicy adopted in the process, giving reasons on faiure of impementation. The Corporate Socia Responsibiity Committee sha : (a) Formuate and recommend to the Board, a Corporate Socia Responsibiity Poicy which sha indicate the activities to be undertaken by the company as specified in Schedue VII; (b) Recommend the amount of expenditure to be incurred on the activities referred to in cause (a). (c) Monitor the Corporate Socia Responsibiity Poicy of the company from time to time. If the company fais to spend the specified amount on corporate socia responsibiity activities, the Board sha, in its report made under cause (o) of sub-section (3) of section 134, specify the reasons for not spending the amount.
