Perry Burkeen, HPD Officer Greg Wisenbaker, HPD Tom Sage Joe Morrow Suzanne West Juanita Steagall Sharon Mittag Mayor Donnie McMannes called the meeting to order at 6:30 p.m. with all members present except Councilman Andy Curry. 1. INVOCATION/PLEDGE OF ALLEGIANCE Assistant City Manager Mark Martin gave the invocation and led the Pledge of Allegiance. 2. CURRENT INVOICES Invoices were presented to the mayor and councilmembers for approval of payment. Accounts Payable: General Fund $ 165, W/S Operating Fund 128, Total $ 293,587.04

2 Manual Checks: General Fund $ 5, W/S Operating Fund 113, Total $ 118, Purchase Cards: General Fund $ 69, W/S Operating Fund 34, Total $ 103, Councilman Allen Lee moved the invoices be paid. 3. PLACEMENT AGENT AGREEMENTS BETWEEN FIRST SOUTHWEST COMPANY AND THE CITY OF HUMBLE REGARDING THE PRIVATE PLACEMENT OF THE CITY S APPROXIMATELY $10,000,000 COMBINATION TAX AND REVENUE CERTIFICATES OF OBLIGATION, SERIES 2005A, $2,000,000 COMBINATION TAX AND REVENUE CERTIFICATES OF OBLIGATION, TAXABLE SERIES 2005B, $10,000,000 COMBINATION TAX AND REVENUE CERTIFICATES OF OBLIGATION, SERIES 2006 AND TERMINATING THE FINANCIAL ADVISORY RELATIONSHIP BETWEEN THE CITY AND FIRST SOUTHWEST COMPANY WITH RESPECT ONLY TO THE $10,000,000 COMBINATION TAX AND REVENUE CERTIFICATES OF OBLIGATION, SERIES 2005A, $2,000,000 COMBINATION TAX AND REVENUE CERTIFICATES OF OBLIGATION, TAXABLE SERIES 2005B AND THE $10,000,000 COMBINATION TAX AND REVENUE CERTIFICATES OF OBLIGATION, SERIES 2006 City Manager Darrell Boeske presented placement agent agreements between First Southwest Company and the City of Humble to be approved in connection with the proposed sale of $ 22,000,000 in certificates of obligation. Mayor Donnie McMannes moved the placement agent agreements be approved. 4. CITY OF HUMBLE ORDINANCE NO AUTHORIZING THE ISSUANCE OF $10,000,000 CITY OF HUMBLE, TEXAS, COMBINATION TAX AND REVENUE CERTIFICATES OF OBLIGATION, SERIES 2005A City Manager Boeske presented Ordinance No to the mayor and councilmembers for approval. 3 ORDINANCE AUTHORIZING THE ISSUANCE OF $ 2,000,000 CITY OF HUMBLE, TEXAS, COMBINATION TAX AND REVENUE CERTIFICATES OF OBLIGATION, SERIES 2005A Councilman Allan Steagall moved that Ordinance No be approved. 5. CITY OF HUMBLE ORDINANCE NO AUTHORIZING THE ISSUANCE OF $2,000,000 CITY OF HUMBLE, TEXAS, COMBINATION TAX AND REVENUE CERTIFICATES OF OBLIGATION, TAXABLE SERIES 2005B City Manager Boeske presented Ordinance No to the mayor and councilmembers for approval. ORDINANCE NO ORDINANCE AUTHORIZING THE ISSUANCE OF $2,000,000 CITY OF HUMBLE, TEXAS, COMBINATION TAX AND REVENUE CERTIFICATES OF OBLIGATION, TAXABLE SERIES 2005B Councilman Lee moved that Ordinance No be approved. 6. RESOLUTION NO INDICATING THE CITY S INTENT TO CONSIDER PARTICIPATION IN TAX ABATEMENT Resolution No was presented to the mayor and councilmembers for approval. RESOLUTION NO A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF HUMBLE, TEXAS, EXPRESSING ITS INTENT TO BECOME ELIGIBLE TO PARTICIPATE IN TAX ABATEMENT PURSUANT TO CHAPTER 312, TEXAS TAX CODE Councilman Steagall moved that Resolution No be approved.

4 7. RESOLUTION NO ADOPTING GUIDELINES AND CRITERIA FOR GRANTING TAX ABATEMENT Resolution No was presented to the mayor and councilmembers for approval. RESOLUTION NO A RESOLUTION ADOPTING GUIDELINES AND CRITERIA FOR GRANTING TAX ABATEMENT IN REINVESTMENT ZONES CREATED IN THE CITY OF HUMBLE, TEXAS Councilman Steagall moved that Resolution No be approved. 8. ADDITION OF NON-DISCRIMINATION CLAUSE TO THE CIVIC CENTER AND CIVIC ARENA CONTRACTS - CIVIC CENTER DIRECTOR JOHNNIE RAY SCROGGINS City Manager Boeske presented a clause Civic Center Director Johnnie Ray Scroggins requested to be added to the civic center and civic arena contacts. If Lessee s usage of the is for a Public Function, the Lessee shall not prohibit, dissuade, prevent, or exclude any member of the public based upon or regarding, an individual s race, color, religion, sex, age, national origin, or disability. All public notices, advertisements, and announcements of the Public Function must not indicate that said function is endorsed or sanctioned by the City of Humble and shall specifically state: This event is not endorsed or sponsored by the City of Humble. If Lessee s use or intended use if found to be in violation of this clause, this rental agreement shall be subject to immediate termination by the City of Humble. If Lessee s usage of the is for a Private Function, the Lessee shall not advertise, promote, announce or open the event to the public, in any manner. If such event is determined to be open to the public, the Lessee must abide by the rules regarding a Public Function. Mayor McMannes moved that the request clause be added to the rental contracts at the civic center and the arena.

DISSOLUTION OF CITY OF HUMBLE PRESERVATION COMMITTEE AND MAIN STREET ASSOCIATION Councilman Steagall moved the City of Humble Preservation Committee and the Main Street Association be dissolved. 10. CREATION OF CITY OF HUMBLE BEAUTIFICATION COMMITTEE City Manager Boeske asked that the mayor and councilmembers consider the creation of the City of Humble Beautification Committee. The committee would concentrate on beautification of Humble and the preservation of the city s historical landmarks. Mayor McMannes moved that the creation of the City of Humble Beautification Committee be approved. 11. APPOINTMENT OF SGT. PERRY BURKEEN AS PRESIDENT OF HUMBLE BEAUTIFICATION COMMITTEE Councilman Lee moved that Sgt. Perry Burkeen be appointed president of the Humble Beautification Committee. nays: None 12. CORRESPONDENCE: TML LEGISLATIVE UPDATE Mayor McMannes stated the correspondence was for information only. 13.
