1 Canadian Horticultural Council Meeting of the COMMITTEE OF THE WHOLE AND BOARD OF DIRECTORS Governor General I & II Thursday, March 10, 2016 MINUTES Chairperson: Secretary: Keith Kuhl Anne Fowlie 1. Welcome and Call to Order K. Kuhl called the meeting to order at 1:40 pm. 2. Approval of the Agenda In a motion duly moved, seconded and carried, the Agenda was approved as presented. (P. Swetnam / M. Wales) 3. Adoption of the Minutes of the Committee of the Whole Meeting of March 12, 2015 In a motion duly moved, seconded and carried, the Minutes of the Committee of the Whole meeting of March 12, 2015 were adopted as amended to reflect the following: 23. In a motion duly moved, seconded and carried a motion was adopted to amend the CHC Bylaws to extend the term of President from three (3) years to five (5) years. (C. Laniel / A. Plante) (F. (F. Steele / C. Laniel) 8. Approval of the Fiscal Year 2017 Budget In a motion duly moved, seconded and carried, the Fiscal Year 2017 Budget was approved as presented. (B. Gilroy / D. Hamel) 9. Motion: Reallocation of membership fees due to cancellation post-invoicing The motion respecting Reallocation of membership fees due to cancellation post-invoicing tabled from the Annual General Meeting to the Committee of the Whole was brought to the floor: When an active member provides notification of membership cancellation subsequent to the invoicing of membership fees, the value of that active membership fee will be prorated among remaining active members in the affected province and invoiced to those members. In a motion duly moved, seconded and carried the motion was adopted as presented. (B. Gilroy / F. Steele) 10. Motion: Government Relations K. Kuhl reported on the Board of Directors (BoD) discussions regarding the motion respecting Government Relations which was tabled from the Annual General Meeting to the Committee of the Whole. He noted the following: The BoD has been tasked with developing a strategic plan Included in the strategic plan is planning specific to Government Relations The BoD is committed to providing the Strategic Plan to members The plan will be shared with members once complete; this will allow for discussion at the 2017 AGM The BoD recommends that SUMMA Strategies be engaged on a term contract ending October 31, 2016 The BoD proposes to do this without the imposition of additional membership fee Resources will be used and flow through the Legacy Fund The BoD will report on value to the 2017 AGM; the report will include evaluation of in house resourcing versus external resourcing This work will be funded as follows: Directors have agreed to decline payment of per diems for fiscal 2016 and up to the 2017 AGM Saving for the current year: $23,000 The President will decline the Honorarium for the past year Saving for the current year $10,000 Total savings for the current fiscal year budget: $33,000 3

4 In a motion duly moved, seconded and carried the Board of Directors recommendation to engage SUMMA Strategies on a term contract ending October 31, 2016 was adopted. (M. Porteous / B. Hayre) The Board of Directors was encouraged to include Government Relations as a budget line item in the future. 11. Appointment of Auditor for Fiscal Year 2016 In a motion duly moved, seconded and carried, Hendry Warren LLP was appointed auditor for the Fiscal Year (B. Gilroy / B. Hayre) 12. Appointment to the Pest Management Advisory Council (PMAC) * Anne Fowlie / Tracy Shinners-Carnelley (Alternate) * This is a Joint Ministerial appointment by Health Canada/AAFC for a three (3) year period effective November Appointment to the S.
