1 ACC ARIZONA CHAPTER ANNUAL LAW FIRM SPONSORSHIP PROGRAM In order to provide our membership with a comprehensive selection of high-quality programs and entertaining networking events, all potential Sponsors are required to their completed sponsorship application forms to ACC Arizona Chapter acc.az.chapter@gmail.com as soon as possible, but no later than the close of business on Friday, July 15, The Board of Directors of the Association of Corporate Counsel Arizona Chapter is pleased to invite you to participate in the Annual Sponsorship Program. ACC Arizona Chapter is the preeminent organization of and for in-house counsel in the State of Arizona. With the year over year support from our generous Sponsors, we have continued to grow and improve our Chapter. We are very pleased to report that we now have over 450 members! Sponsorship proposals regularly exceed the number of sponsorships available, and many of our CLE programs are filled to capacity with waiting lists. We are excited about the year and look forward to hearing your best ideas for CLE programs and social events. CLE PROGRAM SPONSOR DESCRIPTION The law firm sponsorship levels are Platinum Ethics Series, Gold, Silver, Copper, Pro Bono Sponsor, Regional and Small Firm. Law firms may purchase more than one level of sponsorship. A law firm may request one Platinum-Ethics Series, Gold, Silver, Small Firm or Regional Sponsorship AND also request up to two (2) additional Copper Sponsorships and one (1) Regional Sponsorship OR a law firm can request up to four (4) Copper Sponsorships and one (1) Regional Sponsorship. Our monthly lunch meetings will continue to be the primary platform for delivering CLE programming to our members. Therefore, all Platinum Ethics Series, Gold, Silver, Copper, Regional and Small Firm Sponsors must provide presentations that will satisfy the Arizona Bar s CLE requirements at their designated lunch meeting(s). All Law Firm Sponsors are responsible for payment of the sponsorship fee and their own costs and expenses of preparing for and presenting the sponsored program(s), including the costs of the written materials for each attendee (the CLE written materials must be sufficient to meet the Arizona Bar s CLE requirements AND the Chapter strongly suggested that the CLE handouts include materials such as outlines or checklists of practical tips for in house counsel. All law firm Sponsors may place appropriate promotional materials on the registration table or at each seat. Law firm Sponsors may announce a give-away/door prize or leave give-away items at the tables at the Sponsor s option and expense (it must be clear to attendees that participation is entirely voluntary). These sponsorships are available to law firms on an annual (October September) basis. All law firm sponsorships require the Sponsor to provide one or more continuing legal education programs to members. Submission of an application for sponsorship does not guarantee a sponsorship. 1

2 ACC Arizona will select Sponsors based on Chapter needs, the quality of the proposal, prior support of the Chapter, the Chapter s desire to include Sponsors of varying sizes and specialties, prior experience (quality of past presentations, compliance with the program guidelines) and the timeliness of the application submission. The ACC Arizona decision is final. Platinum-Ethics Series, Gold and Silver Sponsorships: Each of the presentations associated with these sponsorships must provide members with one hour of CLE. The programs of the Platinum-Ethics Series Sponsor must qualify for professional ethics credit. These presentations and will be held on the third Tuesday of the month no exceptions. The presentations should be a lecture format (for up to 75 attendees, both Chapter members and non members). These speakers should prepare minutes of oral presentation followed by 5 10 minutes of questions and answers. ACC Arizona will bear the following costs and expenses for Platinum Ethics Series, Gold and Silver level lunch programs: (i) meeting room; (ii) food; (iii) beverage; and (iv) CLE Certificates. The Chapter will send all communications about the event to the Chapter members, facilitate the reservations for the event, upload the CLE materials to the Chapter webpage and provide the attendance list to the Sponsor. To offset some Chapter costs, ACC Arizona may charge attendees a fee to attend the lunch meeting. ACC Arizona reserves the right to determine the amount of these fees. The venue and menu for each meeting is determined by ACC Arizona. (Consistency in time, date and location has a significant and positive effect on meeting attendance.) Platinum Ethics Series Sponsorship One offered $4,000 Exclusive Sponsor and presenter of our annual three part ethics lunch series, our most widely attended lunches, held on the following Tuesdays: March 21, 2017, April 18, 2017 and May 16, 2017 (which programs together fulfill our members annual Arizona ethics CLE requirements); Recognition on Chapter webpage; Option to present encore performance of the CLE programs in Scottsdale, Tucson or Flagstaff, Arizona, at Sponsor s destination of choice and expense; Opportunity to present appropriate promotional materials at each of the three (3) ethics meetings; Opportunity to have four (4) firm members (in addition to speakers) attend each of the three lunches; Opportunity to invite four (4) non ACC Arizona in house counsel guests at no additional cost, and the opportunity to invite additional non ACC Arizona in house counsel guests at the ACC Arizona member lunch rate; Opportunity to be the sole provider of three (3) substantive law articles by the Sponsor (word limit applies) to be included in one of our quarterly ACC Arizona member newsletters; Opportunity to add one or more Cost Plus Sponsorships to sponsorship package; and Opportunity to invite Chapter membership to attend two (2) non ACC Arizona events, hosted by the firm, substantive or social, which have been pre approved by ACC Arizona. All such invitations shall be distributed electronically to the Chapter membership by ACC Arizona (the mailing list will not be given to the Sponsor). 2

3 Gold Sponsorship Three offered $3,000 each Exclusive Sponsor and presenter for one (1) Tuesday lunch CLE meeting on one of the following Tuesdays: January 17, 2017, February 21, 2017 OR September 19, 2017; Recognition on Chapter webpage; Option to present encore performance of the CLE program in Scottsdale, Tucson or Flagstaff, Arizona, at Sponsor s destination of choice and expense; Opportunity to present appropriate promotional materials at the lunch CLE meeting; Opportunity to have three (3) firm members (in addition to speakers) attend the lunch CLE meeting; Opportunity to invite three (3) non ACC Arizona in house counsel guests at no additional cost, and the opportunity to invite additional non ACC Arizona in house counsel guests at the ACC Arizona member lunch rate; Opportunity to be the sole provider of one (1) substantive law article by the Sponsor (word limit applies) to be included in one of our quarterly ACC Arizona member newsletters; Opportunity to add one or more Cost Plus Sponsorships to sponsorship package; and Opportunity to invite Chapter membership to attend one (1) non ACC Arizona event, hosted by the firm, substantive or social, which has been pre-approved by ACC Arizona. 4 Copper Sponsorship Each of these presentations must provide Chapter members with one hour of CLE. These presentations will be held on the Thursdays specified on the application form no exceptions. The presentations can be a lecture format or a more interactive discussion format (for up to 35 Chapter members). These speakers should prepare minutes of oral presentation followed by 5 10 minutes of questions and answers. ACC Arizona will bear the following costs and expenses for Copper level lunch programs: (i) meeting room; (ii) food; (iii) beverage; and (iv) CLE Certificates. The Chapter will send all communications about the event to the Chapter members, facilitate the reservations for the event, upload the CLE materials to the Chapter webpage and provide the attendance list to the Sponsor. To offset some Chapter costs, ACC Arizona may charge attendees a fee to attend the lunch meeting. ACC Arizona reserves the right to determine the amount of these fees. 5 Regional Sponsorship Regional Sponsorships are for CLE events held outside of the Phoenix Metropolitan area. Each of these presentations must provide Chapter members with at least one hour of CLE. These presentations will be held on a date, time and location agreed upon by the Sponsor and the Chapter. The presentations can be a lecture format or a more interactive discussion format. These speakers should prepare minutes of oral presentation followed by 5 10 minutes of questions and answers. If selected, the Sponsor will bear all of its own costs and expenses of preparing for and presenting the sponsored program(s), including venue fees, food and beverage costs, cost for on-site personnel to manage the event and costs for printed CLE materials. The Chapter will send all communications about the event to the Chapter members, facilitate the reservations for the event, provide a template for the CLE Certificate for the attendees, upload the CLE materials to the Chapter webpage and provide the registration list to the Sponsor. One offered $500 Recognition on Chapter webpage; Opportunity to present appropriate promotional materials at the meetings; and Opportunity to add one or more Cost Plus Sponsorships to sponsorship package. Small Firm Sponsorship Small firms are law firms with a total of twenty five (25) or fewer attorneys. Small firm events may be held anywhere in Arizona. Each of these presentations must provide Chapter members with at least one hour of CLE. These presentations will be held on a date, time and location agreed upon by the Sponsor and the Chapter. The presentations can be a lecture format or a more interactive discussion format. These speakers should prepare minutes of oral presentation followed by 5 10 minutes of questions and answers. If selected, the Sponsor will bear all of its own costs and expenses of preparing for and presenting the sponsored program(s), including venue fees, food and beverage costs, cost for on-site personnel to manage the event and costs for printed CLE materials. The Chapter will send all communications about the event to the Chapter members, facilitate the reservations for the event, provide a template for the CLE Certificate for the attendees, upload the CLE materials to the Chapter webpage and provide the registration list to the Sponsor. One offered $500 Recognition on Chapter webpage; Opportunity to present appropriate promotional materials at the meetings; and Opportunity to add one or more Cost Plus Sponsorships to sponsorship package. 5

6 Pro Bono Sponsorship (New Category Available to law firms exclusively as an addition to a base level of sponsorship.) In partnership with the Sponsor, the Chapter Pro Bono Committee (the Committee ) will identify pro bono projects on which the Sponsor and Chapter members can collaborate. The Sponsor will host at least one meeting with the Committee at the Sponsor s office during the Chapter s fiscal year (October September) to gather proposals from non-profits seeking the group s assistance, assign duties of Sponsor and Chapter volunteers, and plan the logistics for any pro bono projects selected. The Sponsor and a Committee member will attend a regularly scheduled Chapter meeting to describe any pro bono project(s) selected to enlist Chapter volunteers. The Sponsor and the Committee are responsible for coordinating volunteer Sponsor and Chapter member duties for the project. If desired, Sponsor and a member of the Committee may request to address Chapter members on the progress of an ongoing pro bono project. Upon completion of a pro bono project, Sponsor and a member of the Committee will attend a regularly scheduled Chapter meeting to report the final results of the projects. $500 (each) Recognition on Chapter webpage; and Opportunity to present information about pro bono projects at Chapter meetings. 6

7 COST PLUS SPONSORSHIP PROGRAM DESCRIPTION The Chapter offers Cost Plus Sponsorships exclusively as an added program to law firms that have agreed to purchase at least one of the Law Firm Sponsorships. These sponsorships shall be available only on an annual basis. Cost Plus sponsorships are specifically designed to allow our Sponsors and members to interact in a variety of social settings, either as part of or outside of a CLE program, and to allow Sponsors to control the final sponsorship cost for the Cost Plus event. Submission of an application for sponsorship does not guarantee a sponsorship. ACC Arizona will select the Sponsors based on Chapter needs, the timeliness of application submission and prior experience. The ACC Arizona decision is final. All Cost-Plus Sponsorships are offered for $500 each Potential sponsors are encouraged both to work from the suggested events and to suggest a different type of event or venue in their application. 1. Family Fun Event suggestions Arizona Science Center, Phoenix Zoo, Children s Museum of Phoenix, Musical Instrument Museum, Harkins Theatre Movie Event, McCormick-Stillman Railroad Park, Bowling, Miniature Golf, Phoenix Botanical Garden, Cerreta s Chocolate Factory, Butterfly Wonderland 2. Arts or Dining Event suggestions Phoenix Art Museum, Scottsdale Museum of Contemporary Art, Heard Museum, Phoenix Symphony, Phoenix Opera, Crescent Ballroom performance, Movie at the Film Bar, Book Reading at Changing Hands Bookstore, Theater Event, Chef Cooking Demonstration, Progressive Dinner at closely situated restaurants location suggestions Biltmore Fashion Park, Kierland or East Valley (e.g., Gilbert Joe s BBQ, Liberty Market, Postino area) 3. Sports Event suggestions Arizona Diamondbacks, Phoenix Suns, Arizona Cardinals, Phoenix Coyotes, Spring Training Game, Waste Management Phoenix Open, Arizona State University, Grand Canyon University or other Collegiate sporting events in the Phoenix Metro area. All Cost Plus Sponsorships include: Recognition on Chapter webpage; and Opportunity to host one of the categories of events described above that is agreed upon with the Chapter President or Vice President, such event is at Sponsor s expense and can be held at an appropriate venue selected by Sponsor, on a date agreed upon by the Sponsor and the Chapter. Chapter will work with Sponsor to promote event to members and coordinate attendance information. 7

8 SPONSORSHIP PROGRAM GENERAL TERMS 1. Selection, Topics. Topics shall be determined according to ACC Arizona Speaker Guidelines. ACC Arizona will take into consideration, among other factors, past support of the Chapter in deciding which firms will be selected and for which topics. 2. Program Cancellation. Programs may not be cancelled by the Sponsor, and the sponsorship fee is non-refundable. In the unlikely event ACC Arizona cancels the program, the fee, or a portion thereof, shall be refundable. 3. Sponsor Announcements/Invitations and RSVP. The events are ACC Arizona events. The Sponsor will be mentioned in ACC Arizona materials announcing the program. ACC Arizona shall retain ownership and control over and shall not share proprietary data, including its membership list, with sponsoring organizations. RSVPs and attendee lists must be coordinated through the ACC Arizona Chapter Administrator or her/his designee. ACC Arizona will create an online registration page for each event and regularly send notices of the event to its members. 4. Administration of Sponsorship Benefits and Requirements. If applicable, Sponsors agree to provide a brief description of CLE presentation topics and speaker(s) biographies to the Chapter Administrator no later than September 16, 2016 (descriptions for each topic and each speaker biography limited to 25 words each); Sponsors must provide a signed Web-Linking Agreement before Sponsor information will be posted to the Chapter webpage; Sponsor agrees to comply with the Chapter s Speaker and Sponsor Guidelines included in the sponsorship application package; and Sponsors agree to provide all newsletter articles to the Chapter by the deadline shown on the Sponsorship Invoice and Sponsor understands that if the article is not submitted by that deadline, the Chapter cannot guarantee the article will appear in the newsletter. 5. Law Firm Sponsor Marketing Materials. Any speaker or Sponsor information must be reviewed and approved by ACC Arizona in advance. 6. Co-Sponsorship Requests. ACC Arizona will consider on a case-by-case basis requests that it become a co-sponsor of an event with another organization. The factors that ACC Arizona will take into account are as follows (this list is not meant to be an exhaustive list but merely serves as a guideline): uniqueness of the third party program topic and potential value to a significant segment of the ACC Arizona membership (e.g., special focus on corporate counsel issues); benefits of the third party program for attorneys in general and to in-house practitioners and members of ACC Arizona in particular; benefits to ACC Arizona (e.g., complimentary registrations, access to potential members, community goodwill) or its members; eligibility and/or participation of ACC Arizona members in the third party program; target audience (e.g., members of the bar, in-house attorneys, paralegals, non-legal managers, law firms); 8

9 obligations of ACC Arizona such as financial commitment, promotion, finding faculty, registration and administration; nature of the third party (profit or non-profit), its reputation and the extent to which the Chapter benefits through association with such organization; ongoing relationship between the Chapter and the third party and whether the relationship will be enhanced by such co-sponsorship; impact on future ACC Arizona activities (i.e., conflicts with planned ACC Arizona events); and impact on the ongoing relationships with ACC Arizona annual Sponsors. 7. Exceptions and Updates to Guidelines. The ACC Chapter President may make exceptions to these guidelines for good cause and in the best interests of the Chapter. ACC Arizona reserves the right to create and to put into place other sponsored programs not described in these guidelines. 8. Other Items. Note that ACC Arizona does not warrant or guarantee (i) the number of ACC Arizona members that will be in attendance at the sponsored program or (ii) any results from the opportunity for the applicant to sponsor or present the sponsored program. 9

10 ACC ARIZONA CHAPTER SPEAKER AND SPONSOR GUIDELINES The Board of Directors of the Association of Corporate Counsel Arizona Chapter has concluded that it is desirable to bring greater uniformity to presentations by speakers at Chapter programs and believes that by adopting these Guidelines the Board will further the Chapter s primary mission of offering high quality Continuing Legal Education to Chapter members. The Board recognizes that fairness to potential sponsoring organizations is important to ACC Arizona s mission. Further, the substantive quality of presentations is important to the meeting attendees and the success of the Chapter. These guidelines shall apply to all Chapter programs featuring a speaker. GENERAL GUIDELINES The term speaker and sponsor shall include the individual making the presentation and the organization to which the speaker belongs. Absent advance permission from the Chapter, all speakers at a program must be associated with the sponsoring organization for that program. Few, if any, exceptions to this requirement will be made, and any requests for an exception should be made long before the meeting. All presentations shall comply with the following General Guidelines. The Chapter Administrator shall work with the Chapter leadership and the speaker and sponsor to implement the Guidelines. The selection of speakers shall not imply any endorsement from the Chapter. The Chapter shall not share any proprietary information with speakers or sponsors. In setting any sponsorship arrangements, the Chapter shall consider how the proposed sponsor arrangement compares to sponsorship arrangements in the past year to promote fairness among sponsors. PRESENTATION CONTENT GUIDELINES The Chapter President or Vice President or their designee will work with the speaker to help construct the direction of the presentation or should at least be generally knowledgeable that the presentation content meets these Guidelines. The speaker shall be responsible for the substantive content of the presentation. Presentations should contain the following elements: Any presentation for which Continuing Legal Education (CLE) credit is given shall be limited to 60 minutes, including a summation and five to ten minutes for questions and answers from the audience; The topic shall be addressed from the perspective of the in house counsel; The presentation must contain useful, substantive and relevant information for the program attendees; 10

11 The speaker must provide, at Sponsor s expense, substantive handouts related to the topic (it is strongly suggested that the handouts include materials such as outlines or checklists of practical tips for in house counsel); The speaker shall the substantive handouts to the Chapter Administrator not later than two business days prior to the meeting; The speaker shall any PowerPoint presentation material to the Chapter Administrator not later than two business days prior to the meeting; Shortly after the presentation, the Chapter will post the CLE Materials on the Arizona Chapter page on for Chapter members reference; and Speakers shall not market their services or organizations during their presentation or in their written handout materials, except that speaker s and sponsor s name and contact information, along with a short paragraph identifying the products or services, may be added to the written handout materials without approval of the Chapter. ROLE OF THE CHAPTER ADMINISTRATOR The Chapter Administrator shall be responsible for administering these Guidelines. Any questions about the interpretation should be directed to the Chapter President or Vice President. The Chapter Administrator shall confirm all engagements and financial arrangements with the speaker and the Sponsor, and all such confirmation shall be sent electronically. EXCEPTIONS TO THE GUIDELINES The Chapter President or Vice President may make exceptions to these Guidelines for good cause and in the interests of the Chapter. 11
