9 4.3 The Council members shall play an important liaison role in ensuring the objectives of the Commission, as set by Council, are being met and in providing the direct communication link to Council. PART 5: Appointment of Members 5.1 The following shall apply to all appointments: PART 6: a) Council will appoint members to the Commission; b) At least two-thirds (2/3) of the members appointed to the Commission shall be either residents or taxpayers of the City; c) In the event of a vacancy, Council may appoint a person for the unexpired term; d) Where a Commission member is requested to serve as a representative to another advisory body, the Commission is authorized to designate its representative. e) The Commission may make recommendation(s) to Council with respect to Commission appointees. Term of Appointment 6.1 The following shall apply to all appointments: PART 7: a) Members shall be appointed to the Commission for a term of three () years and may serve for a maximum of nine () consecutive years. b) Notwithstanding section 6.i a), Council s inaugural appointments shall consist of three (3) one-year appointments, three () two-year appointments and three () three-year appointments. c) The Commission may review the attendance circumstances of any member who has missed three consecutive meetings without prior permission, and may recommend to Council that the membership of such member be terminated. d) Any appointee to the Commission may be removed by an affirmative vote of twothirds (2/3) of all members of Council. e) A member of the Commission may not serve for more than three () consecutive terms. Council may, however, by two-thirds (2/3) majority present, reappoint a person who has served three () consecutive terms. Chair 7.1 The Commission members will decide who will serve as Chair and Vice-Chair. The Chair and Vice-Chair will be existing voting members of the Commission. 7.2 The Chair is responsible for ensuring the rules of procedure are followed prior to and during each meeting, and, in consultation with the staff liaison that items on their meeting agenda fall within their mandate. 7.3 The Chair or Vice-Chair shall conduct the meeting in accordance with this bylaw, the Community Charter, Local Government Act, Council policy, Council s Procedure Bylaw and Roberts Rules of Order. 6 City of Campbell River Airport Commission Bylaw No. 3642, 2016 Page 9 of 25

10 as 7.4 If the Chair or Vice-Chair are not present at the time appointed for the meeting, the staff liaison should call the meeting to order and the members present should immediately elect a Chair pro tern to preside over that meeting, or until the Chair or Vice-Chair arrives. Such office is terminated by the entrance of the Chair or Vice-Chair, the end of the meeting, or the election of another Chair pro tern. 7.5 The Chair s duties are: a) Check if a quorum is present and open the meeting at the prescribed time; b) Announce the business in the proper sequence on the agenda; c) Recognize members entitled to speak, in the order in which they request to speak; d) State and put the questions (resolutions which have been moved and seconded) to a vote; e) Enforce the rules of procedure and decorum; f) Expedite business; g) Decide questions of order and respond to parliamentary enquiries; and h) Declare the meeting adjourned when the business is complete. 7.6 The Chair shall serve as a leader and facilitator who encourages people to participate, helps people listen to each other and reflects back the common threads of the discussion. The Chair should be prepared to put aside their personal interests in an effort to help the Commission reach general consensus. PART 8: Meeting Procedures 8.1 The Commission shall meet at least four () times per year on a quarterly basis. 8.2 The Commission should strive for consensus in their decision-making; however, final decisions are made by resolution adopted by majority vote. 8.3 A quorum for a meeting shall be a majority of voting members currently serving on the Commission. 8.4 Commission proceedings will be open to members of the public, unless authorized to be held in-camera by the Community Charter 8.5 The Commission meeting minutes shall be presented to Council for information and placed on the next regularly scheduled Commission agenda for review and adoption. Upon adoption, the minutes are to be signed by the Chair or member presiding and distributed to the Commission members. PART 9: Delegations and Correspondence 9.1 All delegations requesting permission to appear before the Commission shall submit a written request to the City Clerk, including a written synopsis clearly outlining their topic of concern by 3:oo p.m. on the Wednesday of the week preceding the meeting. 9.2 Delegations will be given io minutes to present, unless a longer period is agreed to by majority vote of those members present. 9.3 Where a request to present has not been received by the City Clerk as prescribed in section City of Campbell River Airport Commission Bylaw No. 3642, 2016 Page 10 of 25 7

11 9.1, an individual or delegation may present to the Commission if approved by majority vote of those members present. 9.4 The deadline for the public to submit items to the City Clerk for inclusion on the Commission agenda shall be 3:oo p.m. on the Wednesday of the week preceding the meeting. PART 10: Sub-Committees 10.1 The Commission may establish one or more sub-committees to consider or enquire into any matter which falls within the scope and jurisdiction of the Commission and report its findings back to the Commission The Commission shall advise Council of the establishment of sub-committees and their purpose The Commission shall provide the sub-committees with a specific mandate and timeframe to submit their recommendations The Commission may appoint members to sub-committees that are not members of the Commission Staff liaisons or recording secretaries will not be appointed to any sub-committee The majority composition of any sub-committee shall be non-council members. PART 11: Conflict of Interest 11.1 This section applies to a person appointed to the Commission under section 6 in relation to Commission meetings Where a member of a Commission attending a meeting of a Commission considers that he or she is not entitled to participate in the discussion of a matter, or to vote on a question in respect of a matter, because the member has a) a direct or indirect pecuniary interest in the matter, or b) another interest in the matter that constitutes a conflict of interest, the member must declare this and state in general terms the reason why the member considers this to be the case After making the declaration under section 11.2 of this Bylaw, the Commission member must not do anything referred to in section 101(2) of the Community Charter, as if that section applied to Commission members The official responsible for recording the minutes of a meeting of the Commission will record the declaration of a conflict by a member of the Commission, the reasons given for the declaration, the time of the member of the Commission s departure from the meeting room, and if applicable, of the member s return If Council considers that a member of the Commission has acted in breach of this section, it may remove the member from the Commission, unless Council considers that the breach was done inadvertently or resulted from an error of judgment in good faith or that the conflict of interest would be of a type described in section 104 of the Community Charter or a regulation under that section. 8 City of Campbell River I Airport Commission Bylaw No. 3642, 2016 Page 11 of 25

12 PART 12: Remuneration 12.1 No member of the Commission will receive any remuneration for services, however, a member is entitled to reimbursement for any reasonable out-of-pocket expenses incurred on behalf of the Commission that were previously approved by the Commission. PART 13: Budget 13.1 The Commission s budget will be established by Council on an annual basis The Commission is authorized to spend up to $5,000 on any one expenditure under the condition that the expenditure meets the objectives of the Commission as stated in Part 3 of this bylaw. PART 14: Technical & Administrative Support 14.1 The City Manager shall designate a staff liaison and recording secretary to aid the work of the Commission. Designated support staff may attend the Commission meetings in a resource capacity, but not be permitted to vote. The Commission does not direct the staff liaison, nor can they request other staff resources. Such requests must go through either the City Manager or Council The staff liaison provides support to the Commission on behalf of Council to ensure the mandate of the Commission is met. Acting in their capacity as liaison, staff provides commissions with technical and operational information that assists the Commission in their work on behalf of Council. The staff liaison will assist with the preparation of recommendations to Council as requested by the Commission Under the direction of the Chair, the recording secretary shall be responsible for the preparation of agendas, minutes and follow-up from the meetings The recording secretary will meeting agendas to Commission members on Monday at noon prior to the meeting of the Commission The Commission is entitled to reasonable use of City services and facilities, such as meeting rooms, photocopying, stationery supplies, etc. for Commission business, which are to be arranged by the recording secretary. PART 15: Reporting 15.1 The Commission Chairperson, with the assistance of the staff liaison, will report to Council on behalf of the Commission utilizing the standard reporting format adopted by the City. If deemed appropriate by the City Manager, such reports shall be accompanied by a staff report To make a presentation before Council at a regular meeting, the request is made to the City Clerk by submitting the report or presentation in written form. The report must clearly state any requests being made of Council and any recommended Council resolutions for further action. Generally a report to Council will include background on the purpose of the report, facts or information, the findings or conclusions from the information (if required), and the recommendations of the Commission. 13 15.3 Prior to October 15t each year, the Commission will present an annual report to Council, setting out its activities and accomplishments for the previous year. The report shall also present to Council for its approval, work plan and budget for the following year. PART 16: Expectations 16.1 The Commission and its members are required to: a) be accountable and responsive to Council; b) be open and transparent by observing legislative meeting protocol and conducting their business in public meetings; c) be collaborative in nature and respectftil; d) remain accessible to each other, and to the Commission; e) regularly consult with the peer groups that they represent; and f) regularly share, and disseminate information between all Commission members on a timely basis As the Commission and its members are representatives of the City of Campbell River, members must distinguish when speaking in public, whether they are speaking as a member, a representative of another agency or community group, or as an individual. As a general rule, it is the Chair of a commission that speaks publicly on behalf of the commission when and where appropriate. PART 17: Repeal 17.1 Campbell River Airport Authority Bylaw No. 3444, 2010 is hereby repealed. 14 Report To Airport Commission TO: FROM: Airport Commission DATE December 20, 2017 SUBJECT: Elle Brovold, Property Services Manager Briefing Package Fire Tanker Base, Airport Transportation, and Aviation Program Recommendation: That the Commission receive the December 20, 2017 report titled Briefing Package for Minister Trevena for information. Purpose: Staff has prepared this report for the Airport Commission to facilitate discussion so that staff may utilize the information provided by the Commission in the preparation of a briefing package for Minister Trevena. Background: At the December 2017 Airport Commission meeting, the Commission passed the following resolution: THAT staff prepare a briefing package for the Airport Commission s meeting with Honourable Claire Trevena, Minister of Transportation and Infrastructure and MLA for North Island on four items as follows: 1. Fire Tanker Base proposal to relocate to Campbell River 2. Transportation needs for North Island as related to Campbell River Airport 3. Any potential future Provincial transportation policies related to airports 4. Proposed Aviation program with North Island College (NIC) Staff have prepared this report to relay information on item 1 of the resolution (fire tanker base) for the Commission s review and discussion. Discussion: Fire Tanker Base The City of Abbotsford currently serves as the Primary Tanker base for the Coastal Fire Zone of the Wildfire Management Branch. However, the following issues have been identified with the use of this location: The airspace is congested; Fire season competes with the international air show; and Replacement of aging facilities. 15 The concept of relocating the Quinsam Fire Base, in Campbell River, and the Primary Tanker Base, and co-locating these facilities at the Campbell River Airport have been brought forward to UBCM in 2014, 2015 and Since this time, some of the Sidney and Abbotsford operations have moved to the Campbell River Base, but the full relocation from Abbotsford has not yet been approved. Campbell River is an ideal choice to serve as the Primary Tanker Base for the following reasons: The Campbell River Airport is ideally situated, as it is closely serves the Coastal Fire Zone and the Cariboo Chilcoltin with a flight distance of only 335 km, as compared to 352 km from Abbotsford; Campbell River Airport offers competitive lease rates and provides access to a restaurant and other amenities for employees; YBL airspace is less congested than at YXX (Abbotsford); Campbell River Airport has room for expansion for the Ministry of Transportation and Infrastructure, as well as potential locations for the relocation of businesses that currently support the Primary Tanker Base; and Campbell River Airport has been upgraded with Provincial support, and City Council wishes to continue to improve on this investment and compliment the economic drivers for the Province while bringing economic growth to the Campbell River region. Conclusion: Discussion information collected from the Commission will be collated by staff into a briefing package for a future meeting with Minister Trevena. 16 Report to Airport Commission TO: FROM: Airport Commission DATE: December 21, 2017 SUBJECT: Recommendation: Elle Brovold, Property Services Manager Facilities & Supply Management Municipal Assistance to Business THAT the Airport Commission receive the December 21, 2017 staff report titled, Municipal Assistance to Business for information. Purpose: This report is intended to provide the Airport Commission with information requested at the December 1, 2017 meeting via the following resolution: THAT staff report back on options for the Airport Commission to respond to business/customer needs from the business opportunity fund. Background: The Airport Commission had discussions at their December 1, 2017 meeting regarding economic development as it relates to business and business opportunity at the Campbell River Airport. Ideas discussed included methods to keep the airport relevant and competitive, and how this could be facilitated by the City responding quicker to customer needs or requests. Due to unique limitations placed on a municipality, the Airport Commission requested that staff report back on the parameters that affect the City s ability to respond to requests for financial support. Discussion: The City of Campbell River is bound by the Community Charter, Provincial legislation that establishes a full set of principles for municipal-provincial relations, as well as defines a municipality s broad powers and responsibilities. Part 3, Division 2 of the Community Charter ( the Charter ) specifically describes the restrictions on a municipality in providing assistance, where assistance is defined as follows: 25 (1) Unless expressly authorized under this or another Act, a council must not provide a grant, benefit, advantage or other form of assistance to a business, including (a) any form of assistance referred to in section 24 (1) [publication of intention to provide certain kinds of assistance], or (b) an exemption from a tax or fee. Part 3, Division 1 of the Charter does describe the conditions under which a business may receive assistance from a municipality, by means of a partnering agreement. A partnering agreement may only be entered into if the business/third party agrees to provide a service on behalf of the electorate. A municipality s authority to enter into a partnering agreement is provided under section 8(2) of the Charter, where the underlined section describes a Council s ability to ascribe this authority to a third party: Page 16 of 25

17 8 (2) A municipality may provide any service that the council considers necessary or desirable, and may do this directly or through another public authority or another person or organization. A service is broadly defined under the Charter to include any activity, work or facility undertaken or provided by or on behalf of a municipality. These services are not specifically designated (e.g. garbage and recycling pickup) within the Charter in order to provide municipal Councils with the flexibility and discretion to determine and act on the needs of their communities; that said, the services must always fall within the scope of a municipality s purpose, as articulated in section 7 of the Charter: 7 The purposes of a municipality include (a) providing for good government of its community, (b) providing for services, laws and other matters for community benefit, (c) providing for stewardship of the public assets of its community, and (d) fostering the economic, social and environmental well-being of its community. Partnering agreements sometimes involve special assistance to the partner in return for operating the municipal service being provided. However, the general prohibition described earlier in section 25 of the Charter directly prevents a municipality from giving assistance to a business. This is to ensure that a municipality does not provide an advantage to one business at the expense of other competing businesses thereby guaranteeing a level playing field for all businesses operating within the municipality. If a partner is also a business, the Charter recognizes that a partnering agreement is distinct from normal business operations, as it involves the provision of a service on behalf of a municipality. Therefore, the prohibition does not apply if that business is providing a municipal service under a partnering agreement, as described previously and in section 21 of the Charter. Conclusion: Within the limitations described in the Community Charter, it is at Council s discretion whether to provide assistance to an entity, be it a person, organization or business, if Council deems that the partner is able to provide a service to the community that they determine is desirable or necessary. In the provision of assistance, however, Council is prohibited from providing any exclusionary commercial assistance to a business that would give that business a competitive advantage. Any assistance rendered as part of a partnering agreement must be limited to the service provision being provided to the community at-large. Morris - General Manager, Facilities and Supply Management; T. Massee - Airport Manager; E. Brovold - Property Manager; C. Neill - Recording Secretary. 1. APPROVAL OF THE AGENDA 1.1. Approval/modification of the agenda Sinnott/Fitzgerald THAT the agenda be approved with the addition of: 2 newspaper articles added as addenda update on Vancouver Island Motor Sports Park project. 2. STAFF REPORTS 2.1. Property Manager's verbal update on the Fuel Facility. CARRIED D. Morris reported that the fuel truck will be delivered mid-december and that the Fuel Facility should be ready to pump fuel by the end of December. Members provided staff with advice on the purchase of fuel and discussed the different models for fuel purchase. D. Morris confirmed that staff would recommend changes to the purchase policy that would give the flexibility to react to spot pricing. Page 18 of 25 Page 1 of 5

Massee explained that the City would need approval from the Ministry of Transportation and Infrastructure for any lighting on the Airport sign. Sinnott/Fitzgerald THAT R. Sharp and D. Fitzgerald discuss options for lighting the Airport sign with someone from the Ministry of Transportation and Infrastructure. CARRIED 3. NEW BUSINESS Vancouver Island Economic Alliance (VIEA) Conference topics. C. Evans pointed out that topics for 2018 VIEA Conference sessions must be submitted by March. Zimmerman/Wilcock THAT R. Sharp, S. Smyth and Councillor Evans contact representatives of VIEA to discuss the possibility of having a panel discussion on Airport Transportation at the 2018 VIEA Conference. CARRIED 3.2. Topics for meeting with the Honourable Claire Trevena, Minister of Transportation and Infrastructure and MLA for North Island. Members discussed potential topics for the meeting with the Claire Trevena in the new year. Zimmerman/Sinnott THAT staff prepare a briefing package for the Airport Commission's meeting with Honourable Claire Trevena, Minister of Transportation and Infrastructure and MLA for North Island on four items as follows: 1. fire tanker base proposal to re-locate to Campbell river 2. transportation needs for North Island as related to Campbell River Airport 3. any potential future Provincial transportation policies related to airports 4. proposed Aviation program with North Island College (NIC). Comparison between Campbell River Airport and Comox Airport. Commission members observed that the Comox Airport seems to react more quickly to business opportunities than Campbell River Airport and that it also has a much larger customer count. In response to Commission members, T. Massee explained that the Comox Airport draws from a much larger customer base than the Campbell River Airport has. The Mayor further explained that the Comox Airport's operations and maintenance are funded by the federal government and therefore cannot be compared to CR Airport Governance review. Members requested that Peter Wipper, City Clerk attend the January Airport Commission meeting to give an overview on governance. 8. NEXT MEETING 8.1.
