BOARD MEETING January 12, 2018 Chair: Kay Daggett, Vice-Chair: Shawn Orme Lisa Atkins, Dale Larsen, Orme Lewis Jr., Terri Palmberg, John Sefton Catalina State Park MISSION: Managing and conserving Arizona s natural, cultural, and recreational resources for the benefit of the people, both in our parks and through our partners. VISION: Arizona State Parks and Trails is indispensable to the economies, communities, and environments of Arizona.

14 DISCUSSION ITEM E2 Historical Structure of Governance Advisory Committee 1976 Each organization has two (2) voting members Met semi-annually to review and evaluate: Operations Policies Projects & Programs Incomes/Revenue Approve Operating Budget Tripartite Committee 1998 Bylaws were amended to include representatives of State Parks, U of A & the Institute be included on Board of Directors. 15 DISCUSSION ITEM E2 Cooperative Management Agreement (CMA) Collapsing of Advisory Committee into the BTSA Board has led to unequal representation. (Quote from the 2016 audit) Tripartite Committee has not met in 15+ years. Boyce Thompson Arboretum State Park

16 DISCUSSION ITEM E2 NEXT STEPS All parties must revisit the CMA. Parties must be aware of their roles. Parties must work together to support the BTA mission. On-going tripartite meetings are set up. February 28 & April 26 10am. A sound financial plan and a successful fundraising strategy is necessary to overcome current financial challenges. It is probable that each presentation will be limited to one person per organization and the time allotted by the Chair. Action taken as a result of acknowledgment of comments and suggestions from the public will be limited to directing staff to study or reschedule the matter for further consideration at a later time.
