2 Blackman Charter Township Local Development Finance Authority Served By The Enterprise Group Board Meeting Minutes October 17, 2018 The Local Development Finance Authority of Blackman Charter Township held a Board Meeting at 6:00 p.m., Wednesday, October 17, 2018, at Blackman Charter Township Meeting Hall, 1990 W. Parnall Road, Jackson, Michigan. Members present (8): Diane Derby, David Elwell, Barry Harmon, Pete Jancek, Chad Linabury, Darrell Norris, Bill Warner, and Shawn White Members absent (2): Cindy Acker and Bob Sayles Staff: Amy Torres and Debbie Kelly, The Enterprise Group of Jackson Others: Jack Ripstra, Township Engineer The BLDFA Board Meeting was called to order by Chairman Jancek at 6:03 p.m., and asked that the wetland delineation renewal be added to the agenda. Public Comment: None. Approval of Minutes: Motion by Mr. Elwell and seconded by Mr. Norris to approve the August 15, 2018 Meeting Minutes, as presented. Motion approved unanimously. Treasurer s Report/BLDFA Invoices: The BLDFA post-audit bills through September 30, 2018, totaled $4, The current balance in the BLDFA Admin fund is $65, Motion by Mr. Elwell and seconded by Mr. Linabury to accept the Treasurer s Report ending September 30, Motion approved unanimously by roll call vote. Wetland Delineation Renewal: Chairman Jancek explained that the wetland delineation was done in November 2015 and expires next month. The report needs to be redone so we are prepared for upcoming sewer work. This report is required before applying for a permit. Chairman Jancek requested the BLDFA Board renew the assessment with ASTI, which is the only bid that was received in the amount of $2,700. Mr. Ripstra added that the same three firms were approached for the bidding opportunity. Motion by Chairman Jancek and seconded by Mr. Linabury to approve the wetland delineation renewal with ASTI in the amount of $2,700. Motion approved unanimously by roll call vote. BLDFA Properties Update: JTP North Property Update: Ms. Torres shared that the Township Board created an IDD for the entire property, so companies within the BLDFA boundary can apply for a P.A. 198 (tax abatement). The Township Planning Commission held a Public Hearing to rezone the property to I-2, Heavy Industrial to mimic zoning in the southern portion, and to match the Township master plan. In addition, Chairman Jancek shared that the loan payment of $140,000 was made to 1990 W. Parnall Road Jackson, MI / FAX 517/

3 County National Bank, and he hasn t had an opportunity to speak to the County regarding the remaining balance. Chairman Jancek will analyze the tax revenue for another payment, which should be coming in soon. Chairman Jancek mentioned that Mr. Scott Sturgis from TAC read a statement druing the Public Hearing in support of the expansion, but voiced his concerns as it relates to transportation and pedestrian safety along County Farm Road. Ms. Torres added that she is hopeful that as new projects come to fruition, we would be able to work with JDOT for a Transportation Economic Development Fund (TEDF) grant. Chairman Jancek reminded the BLDFA Board that TAC and Technique are still willing to help fund road improvements and/or a pathway for safety. Ms. Torres concluded that there are several resources that BLDFA Staff can research and possibly utilize. Ms. Torres mentioned that the Michigan Project Readiness information was included in the Board packet, and reminded the Board that Jackson Technology Park North is one of 16 sites that the State has selected. The consultant was impressed with the meeting participants, which included both telecommunication companies, Consumers Energy representatives, and Township officials. Ms. Torres noted that the consultants are busy conducting site visits, and we are currently waiting for them to reach out to us for next steps. Technique Update: Ms. Torres mentioned that The EG received regional funds to participate in a talent video for Site Selectors, and on behalf of Jackson County, Technique, Inc. was asked to participate due to their extensive talent culture with Technique U. Ms. Torres added that Ronnie and Laura were both able to participate in the video, which took an entire day to film. Ms. Torres shared that she met with Mr. Johncox to remind him of his November 11, 2018 deadline to commence construction. Mr. Johncox is planning to attend the Planning Commission Meeting on October 30 th to show good faith effort that he is moving forward by presenting his current site plans, and he has purchased the eastern most parcel on County Farm Road, previously owned by the Makeup Geek. Mr. Ripstra and the Board concurred that making a good faith effort is considered commencing construction. Ms. Torres will provide an update at the next meeting. Board/Staff Comments: Chairman Jancek shared that he recently appeared on JTV to provide Township updates, and mentioned that there will be a new Dollar General on East Michigan Avenue, where the former Porky s was. In addition, O Reilly Auto purchased the former Ponderosa/Old Country Buffet facility. In 2018, there have been 12 permits issued for new homes in the Township, with five of those still under construction. Chairman Jancek invited the Board to an upcoming Jackson County Traffic Summit on October 31 st, hosted by JDOT and held at the Township. TownPlace Suites anticipates opening in December 2018, and the Courtyard by Marriott anticipates opening in the spring of Lastly, Mr. Patel has sold both the Holiday Inn and Home 2 Suites, after he appealed to the MMT to get the taxable value reduced, which resulted in the BDDA paying back approximately $21,000. Mr. Elwell reported that the County approved the 2019 Budget last night. Ms. Torres shared that on Monday evening, the Township approved the Brownfield Plan for Dysert storage units at the former drive-in on W. Michigan Avenue, in Blackman Charter Township. The W. Michigan Avenue frontage portion will remain vacant for future development. Chairman Jancek added that this is the same type of Brownfield project as Great Lakes Industry with the Kutcha s development. 4 Blackman Charter Township Local Development Finance Authority Served By The Enterprise Group Board Meeting Minutes November 14, 2018 The Local Development Finance Authority of Blackman Charter Township held a Board Meeting at 6:00 p.m., Wednesday, November 14, 2018, at Blackman Charter Township Meeting Hall, 1990 W. Parnall Road, Jackson, Michigan. Members present (6): Cindy Acker, Diane Derby, David Elwell, Pete Jancek, Chad Linabury, and Bob Sayles. Members absent (4): Barry Harmon, Darrell Norris, Bill Warner, and Shawn White. Staff: Amy Torres and Debbie Kelly, The Enterprise Group of Jackson Others: Ronnie Johncox, Technique; Jack Ripstra, Township Engineer; and Evelyn Markowski and Stephanie Hinkle, Township Assessing Department. The BLDFA Board Meeting was called to order by Chairman Jancek at 6:02 p.m., and asked that Mr. Johncox present the Technique Project Update while quorum was present. Public Comment: None. Technique Update: Mr. Johncox was in attendance to share the details of his project, and provide history regarding his facility that was built in Mr. Johncox shared that he has current site plans, and has purchased the eastern most parcel on County Farm Road, previously owned by the Makeup Geek. Additional acquisitions are being considered as well to accommodate truck docks, and future expansions. Mr. Johncox anticipates building two buildings vs. one giant building, with one of the facilities being 50, ,000 square feet. Mr. Johncox shared that he is interested in the possibility of connecting the two buildings with an underground tunnel, but has no idea what a project like that would cost, as well as the engineering requirements. Mr. Johncox inquired about another project that he and another local company have been discussing, and asked Ms. Markowski to investigate the possibility of pre-paying property taxes. Mr. Johncox mentioned that his extension expired on November 11, 2018, and is getting his construction bids now, along with finalizing his site plans, and permits. Ms. Torres reminded the BLDFA Board that at the last meeting, we discussed commencement of construction, and the Board concurred that the due diligence Mr. Johncox has taken prior to the expiration date satisfies the interpretation. Chairman Jancek added that Mr. Johncox s , dated November 11, 2018 with his intentions of construction, also constitutes commencement of construction, and the board concurred. To allow enough time with the upcoming holidays, Mr. Johncox requested a 90-day extension. Motion by Mr. Elwell and seconded by Mr. Linabury to grant a 90-day extension, expiring February 14, Motion approved unanimously by roll call vote. NOTE: One BLDFA Board Member left the meeting after the Technique vote, and as a result, we no longer had quorum. Approval of Minutes: Tabled until December 12, 2018, due to lack of quorum W. 5 Treasurer s Report/BLDFA Invoices: Tabled until December 12, 2018, due to lack of quorum. BLDFA Properties Update: JTP North Property Update: Ms. Torres mentioned that JDOT will be addressing the safety concerns along County Farm Road at on upcoming meeting, and Chairman Jancek added that MDOT will be involved in the discussion as well. Ms. Torres provided an update regarding Michigan Project Readiness noting that she saw Courtney from Olsen Consulting at a recent conference, and again, she complimented us on the kick-off meeting participants. Ms. Torres noted that the consultants are busy conducting site visits, and we are currently waiting for them to reach out to us for next steps. Proposed 2019 BLDFA Budget: Chairman Jancek asked the BLDFA Board to review the preliminary budget that was handed out at the meeting, as well as ed to each of the BLDFA Board Members prior to the meeting. Chairman Jancek noted that all expenditure amounts were increased by three percent, with the exception of contracts. Chairman Jancek explained that the Township should receive some increased revenue from the two new millages that recently passed. Ms. Torres asked about line item #56 on Page 2, and Chairman Jancek responded that there are a few line items that are still in need of updating, and the Township Accountant is working on it, and will have the final ready for the December 12 th BLDFA Board Meeting. Board/Staff Comments: Mr. Elwell shared that there are three new Jackson County Commissioners. Mr. Linabury shared that he is seeking advertising ideas for his son s hockey team. 21 Blackman Charter Township Local Development Finance Authority Served By The Enterprise Group 2018 End of Year Report The Enterprise Group of Jackson has contracted to serve as support staff for the Blackman Charter Township Local Development Finance Authority (BLDFA) during The adopted 2018 Scope of Work for the LDFA includes the following: Aggressively market the 181-acre property north of County Farm Road, as well as other BLDFA properties that are within the Jackson Technology Park (JTP) SmartZone SM : 1. The EG participated in a Region 9-funded project to produce a talent video for Site Selectors, and on behalf of Jackson County, Technique, Inc. was asked to participate due to their unique talent culture with Technique U. The video is still under production, and will be shared when complete. 2. Jackson Technology Park North is one of 16 sites that the State has selected for their Michigan Site Readiness Projects. The consultant was impressed with the kickoff meeting participants, which included both telecommunication companies, Consumers Energy representatives, and Township officials. The statewide study and results should be completed during March. 3. The Blackman LDFA property is included on The EG, Greater Ann Arbor Region/Zoom Prospector, and Michigan Economic Developers Association (MEDA) Certified Business Park (CBP) Web sites. EG Staff received over 42 attraction inquiries through November 30, In addition, EG Staff received 33 requests for information (RFI s) from the Michigan Economic Development Corporation, with seven requests that The EG was able to respond to. Ms. Torres has promoted the property to several local companies she is working with who are seeking property for relocation/expansions. 4. The EG continues to utilize the property database with our Region 9 partners; Hillsdale, Lenawee, Livingston, Monroe and Washtenaw counties. With a grant funded by the Michigan Economic Development Corporation (MEDC), the Greater Ann Arbor Region (GAAR) is working collaboratively to target businesses that are seeking a destination for relocation or expansion, which has spurred the regional website and which includes a suite of research data, regional success stories, an available property database through Zoom Prospector, and other tools that businesses can use to evaluate location options. 5. The BLDFA continues to discuss future development options and locations to continue prosperity in the township. Identify the demand for industrial park property within the Jackson area, and more specifically, within Blackman Charter Township: Jackson Technology Park North: l Several tasks have been completed this year, as it relates to site preparedness for the 181-acre property now known as Jackson Technology Park North. As a summary: 1. The Blackman Charter Township Local Development Finance Authority (BLDFA) purchased a 181-acre property north of County Farm Road for a new industrial park, which is currently referred to as Jackson Technology Park North; 1990 W. Parnall Road Jackson, MI / FAX 517/

BLDFA Staff revised the BLDFA Jackson Technology Park North Developers Packet, and Land Use Matrix; 3. Sanitary Sewer Improvements and Timelines were presented and approved at the August Utility Committee for Phase II consideration; with Township Board action on August 20 th to authorize sanitary sewer improvements to begin; 4. The Blackman Charter Township Board created an Industrial Development District (IDD) for the entire property, so companies within the BLDFA boundary can apply for a P.A. 198 (tax abatement) for construction; 5. The Blackman Charter Township Planning Commission held a Public Hearing to rezone the property to I-2, Heavy Industrial to mimic zoning in the southern portion, and to match the Township master plan, which was recommended for approval to the Township Board by both the Township and County Planning Commissions; 6. Mr. Scott Sturgis from TAC read a statement during the Public Hearing in support of the expansion, but voiced his concerns as it relates to transportation and pedestrian safety along County Farm Road. EG, Township Staff, and JDOT are exploring sources of funding to address safety and capacity issues; and 7. The wetland delineation report will be updated in preparation for the upcoming sewer work, which is required before applying for a permit. Secure at least one new development into the park: Technique Update: At the November 14 th BLDFA Board Meeting, Mr. Johncox requested and was granted a 90-day extension to commence construction, which now expires on February 14, Mr. Johncox advised that he recently purchased additional adjoining acreage, which allows him to reconfigure his site plans to allow for future expansion. He expects to file the amended plans with the Planning Commission soon. Administer the Baker College Business Technology Center (BCBTC), as directed by the Jackson Technology Park SmartZone SM Agreement between MEDC and Blackman Charter Township. Task includes; Administration oversight, background checks for potential tenants, quarterly meetings, tenant application documentation and related provision of business accelerator services, grant administration, and requisite reporting: Ms. Torres continues to attend quarterly Smart Zone meetings at Michigan Economic Development Corporation (MEDC). The contract for administering the BCBTC has expired due to lack of interest, although, Baker College would still consider working with potential tenants to consider offering free rent for the first six months and a low lease rate thereafter for high-tech startup companies. Continue to market the BLDFA and JTP SmartZone SM on The Enterprise Group of Jackson s Web site at 1. The Blackman LDFA staff continues to market the property on The Enterprise Group of Jackson s website at which includes the developer s packet, as well as aerial and concept maps on the BLDFA partner page at: 2. Act 57 does not make substantive changes to the process by which a tax increment entity is established or adopts its development plans and tax increment financing plan. However, Act 57 does make substantive changes in the way a tax increment entity operates, most notable with the respect to annual reporting, and publication of certain required information, which requires authority s to create a web site that includes several records and documents. Name new developments as eligible for tax capture by amending Tax Increment Finance (TIF) and Development Plan Future revisions to the TIF and Development Plan will be completed by staff, as warranted. Develop & present 2019 LDFA Scope of Work and Budget: 1. The Scope of Work was prepared and will be presented for this meeting. 2. Staff at Blackman Charter Township prepared the annual budget, with the assistance of Dove & Hickey, CPAs, which was presented for review at the November 14, 2018 BLDFA Board Meeting, and scheduled for approval at the Annual BLDFA Meeting on December 12, Provide staff support to serve as Assistant Secretary and Assistant Treasurer, if desired: Staff served as Assistant Secretary to take meeting minutes, prepare and send out meeting notices, agendas, and minutes from previous meetings. Prepare and maintain Certified Business Park Web site information with the Michigan Economic Developers Association (MEDA) BLDFA Staff prepares all necessary documentation to renew the CBP on an annual basis, including meeting the MEDA CBP Inspectors on site and completing necessary documentation. 26 Blackman Charter Township Local Development Finance Authority Served by The Enterprise Group of Jackson 2019 MANAGEMENT AGREEMENT between the Blackman Charter Township Local Development Finance Authority and The Enterprise Group of Jackson, Inc. This management agreement establishes the terms of the relationship between the Blackman Charter Township Local Development Finance Authority ( BLDFA ) and The Enterprise Group of Jackson, Inc. (EG) with work to be performed through The Enterprise Group of Jackson, Inc. (EG). The EG will provide the following services on behalf of the BLDFA: Identify the demand for industrial park property within the Jackson area, and more specifically, within Blackman Charter Township; Continue to market and create marketing material(s) as necessary for Jackson Technology Park SmartZone sm ; Assist the Board with the BLDFA Amended TIF and Development Plan, if necessary; Maintain the BLDFA Partner Page on The EG web site; Oversee Certified Business Park (CBP) website maintenance and annual certification with the Michigan Economic Developers Association (MEDA); Provide services relating to acquisition and development of additional BLDFA property; Prepare and submit Annual SmartZone Tax Increment Report to the Michigan Economic Development Corporation, County Affairs and Agencies Committee Semi-Annual Reports, and all Annual Meeting reports as required; and Provide other routine and administrative services as may be agreed upon by the Chair of the BLDFA and the President & CEO of the EG.
