1 NPOA Board of Directors Meeting October 9, :00a.m. Adult Center A regular meeting of the Northstar Property Owners Association Board of Directors was called to order at 9:00a.m. by the Board President, Richard Paterson. 1. Roll Call: The following Board members were present at the meeting: Richard Paterson, John Gingerich, Lawrence Danto, Bill Ireton, Michael Plishner, Dennis Mulloy, and Brian West. President Paterson welcomed the members of the audience and asked them to introduce themselves. 2. Property Owners Comments: None 3. A. Approval of the September 3, 2010 NPOA Board Meeting minutes and the September 4, 2010 Annual Membership Meeting minutes. A motion was made to approve the minutes from the September 3, 2010 Board of Directors meeting with changes. Motion carried unanimously. A motion was made to approve the minutes from the September 4, 2010 Annual Membership meeting. Motion carried unanimously. 4. Election of Board Officers: The following Board members were re-elected: President Richard Paterson Vice President John Gingerich Secretary/Treasurer Lawrence Danto Three separate motions were made to: 1. Re-Elect Richard Paterson as the NPOA Board President, 2. Re-Elect John Gingerich as the NPOA Board Vice President, 3. Re-Elect Lawrence Danto as the Secretary/Treasurer. Motions carried unanimously. 5. Community Reports: NCSD Duane Evans, President of NCSD informed the board that the trail at Big Springs Drive has been completed. The overlay project on Northstar Drive is two weeks ahead of schedule and they are in the process of putting the curbs in. The major manholes have been uncovered and re-set. The smaller manholes still need to be dug out and caps put on. With the exception of rebuilding the roundabout and remaining section of Northstar Drive, NCSD has no major projects lined up for next year and are consistently maintaining the water and sewer systems. 2 Booth Creek/Northstar-at-Tahoe There was no representative present and no news to report. 6. B. Committee Reports: Discussion/Action Audit Committee: John Gingerich Budget/Finance Committee: John Gingerich Director Gingerich stated that the August financials have been reviewed and looked fine. The Board discussed the reports. NPOA General Manager Geoff Stephens stated that there had been one short sale and one foreclosure. Bank of America is holding off on foreclosures as of now. President Paterson commented that they are not stopping the foreclosure process, just delaying it. The board would like to add a line item for lost fees due to foreclosures and also implement an access fee line item. Mr. Stephens commented that the financial statements are healthy. Director Plishner mentioned that he would like to look at the data from guest fees and analyze numbers, and compare how many are from private rentals to Northstar rentals. Mr. Stephens would like to continue having the access committee for at least another year to analyze these numbers. A motion was made to approve the 2010 August financials. Motion was approved unanimously. Design Review Committee: Lawrence Danto Director Danto reported that another housing project had started. Overall, everything has been running smoothly. Last month was busy reviewing variances, but all of them turned out extremely well. Oversight Committee: Michael Plishner East West Partners: Mr. Stephens updated the board with the current situation of East/West Partners after meeting with them. A separate family home project that is contiguous to the EVA road and North Summit called the Highlands III has been submitted to the County. It will be a gated community consisting of 30 homes and East West will be selling the property but not building them. The parcels will be 1/3 to ½ an acre each. The design review guidelines are being put together. The conditions of approval would be the same as the Highlands II and no use of the EVA road. Some of the concerns the board and NPOA has are the construction hours, the EVA use, the contiguous impact to property along North Summit, and the existing ski back trails to the Timberline lift. Mr. Stephens noted that he would like to set up a workshop with East West Partners in the first week of November to discuss the details of the project. Resort Liason: Dennis Mulloy [2]

3 Director Mulloy informed the board that Booth Creek/Northstar purchased a new sound system. The speakers face inward with the volume control set at 65 which should be helpful. Mr. Mulloy has met with Chris Ryman about the village noise and Mr. Ryman is committed on fixing the problem including pulling the plug on bands if they are too loud. The biggest impact has been to the Ski trails area especially during wedding receptions. Northstar has been making headway with this issue and will continue to do so. Director Mulloy also informed the board in the last few months he has been receiving complaints about the constant hum from the gondola especially in the Big Springs/Ski Trails area and in the new village. Booth Creek has been involved with this situation by adding sandbags around the bull wheel and covering the rollers. They also have spoken with the manufacturer, Doppelmayr. It is NPOA s understanding that East/West Partners will be the responsible party to get this issue resolved. North Tahoe Regional Municipal Advisory Committee: Brian West Long Range Planning Committee: Richard Paterson Recreation Access Committee: Lawrence Danto Director Danto commented that the committee can analyze the access statistics. He noted that the committee could be downsized and possibly disbanded next year. 7. C. Committee Development & Appointment Mr. Stephens asked the board to consider developing a new committee between NPOA and the condo associations after speaking with the Ski Trails and Gold Bend Presidents. The board thought it was a good idea and would like to see if there was interest among the condo associations. President Paterson suggested that there could be a meeting twice a year. President Paterson reviewed with the board the current committees. The Board decided to eliminate the Porcupine Hill Committee for the time being. Director Danto would also like to cut back the Recreation Center Access Committee to two members. The board concluded that all committees are running smoothly and will inform NPOA management of any changes to the committees. 8. D. New Business: Discussion/Action: 2011 Operating/Reserve Budget: Mr. Stephens informed the board that there is $100,000 in contingency. Director Gingerich presented budget material for the 2011 fiscal year and recommended that they be approved by the board. It would allow for a planned increase of $50,000 to the Capital Reserve Account to a total of $250,000, and would produce a small cash excess for the year. It would leave the member dues at $1,000 per year. He also recommended moving $200,000 of the excess [3]

4 operating cash to the reserve fund in 2011 in order to approach the targeted 50% funded goal of the board subject to audit. Director Plishner suggested the board decrease contingency $10,000 and add a new line item for bad debt expense. President Paterson commented on all the hard work by staff to maintain cost control with no shortages of service. A motion was made to approve the 2011 Operating/Reserve Budget. Motion was approved unanimously Annual Mailing: The board reviewed the annual mailing packet including attachments, disclosures, and the cover letter to the homeowners. The attachments and disclosures haven t changed in the last year. There was a suggestion from the board to make minor changes to the cover letter pointing out what the board has accomplished in the last few years and going forward. A motion was made to approve the 2011 Annual mailing to the homeowners subject to changes to the cover letter. Motion was approved unanimously. Transfer of Operating Funds to Reserves: President Paterson discussed with the board the transfer of $200,000 from the operating account to the reserve account pending audit. It will be discussed in March Bank Account Signers: The bank account signers are: Richard Paterson, Dennis Mulloy, Lawrence Danto, Geoff Stephens, and Nancy Barna. A motion was made to approve the bank account signers. Motion was approved unanimously. 9. E. Old Business: Discussion/Action CC&R Update: Mr. Stephens informed the board that the CC&R s will be released as soon as they are recorded by the county. 10. F. General Managers Report: Discussion/Action Southwest Gas: Southwest Gas will be completing work at the end of this weekend on a gas line. There will be no change in pressure to the line and there is no charge to NPOA. Facility Cleaners: Mr. Stephens recommended that the board approves a contract with A Step Above for A Step Above has made favorable changes to their staff and there has been significant improvement. NPOA is consistently monitoring their work. They have submitted a contract for 2011 at $60,000 for the year, the same as in A motion was made to approve the contract renewal with A Step Above for the year Motion was approved unanimously. 5 Mr. Stephens noted that Northstar security has been providing good service. There is a 4% increase in their base cost with no changes to their service. The board reviewed the contract and the board informed NPOA to keep an eye on increase in the future. A motion was made to approve the Northstar Security contract. Motion was approved unanimously. Hays Insurance Company: Mr. Stephens informed the board that Hays Insurance Company will be representing NPOA for insurance requirements in 2011 with the exception of Workers Compensation, which is being handled by Lawes-Hawkins. Family Spa Update: Mr. Stephens confirmed that the family spa has a leak and recommends we take steps to rebuild the spa next fall. It could take days to complete spa installation. The board directed Mr. Stephens to file a permit with Placer County, and to get Toot Joslin, our pool maintenance contractor to draw up two or three concept designs. There will be a follow-up discussion at the December 11, 2010 BOD meeting to discuss designs. This project will be financed from the reserve account. Facility Update: NPOA is in the process of winterizing the facility and has begun closing down the tennis courts. The board discussed the amount of income NPOA is receiving from the tennis program. The Splash Pad, Main Pool, Kids Pool, and Family Spa are closed for the winter season. Solar Energy Seminar: Mr. Stephens attended a solar energy seminar per the request of President Paterson on potential cost saving. He found it informative and would look into it more in the future. 11. G. Copies of Correspondence: The Board reviewed copies of correspondence received by NPOA since the last board meeting. 12. Director s Comments: The next and final Board meeting of the year will be on December 11, Adjournment: A motion was made to adjourn the meeting at 11:18 am. Motion carried unanimously.
