7 Rajasthan State Ganganagar Sugar Mills Limited, Jaipur SPECIAL TERMS AND CONDITIONS FOR THE SUPPLY OF RECTIFIED SPIRIT FOR POTABLE PURPOSE 1. Quantity : Lac. Bulk Litre Rectified Spirit (Molasess Based) 2. SPECIFICATION : The rectified spirit to be supplied should conform to IS specification No. 323:1959 (as amended from time to time). It should be fit for potable use and the strength of rectified spirit shall be 66 o OP. Certificate issued by Excise Official of Exporting State to this effect as well as showing that it is Molasess based and conforming to ISI and is fit for human consumption shall be furnished with each consignment (Annexure 'A'). In case said certificates are not sent alongwith each tanker, the tanker shall not be decanted (unloaded). Proportionate deduction for lower strength of rectified spirit received upto 64 0 OP shall made by us but supply of Rectified Spirit of below 64 0 OP will be rejected by us on suppliers cost and risk. Company reserves the right to conduct sudden/ random inspection of the supplied goods to check the quality of supplied item at unit/rc or any place even after the final payment. If quality of supplied goods are not found upto the mark, the suitable deduction shall be made from the bill. The decision of the RSGSM will be final and binding to the supplier firm. In this regard claim of any supplier shall not be accepted. 3. RATE : Single Rate should be quoted on the basis of per bulk litre on F.O.R. basis for our 20 warehouses viz. Jhotwara (Jaipur), Jhunjhunu, Sikar, Bharatpur, Dholpur, Swaimadhopur, Alwar, Ajmer, Bhilwara, Kota, Baran, Bundicity, Udaipur, Chittorgarh, Mandore, Rani, Sirohi, Sriganganagar, Bikaner & Hanumangarh separately in Proforma schedule of rate enclosed to this tender document. This rate quoted shall remain firm during currency of the supply contract and no escalation will be allowed. Any increase or decrease in Government levies or Taxes on Grain/ Rectified Spirit shall be considered by the Director Incharge on presentation of proof of such increase/decrease and Escalation / Reduction shall be allowed accordingly which shall be binding on the supplier. Note :- a. Please indicate separately prevailing Export Pass Fee/ Export Duty of Exporting State as on Rs. per B.L.(to be filled by tenderer) If tax is not applicable it should be mentioned specifically, otherwise quoted rates shall be considered as being inclusive of applicable Tax. b. The tenderer should offer a minimum of lac B.L. Rectified Spirit. Offers for quantity less than lac B.L. shall not be considered and shall be liable for rejection. c. The Offered quantity should be separate from the supply ordered in previous tender & yet to be supplied. 4. The rate will be offered on the basis of parallel rate contract provisions of General Financial & Accounts Rules of Rajasthan State Government. 7

8 5. In case of any quantity, full or part, against the ordered quantity, remains unsupplied, Permit Fee for import/transport of Rectified Spirit within the State paid by RSGSM shall be recovered from the supplier. 6. EARNEST MONEY : Supplier shall have to deposit a sum equivalent to 2% of value of offered quantity or Rs. 8,00,000/-, whichever is higher as EMD. Upto Rs Lac must be deposited by way of Demand Draft/Bankers Cheque in favour of RSGSM Ltd., payable at Jaipur. Amount of EMD more than Rs lac can be deposited by way of DD/B.C./Bank Guarantee. Tender without appropriate EMD shall not be accepted. Please ensure about guidline of EMD. 7. SUPPLY SCHEDULE : Supply Schedule will be given seperately from time to time, which should be strictly adhered to, in phased manner on fortnightly basis. NOTE : Tenderers should intimate their tanker capacity within 3 days from the receipt of offer of the rate to the firm from RSGSM. 8. Supplier shall be allowed to avail extension in delivery period under the provisions of L.D. Clause for two defaults from to and such a firm may be debarred for future business transactions with the Company for a period to be decided by the Director Incharge of the Company. 9. MODE OF MEASUREMENT : In case of F.O.R. supplies the supplier shall deploy calibrated tankers, duly certified by Competent Government authorities in this regard. Each tanker should accompany the dip rod and guage chart duly certified and in the absence of the same, the tanker might not be decanted. 10. DIVERSION : Usually no tankers shall be diverted from the place for which tanker is loaded to any other place, but in exceptional cases where such diversion is made, cases shall be decided on the merits. For this purpose tenderers should supply entire quantity in phased manner regularly as per direction of Head Office to avoid unnecessarily diversion. 11. PAYMENT: 100% payment shall be made to supplier by Head Office through Cheque/RTGS/ Demand Draft at party's cost on receipt of verified bills regarding Quantity and quality by our respective Warehouse/Units and counter checked and verified by our Purchase Section. Payment shall be made for the quantity despatched taking into consideration allowable Transit Wastage as per excise rules of Exporting State/Rajasthan whichever is lesser. Supplier shall invariably submit monthly despatch statement immediately after the close of month. 12. LIABILITY ON ACCOUNT OF EXCESS WASTAGE ETC.: All Excise rules and regulations and other regulations of the Exporting State and/or Rajasthan Government that are in force at the time of delivery of the goods or may be in force at the time actual supply, shall be applicable on the supplier until the completion of the contract. If any liability arises on RSGSM, on account of excess wastage, loose strength of rectified Spirit on account of any violation of excise regulation and/or other Government regulation, the same will be borne by the 8

9 supplier and it shall be responsibility of the supplier to indemnify the buyer (RSGSM) by those amounts or otherwise get it waived off from the appropriate authorities of concerning State. The transit wastages would be allowed upto 0.2% only. In case of excess wastage, no additional transit wastage shall be allowed to the supplier and duty/penalty shall be charged on total wastage, from the supplier as per rules in force at the time of supply. 13. CANCELLATION : In case RSGSM does not require part or entire ordered quantity, due to any reason, it may cancel the part or entire order during the period of contract and/or any extended period, for which no claim shall be entertained of the supplier. 14. FORCE MAJEURE CLAUSE : If Government imposes any restriction on the supply, matter shall be considered under Force Majeure Clause. 15. ACCIDENTAL LOSSES : In case of accident of tanker supplier shall be responsible for making good the loss caused to RSGSM. 16. INSURANCE : Insurance of material in transit shall be arranged by the supplier at their own cost. 17. TAX DEDUCTION AT SOURCE : Income tax deduction will be made at source at the rates notified by the Central Government from time to time, if applicable on the supply contract. 18. SECURITY DEPOSIT : After finalization of order balance sum making it equal to 5% of the total value of oder shall be deposited as security. Rs lac must be deposited by way of D.D./B.C. and amount of Security more than Rs lac can be deposited by way of D.D./B.C./ Bank Guarantee, otherwise this will be deducted from first supply bill. Earnest money shall be adjusted in security deposit. 19. FORFEITURE OF SECURITY MONEY : Forfeiture of Security money in regards to Rectified Spirit tankers in which rectified Spirit was not found conforming to ISI-323 except specific condition in regard of strength of rectified spirit as per purchase order :- (i) (ii) Rs Lac from the Security deposit may be forfeited on default/defaults in one tender. Rs.5.00 Lac from the security deposit may be forfeited on the default/defaults by the same supplier firm in second tender during the same financial year. (iii) Rs.7.50 Lac from the of security deposit may be forfeited on the default/defaults by the same supplier firm in third tender during the same financial year. 9

10 (iv) Rs Lac from the security deposit may be forfeited on the default/defaults by the same supplier firm in the fourth tender during the same financial year alongwith blacklisting them for one year from last default. 20. Any Duty, Tax etc. paid at the time of purchase shall be refunded to RSGSM the event of the same being held to be not payable. 21. The payments will be made without prejudice and under protest and refundable to the Company in case the levy of the export fee is held to be void. 22. The payment of permit fee in whatever name to the State of Uttar pradesh for export of rectified spirit would be paid without prejudice to the rights of Rajasthan State Ganganagar Sugar Mills Ltd., in view of the Judgement of the Hon'ble Supreme Court (in case No. 422/80 transferred case No /1989) and other concerned matters, so decided on , wherein the Hon'ble Supreme Court has categorically held that the charges of any fee on export of rectified spirit is beyond the Competence of the State Government. Thus, the payment of permit fee for export of rectified spirit in whatever name paid to the State of Uttar pradesh would be under protest and the same would be refundable to the Rajasthan State Ganganagar Sugar Mills Ltd., as the levy on export of rectified spirit is in violation of the judgement of Hon'ble Supreme Court. The charges of permit fee included in the rate quoted by the supplier, being paid by the Rajasthan State Ganganagar Sugar Mills Ltd., would then, however, on refund of the said permit fee by whatever name be refundable to the Rajasthan State Ganganagar Sugar Mills Ltd., either by way of litigation or otherwise and would not ultimately be refundable or payable to the supplier. 23. The Distillery of U.P shall present their proof of depositing the Export Pass Fee against their current and running supplies, else the payment equivalent to Export Pass Fee shall be with-held. 24. As RSGSM has installed its own lab at Jhotwara distillery. Therefore, first test will be done in RSGSM Lab and if Rectified Spirit is found as per specification only then it will be accepted. 25. The tenderer should offer a minimum of lac B.L. Rectified Spirit. Offers for quantity less than lac B.L. shall not be considered and shall be liable for rejection. 26. In case of loss of production due to non supply of Rectified Spirit the actual loss accountable against such idle manpower shall be recovered from such supplier. 27. Company reserves the right to reject any tender without assigning any reason thereof. 10

11 28. TENDER SHALL BE VALID a. For a period 90 days (or any specified period from the date of opening of tenders.) b. After a tender has been accepted, the rate shall remain valid through out the financial year or for the period for which tenders are invited whichever is higher. 29. The Special Terms and Conditions shall prevail upon where ever the same are in contradiction with the General Terms and Conditions. In case of dispute regarding interpretation of any terms and condition in the Tender Document the same should be got clarified by the Tenderer before submitting the Tender Bid. Decision of the Management shall be final and binding on all the Tenderers. Any request for changing of any conditions/quoted price or inclusion of any documents etc. after submitting the Tender Document unless called for by written fax shall not be entertained. 30. 12 Rajasthan State Ganganagar Sugar Mills Limited CONDITIONS OF TENDER AND CONTRACT 1. The tenderer shall have to carefully study and understand the conditions, specifications, size, make etc. of the goods to be supplied. If he has any doubt about the meaning of any terms, conditions or specifications etc. he should refer to officer Incharge and get clarification. The decision of the Company regarding interpretation of the conditions and specifications shall be final and binding on the tenderers. 2. Tenders should be filled in with ink. No tender filled in by pencil or otherwise shall be considered. No addition and alteration should be made in the tender. No overwritings should be done. Corrections, if any, should be done clearly and should be initialed. 3. Quotation must be submitted in properly sealed envelope according to the directions given in the tender notice and must reach this office in time and date as notified. Envelope must be inscribed with the subject of tender and name of tenderer. 4. Tenderers are hereby explicitly warned that individuals signing the tender must specify as follows :- (a) Whether signing as "Sole proprietor of the firm?" (b) Whether signing as registered active partner of the firm? (c) Whether signing for the firm i.e. for procurationem? (d) In case of Companies and registered firms, whether signing a Secretary, Manager, Partner, Director etc. will submit an authorisation from the company to do this. A copy of any document under which such authority is given should be forwarded with the tender if a copy has not already been sent to the Company. 5. Only such tenderers who are bonafied manufacturers/dealers into the goods for which they tender shall be eligible. 6. No dealer, who is not registered under the Sales Tax Act, prevalent in the state where his business is located, may not be eligible for tender. The sales Tax registration numbers should invariably be quoted. 7. If a tenderer imposes conditions which are in addition to or in conflict with the conditions mentioned herein, his tender may be rejected. 8. The unit rates must not under any circumstances be altered and the rates must be entered in words as well as in figures. 12

13 9. (a) Rates quoted must be inclusive of all charges and taxes except Central/Rajasthan Sales Tax which shall be added at the prevailing rates. The tenderer should however indicate whether supply will be made from within or outside Rajasthan. The rates quoted be F.O.R. Distillery/Warehouses. (b) Any increases in excise duty or any other tax imposed by Central Government or State Government after the due date of the tender will be paid extra. Similarly, any reduction in the excise duty or any other tax after the due date of tender will be paid less to the party. 10. The tenderer shall note assign or sublet his contract or any part thereof to any other agency. Subletting may be allowed by Company provided the subletee is a registered firm under the Rajasthan Sales Tax Act. 11. The tenders should sign the tender form at the end of each page as a token of his acceptance of all the terms and conditions of the tender. 12. The tender must be accompanied by earnest money equivalent to 2% (0.5% in case SSI/Cottage industries registered with Industries Department of Rajasthan) of the value of which the tender shall not be considered. The earnest money should be deposited by the tenderer in one of the following forms only: Bank draft / Pay Order of the schedule Bank in favour of 'Rajasthan State Ganganagar Sugar Mills Limited,' payable at Jaipur. Note : (1) The rates should be quoted in a sealed cover and DD should be in a separate enclosure with the sealed cover. (3) The earnest money will be refunded to unsuccessful tenderer after final acceptance of the tender whereas in case of successful tenderer, it will be treated a part of security. 13. No request for adjustment of outstanding claim of any kind against the company towards EMD/SD will be entertained and failure to deposit the EMD/SD in full will always result in cancellation of tender/ acceptance. 14. Successful tenderers will have to deposit security money or an amount equal to 5% (1% in case of SSI/Cottage Industries of Rajasthan registered with Industries Department) of the estimated value of articles in cash or DD in favour of the Rajasthan State Ganganagar Sugar Mills Ltd. for which tenders are accepted within 15 days or any other specified period from the date of issue of purchase order. The security money will be refunded within six weeks after expiry of the contract on satisfactory completion of the same. No interest will be paid by the Company on the security money. If a tenderer fails to deposit the required security within the period specified, such a failure will be treated as breach of the terms and conditions of the tender and 13

14 will result in the forfeiture of the earnest money in part or in full at the discretion of the Director Incharge for reason to be recorded. 15. TENDER SHALL BE VALID (a) For a period 90 days (or any specified period from the date of opening of tenders.) (b) After a tender has been accepted, the rate shall remain valid through out the financial year or for the period for which tenders are invited. 16. The tenderer shall be responsible for the proper packing of goods so as to avoid damages under normal conditions of transport by road, sea, rail or air and delivery of the material in good conditions to the consignee at destination. 17. The tenders should be submitted alongwith samples if required. 18. The quantities shown in the tender notice are approximate and subject to variation upto 50% at the discretion of Director Incharge. The supplies shall have to be arranged according to requirements as and when orders are placed throughout the contract period. 19. The time specified for supplies of rectfied spirit shall be deemed to be the essence of the contract and the successful tenderer shall arrange supply/work within that period on receipt of work/supply order from the Company. 20. (i) If the contractor fails to execute the order/contract within the period specified in the tender form, and if such failure to deliver/complete in prescribed time as aforesaid have arisen from, any unforeseen cause such as strike, fire, accident, act of GOD resulting in stoppage of work in the factory, of the manufacturer or similar reasons which the Director Incharge may find valid for an extension of the time he may extend the period without charging any agreed liquidated damages. His decision shall be final regarding the sufficiency or otherwise of ground for extension of time. (ii) If the tenderer fails to execute the order/contract within the period specified in the tender form, the Director Incharge may at his discretion allow extension of time subject to recovery from the tenderer as liquidated damages and not by way of penalty, a sum equal to the following percentage of the value of goods which the tenderer has failed to supply for the period of delay as stated below:- (a) Delay upto one fourth period of the prescribed delivery period - 2½% (b) Delay exceeding one fourth but not exceeding half of prescribed delivery period 5%. 14

15 (c) Delay exceeding half but not exceeding three fourth of the prescribed delivery period - 7½%. (d) Delay exceeding three fourth but not exceeding the period equal to the prescribed delivery period 10%. Notes : (a) Fraction of a day in reckoning the period of delay in supplies shall be eliminated if it is less than half a day. (b) The maximum amount of liquidated damages shall be 10%. (c) When the successful tenderer is unable to complete the order/contract within the specified or extended period the Company shall be entitled to accept supply, get work done from the open market without notice to the tenderer but at his risk and cost i.e. tenderer's account and risk the goods or any part thereof which the tenderer has failed to supply or if not available the best and nearest available substitute thereof or to cancel the contract and the tenderer shall be liable for any loss or damage which the company sustained by reason of such failure on the part of the tenderer. But the tenderer shall not be entitled to any gain on such purchase made against default. The recovery of such damage shall be made from any sum accruing to the tenderer under this or any other contract with the Company. If recovery is not possible from the bills and the contractor fails to pay the loss or damage within one month, the recovery shall be made under any law for the time being in force or from any other bills outstanding with the Company. 21. When the security money in full or in part is proposed to be forfeited, a notice will be given to the tenderer to explain within 10 days as to why the security money should not be forfeited for failure to complete the supplies in time. 22. In the event of any breach of conditions of the contract at any time on the part of the contractor, the contract may be terminated summarily by the Director Incharge with such conditions as may be deemed fit. 23. The Mode of payment shall be according to special conditions of contract enclosed herewith. Normally, 100% payment is released after acceptance of supply and receipt of verified bills at Head Office. 24. Remittance charges on payment made to firms except through cheques will be borne by the supplier unless specifically agreed by the Company. 25. All legal proceedings, arising out of this contract shall be subject to the jurisdiction of the courts situated at Jaipur city only. 26. Direct or indirect canvassing on the part or tenderers or their representatives will disqualify them. 15

16 27. In case of any dispute arising in contract, the matter will be referred to Sole Arbitrator appointed by Director Incharge, RSGSM whose decision shall be final and binding on both the parties. 28. (i) The company reserves the right to accept any tender not necessarily the lowest any tender without assigning any reason and accept any tender for all or anyone or more of the goods for which the tender has been given. (ii) If the tenderer resiles from his offer or offers new terms after opening of the tender, his earnest money is liable to be forfeited. (iii) The submission of more than one tender and under different names is prohibited. (iv) Any relationship or business connection that may exist between tenderer and any official of the Rajasthan State Ganganagar Sugar Mills Ltd., Should be declared. If this information is found to have been suppressed, then contract, if any, entered into may be cancelled forthwith without notice and compensation and any amount may have been deposited forfeited any credited to the Company. 29.
