(2) Applicant must give full and correct details in this form. (3) The details given by applicant shall be got verified by Jaipur Dairy team. (4) After receiving verification report, a committee consisting of Dy.Manager (Marketing)/ Dy. Manager (F&A)/Assistant Manager (Marketing) shall scrutinize the application and recommend the suitable applicants for selection to MD, JZDUSS LTD., JAIPUR. (5) Selected candidates shall have to execute and agreement with JZDUSS Ltd. and shall have to start work as per direction, Selected distributors shall have to lift the Saras range of products as per details given in the annexure-a. During the first 3 months, the performance of the distributors shall be reviewed and the distributorship of the distributors, who fail to lift the Saras products as per the given targets, shall be terminated after 3 months & security money deposited be forfeited. (6) Even after passage of 3 months periodical review shall be made by us from time to time and in case at any point of time it is found that the performance of distributors is not satisfactory their distributorship may be terminated without given any notice and compensation etc. (7) No terms and conditions other than those mentioned in this application form shall be applicable and binding on Jaipur Dairy. 1. I/We agree to abide by the following conditions:- (A) The distributorship is for Saras rang of Milk Products. However, any product marketed by JZDUSS LTD, under SARAS brand name shall also be covered by the same. (B) The distributorship function will require obtaining supply, Storage, distribution, of products from the authorized rural distribution system (once a week) on advance payment by crossed Demand Draft/pay Order (CTS only), in favor of JZDUSS LTD. (C) The selling price of the products shall be fixed by JZDUSS LTD.,JAIPUR from time to time and in no case shall the distributor sell products to the retailer at a price higher/lower than those fixed by the JZDUSS LTD. 5

6 (D) JZDUSS LTD.,JAIPUR shall have exclusive right to fix the prices of its products and they reserve the right to vary/alter/revise prices at any time and no advance information shall be given to the Firm regarding the same. JZDUSS LTD. shall not be liable for any commitment made by the Firm to the trade before the price revision. (E) (F) The distributor shall supply products only in the area assigned to the party and shall endeavor to cover 100% of this area. The distributor shall deposit security deposit of Rs. 5,000/- with his application form to the JZDUSS LTD, Consequent upon expiry of the term of agreement, the security will be refunded if otherwise found to be qualifying for the refund. No interest will be paid by the JZDUSS LTD, on such security amount. In the event of non-performance of distribution function or failure to achieve targeted sales or any other default in observance of the terms and conditions. JZDUSS LTD, may impose appropriate penalty on the distributor maximum to the extent of security deposit amount. The amount of penalty is liable also to be adjusted and reimbursed from the security deposit. The decision of the Deputy Manager (Marketing) JZDUSS LTD., JAIPUR in this regard shall be final and binding. (G) The total commission payable on pack-wise and product-wise basis to retailers shall be decided by the JZDUSS LTD., from time to time. Under no circumstances, shall the distributor pay less than stipulated commission to the retailer. (H) (I) (J) The distributor shall send periodic statement as prescribed by the JZDUSS LTD., showing the stock receipts, sale and balance on product-wise/pack-wise basis. The distributor shall also send any other statement in the prescribed format as per the requirement of the JZDUSS LTD., from time to time. Once the distributor takes delivery of the goods, the responsibility of the JZDUSS LTD., shall cease. It is upto the distributor to effect a check before taking delivery. After delivery, the entire risk and responsibility of the products shall be of the distributor only. All expenses for storage, distribution to retailers or any such matter shall be borne by the distributor. The duration of the distributorship will be for two years only, it may however be extended by express order for further periods by mutual consent. Any interim or stop gap continuation beyond the period till new distributors are appointed shall not be construed as extension. The distributor shall continue to abide by all the terms in such an event. The Managing Director, JZDUSS LTD., JAIPUR shall be free to terminate the agreement without giving any notice. This shall be so in the case of the distributor as well. The JZDUSS LTD., JAIPUR s right to terminate this agreement shall be without prejudice to any of its other rights and remedies against the distributor. The JZDUSS LTD. shall have the right to appoint any other person (s) as distributor in particular area and existing distributor shall not have any right to obtain injunction or restraint or against appointments of new distributor (s). 6

7 (K) Distributor shall start operations as per allottment letter. First review of the performance of Distribuor shall be made within 90 day of his appointment. After first review in case it is found that distributor failed to lift the minimum quantities of Saras range of milk products as per details given at annexure A, the distributorship in such case may be terminated & security money deposited be forfeited. However the review of performance of distributors shall also be made on continuous basis and if at any point of time it is found that the performance of distributor is not satisfactory, JZDUSS LTD. may consider terminating the distributorship. (L) The distributor shall be responsible for complying with all kinds or requirement under Income Tax, Sales Tax, Consumer Protection Act and any other relevant legislation that may be in force from time to time. The distributor shall keep JZDUSS LTD. harmless against any claims made under these laws. (M) The distributor shall not sublet or reassign the distributorship and in the event of the JZDUSS LTD. getting to know of such an arrangement, the distributorship shall be liable to cancellation. (N) The stocks, records, godown and any other infrastructure of the distributor pertaining to the dealings with JZDUSS LTD. shall be open to inspection by the Deputy Manager (Marketing), JZDUSS LTD., JAIPUR or his authorized representative at any time. (O) The brand name/trademark/label/logo/packaging and other rights shall vest with the JZDUSS LTD., JAIPUR only. (P) JZDUSS LTD. will have powers to add, delete, amend or clarify any condition at any time and the same will be considered binding on the distributor. (Q) In case of any dispute, the decision of the Chairman JZDUSS LTD., JAIPUR shall be final and binding on all parties concerned. (R) Any dispute arising between the parties shall be subject to the jurisdiction of the Courts at (S) Jaipur. The firm/ distributor / his first degree relations shall not take up dealership/ agency/distributorship of any other Milk Federation/Company/Agency for sale of any milk product in the same city/area. If found doing so the federation shall have the right to terminate the distributorship without giving any notice. (T) Successful parties shall have to execute an agreement for carrying out the marketing operation as per the terms and conditions of the JZDUSS LTD., JAIPUR (U) Employees or close relative of employees of JZDUSS LTD., JAIPUR shall not be eligible for distributorship. (V) While selling the goods to consumer/agency, it is necessary to observe M.R.P. printed on each and every pack containing the products. (W) Successful Applicant have become nominal member of JZDUSS Ltd. by paying required membership fee (one time for tender period) as per act. 7

8 NOTE:- 1. The aforesaid conditions shall ipso-facts unless the context otherwise requires become the terms and conditions of the agreement in addition to the other terms and conditions of the agreement. 2. An incomplete application is liable to be rejected summarily. 3. The enclosed Affidavit in Form B should be uploaded with this Application Form.
