Definition Annexure A Terms & Conditions 1.1 Bank means the bank whose bid will be accepted and the license awarded for the installation of ATM in Rain Drops, a unit of KTDC Ltd., Greams Road, Chennai. 1.2 KTDC means Kerala Tourism Development Corporation Limited having its Registered Office at Mascot Square, Thiruvananthapuram Unit means, Rain Drops, a unit of KTDC Ltd, Greams Road, Chennai in which the bank intends to install their ATM. 2. CONDITIONS FOR THE LICENSE OF SPACE. 2.1 The bank will enter into an agreement of license for a period of three years with KTDC Ltd. within ten days after the receipt of the communication of the Acceptance of the EOI by the KTDC, and deposit a security deposit equivalent to 6 months license fee. The deposit is interest free and is to be repaid to the bank, on final vacation of the premises by the bank after the recovery of all the arrears of the rent, electricity charges, water charges, and amount payable for the common services. The bank shall pay monthly license fee to KTDC before 5 th of every month with the annual increase agreed in the EOI. 2.2 The bank shall use the said building exclusively for the installation and operation of their ATM. 2.3 The bank shall continue to pay the license fee in respect of the said building regularly and punctually without any delay or default, and is entitled to obtain receipt thereof from KTDC. In case of defaults exceeding 3 months, KTDC shall immediately cancel the license. 4

5 2.4 The bank shall pay electricity and water charges without any delay or default. 2.5 The bank shall pay bills presented by KTDC in relation to maintenance of the common areas, water supply and security as applicable to the said space regularly and punctually without any delay or default. 2.6 At all times during the term of the license, the bank shall keep and maintain the said building with all its fittings and fixtures in proper condition. 2.7 The bank shall not make any alterations in the said building without the previous written consent of the KTDC. 2.8 The bank shall not use the building so as to destroy or reduce its value or utility in any manner. 2.9 The bank shall neither sublicense nor allow the building or any part thereof to be occupied by anybody else On the expiry of the aforesaid period of 3 years or earlier by three months notice on either side, the bank shall vacate and hand over the building to KTDC in good condition as it was at the time of taking the building on license after removal of all fixtures if any owned by the bank The bank shall permit KTDC officials at all reasonable times to enter into the building to inspect the conditions thereof and to point out any defects to be repaired Two original copies of the license deed shall be executed and one copy shall retained by KTDC and one copy shall be retained by the bank If the bank commits any breach of the conditions or covenants therein, the license shall be terminated at the option of the KTDC, who shall be entitled to recover all the arrears of the rent, electricity charges, water charges, and amount payable for the common services and to evict the bank with out further notice and to resume possession of the said space. All damages for breach of contract will be levied from the bank One month notice on either side is required to terminate the license. 5

6 2.14 The bank may keep their sign boards exhibited in front of the space allotted after getting the approval from the KTDC All decisions taken by KTDC represented by its Managing Director or Board of Directors of KTDC regarding this license shall be binding on the bank Taxes if any liable to be paid by the bank to the Central Government/State Government/Local bodies shall be paid by the bank then and their and the bank will be solely responsible for any legal action due to non remittance of the taxes KTDC may at any time at their discretion call upon the bank to remove its goods from the licensed space and give alternative space for the purpose of its business. KTDC shall endeavor to give such alternative space on license which is reasonably equivalent to the licensed space. In case the alternative space is not acceptable to the bank, the license shall be terminated by giving one month notice The bank shall comply with all the directions, general or special, as may be given by KTDC from time to time, which shall be deemed to be part of this contract. The KTDC may vary, delete and withdraw such directions from time to time. 3. Safety & Security It is the sole responsibility of the bank for the safety and security of the ATM installed. The bank should make provisions from the perils of the theft or fraudulence or vandals of the ATM and KTDC in no way shall be held liable for any theft on fraudulent activities. All risk policies to be taken over by the Bank in this regard 4. Locations The premises of the property is 40 sq:ft., (shall be extended with temporary cubicle) shall be inspected by the intending banks before the submission of EOI. If 6

7 any structural modification required, the modifications can be carried out with the prior approval of KTDC Ltd. I / we the undersigned having gone through the EOI documents, inspected the site / premises conducted due diligence and having read all terms and conditions thereof, submit the following EOI documents. a) The EOI format and terms and conditions duly signed by me/ us in token of having read understood and agreed to the same. b) I/We agree to abide by all the terms and conditions as contained in the EOI documents.
