3 NOTIFICATION OF BID Dear Sir, Sealed tenders are invited for sale of DISPOSAL OF OBSOLETE MI-172 HELICOPTER spares and rotables on as is where is basis in the prescribed bid form and the proforma attached to this bid package. The details of the tender are given here in below:- 1. Tender Notification No. PHL/NR/MAT/7046/1DISP/TE-268. td22/09/ Description : Obsolete MI1-72 Helicopter Spares & Rotables as per Annexure I 3. Delivery Period: Bidder will have to remove the items as per the quote offered by the date specified in the sale order issued by Pawan Hans Ltd. 4. 5 SECTION I INSTRUCTIONS TO BIDDERS : 1. Please go through the enclosed bid documents carefully before submission of bids. 2. Please ensure that all documents are submitted in English language. 3. The tender shall be submitted in a sealed envelope super scribing details on the cover : (a) Notification number of the tender. (b) Reference of Earnest Money details etc. addressing to JGM(MATS), PAWAN HANS LIMITED, New Delhi (c) The Tender must be accompanied with Earnest Money Deposit of Rs /- (US$ 200) by way of Demand Draft issued by an nationalized bank drawn in favour of Pawan Hans Helicopters Ltd. New Delhi. In case of foreign bidder, the Demand Draft of US$ 200. be issued by any Bank of international repute having its branch in India and should be payable at New Delhi.. 6 SECTION -II GENERAL TERMS AND CONDITIONS 1. GENERAL: The Pawan Hans Ltd. hereinafter referred to as PHL. The purchaser / buyer means the person or company with whom the PHL concludes the contract for purchase of the articles specified in Annexure I. PHL reserves the right to withdraw at any stage from the date of Tender after advertising or from the date of sale order/release order for any item and for any quantity, in case it is felt that the same is required by the PHL to meet its urgent need. PHL shall reserve the right to accept / reject any or all the tenders partly or wholly without assigning any reason whatsoever. 2. CONDITIONS OF THE HELICOPTER: Tenders will be accepted on the presumption that the tenderers have inspected the items on sale and have known what they are tendering for. The sale is on AS IS WHERE IS basis. Details of the hours done, flyworthy condition, storage state, location, date of grounding etc. in respect of the helicopter are shown at Annexure I. The Helicopter spares and rotables listed in schedule of items are offered on AS IS WEHRE IS basis and shall be removed by the buyer with all faults and not withstanding any errors or misstatements of description, measurement, quantity, weight, enumeration or otherwise and without question on the part of the Buyer and no claims shall be against PHHL for faults, misstatements or errors although the same may be of considerable nature. The Buyer should satisfy himself thoroughly as to what is offered for sale before submitting his tender and may inspect the helicopter and spares prior to tendering and shall be deemed (whether or not inspection shall have infact taken place) to have had notice of all defects and faults might have discovered on inspection and shall not be entitled to any compensation on account thereof. 3. EARNEST MONEY Tender for one Helicopter and Spares should necessarily be accompanied with Earnest Money for Rs /- (US$ 200) in case of foreign bidder) in the form of demand draft in favour of Pawan Hans Ltd., payable at New Delhi. Offers not accompanied with the prescribed Earnest Money will be summarily rejected. On acceptance of tender, earnest money shall be converted to Security Deposit and Security Deposit shall be refunded after successful completion of the contract without any interest. Earnest Money of the unsuccessful bidders shall be refunded without any interest. 6

7 4. PRICES The prices quoted in the bid must be firm and final without any qualification. Any modification to the offer after opening of the tenders will not be considered. 5. FINANCIAL STATUS & SIGNATURE OF BIDS Bidders shall clearly indicate their legal status and the person signing the tender shall state his capacity and also the source of the authority to bind the bidder. The power of attorney of authorization or any other document constituting adequate proof of the authority of the signatory to bind the bidder shall be annexed to the tender. In case of Indian individual / proprietor bidder, PAN number/income tax clearance certificate along with PAN no. should be submitted. In case of Company / Partnership Firm, income tax clearance certificate / latest assessment order should be submitted along with the Tender. Copy of the latest audited annual accounts is required to be submitted with the tender. Bids by a partnership firm must be furnished with full names of all partners and be signed with the partnership name followed by the signature and designation(s) of the authorized partner(s) or other authorized representative(s). 6. VALIDITY Bid Offer shall be valid for a period of 120 days and can be extended further on mutual agreement. 7. SALE ORDER AND DELIVERY PHL is not bound to accept the highest or any tender or to assign any reason for non-acceptance. In case of offers having same rate and similar conditions are received from more than one Tenderer, PHL will decide the appropriate manner such items are to be sold and PHL s decision shall be final. On acceptance of the Tender, purchaser will be notified by a sale order. The Sale Order will indicate full particulars of the items, quantity, place of availability, Sale value and date for making payment to PHL. The items shall be removed / lifted in any manner by the purchaser at its / his risk from the date of acceptance of his offer by PHL. Purchaser will not be entitled to claim any damage/loss, interest compensation etc. on any account. Resale will not be recognized as sale and release will be made in the name of the Purchaser only. The items sold will be completely lifted by the purchaser from the storage premises at his own expense within the stipulated delivery period mentioned in the sale/release order. The purchaser shall be responsible for any damage that may be done to PHL s property while taking out or removal of the items by the purchaser. PHL at its discretion shall arrange to make good such damage for which the purchaser shall pay the same on 7

8 demand. During the period the purchaser s employees are available within the premises of PHL, they shall be governed by the labour rules/factory rules/phl Society rules as applicable and shall be the responsibility of the purchaser to meet the statutory provisions. 8. PAYMENT The purchaser shall make the full payment with in one month from the date of sale order in the form of demand draft drawn in favour of Pawan Hans Ltd., payable at New Delhi and prior to actual delivery of the goods by PHL / shipment of goods under this tender. All taxes including Sales tax / VAT chargeable under the state/local law or any other law shall be payable by the purchaser, exclusive of the sale value of the helicopter and spares as applicable for each item, prevailing on the date of purchase/delivery. 9. FAILURE TO PERFORM If the tenderer whose tender has been accepted fails in the due performance of the contract the earnest money will be forfeited by PHL. 10. FAILURE TO MAKE PAYMENT In case of failure on the part of the purchaser to make payment within the stipulated date and time as per the sale Order, PHL reserves the right to cancel the sale order and forfeit the Earnest money, PHL shall also have the right to recover from the purchaser any loss suffered in consequence thereof. The following conditions would also lead to forfeiture of Earnest Money:- (a) if the tender is withdrawn during the validity period or any extension thereof; and (b) if the tender is varied or modified in a manner not acceptable to PHL during the validity or agreed extension of the validity period. (c) if the purchaser fails to remove the purchased items within the stipulated date and time as per the sale order, PHL reserves its right to cancel the sale order and forfeit the earnest money and shall also have the right to recover from the purchaser any loss/expense incurred in consequence thereof. 11. FAILURE TO TAKE DELIVERY WITHIN STIPULATED PERIOD. If the Purchaser having paid the full amount of his purchase money fails to remove the spares and rotables by the date or dates to be specified in the sale order of the price, PHL may keep the items at the purchaser s risk and charge the purchaser in respect of parking and housing ground rent 0.2% on the value of goods so remaining for every week or part thereof. Such charges are to be paid before the goods or any part thereof are removed. These Tender documents are for the exclusive purpose of award against this specifications and shall not be transferred, reproduced or otherwise used for purposes other than that for which they are specifically issued. 8

INSOLVENCY PHL may at any time terminate this contract if the buyer is adjudicated insolvent or enters into any arrangement with creditors or being a company is wound up voluntarily or otherwise except the purpose of reconstruction and recover from the Purchaser any loss resulting therefrom. 13. ASSIGNMENT OR SUBLETING OF CONTRACT The purchaser shall not assign or sublet this contract or any part thereof without written permission of PHL and even if permitted to do so shall remain liable for the Contract. 14. ARBITRATION : Any dispute or difference whatsoever arising between the parties, hereto or the respective representatives or assigns relating to, in connection with or arising out of the contract/or in respect of / meaning/construction interpretation of the contract, application of provisions thereof, or anything hereunder contained or arising here under or as to rights, liabilities or duties of the said parties hereunder or any matter whatsoever incidental to this contract whether arising before, during or after the completion of the work of this contract shall be referred to the sole arbitration of the person appointed by the CMD of PHL. The arbitration shall be in accordance with the provisions of the Arbitration and Conciliation Act, 1996 and the seat of arbitration and jurisdiction of the Court shall be at New Delhi. 15. JURISDICTION AND APPLICABLE LAWS All questions, disputes or difference arising out of or in connection with this contract, shall be subject to the laws of India and to the exclusive jurisdiction of the Courts in New Delhi, India. 9

Safdarjung Airport New Delhi Dear Sir, I/We the undersigned have considered and complied with the instructions to bidder and have accepted the general terms and conditions stipulated in the tender document for sale of MI-172 Helicopter spares and rotables in terms of Annexure, I & II. I/We the undersigned hereby wish to purchase on AS IS WHERE IS basis : MI-172 helicopter spares and rotables as detailed in Annexure B and as per the terms and conditions contained in the tender documents for Rs. (Rupees only). The price quoted by me / us is a price of the aforesaid items i.e. MI-172 helicopter spares and rotables. The above price quoted by me / us is exclusive of taxes / levies / duties which shall be borne by me / us separately in terms of general terms and conditions (Section II of tender documents).
