OVERVIEW The Committee on Municipal Affairs, Aviation, Housing, and Recreation convened a public hearing on Wednesday, December 23, 2009 at 9:00a.m. in I Liheslatura's Public Hearing Room. Among the items on the agenda was the consideration of Bill No (COR)- 11 An act to amend 12 GCA 1108, relative to the employment of an attorney for the Guam Airport Authority," sponsored by B.J.F. Cruz. Public Notice Requirements All legal requirements for public notices were met. Notices were disseminated via handdelivery and to all senators and all local media outlets on December 16, 2009, and again on December 21,2009, with requests for publication in the Marianas Variety and the Pacific Daily News. Notice of the hearing was also made known on the Guam Legislature's website. Senators Present Chairperson Tina Rose Mufia Barnes Senator ben pangelinan II. SUMMARY OF TESTIMONY Chairwoman Muiia Barnes read the title of the bill and invited testimony. Phil Tyding~o, Chief Deputy Attorney General, Office of the Attorney General, testified in support of Bill No He stated that, in his opinion, because law requires the airport only hire attorneys subject to Title 4 GCA 6208, they shouldn't be able to have outside counsel anyway. He stated that with the Attorney General's mandated participation in any procurement over $500,000, the office is going to need more help and finds this bill might be a segue for the AG to hire more attorneys. Carlos H. Salas, Executive Manager, GIAA, submitted written testimony (attached) opposed to Bill No Sen. Barnes asked Attorney Tydingco whether the MOUs between the Office of the Attorney General and GovGuam agencies allow the AG to call an attorney away from an agency to work on more pressing matters at the AG' s office. Tydingco replied that the MOUs do not provide for this. The attorneys are being paid directly through federal funds. He stated one can write an MOU as flexible or as inflexible as one wants. If the autonomous agencies want attention from an AG attorney, they may have to help the Office of the Attorney General fund one.

Cruz Sen. pangelinan suggested to Mr. Salas that GIAA hire an in-house attorney for its nonspecialized legal needs and to address the multiple needs of the airport by simply acquiring more than one. He emphasized that the bill would not hinder them from seeking specialized legal services when required. Salas stated the bill is still unnecessary. Attorney Ed Ching, GIAA legal counsel, testified in opposition to the bill. He said from his experience as an in-house counsel, entities with in-house counsel still need an experienced lawyer to head the in-house counsel in areas of training and direction. He stated private practice has to respond very quickly and has to meet the deadline and one of the reasons the airport is successful is because they meet their deadlines. Even though one has in-house counsel, they still need outside counsel. He stated this bill allows for in-house and the AG' s office and that is not enough. He said this bill will cause more problems and the airport could lose a lot of money. Sen. pangelinan asked for a list of suits the airport has been involved in and said he does not support prohibiting the airport from hiring outside counsel when specialization is needed. Sen. Barnes asked whether the AG' s office was in a position to provide legal counsel the day the bill was to pass. Tydingco replied that would be impossible; he would be back in this public hearing room requesting more money.

CruzM AN ACT TO AMEND 12 GCA 1108, RELATIVE TO THE EMPLOYMENT OF AN ATTORNEY FOR THE GUAM AIRPORT AUTHORITY. BE IT ENACTED BY THE PEOPLE OF GUAM: 2 Section 1. Legislative Findings and Intent. I Liheslaturan Guahan finds 3 that the cost incurred by the Guam Airport Authority for legal services for Fiscal 4 Year 2008 was in excess of $800,000. I Liheslatura fmds that the cost of legal 5 services to the Authority would be greatly decreased with the employment of a 6 staff attorney. 7 Section (a) of Chapter 8 of Title 12, Guam Code Annotated is 8 hereby amended to read: 9 "(a) The Board may also appoint a treasurer, a comptroller and an attorney, 10 all of whom shall serve at the pleasure of the Board. Theif duties and 11 compensation for the treasurer and the comptroller shall be fixed by the 12 Board. Compensation for the comptroller shall not be limited by Title 4 13 GCA 6103 or other laws which may conflict herewith. Compensation for 14 the attorney shall be subject to Title 4 GCA The Board may appoint

9 1 one ( 1) assistant to any such office. Any of the said offices may be 2 consolidated into one ( 1) person. 3 Section (c) of Chapter 8 of Title 12, Guam Code Annotated is 4 hereby amended to read: 5 "(c) The Attorney, who must have been admitted to the practice of law in 6 Guam, shall advise the Board and the Executive Director on all legal matters 7 to which the Authority is a party or in which the Authority is legally 8 interested, and may represent the Authority in connection with legal matters 9 before the Legislature, boards and other agencies of the Territory or of the 10 United States. This Act shall be effective upon enactment.

Won Pat International Airport Authority Dear Sen. Mufia Barnes: This letter is written to express the Authority's opposition to Bill 192 on the basis that it would unnecessarily restrict the Authority's ability to obtain vital legal services. Bill 192 would require the Authority to employ a single staff attorney to handle all of its non-litigation legal needs. However, existing law already permits the Authority to hire staff counsel, but also allows the Authority to retain private outside counsel as needed to ensure adequate legal representation of the Airport and its interests as determined by the Board. By limiting the Airport's counsel to a single staff attorney for day-to-day representation and the Office of the Attorney General (the "Attorney General") in litigation matters, Bill 192 will jeopardize the Authority's ability to ensure continued compliance with local and federal regulation and to protect the rights and interests of the Airport. This is because there is simply no way that a single staff attorney and the Attorney General will be able to handle the volume of legal work involving the Airport. Moreover, it has been our experience that private attorneys typically provide timelier and efficient legal representation simply because of the nature of their contract. As such, the Authority needs to retain the power to engage private legal counsel as it deems necessary. For these reasons the Authority opposes the passage of Bill 192. In support of the Authority's position we have set forth the following findings which are based both on our collective experience working with public and private lawyers, as well as our review of Bill 192. Private law firms have much more incentive to provide high quality legal services. This is due, in part, to the fact that private counsel is retained on an at-will basis (and so, can D. Government attorneys, on the other hand, are not liable for their own malpractice and are protected from termination by a bevy of statutory procedural rights. Moreover, the private bar is by its nature ultra-competitive. Private law firms must provide superb representation in order to retain their client relationship. This dynamic simply does not exist with respect to government attorneys and the agencies for whom they work. Government attorneys anticipate working a standard 40 hour week during normal business hours irrespective of the nature or urgency of the assignment in which he or she is engaged. Private attorneys, on the other hand, will work late into the night or through the weekend as needed in order to produce a timely work product; and, in fact, due so as a matter of course. The private counsel can bring to bear several attorneys from different areas of expertise on a single project in order to deliver timely and an accurate work product. There are times when the rights of the Airport depend upon immediate (that is, within one hour) answers to complicated legal questions which require the resources of a law firm with a staff of attorneys to answer. This is something that typically neither a staff attorney nor the Attorney General can do. Historically, the Authority has required 4,500 hours of legal work product per year in order to successfully carry out its operations. The combined efforts of a single staff attorney and the Attorney General simply will not be able to handle this work volume in a timely manner, if at all. The Airport is regulated federally by the FAA, EPA, TSA, DOL, the Office of Homeland Security and U.S. Immigration and Customs Enforcement, to name but a few, and is also regulated under Guam law. A single staff attorney will not have the necessary expertise to provide quality representation in all of the areas of the law implicated by this myriad regulation. Any shortfall in legal representation of the Authority which may result in the Authority's regulatory non-compliance and expose the Authority to enormous fines, the revocation of licenses necessary for continued operation and other dire consequences. The Airport is involved in a wide variety of often complex transactions, involving many areas of legal practice, including: land sales and purchases, leases, landlord-tenant

Tina Mufia Barnes December 22, 2009 Page 3 of5 disputes, government procurement, retail concession agreements, construction, insurance, financing, employment, public bond issuances, federal grant solicitation, legislative drafting and review, lobbying, zoning compliance and enforcement issues, land use, and Sunshine Act compliance. A single staff attorney will require an entire legal department to provide quality representation in all of these matters. Seventy-four businesses operate at the Airport which, along with the Authority itself, employ 2,500 people. In recent years the Airport has averaged over $40 million in annual revenue with $28 million in annual operating expenses. The legal fees spent by Authority in recent years to outside counsel are low compared to the legal budgets of corporations of comparable size; and particularly so, when considering the vast scope of business and operations in which the Authority engages, as well as the extraordinary level of regulation under which the Authority operates. The maximum salary provided for in 4 GCA 6208 is ~$80,000. At this level of pay, the Authority will not be able to retain an attorney with related experience and be able to handle the range of non-litigation matters presently faced by the Authority. In fact, the Authority issued an RFP for a staff attorney position with 10 years of experience at an annual income of $84,000 in September and has to date received no responses. Under the current retainer agreement between the Authority and outside counsel, the Authority pays $175 per hour for legal services rendered by outside counsel. This amount is well below the market rate for similar attorney legal services on Guam, which ranges from $200 to $350. The Airport's total economic contribution to Guam in 2006 was $1.722 billion. The Airport's anticipated aggregate economic contribution for the period of 2006 to 2023 is $54.7 billion. Twenty thousand jobs on Guam either directly depend on or otherwise arise out of the operation of the Airport. Incompetent or suboptimal legal representation will put this economic contribution and employment at risk. The Airport faces two near-term potential constraints on development; the first arising out of property development issues that could prevent the development of the Laderan (Tiyan) Parkway; and the second resulting from the loss of major funding sources including funding from the federal government. If these two issues are not addressed in favor of the Airport, Guam could forego a projected aggregate economic benefit in the amount $14.7 billion for the period of Fast, decisive and accurate legal representation is imperative to ensure that the Airport and Guam do not forego this massive economic contribution.

Tina Mufia Barnes December 22, 2009 Page 4 of5 Bill 192 points to no evidence whatsoever to indicate that amounts paid by the Airport for legal services were excessive or that they do not reflect valuable and necessary services rendered. This means that if Bill 192 is to effect a reduction in costs, it will also have to effect an equal reduction in legal services to the Airport. Bill 192 will put at risk the successful operation of the Airport and in doing so will put into jeopardy the enormous economic benefit that the Airport provides to Guam. The Airport is one of the exceedingly few examples of a successfully run agency within the Government of Guam. This is largely due to its autonomy and its consequent authority to appoint competent outside counsel with the staff and expertise necessary to quickly and competently address a wide range of legal matters. Bill 192 would strip the Airport ofthis authority. Although not an issue that directly impacts the Authority, it is well worth noting that Bill 192 fails to acknowledge certain costs associated with its implementation that would at least partially offset the cost savings asserted by Bill 192. Bill 192 does not contemplate an increase in the budget for the Attorney General. Without significantly augmenting the Attorney General's staff, it will not be able to handle all of the disputes and cases involving the Airport, particularly during those periods when the Airport is involved in multiple cases or complex litigation. However, if the Attorney General does increase its staff, the Government will have to continue to pay this new staff salary and benefits even during those periods when the Airport is not involved in any litigation and when the staff is left idle. By comparison, the Government only has to pay outside counsel for services rendered. Accordingly, when using outside counsel the Government does not have to attempt to anticipate the legal costs that the Authority will incur (which amount can vary widely depending on litigation levels) in any given year. Rather than hire new staff on the basis of a speculative legal budget, the Authority only has to pay outside counsel to the extent that it needs legal representation. Otherwise, the Authority has no obligation to outside counsel. We note that the Authority might benefit from employing a staff attorney to assist in certain day-to-day legal matters and to delegate legal work to outside counsel. In fact, most corporations of the Airport's size hire in-house counsel for this very purpose. Nevertheless, a single staff attorney simply will not be able to handle the volume and complexity of legal work currently rendered by outside counsel. In order to do so with government employees, the Airport would have to hire an entire staff of seasoned attorneys including one or two senior partner-level attorneys.

Tina Mufia Barnes December 22, 2009 Page 5 of5 Moreover, the Attorney General, which is already overburdened and underfunded, will not be able to devote the time necessary to successfully represent the Authority, particularly in cases of complex litigation involving multiple parties and a wide range of complicated legal issues. Accordingly, the Authority strongly opposes the passage of Bill 192. Thank you for considering our recommendations.
