1 MINUTES OF THE REGULAR MEETING OF THE BOARD OF DIRECTORS OF THE CARPINTERIA VALLEY WATER ADMINISTRATION OF OATH OF OFFICE TO NEW DIRECTORS RICHARD FORDE AND POLLY HOLCOMBE PUBLIC FORUM MINUTES OF NOVEMBER 28, 212 BOARD MEETING ACWA ANDJPIA CONFERENCES HELD DECEMBER 3-7, 212 APPOINTMENT OF TEMPORARY CHAIR December 12, 212 Vice President Roberts called the Regular Meeting of the Board of Directors of the Carpinteria Valley Water District at City Hall to order at 5:3 p.m., Wednesday, December 12, 212, and led the Board and others present in the Pledge of Allegiance. Directors Present: Forde, Holcombe, Orozco, Roberts, Van Wingerden Directors Absent: none Others Present: Charles Hamilton Alex Keuper Cathy Adams Roger Myers Claudia Gottstein Michi White Dick Weinberg Vera Bensen Shirley Johnson Doug Treloar Amrita Salm Miguel Checa Secretary Hamilton administered the oath of office to the two newly elected Directors, Richard Forde and Polly Holcombe, and they took their seats on the dais. Doug Treloar addressed the Board and stated that with the help of Charles Hamilton and Greg Stanford a mutually agreeable solution was reached that satisfied all parties relative to the relocation of water meters on his property. Mr. Treloar thanked the District for their work. Following discussion, Director Forde moved and Director Van Wingerden seconded the motion to approve the Minutes of the Regular Board meeting of November 28, 212. The motion carried 5-. Director Orozco gave a verbal report of his attendance at the JPIA and ACWA conferences held December3-7, 212. He noted that he attended a seminar about PERS and also an informative meeting about the Bay Delta Conservation Plan, also known as the Tunnel Project. Vice President Roberts appointed Secretary Hamilton as Temporary Chair to handle the Board selection of President and Vice President.
2 ELECTION OF BOARD PRESIDENT ELECTION OF BOARD VICE PRESIDENT APPOINTMENTS OF GENERAL MANAGER & SECRETARY; AUDITOR; GENERAL COUNSEL; SPECIAL COUNSEL AND LABOR NEGOTIATOR APPOINTMENT OF DEPOSITOR FOR GENERAL FUNDS LOCATION, TIME AND DAY OF REGULAR BOARD MEETINGS MANNER BY WHICH SPECIAL BOARD MEETINGS ARE CALLED DIRECTOR COMPENSATION FOR ATTENDANCE AT BOARD MEETINGS, ETC. USE OF ROBERTS RULES OF ORDER FOR ALL PROCEEDINGS Following discussion, Director Van Wingerden moved and Director Forde seconded the motion to nominate Director Roberts as Board President. Secretary Hamilton asked if there are any other nominations. There were none. The motion to elect Director Roberts as Board President carried by a 5- vote. Director Van Wingerden moved and Director Holcombe seconded the motion to nominate Director Orozco as Board Vice President. Secretary Hamilton asked if there were any other nominations. There were not. The motion to elect Director Orozco as Board Vice President carried by a 5- vote motion to approve the following appointments: Charles B. Hamilton as General Manager & Secretary; Norma C. Rosales as internal Auditor; Roger Myers of Myers, Widders, Gibson & Jones, L.L.P. as General Counsel; and Jeffrey A. Dinkin of Sheppard Mullin Richter & Hampton, L.L.P. as Special Counsel & Labor Negotiator. The motion carried by 5- vote. motion to approve Santa Barbara Bank & Trust (Union Bank) as Depositor for General Funds.. The motion carried by a 5- vote. motion for the location, time and day of regular Board meetings to be respectively, Carpinteria City Hall, 5775 Carpinteria Avenue, Carpinteria; 5:3 pm; and any given Wednesday. Following Director Roberts' comment about the correct Government Code Section, and Counsel Myers agreement, Director Van Wingerden moved and Director Orozco seconded the motion stipulating Government Code Section 5495 as the authority and manner by which special Board meetings may be called. The motion carried by a 5- vote. Following discussion, Director Van Wingerden moved and Director Orozco seconded the motion stipulating that Director compensation for attendance at Board meetings shall be $1 per meeting and $1 for any Committee meeting or day for each day's service, not exceeding $6 in any month, plus expenses incident thereto, with mileage expense calculated using the IRS rate per mile. Amrita Salm addressed the Board and suggested that the Board consider a lesser amount of compensation. President Roberts responded that the Board may consider this suggestion at a later date. The motion carried by a 5- vote. motion to use Roberts Rules of Order for all proceedings. The motion carried by a 5- vote. 2
3 ESTABLISHMENT OF FINANCE COMMITTEE CACHUMA OPERATION AND MAINTENANCE BOARD REPRESENTATIVE CENTRAL COAST WATER AUTHORITY REPRESENTATIVE CENTRAL COAST 'WATER AUTHORITY OPERATING COMMITTEE ACWA JOINT POWERS INSURANCE AUTHORITY STRATEGIC AND CAPITAL FACILITIES PLAN RATE AND BUDGET ORTEGA RESERVOffi STRATEGIC WATER MANAGEMENT CARPINTERIA CITY RELATIONS COMMUNITY OUTREACH WATER QUALITY Following discussion, including Director Forde's questioning the limit for approval of bills smaller than $3 by the General Manager as too low, Director Van Wingerden moved and Director Holcombe seconded the motion to establish the whole Board as Finance Committee, with the requirement that all bills, statements, invoices or claims exceeding $3 are reviewed and approved by one member.of the Committee on a rotating Basis, that each Board member be provided with a list of the routine monthly bills and purchases, and that bills smaller than $3 may be approved by the General Manager. The motion carried by a 5- vote. President Roberts appointed Director Orozco to serve as the District representative to the Cachuma Board, with himself as the alternate. President Roberts appointed Director Van Wingerden to serve as the District representative to the Central Coast Water Authority Board, with Director Orozco as the alternate. President Roberts appointed General Manager Hamilton to serve as the District's representative to the Central Coast Water Authority Operating Committee. President Roberts appointed Director Holcombe to serve as the District's representative to the ACW A Joint Powers Insurance Authority, with himself as alternate. President Roberts appointed Director Orozco and himself to the Strategic and Capital Facilities Plan Committee. President Roberts appointed Director Holcombe and himself to the Rate and Budget Committee. President Roberts appointed Director Holcombe and himself to the Ortega Reservoir Committee. President Roberts appointed Director Forde and himself to the Strategic Water Management Committee. I President Roberts appointed Director Van Wingerden and Director Orozco to the Carpinteria City Relations Committee. President Roberts appointed Both Directors Forde and Holcombe to the Community Outreach Committee. President Roberts appointed Directors Forde and Van Wingerden to the Water Quality Committee. 3

PRICE POSTEL AND PARMA, LP, ET AL; CASE NO ; CLOSED SESSION: CONFERENCE WITH LEGAL COUNSEL ANTICIP ATED LITIGATION PURSUANT TO GOVERNMENT CODE SUBDIVISION (B) OF SECTION (THREE CASES). DATE AND ITEMS FOR AGENDA FOR NEXT BOARD MEETING ADJOURNMENT Following a brief presentation by General Manager Hamilton, and discussion, Director Van Wingerden moved and Director Orozco seconded the motion to award contract to Venco Electric, Inc. for $81, and a contingency amount of $8,1, for electrical work at El Carro Well. The motion carried by a 5- vote. President Roberts adjourned the Regular Board Meeting at 6:27 p.m. for two Closed Sessions. President Roberts reconvened the Regular Board Meeting at 7:27 p.m. He announced that no actions were taken during either of the two Closed Sessions. A Special Board Meeting will be held on January 5, 213 in the District Board Room at 131 Santa Ynez Avenue in Carpinteria at 9: a.m., and the next Regular Board meeting will be held on January 9, 213 at Carpinteria City Hall, 5775 Carpinteria Avenue in Carpinteria at 5:3 p.m. President Roberts adjourned the meeting at 7:28 p.m. ~~~- - Charles B.
