PUR For perission to aggregate or cobine deands of two or ore individual nonresidential retail custoers of electric energy pursuant to A 4 of the Code of Virginia FINAL ORDER On July 13, 2017, Reynolds Group Holdings Inc. ("Reynolds") filed with the State Corporation Coission ("Coission") a Petition, pursuant to A 4 of the Code of Virginia ("Code"), seeking perission to aggregate or cobine the deands of three of its subsidiaries at six locations in the Coonwealth of Virginia in the area where Virginia Electric and Power Copany ("Doinion") is the local distribution copany that is certificated to provide retail electric service.1 On August 28, 2017, the Coission issued an Order for Notice and Coent that, aong other things, docketed the Petition, directed Reynolds to serve a copy of the Coission's Order for Notice and Coent upon Doinion, provided interested persons an opportunity to file written coents or request a hearing on the Petition on or before October 17, 2017, directed the Coission's Staff ("Staff) to analyze the Petition and present its findings in a report ("Staff Report") on or before Noveber 21, 2017, and peritted Reynolds and any person who filed coents on the Petition to file a response to the Staff Report on or before Deceber 5, Petition at I -2. Reynolds identifies itself as the parent of the following copanies for which it seeks Coission perission to aggregate or cobine deands: Reynolds Presto Products Inc. d/b/a Presto Products Co.; Reynolds Consuer Products, LLC d/b/a Reynolds Metals Co.; and Pactiv LLC d/b/a Reynolds Metals Co. The Petition provides, aong other things, peak deand figures and locations for these copanies. Id. at Attachent A.

2 On October 17, 2017, Collegiate Clean Energy, LLC ("Collegiate") and Direct Energy -y p> c? y Services, LLC ("Direct Energy") filed coents in support of the Petition. Also on y October 17, 2017, Appalachian Power Copany and Doinion filed coents requesting that the Petition be denied. On Noveber 21, 2017, Staff filed its Staff Report. Staff recoended that: (i) if the Coission deterines that further evidence is necessary to conclude that the Petition is in the public interest and that custoers would not be adversely affected by granting the Petition, the Coission should direct Reynolds to refile or suppleent its Petition; or (ii) if the Coission deterines that no further evidence in this case is needed, the Coission should direct Reynolds to file an annual report that includes certain reporting inforation described in the Staff Report.2 On Deceber 5, 2017, Reynolds, Doinion, Direct Energy, and Collegiate filed coents on the Staff Report. Also on Deceber 5, 2017, Calpine Energy Solutions LLC ("Calpine") filed a otion for leave to file a response to the Staff Report and to coents filed by several other persons in this proceeding ("Motion"). On Deceber 27, 2017, Doinion filed a response to the Motion, and on January 10, 2018, Calpine filed a reply. NOW THE COMMISSION, upon consideration of this atter, is of the opinion and finds that the Petition is granted subject to the requireents set forth below. Under Code A 3, retail access to copetitive electricity supply is available to certain large custoers with deand exceeding five egawatts. Pursuant to Code A 4, for the purpose of eeting this deand liitation, two or ore individual nonresidential retail 2 Staff Report at 8. 2

3 IP p custoers of electric energy, whose individual deand during the ost recent calendar year did CJ not exceed five egawatts, ay petition the Coission for perission to aggregate or cobine their deands. Code A 4 also provides that the Coission ay approve such a petition if it finds that: a. Neither such custoers' incubent electric utility nor retail custoers of such utility that do not choose to obtain electric energy fro alternate suppliers will be adversely affected in a anner contrary to the public interest by granting such petition. In aking such deterination, the Coission shall take into consideration, without liitation, the ipact and effect of any and all other previously approved petitions of like type with respect to such incubent electric utility; and b. Approval of such petition is consistent with the public interest. As required by Code A 4, Reynolds is seeking to aggregate the deand of "individual nonresidential retail custoers of electric energy within the Coonwealth."3 As also required by Code A 4, each such nonresidential retail custoer had an "individual deand during the ost recent calendar year [that] did not exceed five egawatts." When aggregated, the custoers' deands exceeded the required five egawatt threshold but did not exceed one percent of the incubent electric utility's peak load during the ost recent calendar year. The aggregated peak deand of these nonresidential retail custoers is egawatts.4 This represents approxiately 0.06% of Doinion's syste peak.5 Doinion's syste peak, which is expected to exceed 17,000 egawatts in 2017, is expected to grow by significantly 3 See Staff Report at 4. 4 @3 ore than 0.06% each year (i.e., an annual average of 1.3%) over the next 15 years. Staff did not contest the conclusion that the ipact of granting the Petition would be de iniis? In p* ^ addition, because this is the first petition filed under Code A 4, there is no ipact fro "other previously approved petitions of like type with respect to such incubent electric utility." Based on the above, the Coission finds that pursuant to Code A 4 a, "[njeither such custoers' incubent electric utility nor retail custoers of such utility that do not choose to obtain electric energy fro alternate suppliers will be adversely affected in a anner contrary to the public interest by granting such petition." Finally, in accordance with Code A 4 b, the Coission iposes "periodic onitoring and reporting obligations" as recoended by Staff, including the filing of the naes of the aggregating custoers, each custoer's ost recent individual deand, and the ost recent cobined deand of the aggregating custoers. This inforation shall be filed with the Coission on an annual basis,8 with the first such report to be filed one year fro the date of this Final Order. Accordingly, IT IS ORDERED THAT: (1) Reynolds' Petition is granted as set forth herein. (2) Calpine's Motion is denied. (3) This case is disissed.
