3 Antitrust Compliance Guidelines I. General It is NERC s policy and practice to obey the antitrust laws and to avoid all conduct that unreasonably restrains competition. This policy requires the avoidance of any conduct that violates, or that might appear to violate, the antitrust laws. Among other things, the antitrust laws forbid any agreement between or among competitors regarding prices, availability of service, product design, terms of sale, division of markets, allocation of customers or any other activity that unreasonably restrains competition. It is the responsibility of every NERC participant and employee who may in any way affect NERC s compliance with the antitrust laws to carry out this commitment. Antitrust laws are complex and subject to court interpretation that can vary over time and from one court to another. The purpose of these guidelines is to alert NERC participants and employees to potential antitrust problems and to set forth policies to be followed with respect to activities that may involve antitrust considerations. In some instances, the NERC policy contained in these guidelines is stricter than the applicable antitrust laws. Any NERC participant or employee who is uncertain about the legal ramifications of a particular course of conduct or who has doubts or concerns about whether NERC s antitrust compliance policy is implicated in any situation should consult NERC s General Counsel immediately. II. Prohibited Activities Participants in NERC activities (including those of its committees and subgroups) should refrain from the following when acting in their capacity as participants in NERC activities (e.g., at NERC meetings, conference calls and in informal discussions): Discussions involving pricing information, especially margin (profit) and internal cost information and participants expectations as to their future prices or internal costs. Discussions of a participant s marketing strategies. Discussions regarding how customers and geographical areas are to be divided among competitors. Discussions concerning the exclusion of competitors from markets. Discussions concerning boycotting or group refusals to deal with competitors, vendors or suppliers.

4 Any other matters that do not clearly fall within these guidelines should be reviewed with NERC s General Counsel before being discussed. III. Activities That Are Permitted From time to time decisions or actions of NERC (including those of its committees and subgroups) may have a negative impact on particular entities and thus in that sense adversely impact competition. Decisions and actions by NERC (including its committees and subgroups) should only be undertaken for the purpose of promoting and maintaining the reliability and adequacy of the bulk power system. If you do not have a legitimate purpose consistent with this objective for discussing a matter, please refrain from discussing the matter during NERC meetings and in other NERC-related communications. You should also ensure that NERC procedures, including those set forth in NERC s Certificate of Incorporation, Bylaws, and Rules of Procedure are followed in conducting NERC business. In addition, all discussions in NERC meetings and other NERC-related communications should be within the scope of the mandate for or assignment to the particular NERC committee or subgroup, as well as within the scope of the published agenda for the meeting. No decisions should be made nor any actions taken in NERC activities for the purpose of giving an industry participant or group of participants a competitive advantage over other participants. In particular, decisions with respect to setting, revising, or assessing compliance with NERC reliability standards should not be influenced by anti-competitive motivations. Subject to the foregoing restrictions, participants in NERC activities may discuss: Reliability matters relating to the bulk power system, including operation and planning matters such as establishing or revising reliability standards, special operating procedures, operating transfer capabilities, and plans for new facilities. Matters relating to the impact of reliability standards for the bulk power system on electricity markets, and the impact of electricity market operations on the reliability of the bulk power system. Proposed filings or other communications with state or federal regulatory authorities or other governmental entities. Matters relating to the internal governance, management and operation of NERC, such as nominations for vacant committee positions, budgeting and assessments, and employment matters; and procedural matters such as planning and scheduling meetings. 6 Agenda Item 2a Project Management and Oversight Subcommittee January 26, 2017 Meeting Notes Project Management and Oversight Subcommittee (PMOS) December 13, 2016 Noon 5:00 p.m. Eastern NERC Antitrust Compliance Guidelines and Public Announcement NERC staff provided the NERC Antitrust Compliance Guidelines and Public Announcement in the consent agenda. Introduction and Chair s Remarks Chair Brenda Hampton welcomed everyone. Members attending include: Michael Brytowski, Amy Casuscelli, Andrew Gallo, Brenda Hampton (chair), Angela Kimmey, Rod Kinard, Mark Pratt, and Charles Yeung (vice-chair). Observers include: Ash Mayfield, Brian Murphy, and Chris Scanlon. NERC staff attending include: Scott Barfield-McGinnis (secretary) and Lauren Perotti (legal) Agenda Items 1. Review of Agenda The agenda was reviewed by PMOS members. 2. Consent Agenda S. Barfield-McGinnis pointed out three minor corrections since the agenda package was distributed to the full subcommittee. The corrections included: (1) moving Brian Murphy from the PMOS member to observer in the attendee paragraph, (2) adding (vice chair) designation to Charles Yeung, and (3) replacing the approval to July 12, 2016 meeting notes to September 13, A. Gallo proposed moved to approve of the agenda and October 11, 2016 meeting notes by unanimous consent. There were no objections. 3. Project Tracking Spreadsheet (PTS) S. Barfield-McGinnis provided an update of a new feature in the PTS. On the homepage of the spreadsheet, a new column has been added to denote the status (i.e., freshness) of the project status. Currently, the colors represent the following: Green 0 to 15 days, Yellow 16 to 30 days, and Red over 30 days based on a calculation from the current or actual date the spreadsheet is being opened and viewed. There was discussion about the need to have the planning category for projects in the PTS that do not have a schedule determined by the standard drafting team. C. Yeung suggested pointing out this category to the Standards Committee (SC) as to whether they have specific issues about the planning category as it relates to the baseline dates, which is a change from the former Projects Annual Calendar PMOS.

7 4. Project Updates a Establish and Communicate System Operating Limits A. Gallo updated the PMOS members that this project will split into two separate paths because the System Operating Limits portion of the project is expected to move faster. The team will seek assistance from the NERC Operating and Planning Committees regarding methodologies used continent-wide. He plans to provide an update to the SC during their meeting on December 14, The schedule as of December 1, 2016 is not realistic based on the two different approaches the team is proposing. Once the SC approves the approach at their December 14, 2016 meeting, the team can adjust the schedule in the PTS. C. Yeung asked how the two approaches would be presented in the PTS. S. Barfield-McGinnis noted that it could be managed in the same manner as the multiple CIP project pieces. b Supply Chain Management Members discussed how to present proposed schedules to the SC. It was suggested to change the Planning terminology in the PTS to Proposed since it was decided not to show a planned Gantt chart in the PTS. B. Murphy suggested presenting a one-pager with a motion on behalf of the PMOS to approve the proposed schedule from the PMOS. An update will not be made to the SC at the December 14, 2016 meeting and will be deferred to the scheduled January 18, 2017 conference call. 5. Project Assignments R. Kinard and A. Kimmey were assigned to work with B. Hampton on the (Supply Chain). 6. Other Business a. PMOS Member Terms B. Hampton will contact members who served for the to obtain their confirmation that they will continue for another two-year term. If not, the PMOS will consider adding additional members from the nominations that are posted through December 20, b Chair and Vice Chair B. Hampton nominated C. Yeung for chair of the PMOS. There were no objections. A. Casuscelli nominated R. Kinard for vice chair. Nomination recommendations were accepted by motion of unanimous consent. Proposed nominations will be presented to the SC in January c PMOS dates i. Conference call dates/times Members discussed moving the conference calls to the mid-point of the in-person meetings rather than 30 days following an in-person meeting. The members were amendable to trying the mid-point scheduling. The following dates were confirmed for PMOS calls in January 26, April 27, July 27, and October 12. Enhanced Periodic Reviews 1 NERC legal staff provided the PMOS a summary of the Reliability Standards listed in the Reliability Standards Development Plan (RSDP) for The summary provided information such as the last action(s) taken, the date(s) that action was taken, effective/enforceable dates, concerns noted by FERC, the results of any grading/review that was completed, and other considerations (e.g., confusion on requirement). The summary is attached at the end of these notes since they were sent as an additional item prior to the meeting. f. Quality Review (QR) Presentation S. Barfield-McGinnis conducted a QR exercise where members looked for issues in a mockup of VAR-001. He explained that a QR is an iterative process including a broad-based read and then a systematic approach to verify certain components are consistent. For example, defined NERC Glossary terms that are used consistently in the standard may be located by conducting a search for both lower and uppercase versions of the terms. Additional items include formatting, grammar, functioning hyperlinks, use of Time Horizons and Violation Risk Factors, and proper referencing of Requirement and Measure numbers. 7. Action Items a.
