3 Antitrust Compliance Guidelines I. General It is NERC s policy and practice to obey the antitrust laws and to avoid all conduct that unreasonably restrains competition. This policy requires the avoidance of any conduct that violates, or that might appear to violate, the antitrust laws. Among other things, the antitrust laws forbid any agreement between or among competitors regarding prices, availability of service, product design, terms of sale, division of markets, allocation of customers or any other activity that unreasonably restrains competition. It is the responsibility of every NERC participant and employee who may in any way affect NERC s compliance with the antitrust laws to carry out this commitment. Antitrust laws are complex and subject to court interpretation that can vary over time and from one court to another. The purpose of these guidelines is to alert NERC participants and employees to potential antitrust problems and to set forth policies to be followed with respect to activities that may involve antitrust considerations. In some instances, the NERC policy contained in these guidelines is stricter than the applicable antitrust laws. Any NERC participant or employee who is uncertain about the legal ramifications of a particular course of conduct or who has doubts or concerns about whether NERC s antitrust compliance policy is implicated in any situation should consult NERC s General Counsel immediately. II. Prohibited Activities Participants in NERC activities (including those of its committees and subgroups) should refrain from the following when acting in their capacity as participants in NERC activities (e.g., at NERC meetings, conference calls and in informal discussions): Discussions involving pricing information, especially margin (profit) and internal cost information and participants expectations as to their future prices or internal costs. Discussions of a participant s marketing strategies. Discussions regarding how customers and geographical areas are to be divided among competitors. Discussions concerning the exclusion of competitors from markets. Discussions concerning boycotting or group refusals to deal with competitors, vendors or suppliers.
4 Any other matters that do not clearly fall within these guidelines should be reviewed with NERC s General Counsel before being discussed. III. Activities That Are Permitted From time to time decisions or actions of NERC (including those of its committees and subgroups) may have a negative impact on particular entities and thus in that sense adversely impact competition. Decisions and actions by NERC (including its committees and subgroups) should only be undertaken for the purpose of promoting and maintaining the reliability and adequacy of the bulk power system. If you do not have a legitimate purpose consistent with this objective for discussing a matter, please refrain from discussing the matter during NERC meetings and in other NERC-related communications. You should also ensure that NERC procedures, including those set forth in NERC s Certificate of Incorporation, Bylaws, and Rules of Procedure are followed in conducting NERC business. In addition, all discussions in NERC meetings and other NERC-related communications should be within the scope of the mandate for or assignment to the particular NERC committee or subgroup, as well as within the scope of the published agenda for the meeting. No decisions should be made nor any actions taken in NERC activities for the purpose of giving an industry participant or group of participants a competitive advantage over other participants. In particular, decisions with respect to setting, revising, or assessing compliance with NERC reliability standards should not be influenced by anti-competitive motivations. Subject to the foregoing restrictions, participants in NERC activities may discuss: Reliability matters relating to the bulk power system, including operation and planning matters such as establishing or revising reliability standards, special operating procedures, operating transfer capabilities, and plans for new facilities. Matters relating to the impact of reliability standards for the bulk power system on electricity markets, and the impact of electricity market operations on the reliability of the bulk power system. Proposed filings or other communications with state or federal regulatory authorities or other governmental entities. Matters relating to the internal governance, management and operation of NERC, such as nominations for vacant committee positions, budgeting and assessments, and employment matters; and procedural matters such as planning and scheduling meetings. 6 Agenda Item 2a Standards Committee Process Subcommittee September 12, 2018 Minutes Standards Committee Process Subcommittee Conference Call August 23, :00 4:00 p.m. Eastern Introduction and Chair s Remarks Standards Committee Process Subcommittee (SCPS or Subcommittee) Chair S. Bodkin called the duly noticed meeting to order at 2:00 p.m. Eastern and welcomed the members and observers. A. McMeekin called the role; seven of the twelve members were present so quorum was achieved. NERC Antitrust Compliance Guidelines and Public Announcement A. McMeekin reviewed the NERC Antitrust Compliance Guidelines and the public meeting announcement. Review Meeting Agenda and Objectives (Item 1) S. Bodkin reviewed the meeting agenda and objectives. There were no changes made to the agenda. Consent Agenda (Item 2a) The meeting notes from July 19, 2018 were approved by unanimous consent. Review the SCPS Work Plan (Item 3) S. Bodkin reported that draft 2 of the revisions to the Standard Processes Manual had passed the ballot that closed on August 10, No action required by the SCPS at this time. Review the Standards Resource Document (Item 4) L. Oelker was not present. The Standards Resource Document will be reviewed at the September meeting. Review final Roles and Responsibilities: Standards Drafting Team Activities document after conversion to NERC template (Item 5) The Subcommittee reviewed the document, affirmed there were no substantive changes, and authorized its posting. Project Updates (Item 6) a. Identify, Maintain, Prioritize and Categorize Standards Resources Documents J. Hagen was not present. An update will be presented at the September meeting. b. Single Portal Quality Review R. Shu was not present to provide an update; however, C. Larson, Manager of Standards Information at NERC, informed the group that NERC staff is in the process of developing and
7 implementing an IT-based solution that would retire the Single Portal and eliminate the need for the project. S. Bodkin tabled the project until the December in-person meeting based on this information. Standards Committee Meeting (August 22, 2018) (Item 7) S. Bodkin noted there was no report provided to the SC on the August 22 conference call. S. Bodkin reported that the Standards Committee (SC) had tabled the discussion of the Standard Authorization Requests (SARs) submitted by the California ISO regarding PRC and Inverter Based Resources until the September in-person meeting. S. Bodkin noted the SC did accept the revised SAR submitted by the Standards Efficiency Review (SER) teams and authorized a formal posting of the SAR as well as the solicitation of SAR drafting team nominations. Potential Projects (Item 8) J. Flandermeyer proposed a project to perform a comprehensive review of all NERC documents for references to the NERC Functional Model (FM) to ensure each reference to the FM is appropriate. J. Flandermeyer will draft a one-pager for review and discussion by the Subcommittee, and possible presentation to the SC. Discussion Items (Item 9) S. Bodkin reported that he had spoken with L. Perotti, NERC Legal staff, regarding J. Loewer s potential project to compile a change log (similar to a version history) for revisions made to the NERC Rules of Procedure (ROP). S. Bodkin noted that L. Perotti offered to socialize the idea throughout NERC Legal. Those discussions will entail the logistics of developing and maintaining the document as well as a feasible beginning point. M. Harward questioned the potential overlap of projects, specifically, the Standards Grading and SER projects. C. Larson noted that it is the responsibility of the SC to ensure projects are coordinated to minimize the potential for overlap. Action Items/Assignments (Item 10) 1. J. 13 Functional Model Reference Inventory Materials Agenda Item 7b Standards Committee Process Subcommittee September 12, 2018 Action: Endorse the establishment of an initiative for a two-phase project led by the Standards Committee Process Subcommittee (SCPS). The first phase will compile an inventory of all references to the Functional Model (FM) in NERC documents. This work will be done in support of the Functional Model Advisory Groups (FMAGs) ongoing scope of activities. The second phase will coordinate the Standards Committee (SC), SCPS, and FMAG in reviewing the inventory developed in phase one to determine if a reference is appropriate based on the stated purpose of the FM. This project will support the proper application of the FM and provide clarity to stakeholders. Background: In June 2016, the SC approved a revised scope document for the FMAG. The FMAG has the following duties: Work with the Standard Authorization Request teams, standard drafting teams, and other NERC initiatives to craft and refine proposed FM additions, revisions, and deletions; present draft revisions to the FM and its associated Technical Document to the NERC Critical Infrastructure Protection Committee, Operating Committee, and Planning Committee to establish consensus of the technical content; submit proposed revisions to the FM and its associated Technical Document to the SC for authorization to post for an industry comment period / ballot body approval; provide FM expertise for workshops and discussions on topics related to the FM and its associated Technical Document, as needed; form ad hoc subgroups as needed and enlist the support of other standing committee members and industry volunteers to assist the FMAG; and participate in industry forums and conduct other outreach as necessary to obtain input from industry. The FMAG is working to align the terms in the FM with the industry as it exists today and those reliability related tasks that are being performed. According to the scope document, the FM provides the foundation and framework upon which NERC develops and maintains its Reliability Standards. The stated purpose of the FMAG is to maintain the NERC Reliability FM and its associated Technical Document at the direction of the SC to ensure the model correctly reflects the industry today and evaluates and incorporates new and emergent reliability related tasks. This includes the role of advising and communicating FMAG information to the industry. As part of the ongoing work of FMAG, stakeholders will be providing comments on the scope of continued revisions of the FM beyond the alignment of terms and definitions. Summary: The SCPS seeks the SC s approval of establishing a project to (1) identify references to the FM throughout NERC documents and (2) after completing phase one, working with the SC, FMAG, and NERC staff to review the references for possible modification or deletion. If approved, the SCPS will move forward to perform the work and provide results to be the FMAG and SC in support of the FMAG s ongoing work.
