The National Constitution & Bylaws Committee presents the following 67 proposed amendments to the Zeta Phi Beta Sorority, Incorporated Constitution & Bylaws for consideration at the 2016 Grand Boulé. There are fourteen (14) proposed amendments to our Constitution and forty six to our Bylaws. There is one (1) amendment received that is not included in this packet. It addressed an increase in staff at Zeta Phi Beta Sorority Headquarters which is outside the purview of this governing document. That amendment is being passed along to the National Personnel Committee who will take it under advice for future consideration. The 2016 proposed amendments are being presented in number order this year and do not include a consensus calendar. All wording for the proposed amendments is shown as received from the submitting chapter. Any grammatical errors, numerical interpretations, misspellings or any other errors will be addressed and corrected if and when proposed amendments are adopted and included in the next edition of the National Constitution and Bylaws.

Wherever possible in the proposed wording section the committee has highlighted the changed text in blue to assist with your review. Sorors, please feel free to contact me, Brunhilda Williams Curington, at my mobile number: or this address: if you have any questions or concerns about anything regarding the 2016 Grand Boulé Constitution & Bylaws proposed Amendments.

Of the eight (8) Regional Directors on the National Executive Board only the Chair of the regional Directors shall have a vote. The remaining (7) Regional Directors shall maintain all other rights as all other board members

Rationale: Reducing the number of voting appointed members on the National Executive Board would give the Membership a stronger voice in the composition of the National Executive Board while allowing the Regional Directors to be present and participate at all National Executive Board Meetings. Participation of the Regional Directors at National Executive Board Meetings will help make sure that the Regional Directors are always informed on the latest policies, procedures, and programs of the Sorority so that they can make sure that their Regions thrive.

Rationale: Currently our NEB has several positions that are unutilized but are financially covered by the membership. In a effort to align Zeta with other 501c organizations this proposed restructuring along with subsequent proposals attempts to allow for great oversight of Board and reduces spending on number of elected and appointed members needed to report and attend NEB meeting. (I.E. 2nd Anti would become Programs Coordinator and receive reports for all appointed chairs over programmatic areas and can make a single report to the board.)

2016 Grand Boulé Proposed Amendment # 6 Submitted by Chapter: Beta Omicron Zeta Chapter Location: MI Region: Great Lakes This Proposed amendment is to the: Constitution Article: VI Section: 2, New paragraph b Page # 3 Type of amendment: Insert new Section 2 b.elections and re-number succeeding paragraphs to c, d and e. None New Section 2 b. ELECTIONS A candidate must receive a majority of the votes cast by persons entitled to vote to be elected to office. Rationale: While this is assumed, and is written in Robert's Rules of Order, it is not explicitly stated in our governing documents.

2016 Grand Boulé Proposed Amendment # 7 Submitted by Chapter: Nu Xi Zeta Chapter Location: VA Region: Eastern This Proposed amendment is to the: Constitution Article: VI Section: 2d Page # 3 Type of amendment: Add a sentence: No person, except the International Grand Basileus, shall serve more than a total of two (2) terms in the same office. Elected national officers may only serve two (2) consecutive terms in the same office and only three (3) consecutive terms on the board, unless she becomes International Grand Basileus. Members of the Trustee Board are elected for two (2) terms. The International Grand Basileus may serve three (3) terms. Elected national officers may only serve two (2) consecutive terms in the same office and only three (3) consecutive terms on the board, unless she becomes International Grand Basileus. Members of the Trustee Board are elected for two (2) terms. The International Grand Basileus may serve three (3) terms. No person, except the International Grand Basileus, shall serve more than a total of two (2) terms in the same office. Rationale: This language prevents someone from remaining on the National Executive Board, serving in the same capacity for an infinite number of years, since the current language does not preclude anyone from returning to the same office after they have taken a break after completing previous term limits. This language puts a limit on the number of years a person may serve on the National Executive Board, ultimately, which allows opportunity for leadership opportunities for new and qualified sorors who choose to run. This promotes effective leadership development and appropriate growth and change in philosophies to meet the need of changing times.

2016 Grand Boulé Amendment # 8 Submitted by Standing Committee: National Constitution & Bylaws Committee This proposed amendment is to the: Constitution Article VI Section 3 a Page # 3 Type of amendment: Strike out after and three (3) most recent Past International Grand Basilei. Insert the Immediate Past International Grand Basileus. Proviso: All amendments recommended by the Board Restructure Committee, if adopted, shall take effect at the conclusion of the 2018 Grand Boulé. Section 3. EXECUTIVE BOARD/TRUSTEE BOARD/EXECUTIVE COMMITTEE a. There should be an Executive Board comprised of the national officers and three (3) most recent past International Grand Basilei. Section 3. EXECUTIVE BOARD/TRUSTEE BOARD/EXECUTIVE COMMITTEE a. There should be an Executive Board comprised of the national officers and the Immediate Past International Grand Basileus. Strike out three (3) most recent Past International Grand Basilei. Insert the Immediate Past International Grand Basileus. Rationale: The National Executive Board members need to have input from the vast experience and wisdom of our Past International Grand Basilei and it will suffice to have the most recent Past International Grand Basileus in that position.

2016 Grand Boulé Proposed Amendment # 9 Submitted by Chapter: Beta Omicron Zeta Chapter Location: MI Region: Great Lakes This Proposed amendment is to the: Constitution Article: VI Section: 3b Page# 4 Type of amendment: Add a sentence: The National Chairman of the Trustee Board shall be elected by the members of the Trustee Board. The National Chairman of the Trustee Board shall be elected for two (2) consecutive Boulé Terms. Proviso: If this amendment is adopted it would become effective in sororal year. b. There shall be a Board of Trustees, comprised of the National Chairman of the Trustee Board and four (4) National Trustees, three (3) of whom shall be elected during one Boule term and two (2) of whom shall be elected during the alternate Boule term. Each Trustee shall serve for two (2) consecutive Boule terms and shall not be eligible for re-election. The National Chairman of the Trustee Board shall be elected by the members of the Trustee Board. The National Chairman of the Trustee Board shall be elected for two (2) consecutive Boulé Terms. Rationale: The members of the Trustee Board are in the best position to know who should serve as the Chairman. Also, this ensures that the Chairman is already a member of the Trustee Board.

There shall be an Executive Committee comprised of the International Grand Basileus, National First Anti-Basileus, National Grammateus, National Tamias, National Phylacter, Chairman of the National Executive Board, Graduate Member to the Executive Committee, and the Undergraduate Member to the Executive Committee. 17 2016 Grand Boulé Proposed Amendment # 11 Submitted by Chapter: Kappa Zeta Chapter Location: TX Region: Southern This Proposed amendment is to the: Constitution Article: VI Section: 3c Page# 4 Type of amendment: Stirke out and Insert: To strike out "Chairman of the National Executive Board" before Graduate and insert Chairman of the National Executive Board after Basileus There shall be an Executive Committee comprised of the International Grand Basileus, National First Anti- Basileus, National Grammateus, National Tamias, National Phylacter, Chairman of the Executive Board, Graduate Member to the Executive Committee, and the Undergraduate Member to the Executive Committee. Rationale: Given the added responsibilities of the Chairman of the National Executive Board, the current order diminishes the level of authority given this office. This would bring the sorority more in line with other organizations who have a chairman of the board.

2016 Grand Boulé Proposed Amendment # 14 Submitted by Chapter: Chi Theta Zeta Chapter Location: FL Region: Southeastern This Proposed amendment is to the: Constitution Article: IX Section: 1, New paragraph j Page# 6 Type of amendment: Add a paragraph N/A Section 1 New prargraph j. SOCIAL ACTION The Social Action Committee shall consist of a National Chairman appointed by the International Grand Basileus. 1. Regions and States may appoint chairmen, who report to the national chairman. 2. It shall be the duty of the Social Action Committee to: a) Develop and coordinate social action programs and projects approved by the National Executive Board; and b) Develop and disseminate a national legislative agenda and programs for chapters. 1 c) Stimulate interest in social action and educate chapters on current issues. 1 The chapter is researching whether there is written guidance from the U.S. Treasury Department that supports that this provision will not jeopardize Zeta s tax-exempt status. If there is not adequate support, this provision will be deleted prior to being proposed to the Boule.

Rationale: if we are a community-conscious, action-oriented organization who is focused on advocacy within our communities, than we should have a national standing committee dedicated to ensuring we are at the table when there is civic unrest, need for social action and a call for civic engagement on the national stage. further this committee should be available to ensure that local chapters are poised to act within their communities in times of need.

Rationale: (1) Adding on all levels clarifies that the financial membership is to be at all sororal levels NOT just the chapter level. (2) Removing of a chapter removes confusion that the consecutive years must be within the same chapter.

2016 Grand Boulé Proposed Amendment # 18 Submitted by Chapter: Lambda Zeta Chapter Location: TX Region: Southern Article: II New Section: 10 Page# 12 Type of amendment: Add a Section None New Section 10. DOVE MEMBERSHIP Dove members: A Soror who has been A member for a minimum of 50 years preceding her application for Dove membership, and as recommended by her chapter. 28 2016 Grand Boulé Proposed Amendment # 19 Submitted by Chapter: CHI THETA ZETA Chapter Location: FL Region: SOUTHEASTERN Article: II Section: 5 Page # 10 Type of amendment: Strike out after (the word) of: five (5) and Insert ten (10) Type of amendment: Insert a paragraph b and re-number current paragraph b to c a. A Soror seeking Life Membership must be a financial member of a chapter for a minimum of five (5) consecutive years immediately preceding her application for Life Membership, and must be recommended by her chapter. b. A Life Member/Golden, Platinum and Diamond is entitled to one (1) full vote which may be exercised either as a Life Member/Golden, Platinum and Diamond or as a delegate to the National, Regional, or State (where applicable) Leadership Conferences or area meetings.

Rationale: Life members are the life Boat of Zeta, they should be those who have demonstrated continued financial ability and interest in Zeta. They currently make up about 5% (~750/15000 total) the active members however comprise about 50% of the Boulé attendees. Uncontrolled LM growth threatens the balance of power within Zeta, and diminishes the value of this category. The application process should include more than a check for the total amount. Membership into this category should reflect higher knowledge of zeta's interworking thus require ZOL certification, 3 Boules, leadership within the organizations as this takes time to develop and 5 yrs isn t enough to understand the ramifications and historical prospectives of the organization, especially in light of LMs having an individual vote that could potentially overpower that of delegates whom should represent the voice of an entire chapter.

Rationale: Allow for great retention of members, allow sorors to live out their oath in the manner the best fits them: those who may best fit this category are women with active children, jobs that don t allow for chapter membership, sorors who are older and/or otherwise on a fixed income, liminted mobility, those who live within 25 miles of a chapter but have chosen to be inactive rather than participate via a chapter, etc. This is a viable category for many reasons and allows for a revenue stream that would benefit Zeta in many ways including: funding a NEF endowment, providing funds for infrastructural improvements and an active database of members that would boost our 15K to 25K easily.

2016 Grand Boulé Proposed Amendment # 23 Submitted by Chapter: Delta Beta Zeta Chapter Location: NY Region: Atlantic And National Membership Committee This proposed amendment is to the: Bylaws Article II Section 8 Page # 11 Section 8. MEMBER-AT-LARGE a. A Member-at-Large is a Soror who lives more than twenty-five (25) miles from the nearest chapter and pays only national fees. b. The International Grand Basileus may grant this status to other Sorors with extenuating circumstances. c. She is eligible to receive the Archon, newsletters and periodic communications from National Headquarters that are mailed to the general constituency. d. She can contribute to the National Educational Foundation. e. She can register and participate in National, Regional and State (where applicable) Conferences, but will not have delegate and/or voting status (even if she is a Life Member). f. She can purchase paraphernalia and jewelry from and through National Headquarters. Type of amendment: Substitution Section 8. MEMBER-AT-LARGE a. A Member-at-Large is a graduate Soror who is affiliated with the national level only and pays national fees as well as any national assessments. b. She is eligible to receive the Archon, newsletters and periodic communications that are mailed to the general constituency from National Headquarters. c. She can contribute to the National Educational Foundation and other Zeta initiatives. d. She can purchase paraphernalia and jewelry from and through National Headquarters. e. She can register and attend National, Regional and/or State Conferences. f. She can register, attend and shall have delegate and/or voting status at the national level only, provided she is a Life Member. g. Membership in this category CANNOT be used towards application toward application for Life Membership.

Rationale: Expanded membership category to allow sorors who wish not or cannot actively participant in a local chapter the opportunity to live out their oath and provide financial backing for our National Headquarters. We have many soror with limited or fixed incomes who have mobility limitations or suffer hardships that prevent local, state and regional participation. These funds would be earmarked for infrastructural improvements including capital building maintenance.

2016 Grand Boulé Proposed Amendment # 24 Submitted by Chapter: Delta Beta Zeta Chapter Location: NY Region: Atlantic And National Membership Committee This proposed amendment is to the: Bylaws Article II New Section 10 Page# 11 Type of amendment: Add a Section None Section 10. GENERAL MEMBERSHIP a. A woman who has achieved national or international distinction & honor and is interested in joining Zeta Phi Beta Sorority, Incorporated. b. A woman defined in a above would still be required to complete our Membersip Intake Process. c. Upon completion of our Membership Intake Process this aspirant would be inducted into Zeta Phi Beta Sorority, Incorpoated at the National, Regional and/or State level. d. She would become a Graduate Soror who is affiliated with the national level only and pays national fees as well as any National Member assessments. e. She would be eligible to receive the Archon, newsletters and periodic communications that are mailed to the general constituency from National Headquarters. f. She could contribute to the National Educational Foundation and other Zeta initiatives. g. She could purchase paraphernalia and jewelry from and through National Headquarters.

h. She could register and attend National, Regional and State Conferences. i. Her Membership in this category CANNOT be used towards application for Life Membership. Rationale: There are distinguished women who are leaders in academia, Fortune 500 companies, politicians and entertainment, among others, who have expressed an interest in membership in Zeta Phi Beta Sorority, Incorporated but are unable to commit to regular attendance and participate in local chapters due to professional schedule conflicts. These CEOs, congresswomen, professional artists, etc. lead very busy professional lives but are willing to support Zeta through influence, finance and service, without the encumbrance of local chapter membership. While honorary membership maybe an option it is not guaranteed and the process is time consuming. Further these potential members may prefer to be acknowledged as a full member of the organization, as opposed to an "honorary" member of Zeta Phi Beta Sorority, Incorporated

2016 Grand Boulé Proposed Amendment # 25 Submitted by the National Constitution & Bylaws Committee Article: III Section: 1 Page # 12 Type of amendment: Strike out the following officer positions: Four National Trustees Proviso: All amendments recommended by the Board restructure Committee, if adopted, shall take effect at the conclusion of the 2018 Grand Boule. National Officers of Zeta Phi Beta Sorority, Incorporated are: International Grand Basileus; National First Anti- Basileus; National Second Anti-Basileus; National Third Anti-Basileus; National Grammateus; National Tamias; National Phylacter; Chairman of the National Executive Board; National Chairman of Trustees; four (4) National Trustees; National Graduate Member-at-Large; National Undergraduate Member-at-Large; National Graduate Member to the Executive Committee; National Undergraduate to the Executive Committee; National Undergraduate Representative to the National Nominating Committee; and the Regional Directors. National Officers of Zeta Phi Beta Sorority, Incorporated are: International Grand Basileus; National First Anti- Basileus; National Second Anti-Basileus; National Third Anti-Basileus; National Grammateus; National Tamias; National Phylacter; Chairman of the National Executive Board; National Chairman of Trustees; National Graduate Member-at-Large; National Undergraduate Member-at-Large; National Graduate Member to the Executive Committee; National Undergraduate to the Executive Committee; National Undergraduate Representative to the National Nominating Committee; and the Regional Directors. Strike out: four National Trustees Rationale: The National Trustees could still perform their duties on an Advisory Board and offer their questions, comments, concerns and recommendations through the National Chairman of Trustees who is till a voting member of the National Executive Board.

2016 Grand Boulé Proposed Amendment # 26 Submitted by the National Constitution & Bylaws Committee Article: III Section: 1 Page # 12 Type of amendment: Strike out the following officer positions: National Graduate Member to the Executive Committee; National Undergraduate Member to the Executive Committee; National Undergraduate Representative to the National Nominating Committee. Strike out: National Graduate Member to the Executive Committee; National Undergraduate Member to the Executive Committee; National Undergraduate Representative to the National Nominating Committee.

Rationale: The National Phylacter has done extensive research through Grand Boulé minutes going back to the early 1980s; there is no record or evidence that the membership ever voted to add these positions to the National Executive Board.

2016 Grand Boulé Proposed Amendment # 27 Submitted by Chapter: Chi Theta Zeta Chapter Location: FL Region: Southeastern Article: III Section: 1 Page # 12 Type of amendment: Strike out the following officer positions: Chairman of the National Executive Board; four National Trustees; National Graduate Member-at-Large; National Undergraduate Member-at-Large; National Graduate Member to the Executive Committee; National Undergraduate to the Executive Committee; National Undergraduate Representative to the National Nominating Committee; and the Regional Directors. POSITIONAL NAMES OF NATIONAL OFFICERS National Officers of Zeta Phi Beta Sorority, Incorporated are: International Grand Basileus; National First Anti-Basileus; National Second Anti- Basileus; National Third Anti-Basileus; National Grammateus; National Tamias; National Phylacter; Chairman of the National Executive Board; National Chairman of Trustees; four (4) National Trustees; National Graduate Member-at-Large; National Undergraduate Member-at-Large; National Graduate Member to the Executive Committee; National Undergraduate to the Executive Committee; National Undergraduate Representative to the National Nominating Committee; and the Regional Directors. Strike out: Chairman of the National Executive Board; four National Trustees; National Graduate Member-at-Large; National Undergraduate Member-at-Large; National Graduate Member to the Executive Committee; National Undergraduate to the Executive Committee; National Undergraduate Representative to the National Nominating Committee; and the Regional Directors.

Rationale: aligning NEB with traditional 501c organizations, allows for great oversight of Board and reduces spending on number of elected and appointed members needed to report and attend NEB meeting.

2016 Grand Boulé Proposed Amendment # 28 Submitted by Chapter: Kappa Zeta Chapter Location: TX Region: Southern Article: III Section: 1 Page# 12 Type of amendment: Stirke out and Insert: To strike out "Chairman of the National Executive Board" before National and insert Chairman of the National Executive Board after Basileus National Officers of Zeta Phi Beta Sorority, Incorporated are: International Grand Basileus; National First Anti-Basileus; National Second Anti-Basileus; National Third Anti-Basileus; National Grammateus; National Tamias; National Phylacter; Chairman of the National Executive Board; National Chairman of Trustees; four (4) National Trustees; National Graduate Memberat-Large; National Undergraduate Member-at-Large; National Graduate Member to the Executive Committee; National Undergraduate to the Executive Committee; National Undergraduate Representative to the National Nominating Committee; and the Regional Directors. National Officers of Zeta Phi Beta Sorority, Incorporated are: International Grand Basileus; National First Anti-Basileus; National Second Anti-Basileus; National Third Anti-Basileus; Chairman of the National Executive Board; National Grammateus; National Tamias; National Phylacter; Chairman of the National Executive Board; National Chairman of Trustees; four (4) National Trustees; National Graduate Member-at-Large; National Undergraduate Member-at-Large; National Graduate Member to the Executive Committee; National Undergraduate to the Executive Committee; National Undergraduate Representative to the National Nominating Committee; and the Regional Directors. Rationale: Given the added responsibilities of the Chairman of the National Executive Board, the current order diminishes the level of authority given this office. This would bring the sorority more in line with other organizations who have a chairman of the board.
