1 The Transitions Lenses Sunriser Contest OFFICIAL CONTEST RULES AND REGULATIONS By entering this Contest, entrants agree to abide by these Official Rules. The decisions of the independent contest organization with respect to all aspects of the Contest are final. 1. NO PURCHASE NECESSARY: The Transition Lenses Sunriser Contest (the Contest ) is sponsored by Transitions Optical, Inc.(the Sponsors ). The Contest begins at 12:00:01 PM Eastern Times ( ET ) on May 15, 2017 and ends at 11:59:59 PM ET on August 6, 2017 (the Contest Period ). 2. ELIGIBILITY: i. NOMINEE: To be eligible for the Grand Prize and be nominated by oneself or by another person, a person (herein referred to as a Nominee ) must, at the time of being nominated, be a resident of Canada who has reached the age of majority in his/her province/territory of residence. Specifically excluded from being nominated in the Contest are: (i) employees, officers, directors, agents and representatives of the Sponsor, its advertising and promotional agencies and each of their respective subsidiaries and affiliates (the Excluded Persons ); and (ii) a member of any Excluded Person s immediate family (regardless of where they live) or persons with whom they are domiciled (whether related to the person or not). In these Official Rules, immediate family includes mother, father, brothers, sisters, sons, daughters, partner or spouse. ii. NOMINATOR: To nominate oneself or another person, a person (herein referred to as a Nominator ) must, at the time of nominating, be a resident of Canada who has reached the age of majority in his/her province/territory of residence. Specifically excluded from nominating in the Contest are: (i) Excluded Persons; and (ii) a member of any Excluded Person s immediate family (regardless of where they live) or persons with whom they are domiciled (whether related to the person or not). 3. HOW TO ENTER THE CONTEST: To enter your Nominee into the Contest, visit transitions.com/enca/sunriserscontest (the Contest Website ) and complete the Nominator entry form ( Nominator Entry Form ) with your full name, a valid address and a daytime telephone number (including area code). Next, complete the Nominee entry form (the Nominee Entry Form ) with your Nominee s first name and last name, valid address, and daytime telephone number (including area code). You may nominate yourself. Next, either upload a video (the Video ) or share a Story (the Story ) on why or how your Nominee lives the good light. Next, confirm compliance with these Official Rules and indicate if you wish to receive future information from the Sponsor regarding upcoming events and/or promotions. Upon doing so, click Submit and your Video or Story (collectively a Submission ) will be reviewed by the Sponsor (or its designated representative(s)) to determine if the Submission meets the requirements outlined in rule 4. If eligible, your Submission will be considered an official entry (the Entry ) into the Grand Prize selection process and the applicable weekly draw (see rule 5). The Nominator must obtain permission from the Nominee to submit Nominee s personal information and Video or Story prior to posting. The onus for obtaining such consent rests entirely with the Nominator. Nominations must be received on or before 11:59:59 PM (ET) on August 6, 2017 (the Contest Closing Date ). There is a limit of one (1) nomination per weekly Prize Period you may make during the Contest Period. A Nominator may also nominate him or herself. You may use only one (1) address. Use of any automated system to enter is prohibited and will automatically result in disqualification. In the event it is determined that an entrant has entered in a fashion not sanctioned by these Official Rules and/or has submitted more than the number of Submissions permitted by these Official Rules, the Nominator will be disqualified and all of the Nominee

2 Entries submitted by the Nominator will be disqualified. 4. SUBMISSION FORMAT AND CONTENT: i. Each Video Entry must: a. be in English or French; b. be no more than 2 minutes in length; c. be a video describing why or how your Nominee is living the good light. ii. Each Story Format and Content must: a. be in English OR French; b. be no more than 250 words in length; c. explain why or how your nominee is living the good light. ; iii. Each Submission Format and Content must: a. be intended for family audience viewing and contain only content that, in the sole and unfettered discretion of the Sponsor, is suitable for all persons, including persons under the age of 13; b. not contain any nude, sexually explicit, disparaging, discriminatory, libelous or other inappropriate content of any kind whatsoever; c. not contain any content that promotes any product or service other than that of the Sponsor; d. not contain any language suggesting or encouraging illegal activity; e. not contain anything that infringes or that may infringe anyone s rights, including intellectual property rights; f. not contain any personal information; g. not contain any identifiable third party products and/or trade-marks, brands, logos or copyright, other than those of the Sponsor. h. not contain any copyrighted works (other than as owned by the Nominator) or third party content that may be subject to and protected by intellectual property laws, including but not limited to music, artwork, video and photographs; i. contain entirely original materials that have never before been distributed, shown publicly or published, or selected as a Winner in any other contest; j. not contain any reference to or likeness of identifiable third parties, unless consent has been obtained from all such individuals and such individuals are of the age of majority; k. may be submitted only once; If you are submitting a Video depicting a person other than yourself (or if the Video was taken by a person other than yourself), you must first obtain the permission of that person to use their image or the Video (as applicable). The onus for obtaining such consent rests entirely with the entrant. The Sponsor assumes no responsibility for obtaining such consent or for use of posted Videos. By submitting a Video or Story, the Entrant grants to the Sponsor the unrestricted right, in the Sponsor s sole discretion, to use and re-use the Entry in any and all media now known or hereafter devised, in connection with the Contest and the promotion. The Entrant accepts that Entries, may, throughout the Contest and thereafter, be distributed, used, reproduced, or displayed by the Sponsor on its website or Social Media accounts. The Entrant grants to the Sponsor upon entry the right to use the Video as indicated above, without notice or compensation to Entrant and irrevocable waiver of all moral rights protecting the Entry in favor of the Sponsor.

Each Weekly Prize consists of a $ (CDN) gift card for purchase of Transitions lenses. Prizes must be accepted as awarded without substitution and are not transferable. Limit of one (1) Weekly Prize per person during the Contest Period. All applicable fees or other expenses relating to the receipt, possession, use and/or misuse of the Prize are the sole responsibility of the winner. Draw 7. GRAND PRIZE: There will be one (1) grand prize (the Grand Prize ) available to be won by the Nominee (the Winner ), consisting of an adventure trip for the Winner and one (1) travel guest (the Guest ) to Peru that must be taken between September 8, 2017 and September 14, 2017(the Trip ). The Trip includes return economy airfare for the Winner and one (1) Guest departing from the Canadian international airport closest to the Winner s residence (the Canadian Airport ) to Cusco, Peru; one (1) GoPro Hero 5 4k Action Camera with an approximate retail value (the ARV ) of $ (CDN); and a $ (CDN) gift card for purchase of transition lenses to one (1) of the Applicable Retailers. The trip also consists of the following prize elements: - One (1) double occupancy standard room for three (3) nights accommodation in Cusco, Peru as selected by the Sponsor; - walking tour of Cusco; - transportation to Pisac Ruins and tour; - one (1) night accommodation for two (2) (Winner & Guest) near the Sacred Valley ; - A sunrise film shoot (the Film Shoot ) to be filmed by two (2) staff members; - Transportation for two (2) (Winner & Guest) to the Ollantaytambo Ruins; - one (1) night accommodation for two (2) people (Winner & Guest) near the Ollantaytambo Ruins; - train transportation for (2) (Winner & Guest) from the Ollantaytambo Train Station to Aguas Calientes, Peu; - one (1) night accommodation in Aguas Calientes, Peru; - Transportation for two (2) (Winner & Guest) to the citadel of Machu Picchu with tour; - Transportation for two (2) (Winner & Guest) to Cusco, Peru for return flight to the Canadian Airport.

4 The Trip has an approximate value of $15, (CDN) based on two (2) people travelling from Vancouver (and may vary depending on points of departure and destination and fare fluctuations). The total approximate retail value of the Grand Prize is $16, (CDN). The Winner must agree to appear in the Film Shoot at near the Sacred Valley at time of sunrise (see rule 11 for details). The Winner must agree to participate in all aspects of the Grand Prize or the entire Grand Prize will be forfeited. The Winner and his/her Guest must travel on the same itinerary. The Guest must also be a legal resident of Canada who has reached the age of majority in their province or territory of primary residence at the time that the Winner is confirmed (see rule 9 below). The Winner and Guest must have a valid passport, travel visa or other travel documentation allowing the individual to enter Peru. Travel is subject to the terms and conditions set forth in these Official Rules. All travel arrangements must be made through or by the Sponsor or its designated agent(s). All costs incurred by the Winner and/or the Guest not specified above including, but not limited to, meals, gratuities, local transportation, travel documents, insurance (including travel and/or health insurance), taxes, telephone, fax and charges, sightseeing and optional excursions, and items of a personal nature, are the sole responsibility of the Winner and the Guest of the Winner, if applicable, and are not included in the Grand Prize. Transportation and accommodation are subject to availability; blackout periods; government restrictions and regulations; and hotel, airline, airport or other transportation restrictions and regulations. Travel dates are subject to travel provider availability. The Sponsor reserves the right to change the travel dates and travel arrangements at its sole and absolute discretion. Upon booking, if the value of the Trip comes below the approximate retail value, no compensation whatsoever will be provided. Sponsor shall not responsible for flight delays and/or cancellations resulting in a Winner and his/her guest not being able to use or reschedule hotel or other reservations/accommodations and/or an excursion/activity, and no substitution or compensation whatsoever will be awarded. The Winner will be required to present a valid major credit card in the Winner s name at the time of hotel check-in to cover any incidental expenses. No frequent flyer miles will be available and cannot be used for the Trip. In the event that the Winner is unable to redeem any or all of the Grand Prize components due to reasons beyond the control of the Sponsor, no compensation or substitute prize component whatsoever will be provided. The Winner and his/her Guest will be responsible for having the required identifications and obtaining any necessary travel documents in advance of departure including, but not limited to, a valid passport and visa. No compensation will be made if the Trip is cancelled due to failure to obtain necessary travel documents. Further, no compensation will be made in the case that the Winner or his/her invited guest is denied entry to Peru by customs and border protection or other authority for any reasons whatsoever. The Grand Prize must be accepted as awarded without substitution and is not transferable (except at the sole discretion of the Sponsor). The Grand Prize may not be redeemed for cash or credit, in whole or in part. Under no circumstances may any portion, component or element of the Grand Prize be resold or offered for resale by the Grand Prize Winner or any other person. Other restrictions may apply. The Sponsor reserves the right in its sole and absolute discretion to substitute the Grand Prize or any component of the Grand Prize for a prize of equal or greater value. 8. WEEKLY DRAWS: One (1) random draw will take place at in Toronto, ON at 10:00 AM ET on each of the applicable weekly draw dates (each a Draw Date ) specified in rule 5 from among all eligible Nominee Entries received during the relevant Weekly Prize Period to determine the selected entrant for the Weekly Prize (each a Weekly Prize Selected Entrant ). Please note: Entries will not be carried over into the Draw Dates for the following Weekly Prize Periods. Each Weekly Prize Selected Entrant will be contacted by telephone and/or within five (5) business days of being selected. If a Weekly Prize Selected Entrant (a) cannot be reached by telephone and/or within five (5) business days of being selected after reasonable attempts; (b) fails to correctly answer the skill testing question (see rule 10); or (c) fails to return the properly executed Release Form within the specified time (see rule 10), then he/she will be disqualified and another eligible Nominee will be randomly selected until such time as contact is made with a Weekly Selected Entrant or there are no more Eligible Entries within the applicable Weekly

5 Prize Period, whichever comes first. The Sponsor will not be responsible for failed attempts to contact a Selected Entrant. 9. SELECTION PROCESS: The selection process will take place between August 7, 2017 and August 15, 2017 (the Judging Period ). A panel of judges (the Judges ) appointed by the Sponsors will judge the Entries received on the basis of: (i) originality of the Essay; (ii) Nominee s personality shining through in the Essay; and (iii) content of the Essay discussing why or how the Nominee lives the good light ; (collectively, the "Criteria"). All Criteria will be weighed equally. The Nominee associated with the Entry with the highest score as determined by the Judges will be deemed to be a selected entrant (the Grand Prize Selected Entrant ). Judging will be completed on or about August 11, 2017 (the Judging Completion Date ). In the event of a tie, the tied Submissions will be entered into a draw to determine the Grand Prize Selected Entrant. Each Grand Prize Selected Entrant will be contacted by telephone and/or within five (5) business days of being selected. If a Grand Prize Selected Entrant (a) cannot be reached by telephone and/or within five (5) business days of being selected after reasonable attempts; (b) fails to correctly answer the skill testing question (see rule 10); or (c) fails to return the properly executed Release Form within the specified time (see rule 10), then he/she will forfeit their opportunity to be a Grand Prize Selected Entrant and the next Nominee chosen by the Judges will be the selected entrant or until there are no more eligible Entries or by August 29, 2017, whichever comes first. The Sponsor will not be responsible for failed attempts to contact a Grand Prize Selected Entrant. 10. To be declared a Winner, each Weekly Prize Selected Entrant and the Grand Prize Selected Entrant (collectively referred to as a Selected Entrant ) must answer correctly, without assistance of any kind, whether mechanical or otherwise, a mathematical skill testing question posed by or telephone. The Selected Entrant will also be required to sign and return within five (5) business days of notification the Sponsor s Declaration and Release Form (the Release Form ), which (among other things): (a) confirms compliance with these Official Rules; (b) acknowledges acceptance of the Prize as awarded; (c) releases the Contest Parties, their respective parent, subsidiary and affiliated companies, advertising and Contest agencies, and each of their respective officers, directors, employees, agents, representatives, successors and assigns (collectively, the Releasees ) from any and all liability in connection with this Contest, the Selected Entrant s participation therein and/or the awarding and use/misuse of a Prize or any portion thereof; (d) agrees to the publication, reproduction and/or other use of the Winner s name, address, voice, statements about the Contest and/or photograph or other likeness without further notice or compensation, in any publicity or advertisement carried out by the Sponsor in any manner whatsoever, including print, broadcast or the internet; and, (e) confirms that the Grand Prize Winner agrees to be filmed on the day(s) selected by the Sponsor (applicable for Grand Prize Winner only). The Guest of the Grand Prize Winner will also be required to complete a Travel Guest Release Form which agrees to the publication, reproduction and/or other use of the Guest s name, address, voice, statements about the Contest and/or photograph or other likeness without further notice or compensation, in any publicity or advertisement carried out by the Sponsor in any manner whatsoever, including print, broadcast or the internet; and confirms that the Guests agrees to be filmed on the day(s) selected by the Sponsor. 11. By accepting the Grand Prize, you grant the Sponsor a worldwide, non-exclusive, royalty-free, sublicenseable and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the Film Shoot in any media formats and through any media channels. Upon accepting the Grand Prize, each Winner irrevocably waives all moral rights protecting the Film Shoot in favour of the Sponsor. The Film Shoot, may, throughout the Contest and thereafter, be distributed, used, reproduced, exhibited, donated, sold and/or displayed by the Sponsor on its website or otherwise, which rights are granted by the Winner to the Sponsor upon entry, all without notice or compensation to Winner. 12. GENERAL: By entering the Contest, Nominators agree to abide by the Official Rules and the decisions of the

6 Sponsors, judges and independent contest organization with respect to all aspects of the Contest, which are final. 13. The Sponsors and the independent contest organization accept no responsibility for loss, damage or claims caused by or resulting from the Contest or any Prize associated with this Contest. By entering the Contest and accepting the Grand Prize, each Winner consents to the use of his/her name, address (city and province/territory), Video, and/or photograph, without further remuneration, in connection with any publicity carried out by or on behalf of the Sponsor with respect to this Contest. 14. The Sponsors and the independent contest organization will not be responsible for late, lost, illegible, incomplete or destroyed entries; all such entries are void. The Sponsors and the independent contest organization will not be liable for any failure of the Contest Website, do not assume any responsibility for incorrect or inaccurate capture of entry information, technical malfunctions, human or technical error, printing errors, lost, delayed or garbled data or transmissions, omission, interruption, deletion, defect or failures of any telephone or computer lines or networks, computer equipment, software or any combination thereof. Entry material/data that have been tampered with or altered are void. The use of an invalid address will disqualify the entry. Users spamming the same address will disqualify the entry. In the event of a dispute, online entries will be deemed to have been submitted by the authorized account holder of the address submitted at the time of entry. Authorized account holder is defined as the person who is assigned an address by an internet provider, online service provider, or other organization (e.g. business, educational institute, etc.) that is responsible for assigning addresses for the domain associated with the submitted address. The Nominator may be required to provide proof that he/she is the authorized account holder of the address associated with the selected entry. The sole determinant of the time for the purposes of a valid entry in this Contest will be the Contest server machine(s). In the event it is determined that a Nominator has entered in a fashion not sanctioned by these rules and/or has submitted more than the number of entries permitted by these rules, the entrant will be disqualified and all of the entries submitted by the Nominator will be disqualified. 15. All issues and questions concerning the construction, validity, interpretation, and enforceability of the Official Rules, or the rights and obligations of entrants and the Sponsor in connection with the Contest, shall be governed by, and construed in accordance with (i) the laws of the Province of Québec and the laws of Canada applicable therein in respect of residents of the Province of Québec, and (ii) the laws of the Province of Ontario and the laws of Canada applicable therein in respect of residents of the other Canadian provinces/territories, without regard to conflicts of law principles. Any attempt by a participant or any other individual to deliberately damage any website or undermine the legitimate operation of the Contest could be a violation of criminal and civil laws and should such an attempt be made, the Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. 16. The Sponsors reserve the right, with the consent of the Régie des alcools, des courses et des jeux (the Régie ) in the province of Québec, to terminate or amend this Contest at any time and in any way, without prior notice. Without limiting the foregoing, if, for any reason, the Contest is not capable of running as originally planned, as a result of tampering or infection by computer virus, the Sponsors reserve the right, with the consent of the Régie to cancel the Contest and conduct a draw from all previously received eligible entries received by the Contest Closing Date. The Sponsors and the independent contest organization shall not be held responsible for any problems, errors or negligence that may arise or occur in connection with the Contest, including, but not limited to, any damage to an entrant s computer equipment, system, software or any combination thereof, as a result of the entrant s participation in this Contest. 17. For Québec residents only: Any litigation respecting the conduct or organization of a publicity contest may be submitted to the Régie des alcools, des courses et des jeux for a ruling; any litigation respecting the awarding of a

7 prize may be submitted to the Régie des alcools, des courses et des jeux only for the purpose of helping the parties reach a settlement. 18. All entries become the permanent property of the Sponsors and none will be returned. All entries and related intellectual property rights, including but not limited to copyright, become the sole property of the Sponsor, without compensation to entrant and each entrant hereby assigns such rights. Upon entry each entrant irrevocably waives all moral rights protecting the entry. Entries, may, throughout the Contest and thereafter, be distributed, used, reproduced, exhibited, donated, sold and/or displayed by the Sponsor on their website, which rights are granted by an entrant to the Sponsor upon entry, all without notice or compensation to entrant. No correspondence will be entered into except with the selected entrant after the Contest Closing Date. This contest is subject to all applicable federal, provincial and municipal laws. 19. The Sponsors respect your right to privacy. Personal information collected from entrants will only be used by the Sponsors to administer the Contest and, only if consent is given at the time of entry, to provide the entrants with information regarding upcoming promotions and/or events and/or opportunities to support the Sponsors mission.
