6 GENERAL TERMS AND CONDITIONS FOR THE ICWAM EXHIBITION These General Exhibition Terms and Conditions shall apply to each legal entity authorised to have a Stand on which to present their products and services (hereinafter referred to as the "Exhibitor") at the ICWAM Congress (hereinafter referred as the "Congress") organised by the Institut de Soudure association (non-profit organization created under the French law of 1901, with head office at 90, rue des Vanesses Villepinte, France, registered under SIRET No ) (hereinafter referred to as the "Organiser") in the Metz Congress Center Robert Schuman (hereinafter referred to as the "Site") from 5 to 6, June Within the framework of its request to participate in the exhibition of the Congress, the Exhibitor acknowledges and agrees these general exhibition terms and conditions. 1. DECLARATION 1.1. The Exhibitor acknowledges that the Congress is above all else a scientific convention and that its main purpose is not to present professional products, equipment and services, but to bring together researchers and engineers interested in the field of additive manufacturing, welding and related non-destructive testing in order to report on their progress The exhibition organisation service purchased by the Exhibitor is an ancillary benefit to the conferences of the Congress. 2. APPLICATION 2.1. The request to participate in the Congress exhibition (hereinafter referred to as the "Application") is made via an official form created by the Organiser, on which the Exhibitor must choose the service it wants to purchase. A request for a Congress registration form or its dispatch, or the cashing in of a down-payment cheque is not considered as a registration. The Organiser processes applications and makes decisions concerning participation. Registration as an exhibitor is only effective after written confirmation has been sent to the Exhibitor by the Organiser The Organiser reserves the right to refuse, temporarily or definitively, any application from an Exhibitor. Motifs for refusal, be it temporary or definitive, may be incomplete information, lack of payments or guarantees demanded by the Organiser, unsuitability of the requesting party, of its products or services, in relation with the purpose, spirit or image of the Congress, proven termination of payments, failure to acquire administrative or legal authorisation where applicable to take part in the Congress, risk of harming, through its presence, the protected interests of consumers and, more generally, public order, the tranquillity of other exhibitors, safety and enjoyment of conference attendees. In the event of refusal, the first payment made at the time of the Application shall be refunded by the Organiser within 30 days of the Organiser's reply In addition, the Organiser reserves the right, at any time, to request additional information in relation with the above and, where applicable, to amend a decision of acceptance to take part made on the basis of misleading, erroneous or ultimately incorrect information. In such case, the deposit sent shall not be refunded by the Organiser The allocation resulting from registration is personal and cannot be transferred. Acceptance does not imply any entitlement for a future event. 3. OFFICIAL CATALOGUE 3.1. An official Congress catalogue shall be created and published by the Organiser based on information provided by each Exhibitor. The Organiser shall not be held liable for any omissions, reproduction, layout or other errors that may occur. 4. PAYMENT 4.1. The Application must be sent with a first payment fixed by the Organiser. Failing this, the Application shall be immediately refused The full amount of fees to take part in the Congress exhibition shall become due to the Organiser after written confirmation of admittance sent to the Exhibitor by the Organiser. Nonpayment of the balance within the stipulated time-frame or of one of the payments within one of the stipulated time-frames shall lead to disqualification from exhibiting and the downpayment made shall remain the property of the Organiser. The Organiser is not obliged to provide any prior notice In the event that an Exhibitor, for any reason whatsoever, has not occupied its allocated stand on the Congress opening day, the Exhibitor shall be deemed as defaulting. Notwithstanding all other measures taken, at the Exhibitor's own risk, the Organiser may dispose of the defaulting Exhibitor's stand without the latter being able to claim a refund or compensation, even if the stand is allocated to another exhibitor If, for major, unforeseeable or economic reasons (such as fire, flooding, destruction, unavoidable accidents, local or national public transport strikes, riots, insecurity risks, storm, terrorist threat, etc.), the Congress cannot take place, Applications shall be cancelled and the available sums, after payment of expenses incurred, shall be shared among the exhibitors, in proportion with the sums paid by each Cleaning of exhibition spaces (including stand areas) is borne by the Organiser. 5. STAND ALLOCATION 5.1. The Organiser shall draw up the exhibition floor plan on the Site and shall allocate stand areas freely, taking into account, if possible, the wishes of the Exhibitor, the nature of the products and/or services exhibited, the layout of the stand they intend to set up and, if necessary, the date of registration of the Application. The Organiser shall have exclusive discretion to determine the allocation of stand areas Due to its role of organiser, the Organiser may be forced to modify the size and layout of the stand areas requested by the Exhibitor. In this case, the Exhibitor's financial contribution shall be reassessed in accordance with the stand area actually used Any claim by the Exhibitor concerning the position defined by the exhibition floor plan presented by the Organiser must be put forward within 8 days of the Exhibitor receiving the plan. After this, the proposed position is deemed as being accepted by the Exhibitor The decoration of the stands is the responsibility of the Exhibitors Exhibitors accept the stands in their condition and must leave them in the same condition. Any deterioration, notably to the Sites, premises and facilities in which the Congress takes place, caused by the Exhibitor or by their installations, materials or goods, as well as any cost incurred by the Organiser shall be invoiced to the Exhibitor. 6. SET UP/ REMOVAL 6.1. The Organiser determines the set-up and removal schedule of the exhibition spaces and removal of goods prior to the Congress opening, as well as the time-frames to put everything back in order after the Congress The Exhibitor shall ensure that its installer is present as decided by the Organiser to set up and remove the stand areas and any installations, materials or goods The Organiser may organise work, at the expense and risk of the Exhibitor, which was not carried out by the Exhibitor within the stipulated time limit. The Organiser shall therefore not be liable for any damage or full or partial losses suffered by the Exhibitor. The Exhibitor accepts this unreservedly If the stand is not taken down by the Exhibitor within the timeframes given, the Organiser shall be entitled, at the expense and risk of the Exhibitor, to destroy the stand without having to refund the Exhibitor the value of the goods and the components of the stand that may be damaged. 7. WITHDRAWAL/CANCELLATION 7.1. Unless authorised in writing by the Organiser, the Exhibitor, within the framework of the organisation service purchased, cannot transfer, sub-let or share, against payment or free of charge, all or part of the exhibition space and/or stand areas allocated to it in the Congress Site. 6

7 GENERAL TERMS AND CONDITIONS FOR THE ICWAM EXHIBITION 7.2. In the event of withdrawal or non-occupation of the stand for any reason whatsoever, the sums paid and/or due, partially or in full, for the organisation service shall be retained by the Organiser and the Exhibitor shall remain liable for payment of any outstanding amounts, whether or not the reserved stand is allocated to another exhibitor The Organiser can freely dispose of the defaulting Exhibitor's stand without the latter being able to claim a refund or compensation, and may remove any visuals relating to the defaulting Exhibitor's products and/or services The Organiser shall not be liable for damages which the Exhibitor may cause to third parties, or for damages to the Exhibitor's goods The Exhibitor alone is in charge of and responsible for the goods displayed and, more generally, for all of its materials, throughout the Congress, including set up, dismantling, handling operations, removals and transport. The Organiser cannot be rendered liable in relation to this for this in any way whatsoever The Organiser is deemed to be relieved of all liability and particularly in the event of loss, theft or damage of any kind The Exhibitor authorises the Organiser, free of charge: to featuring the Exhibitor and/or members of its team, as well as the products exhibited on its stand; to use any such images freely on any media and in particular for the purposes of advertising material (including on the Internet), in France and worldwide for a period of 10 years beginning from the date of the Application; to quote and reproduce, for no charge, its trademark or company name as a commercial reference for Congress communication purposes, on any medium whatsoever (in particular the Internet) whether in France or elsewhere and for a period of 10 years beginning from the date of its Application; 9.2. If the Exhibitor does not want all or part of its stand or any elements thereon (logo, trademark, model, etc.) or any members of its team advertising material promoting the Congress, it must inform the Organiser in writing prior to the Congress opening Furthermore, any Exhibitor wishing to take photographs of the Congress must inform the Organiser in writing in advance. In this, the Exhibitor will personally ensure it possesses all necessary authorisations to take photographs within the framework of the Congress and shall be exclusively liable for complying with the any image rights enjoyed by other Exhibitors The Exhibitor must comply on Site with the safety measures imposed by the regulations and any measures taken by the Surveillance which is the sole responsibility of the Exhibitor is carried out under control of the Organiser; its decisions concerning the application of the safety rules must be carried out at once The Organiser reserves the right to forbid access or to eject any person, visitor or participant connected to the Exhibitor whose presence or behaviour is deemed to present a risk to the safety, tranquillity or image of the Congress and/or the Site's integrity The Exhibitor agrees to comply with all obligations concerning use and with health and safety standards in application on the Site, and notably with the provisions of the internal procedures, a copy of which shall be made available by the Organiser on Site throughout the duration of the Congress The Exhibitor also undertakes to only display products or materials which comply with French regulations, not to denigrate the products, materials or goods of other exhibitors and not to carry out any form of advertising which is liable to mislead or constitute unfair competition In the event of a breach of these General Exhibition Terms and Conditions, the Organiser may, after notice, where applicable served by court bailiff, which has remained without effect, immediately close the stand and prevent the Exhibitor from material compensation from the Organiser. In this case, the fees incurred by the Organiser's involvement (Court bailiff fees and fees related to closing the stand) shall be charged to the Exhibitor The Exhibitor ensures the Organiser that he has obtained intellectual property rights for the goods, materials, designs and brands exhibited, all rights and/or authorisations required to display them in the Congress. The Organiser accepts no liability in this area The Exhibitor authorises the Organiser to reproduce and represent, for a period of ten (10) years, free of charge at any time anywhere, the goods, materials, designs and brands exhibited, in the Congress communication tools (Website, catalogue, map, promotional video, etc.) and, more generally, on all media intended to promote the Congress (photograph in the Congress to be published in the general, local, national or specialised press, but also on the Internet, video for TV or Internet, etc.) The Organiser shall not be liable for any injury or commercial loss that the Exhibitor may suffer for any reason whatsoever Regardless of the nature, the reason and the conditions of any action brought against the Organiser by the Exhibitor on the basis of proven fault, the Organiser's liability for direct damage shall not exceed 20, Any tolerance shown by the Organiser in respect of any partial or complete failure by the Exhibitor to carry out any provisions set out in these terms and conditions shall under no circumstances, irrespective of the duration or frequency thereof, give rise to any modify, by any means or in any manner, the extent of or performance of the Exhibitor obligations as set out herein In the event that one or more provisions of these terms and conditions are deemed invalid or declared as such under any law, the other provisions shall remain in force to their full extent Any claim whatsoever must be made by recorded delivery letter with acknowledgement of receipt within twelve (12) months of the date on which the Exhibitor is aware of the operative event or should have been aware of it The part ies shall endeavour to sett le amicably and forthw ith any dispute that may arise between them in relation to the interpretation and/or the execution of the agreement and the General Exhibition Terms and Conditions. Any dispute that cannot be sett led in this manner shall be subject to the exclusive jurisdiction of the competent court(s) of Bobigny, France Partici pation in the Congress, as well as any acts underta ken as a consequence of this part icipation, shall be subject to French laws and regulations.
