3 PREAMBLE Believing that professional association among men and women is valuable both in school and afterwards, we, the members of the Delta Upsilon Chapter of Beta Alpha Psi at Northern Arizona University, do associate for the purpose of maintaining a professional and honorary business organization. Our organization will strive to promote professionalism, scholarship, sociability, and interest, with an emphasis in the area of accounting, finance, and information systems. To attain these goals, we do hereby establish these bylaws. ARTICLE I NAME OF ORGANIZATION The name of the organization is Beta Alpha Psi, Delta Upsilon Chapter, at Northern Arizona University. ARTICLE II PURPOSE The purpose of this organization shall be to foster desire for self-improvement; to provide opportunity for association among members and practicing professionals; to recognize and encourage scholastic and professional excellence in the fields of accounting, finance, and information systems; and to promote a high standard of ethical, social, and public responsibility within the financial information community. 3
4 ARTICLE III MEMBERSHIP A. Eligibility and Definition of Good Standing. Degree seeking undergraduate students (e.g., BSBA, BS, BA, etc.) in the W. A. Franke College of Business shall be eligible for membership in Delta Upsilon Chapter if they are majoring or concentrating in accounting, finance or information systems. A member in good standing shall: 1. Be registered as an undergraduate student at Northern Arizona University, 2. Pay dues within the time specified by the officers of the organization, 3. Be active in organizational activities. B. Member Requirements. The Board of Officers shall review member requirements each semester and announce these requirements at the beginning of the semester. Member requirements set by the Board of Officers shall, at a minimum, comply with international member requirements. C. Student Membership Category. 1. Affiliate status. a. Requirements. Degree seeking undergraduate students shall be eligible for election to Affiliate status after they at a minimum: i. have declared an interest in concentrating in accounting, finance, or computer information systems ii. have completed at least one year of collegiate courses (30+ semester hours or equivalent), and iii. have completed or be currently enrolled in lower division accounting courses b. Transfer to Candidacy. Individuals may remain an affiliate for up to three semesters of association as an affiliate with Beta Alpha Psi. At that point they must transfer to Candidate Status (see below) or disaffiliate. c. Disaffiliation. Affiliate status will cease if they choose not to pursue Candidacy in Beta Alpha Psi. 2. Candidate status. a. Requirements for Undergraduates. Degree seeking undergraduate and nondegree post-baccalaureate students shall be eligible for election to Candidate status after they at a minimum: i. have declared a concentration in accounting, finance or information systems (or have stated an intention to declare a concentration in accounting, finance, or information systems); ii. have completed at least one year of collegiate courses (30+ semester hours or equivalent), and iii. have attained a cumulative grade average of an least 3.0 (where A is equal to 4.0) or the equivalent b. Requirements for Graduates. Degree-seeking graduate students shall be eligible after they, at a minimum, (1) are majoring, concentrating, or have a stated interest in accounting, finance, or information systems; (2) have matriculated into a graduate degree program. 4
5 c. When to Declare Candidacy. In order to fully benefit from Beta Alpha Psi activities, students seeking candidacy must declare their intent when they have at least the equivalent of one academic year remaining prior to graduation. A student may remain a candidate for no more than twelve months prior to induction as a full member; exceptions for special circumstances may be made only with approval of the Delta Upsilon Chapter Faculty Advisor. b. Transfer to Membership. Candidates who have met the requirements for membership will automatically be initiated as members during their second semester of Candidacy. c. Disaffiliation. Candidates who have not met the requirements for membership shall be considered disaffiliated with Beta Alpha Psi. Candidates will also cease to be classified as candidates if they no longer have a declared area of concentration in accounting, finance, or information systems. d. Certification. The Faculty Advisor shall be responsible for certifying that prospective members meet or maintain requirements for candidacy. 3. Member status. a. Requirements. Degree seeking undergraduate and non-degree post-baccalaureate students shall be eligible for election to membership after they at a minimum: i. have declared a concentration in accounting, finance or information systems (or have stated an intention to declare a concentration in accounting, finance, or information systems); ii. have completed, in addition to two years of collegiate courses, at least one upper level course beyond the business core (for transfer students, the most recent qualifying course must be at the initiating institution or another Association to Advance Collegiate Schools of Business (AACSB) or European Quality Improvement System (EQUIS) accredited institution); iii. have attained, beyond the business core, a cumulative grade average in the upper-division courses in their declared area of concentration beyond the business core of at least 3.0 (where A is equal to 4.0) or the equivalent b. Certification. The Faculty Advisor shall be responsible for certifying that prospective members meet or maintain requirements for membership. c. Disaffiliation. Once a student s classification is moved to Member, they are life-long members of the International Beta Alpha Psi organization and the Delta Upsilon Chapter. The only exceptions are if a member changes their declared concentration to one other than accounting, finance, or information systems. 4. Other Associations. a. Faculty Advisor. Full-time members of the accounting, finance, or information systems faculty are eligible for election as a Faculty Advisor. b. Alumni/Alumnae. Members of Delta Upsilon Chapter interested in continuing active involvement in Beta Alpha Psi after graduating from the W. A. Franke College of Business shall be granted Alumni/Alumnae status if they (1) had maintained good standing throughout their time as member in Beta Alpha Psi (2) register with the Vice President of Reporting. 5
6 i. Rights. Alumni and alumnae shall have the right to participate in formal Delta Upsilon Chapter events and to participate in the Mentor Program. c. Honorary Members. Persons exhibiting those qualities that Beta Alpha Psi fosters and who have achieved prominence in the fields of accounting, finance, or information systems or have contributed significantly of their time and talent to Beta Alpha Psi are eligible for election as Honorary members. i. Election. Honorary Members shall be elected by majority recommendation of the standing Board of Officers. The President shall formally present the inducted Honorary Members with certification of such. ii. Rights. The Honorary Member shall have the right to participate in professional events and to receive awards from the chapter. D. Recruitment Procedures. Delta Upsilon Chapter shall conduct recruitment procedures under the appropriate guidance of the W. A. Franke College of Business. E. Member Dues. Member dues are necessary to cover the costs associated with the operations of Delta Upsilon Chapter. The Board of Officers will determine the amount of dues for each category of membership at the beginning of each term. The Board of Officers must approve the amount of dues by majority vote. 6
7 ARTICLE IV BOARD OF OFFICERS A. International Requirements. At a minimum, Delta Upsilon Chapter will comply with the International organization s requirement of maintaining a President, Vice-President, Faculty Advisor, Treasurer, and Secretary. Other officers may be elected as needed. B. Eligibility for Office. All student officers shall be currently classified as active and in good standing with Delta Upsilon Chapter. Officer-elects for positions other than President, Vice President of Professional Events, and Vice President of Reporting must achieve candidacy status by the semester of their initiation. Officer-elects for President, Vice President of Professional Events, and Vice President of Reporting must achieve full member status by the semester of their initiation. A disaffiliated member or candidate shall not hold office regardless of any term requirement. C. Officer Elections. Officers shall be elected into their position by majority member and candidate vote. 1. Campaigning. A student may officially show their interest in running for office by notifying a current officer or the Faculty Advisor, who will then announce to the Board of Officers his or her interest. 2. Frequency of Election. All officers will be elected on a semester-by-semester basis, with the exception of a President or Vice President of Reporting who is fulfilling his or her yearlong term. D. Terms of Office. The President and Vice President of Reporting shall be elected to a term of office for one year. The regular term of the President and Vice President of Reporting will run from May of the current year through May of the following year. All other officer positions shall be elected to a term of office of one semester beginning in either the Fall or Spring semester. E. Installation of Officers. Outgoing officers shall officially install the officer-elects at the end of the Officer Training Seminar, which marks the final outgoing officer s meeting of the semester. F. Officer Removals and Office Vacancies. If an officer does not fulfill the duties in Subsection G (see below) or neglects to fulfill the appropriate member requirements, an officer may present a case to the Board of Officers as grounds for removal. The Board of Officers may then remove the officer by majority vote. In the event of a vacancy for any reason, the Board of Officers may appoint a replacement by majority vote. G. General Officer Duties. Officers are held to the highest standards of responsibility. It is the duty of each officer to: 1. Represent Beta Alpha Psi as an exemplary member to the community. Because certain officer duties require officers to fulfill agency responsibility of Delta Upsilon, appropriate behavior is enforceable at all times. 2. Meet professional and service hour requirements each semester, and strive to exceed these requirements. 7
8 3. Maintain information specific to their position. This information must be updated after each officer s meeting and at the end of every semester. 4. The outgoing Board of Officers must collectively prepare an Officer Training Seminar for the incoming Board of Officers each semester. This meeting can be held in conjunction with the required Planning Meeting at the end of every semester. 5. Counsel, train, and when possible identify potential new officers before relinquishing assigned responsibilities. 6. To ensure operational efficiency, the complete Board of Officers must meet at least once per month. The Planning Meeting, held in conjunction with the Officer Training Seminar, must be within the last two weeks of each semester. A tentative schedule of events for the upcoming semester must be finalized during this meeting. Finally, the first meeting of the semester shall be held prior to recruitment procedures at the beginning of each semester. H. List of Officers and General Responsibilities. Please defer to the official Delta Upsilon Chapter Officer Training Manual, prepared by the Board of Officers each semester, for a detailed listing of the duties of each position. 1. The President shall (a) serve as the primary representative and agent of Delta Upsilon Chapter; (b) determine challenging and appropriate goals for the organization; (c) work with the Board of Officers to develop a strategic plan to implement these goals at the beginning of each semester; (d) Direct the Officer Training Seminar at the end of each semester in conjunction with the Board of Officers; (e) work to achieve continuity within the organization; (f) preside at Officer Meetings of Delta Upsilon Chapter or delegate the responsibility to another officer to preside if unable to do so; (g) determine that all other duties of the other officers are performed in accordance with job descriptions; (h) seek to promote the welfare of the Chapter; (i) take an active part in developing all of the activities of the Chapter; (k) be responsible for all regular communications between candidates, members, Faculty Advisors and the Board of Officers; (l) conduct the candidate initiations (If a President-elect is inducted into membership during his or her first term of office, the responsibility then falls to the officer who has been a member in good standing the longest); (m) apply for awards and honorary recognitions as appropriate (n) oversee the Secretary: a) The Secretary shall (1) maintain minutes at Officer Meetings and make these available to the Board of Officers and Faculty Advisors within three days of the meeting; (2) be responsible for the chapter s administrative duties 2. Vice Presidents. The following five officers are granted Vice President status. These officers have a high amount of responsibility and directly report to the President. Duties are delegated to these positions by function. Thus, a Vice President position focuses a lot on a specialized set of skills. The positions are listed in order of succession should the President s seat become vacated. This list should not be read as an ordering of prestige, as all Vice President positions require much dedication and commitment. a) The Vice President of Professional Events shall (1) assist the President in the performance of his or her duties and act in the president s stead in the event of his or her absence or incapacity; (2) develop the calendar of events of the Chapter for each semester; (3) act as the liaison between the chapter and professionals; (4) delegate tasks to the Special Events Coordinator as needed; (5) oversee the Special Events Coordinator: 8
9 i. The Special Events Coordinator is a Permanent Assistant position. He or she shall (1) be responsible for coordinating the major chapter events throughout the semester (such as the Fall Bowling Tournament and Spring Golf Tournament); (2) report directly to the Vice President of Professional Events to instill good communication with the professionals and to ensure attendance at all functions; (3) ensure that all professional functions of the chapter keep in line with the objectives of Beta Alpha Psi; (4) work with the Treasurer to maintain the budget outlined for all major events; and (5) take an active part in developing the activities of the Chapter. b) The Vice President of Finance (Treasurer) shall (1) collect the revenue owed to the chapter; (2) coordinate with the Chapter Advisor to disburse money for authorized purposes; (3) maintain appropriate records; (4) be responsible for the Budget and the Year-End Report, and submit, in cooperation with the Reporter, to the Director of Activities, not later than June 30, financial statements for the preceding fiscal year; (5) take an active part in budgeting the chapter s funds; and (6) oversee all donations and fundraising. c) The Vice President of Member Services shall (1) encourage active member involvement; (2) oversee the Mentor Program; (3) coordinate all recruiting procedures; (4) help link affiliates and candidates to members and professionals who have opted to participate in the Mentor Program. d) The Vice President of Service Events shall (1) oversee and supervise all internal and external community events of the Chapter (such as conducting test preparation and proctoring activities for lower-division accounting courses); (2) take an active part in developing community service events for the Chapter e) The Vice President of Reporting shall (1) be responsible for charting all candidate and member requirements; (2) update all records of attendance of candidates and members at least once a month while school is in session; (3) oversee the technical support functions of the chapter; (4) maintain a registry of Delta Upsilon Chapter Alumni/Alumnae; (5) oversee and work with the Webmaster to maintain up-to-date member hour information on the chapter website: i. The Webmaster is a Permanent Assistant position. He or she shall (1) be responsible for updating the Delta Upsilon Chapter website and social media pages; (2) be responsible for directing the chapter members, candidates, and affiliates to the website and social media profiles; and (4) assist the Reporter with technical functions of Delta Upsilon Chapter. 3. Assistant Positions. The President and Vice Presidents may propose adding an Assistant position to support them in their duties. These positions shall expire at the end of each semester. a) How to Propose an Assistant Position. To become effective, the presenting officer must: (1) Describe the needs and duties of the assistant position in writing; (2) Present this description to the Board of Officers for approval; (3) Have a student of either candidate or member status ready to fill the position. 4. Faculty Advisor(s). The Faculty Advisor(s) shall (1) ensure compliance with national standards; (2) encourage Delta Upsilon Chapter to reach Superior Status with the 9
10 national office; (3) attend Regional and National Conferences if possible; (4) develop and oversee the internal activities of Delta Upsilon Chapter; (5) supervise officer elections; (6) be actively involved in chapter events; (7) promote the chapter s welfare; and (8) facilitate communications with the W. A. Franke College of Business. 10
11 ARTICLE V GOVERNING LAWS The Bylaws and Amendments of Delta Upsilon Chapter and of the National Chapter of Beta Alpha Psi shall constitute the laws governing the activities of Delta Upsilon Chapter. At no time shall the Delta Upsilon Chapter bylaws be in conflict with the Constitution and Bylaws of the International Organization of Beta Alpha Psi. Standing rules may be adopted at the beginning of each semester to implement these bylaws. ARTICLE VI ADOPTION AND AMENDMENTS A. Adoption. Adoption of these bylaws requires approval of not less than two-thirds of voting members in good standing of Delta Upsilon Chapter, provided the bylaws were submitted to the membership in writing at least four days in advance of the voting. B. Amendments. After consultation with the Faculty Advisor, these bylaws may be amended by the majority of members in good standing, provided the amendments were submitted to the membership. ( Submitted in writing for the purposes of this section can mean whatever means deemed appropriate by the officers.) Any amendments or changes that pertain to matters concerning Beta Alpha Psi will be acted upon by members of the Delta Upsilon Chapter according to the procedures described above. Members will submit their votes anonymously to the Faculty Advisor. 11
