1 ARTICLE I NAME CONSTITUTION June 26, 2012 Blackhawk Area Soccer Association P.O. Box Chippewa Beaver Falls, Pa This organization shall be known as the Blackhawk Area Soccer Association (B.A.S.A.), hereafter referred to as the Association. ARTICLE II PURPOSE The purpose for which B.A.S.A. is organized is to provide nonprofit, public, recreational and educational soccer competition for boys and girls. The Association will attempt to develop soccer skills of the younger players and to establish a higher level of play to be competitive with other club teams for the older players. The association is an organization that is unbiased with respect to sex, creed, religion, or national origin. The success and growth of the Association is primarily dependent upon parental involvement, participation, and assistance. ARTICLE III AFFILIATION B.A.S.A. shall be an affiliate of the United States Youth Soccer Association (U.S.Y.S.A.), the United States Amateur Soccer Association (U.S.A.S.A.), the United States Soccer Federation (U.S.S.F.), the Federation International de Football Association (F.I.F.A.), and the PA West Soccer Association. Its Constitution, By-Laws, and Rules & Regulations shall govern B.A.S.A. The association will maintain autonomy; but will adhere to the Constitution, By-Laws, and Regulations of the PA West Soccer Association in all matters pertaining to competition sponsored by the PA West Soccer Association. B.A.S.A. is a self-sustaining soccer organization that is not connected with, nor subsidized by, County/Municipal Government or the Blackhawk Area School District. Funding for association activities comes primarily from registration fees and possible outside contributions. The B.A.S.A. Board may undertake fund raising projects, as the need arises, pending approval of a two-thirds majority vote of the existing Board Members. ARTICLE IV MEMBERSHIP Membership in B.A.S.A. shall be open to all parents or legal guardians of participating players registered with the association during each Seasonal Year or any association volunteer approved by the Board. A Seasonal Year (fiscal) of the association shall begin on November 1 and end on October 31 of the following calendar year. The Constitution, By-Laws, and Rules & Regulations shall be in effect during the entire twelve (12) months of the Seasonal Year.

2 For the purposes of voting in the association, all members are considered to have one (1) vote each, regardless of the number of their children registered within the organization, at all special and general membership meetings. Each Board Member shall also have voting rights at these meetings and no person shall have more than one (1) vote at any meeting. A member must be present at any General Membership or Special Meeting to vote. There should be at least one (1) General Meeting of the membership during each Seasonal Year, one (1) of which shall be designated as the Annual General Meeting. The President shall call the Annual General Meeting with the concurrence of the Board, in November of each Seasonal Year. With respect to all General Meetings, notification to all members shall be given in writing by the Secretary no less than fourteen (14) days in advance of the scheduled date. Such notification shall include an Agenda, and proposed Amendments to the Constitution and the By-Laws, and a copy of the proposed budget and fee structure for the succeeding year. The order of business at General Meetings shall be as follows: 1. Call to Order 2. Reading of the Minutes of the previous General Meeting 3. Acceptance of those Minutes 4. Reports of the President, Treasurer, Secretary, Registrar, and Concessions 5. Proposals for Amendments to the Constitution and By-Laws 6. New Business 7. Adjournment A quorum for any meeting of the membership must constitute the following: the number of members present must be at least one (1) greater than the number of board members present. The President, as may be required from time to time, may call special meetings of the membership, with the concurrence of the Board, or whenever the President is requested to do so by at least forty percent (40%) of the coaches. When the President is so requested to call a Special Meeting, such meeting shall be held within twenty-one (21) days of the request. For all such meetings, the standard of notice, voting and quorum shall be as for a General Meeting. ARTICLE V BOARD OF DIRECTORS The government of the association, with the authority set out herein and in the By-Laws, shall be vested in a governing body known hereafter as the Board of Directors or the Board. The Board shall consist of the following positions: President Vice President Secretary Treasurer Registrar Referee Coaching Director Travel Team / Classic League Fields Concession Volunteer Equipment

3 The Board of Directors shall be charged with the responsibility of managing the activities of B.A.S.A. through the entire Seasonal Year and their respective term. The Board shall meet a minimum of once a month or as deemed necessary by the Board. A two-thirds majority of the existing Board Members will constitute a quorum for any meeting of the Board of Directors. BASA board of directors may hold an electronic vote via format once it is deemed as follows: time sensitive, has a financial impact on BASA, in nature that would affect BASA from operating in the better interest of the members. All electronic voting will require two-thirds majority vote of the existing board members. Results of the vote will be sent to all existing board members and kept on record by the BASA President until the voting issue and results are noted in the next quorum minutes. All decisions of the Board are final unless appealed to a Special Meeting of the membership of the association, and overruled or modified by the Special Meeting, all as provided in Article IV. The duties and responsibilities of the Board Members both individually and collectively shall be a provided in Article VI. Any vacancies occurring on the Board shall be filled by the Board and confirmed by a two-thirds majority of the Board. Any member of the Board may be removed from office and relieved of all duties for malfeasance, neglect of duty, or missing three (3) Board meetings in succession, by a two-thirds majority vote of the Board. ARTICLE VI DUTIES AND RESPONSIBILITIES OF THE BOARD The Board of Directors shall be responsible and have the final authority, except as otherwise provided, to: Enforce and interpret the Constitution, By-Laws, and Rules and Regulations of B.A.S.A. Define and establish all Rules and Regulations for B.A.S.A. Create new Playing Divisions within the jurisdiction of B.A.S.A. when such action is deemed appropriate Create Standing Committees such as the Membership Committee, the Budget and Financial Committee, the Rules, Appeals, and Discipline Committee, Classic League Committee, and any other Ad Hoc Committee deemed appropriate Establish an approved budget for the succeeding Fiscal Year and stipulate all fees to be levied on the membership for the succeeding Fiscal Year President The President shall act as chairman and chair all meetings of the Board of Directors and all membership meetings. The President shall act on behalf of the association as he or she deems necessary; however, all actions are subject to later ratification by the Board of Directors. The President shall have one (1) vote at all meetings in which he or she acts as chairman and that vote may only be cast to break a tie. The President has the right, with concurrence of the Board, to form new committees as needed and may be a member of all committees with the exception of the Rules, Appeals, and Discipline Committee. Vice President The Vice President shall assume all duties of the President in the absence of the President. The Vice President shall chair the Rules, Appeals, and Discipline Committee and shall be a member of the Classic League Committee.

4 Secretary The Secretary shall be responsible for keeping an accurate record of all meetings of the Board, General and Special Meetings of the membership, as well as all voting results and distributing to the Board of Directors. The Secretary shall keep the official calendar of the association. The Secretary shall send or oversee the written announcement of all meetings of the association. The Secretary shall direct all publications of the association and their related activities. The Secretary shall oversee the membership distribution list and publication mailing list. Treasurer The Treasurer shall oversee the keeping of detailed accounts of all financial transactions of the association and the collection of all debts and fees owed by the association. The Treasurer shall oversee the collection of all receipts and direct receipts to be issued for collection. The Treasurer shall recommend to the Board of Directors which banking institution the association shall deal with and any changes that need to be instituted in said accounts. All debits or other obligations of the association shall be paid by the Treasurer or with the Treasurer s approval. All obligations paid by check shall bear the signature of the Treasurer or one (1) of the following Board members: President, Vice President, Secretary, Registrar or signatories on the account. The Treasurer shall work with the Board of Directors and the Budget and Financial Committee to audit all financial activities on a periodic basis. The Treasurer shall oversee the preparation of a monthly financial statement for distribution to the Board of Directors. This may accompany the meeting agenda for the regularly scheduled monthly meeting. The Treasurer shall oversee the financial report for the General Meeting and shall oversee the preparation of the final financial statement to the membership at the end of the fiscal year. The Secretary shall keep copies of all financial reports. Registrar The Registrar shall oversee the keeping of a complete record of all teams and players for the purpose of player registration, team affiliation, and fee assessment. The Registrar shall oversee the preparation of a monthly update on all the above records, as deemed necessary by the Board of Directors, for use by the Board of Directors. The Registrar shall oversee an audit statement that shall be sent to the affiliates to ascertain the accuracy of the state records. The Registrar shall oversee all player insurance activities that occur. The Registrar shall be a member of the Rules, Appeals, and Discipline Committee. Coaching Director The Coaching Director shall chair the Coaching Committee, recommend to the Board coaches within each age group to be Age Group s, assist the coaches in each age group as necessary, distribution and collection of in-house playing equipment, and assume any other responsibilities and duties as directed by the Board. The Coaching Director shall be a member of the Rules, Appeals, and Discipline Committee, chair the player draft process, and be a member of the Budget and Financial Committee. Referee The Referee shall be responsible for recruiting, training, and proper certification of all association referees as necessary. The Referee shall be responsible for assigning all

5 referees for events sanctioned by BASA association and hold an Assignors Certification or by the board approval appoint an assigner that holds an Assignors Certification. The Referee shall promote the advancement and upgrade the level of performance of all association referees who serve B.A.S.A. The Referee shall be an active member in the United States Soccer Federation (U.S.S.F.) in an effort to maintain an up-to-date knowledge of referee activities and requirements. Fields The Fields shall be responsible for the maintenance of the playing fields, installation of field equipment and associated materials. The Field shall also act as the liaison between the B.A.S.A. and the owner of all the association s practice and game fields. The Fields shall assume any other responsibilities and duties as directed by the Board. Concessions The Concessions shall oversee the keeping of a detailed record of all activities and transactions associated with the B.A.S.A. concession stand. The Concessions shall order, inventory, and maintain all supplies associated with the B.A.S.A. concession stand. The Concessions shall work with the Board of Directors and the Budget and Financial Committee to audit all financial activities on a periodic basis. The Concessions shall oversee the preparation of a monthly financial statement for distribution to the Board of Directors. This shall accompany the meeting agenda for the regularly scheduled monthly meeting. The Concessions shall assist with the financial report for the General Meeting and shall assist with the preparation of the final financial statement to the membership at the end of the Fiscal Year. The Secretary shall keep copies of all financial reports. The Concessions shall be a member of the Budget and Financial Committee. Volunteer The Volunteer shall be responsible for recruiting, training and overseeing all volunteers who may be used from time to time to aid in the administration, operation or and other task that the Board may deem necessary in the daily operation of B.A.S.A. Travel Team / Classic League The Travel Team / Classic League shall oversee the activities of all the Travel Teams and Classic League. Coordinate the distribution and collection of travel and classic league playing equipment. Act as the liaison for the association with the Travel and Classic Teams and League, and assume any other responsibilities and duties as directed by the Board. The Travel Team will oversee the player tryouts and skills demonstrations for all the Travel Teams. The Travel Team / Classic League shall chair the Classic League Committee, and oversee the player tryouts for all the Classic Teams Equipment The Equipment shall oversee the purchasing, and managing all equipment belonging to B.A.S.A. This shall include, but is not limited to, purchasing and keeping and inventory of balls, nets, goals, field paint, uniforms and over see the uniform distribution for in-house, travel, and classic teams. The Equipment will be a member of the Rules, Appeals, and Discipline Committee.

6 ARTICLE VII PLAYING DIVISIONS B.A.S.A. will sponsor recreational and competitive age groups and divisions for both boys and girls. The age groups and divisions will consist of In-House (as defined by U.S.Y.S.A.), Traveling Teams and Classic Leagues. 1. All In-House recreation will be established primarily as developmental and educational programs. The In-House program will be further divided to include Micro-Soccer age groups, as defined by U.S.Y. S.A. 2. Travel Team competition will be established as a higher level of skills and will compete with other area organizations to further develop players skills. 3. Any Classic League Teams established would represent the highest level of inter-district organization play sponsored by B.A.S.A. ARTICLE VIII DISCIPLINARY ACTION The Board shall have the right and authority to suspend, expel, or otherwise discipline any individuals (players, coaches, managers, assistants, officials, or parents) of any association team. As a result of disciplinary action, the Board of Directors also has the right and authority to suspend voting privileges for any member of the General Membership, based upon the recommendation of the Rules, Appeals, and Discipline Committee. The right and authority of the Board to take such actions shall apply where any individual or member of the association has violated the Constitution or Rules and Regulations of B.A.S.A. Such action may be based wither upon an original complaint or upon the Board s discretion. The Rules, Appeals, and Discipline Committee shall adjudicate all matters pertaining to alleged misconduct or violation of the Constitution or Rules and Regulations. ARTICLE IX AMENDMENTS TO THE CONSTITUTION The Constitution may be amended, repealed, or suspended, in whole or in part, by a two-thirds majority vote of the membership present at any duly called meeting of the general membership, provided a quorum is present as outlined in Article IV. Proposals to amendment or repeal of the Constitution must be made in writing and submitted the Secretary of B.A.S.A. thirty (30) days in advance o such meeting, so as to permit all members prior consideration of the proposals fourteen (14) days in advance of the meeting. The By-Laws and B.A.S.A. In-House and Micro Soccer Rules & Regulations will be hereafter adopted. They may be amended or repealed in whole or in part, in the manner provided therein. ARTICLE X DISSOLUTION Upon the dissolution of B.A.S.A., the Board of Directors shall, after paying or making provision for the payment of all thee liabilities, dispose of all assets of the association to a named recipient, foundation, corporation, or fund exclusively organized for the purpose as stated in Article II.
