1 The Bordentown Community Soccer Association CONSTITUTION ARTICLE I - NAME This organization shall be known as The Bordentown Community Soccer Association. ARTICLE II - OBJECTIVE The objective of The Bordentown Community Soccer Association shall be to educate and teach the youth of the area the ideals of good sportsmanship, honesty, loyalty, team spirit and integrity. The objectives will be achieved by the providing of supervised competitive soccer matches. The supervisor shall bear in mind that the attainment of exceptional athletic ability or the winning of games, though both desirable, is secondary to the molding of future adults. ARTICLE III - ORGANIZATION A. The organization of The Bordentown Community Soccer Association shall be under the supervision of a Board of Directors. This Board of Directors shall be governed by the articles, rules and regulations as set forth in this Constitution. The Board of Directors shall consist of Officers and Directors duly elected at the November meeting. Executive Committee Members may not assume permanent coaching positions in the recreational league. In addition, no Board Member may referee games in a Division in which his or her child participates. B. At the November meeting, the election of individuals to fill vacant Board positions will be held. The Board shall consist of a President, Vice President, Secretary Treasurer and seven Directors. The Board shall be responsible for and have sole authority for enforcing the Constitution. Their terms shall be: President Vice President Secretary. Treasurer Seven Directors 3 Years The Executive Committee shall be comprised of the President, Vice President, Secretary and Treasurer. The Board of Directors shall have all the corporate powers of the Organization expressed and implied. The Board of Directors shall have additional powers to fill vacancies on the Board until the next regular election of said vacancies with the exception of the Office of President. This position will be vacant until the following regular election.
2 Duties of the Board of Directors PRESIDENT: The President shall supervise all activities of the Association and the work of the Officers and Directors. The President is the Chair-person at all meetings and the general representative of the Association in all matters. The President shall supervise the operation of the Association. In the President's absence, the Vice President shall assume the power of the Presidency. VICE PRESIDENT: The Vice President shall assist the President in the administering duties and policy of the Association. The Vice President will assume the Presidential duties upon vacancy of the Presidency. SECRETARY: The Secretary shall attend to all correspondence. The Secretary shall keep attendance records at all meetings. The Secretary shall record the minutes of all meetings. These minutes shall be presented for approval at the following meeting, which, if accepted as read, shall be signed by the Secretary. The Secretary, with the Treasurer will be jointly responsible for the Annual Report. If both the President and the Vice President are absent, the Secretary shall conduct the meeting. TREASURER: The Treasurer shall have charge of the finances of this Association. The Treasurer shall be responsible for maintaining accurate financial records. The Treasurer shall also be jointly responsible, with the Secretary, for the preparation of a detailed Annual Financial Report to be presented at the January meeting. In addition, the Treasurer will give a financial report which covers disbursement and receipt activity at each monthly meeting. The Treasurer may be assisted by an assistant Treasurer which shall be approved by the Board of Directors and counter-signed by the President. SEVEN DIRECTORS: Varied duties will be assigned by the Board, including Player Agent. E. The Board shall have the authority to make new rules or regulations for specific cases or occasions not provided for in the Constitution or By-Laws, but which are deemed necessary to carry out the objectives of the Association. F. The Board shall have the authority to create new Divisions or sections to the Association as situations and circumstances warrant. NOMINATION OF PRESIDENT AND VICE PRESIDENT The nominee for the position of President or Vice President must be a current member of the Board of Directors or a member whose term is expiring with at least one year of service. Any current Board Member electing to run for President with a partial term remaining, must first resign that position, whereupon that seat will be up for election for the remainder of its term. 3 G. No Board Member shall be allowed to vote on an issue where his or her conscience and the good of the Association as a whole are not the first and foremost reason for their decision making. H. If a Member of the Board resigns, it must be done in writing to the Board of Directors. I. All Board Members are expected to conduct themselves in the best interest of the League. Any Board Member who misuses his office or violates the Constitution, By-Laws, Operating Procedures or directions of said Board is liable for disciplinary action. Such action is to be addressed at the next Board meeting. J. Trustees may be appointed by the Board of Directors when deemed necessary, without voting privileges. K. All appointed committees, including the Executive Committee, shall furnish regular reports, in writing, of their activities to the Board of Directors. ARTICLE IV - MEETINGS A. All meetings are public and will be held during the fiscal year ( January 1st. thru December 31st.). Election of Officers will take place in November.. The January reorganization meeting is for the purpose of reading of reports and the installation of officers. At each monthly meeting verbal or written reports will be requested. B. Board meetings will be held monthly. Special meetings mat be called by the President or by written request to the President from any member of the Board. C. All matters concerning the policy of The Bordentown Community Soccer Association shall be decided by a vote of the Board of Directors and no motion shall be carried without a favorable vote of a majority of those present at a duly constituted meeting. ( Refer to Article IV, section D.). D. A majority of the members of the Board of Directors shall constitute a quorum (7) of any meeting of the Board of Directors and a minimum of (6) "yes" votes on any given motion will be needed to pass. E. Current and past Board Members, Coaches parents and guardians of children who played in the current season of The Bordentown Community Soccer Association and attend the November meeting shall be eligible to vote in the election of Officers for the following year. F. Simple majority rules in the election of Officers and Directors. G. Should any Board Member miss three (3) consecutive monthly meetings except for extenuating circumstances, he or she shall be considered resigned after a two-thirds vote of the Board of Directors. 4 ARTICLE V - COACHES A. Coaches and prospective coaches of teams shall annually be subject tp approval by the Board of Directors and shall be responsible for their own and their team's conduct on the field, as well as the conduct of their spectators. B. Coaches shall be subject to disciplinary action for misconduct. When such charges of misconduct are brought to the attention of the President, he shall convene a panel of five (5): three (3) coaches outside the Division in which the incident occurred, and two (2) Board Members to hear testimony with regard to the misconduct. At any such hearing the accused person shall be entitled to be present during the taking of testimony, and to testify on his or her own behalf. Following such hearings, the panel shall recommend to the Board what, if any, discipline should be imposed. The Coach will be informed of the Board hearing and will be asked to testify at same. C. Removal of a Coach for any reason may only be administered by a two-thirds vote (8) of the entire Board of Directors. D. Any person of legal age (18) is eligible to manage or coach a team, if approved by the Board of Directors. ARTICLE VI - PLAYERS A. Any child who lives in the Bordentown area shall be eligible to register for participation in the Bordentown Community Soccer Association upon payment of the prescribed registration fee. A child's league age shall be determined the international FIFA age groupings. B. For boys and girls of above average skill the Board shall be empowered to set up and oversee competitive teams (Travel Teams) so that those children may further improve their skills and abilities by playing at a higher level of competition. These Travel Teams will operate by and adhere to the Travel Team procedures. C. Any youth who can no longer participate due to illness, injury or movement from the area will be permitted to re-enter the program upon written certification of the recovery from such illness, injury or return to the area. Any child quitting during the season will be dropped from the league for the remainder of that season and will be ineligible for any league benefits or awards. ARTICLE VII - FINANCIAL POLICY A. The Board of Directors shall formulate all policies pertaining to finances and shall direct the receipt and expenditure of all funds which shall be placed in an approved depository in the name of The Bordentown Community Soccer Association. B. Contributions to individuals or House League Teams are not recommended. All solicitations should be made for the common treasury in order that the benefit be equaled. Coaches may not solicit from their team sponsor. C. An annual audit must be performed at the end of the fiscal year by an independent auditor. BCSA Constitution Page 4 of 5 Revised:4/3/2008

All Travel Team funds will be administered by The Bordentown Community Soccer Association Treasurer according to the Travel Team Procedures and recorded to reflect individual Travel Team balances. ARTICLE VIII - RULES A. The official playing rules will be those in the FIFA soccer rule book except as modified by local changes and exceptions.. B. Local rules shall be adopted by The Board of Directors from recommendations for additions and deletions made by a Rules Committee duly appointed by the President. ARTICLE IX - AMENDMENTS This Constitution or any section thereof may be repealed by a two-thirds majority vote (8) of the complete Board of Directors at two (2) duly constituted meetings of the Board of Directors. All amendments shall become effective upon vote at the next regularly scheduled meeting of the Board of Directors. This Constitution shall be reviewed for proposed changes every two years unless otherwise deemed necessary by the Board of Directors. Amendment - Effective April 3, 2008, the following Article has been ADDED to the Constitution. ARTICLE X CESSATION AND OR DISSOLUTION OF THE ASSOCIATION Upon the planned dissolution of the BCSA or apparent cessation of activities by the Association, for a period of more than 12 consecutive months, the assets shall be distributed for one or more exempt purposes within the meaning of Section 501(c)(3) of the Internal Revenue Code, or the corresponding section of any future federal tax code, at the direction and discretion of the standing Board of Directors. In the event of cessation by the BCSA, where a quorum no longer exists, the assets shall be distributed to the Twp of Bordentown, for a community-based youth activity public purpose. Any such assets not so disposed of shall be disposed of by a Court of competent jurisdiction of the county in which the principal office of the corporation is then located, exclusively for such purposes or to such organization or organizations, as said Court shall determine which are organized and operated exclusively for such purposes.
