1 Constitution/Bylaws for Alamo Area Youth Soccer Association The exclusive purpose of Alamo Area Youth Soccer Association, AAYSA, is to provide the opportunity for all who wish to participate in youth soccer activities within AAYSA s territory. AAYSA shall teach good sportsmanship, educate youth participants and adult sponsors in the fundamentals of the game of soccer, promote the game of soccer through sponsorship or regularly scheduled competition, and conduct other educational activities as shall be deemed appropriate for the promotion of youth soccer.

3 ARTICLE 1: NAME 1.0 The name of this organization shall be the Alamo Area Youth Soccer Association, a Texas non-profit 501c3 corporation hereinafter referred to as AAYSA. ARTICLE 2: PURPOSE 2.1 The exclusive purpose of AAYSA is to provide the opportunity for all who wish to participate in youth soccer activities within AAYSA s territory. AAYSA shall teach good sportsmanship, educate youth participants and adult sponsors in the fundamentals of the game of soccer, promote the game of soccer through sponsorship or regularly scheduled competition, and conduct other educational activities as shall be deemed appropriate for the promotion of youth soccer. ARTICLE 3: AFFILIATION 3.1 AAYSA and its member organizations shall affiliate and comply with the authority of the South Texas Youth Soccer Association, hereinafter referred to as STYSA, and the United State Soccer Federation, hereinafter referred to as USSF and United States Youth Soccer, hereinafter referred to as USYS. ARTICLE 4: SEASONAL YEAR 4.1 The Seasonal Year of AAYSA shall follow the STYSA Calendar ARTICLE 5: TERRITORY 5.1 AAYSA shall be comprised of all member organizations within the Alamo Area including cities and counties in the surrounding community. ARTICLE 6: MEMBERSHIP 6.1 Membership in AAYSA shall consist of properly constituted and approved youth soccer associations, organization, clubs and leagues, herein known as Member Associations within AAYSA s defined territory with a simple majority vote. 6.2 Each member organization shall retain its own autonomy; however, each will adhere to AAYSA s Constitution/Bylaws, Guidelines, policies and decisions approved by the member associations pertaining to all matters within AAYSA s authority. All member associations shall submit their Constitution/Bylaws upon entry to AAYSA and every even year thereafter. 6.3 Member Associations with twelve (12) teams or more shall have full voting rights for all regular and special meetings. If member association falls below 12 teams, they are not in good standing and lose their voting rights until such a time that are at 12 teams again for one full year. (Sub-clubs are not counted as the 12 teams of a member club to constitute a voting member.) A sub club is considered a non-voting club of AAYSA who registers through a member club. 2

4 6.4 Any applicant with less that twelve (12) member teams shall not be granted separate membership but may become a non-voting AAYSA Associate Member whose representative may participate in all discussion, and whose teams may participate in all AAYSA competitions. 6.5 President may appoint into Corporate Sponsorship Membership any individual, company or organization that aids or contributes to AAYSA in its objectives, aims or purposes, either through action, deed or financial assistance, to be selected by the President Corporate Sponsorship Membership shall be non-voting members. 6.6 Good Standing Good standing constitutes all membership association fees, dues, and fines are in order and so recognized by the Treasurer at that time Member Association is in accordance with Member Association who misses three (3) consecutive regular or special meetings, without reasonable excuse may be suspended or fine as directed by the Executive Governing Board/Governing Board. ARTICLE 7: GOVERNING BOARD 7.1 The Organization shall be governed by its Constitution, By-Laws, Policies, and General League Rules. 7.2 The governing board, hereafter to be known as the Board of Directors, shall be composed of the President, Executive Board Members, and the President of each Member Associations in accordance to ARTICLE 6: MEMBERSHIP Member Associations may designate a representative in his or her absence to a regular or special meeting. A written notice by any of them to the Secretary will allow a representative to represent the Member Associations at that meeting The duties and responsibilities of the Governing Board shall be: Establish all AAYSA guidelines and policies Establish all AAYSA fees and charges Adopt a budget and, except as otherwise provided for in the Bylaws, approve all non-budgeted expenditures; Assist Member Associations to provide the opportunity for all those who wish to participate in youth soccer activities; 3

5 Carry out all other duties and responsibilities as specified in the Constitution and Rules of AAYSA, or as required by STYSA; and Monitor compliance with the AAYSA Constitution, and Rules and decisions of the Governing Board; All expenditures over the sum of $ will require formal approval by a majority of the Governing Board present at a regular or special meeting. ARTICLE 8: OFFICERS/EXECUTIVE COMMITTEE 8.1. Executive Board Members The below officers shall constitute the AAYSA Executive Board; President Executive Vice President Select/Recreation (D3) Vice President Recreation (D4) Vice President Academy Vice President Secretary Treasurer Referee Commissioner Director of Coaching 8.2 Term The officers shall be elected for a two year term beginning June 1. They may succeed themselves in office. 8.3 Attendance Officer elected even number years: President, Treasurer, Commissioner of Referees, and Select/Recreation (D3) Vice President Officer elected odd number years: Executive Vice President, Secretary, Director of Coaching, Recreation (D4) Vice President and VP Academy Any Executive Board member misses two (2) consecutive regular or special meetings, without reasonable excuse may have his/her position declared vacant by the Governing Board due to lack of participation/interest with a simple majority vote Vacancy In the event any office becomes vacant, an interim successor shall be elected by a simple majority vote of the Governing Board at any duly constituted meeting. The person who fills the vacancy shall serve until the next regular scheduled General Governing Board Meeting Removal a two-thirds (2/3) majority vote of the Governing Board at any duly constituted meeting shall be required to remove any elected officer whose conduct/negative behavior is considered by a majority of the Board to be detrimental to the best interests of the organization. 4

6 8.4 The members of the Governing Board shall elect the following officers of AAYSA and have the following duties: Officers; President The President shall be the Chief Executive Officer of AAYSA and shall have the following duties and responsibilities: Shall preside at AAYSA regular and special Governing Board and Executive Committee meetings; May appoint committees; Shall cast the deciding vote in the event of a tie at any meetings at which he/she presides or waive the right to do so; May appoint delegates to any Member Associations meeting; Shall submit a written annual report, which shall become part of the minutes to all Governing Board members at June/July regular meetings; Prior to the last meeting of each fiscal year, may appoint an auditing committee to inspect the Treasurer s books to certify their accuracy with the Treasurer, shall prepare and oversee all AAYSA budgets and financial reports; Shall handle all public relations in the best interest of AAYSA; Shall have responsibility for new area development; shall have responsibility to obtain sponsors to contribute either through action, deed or financial assistance shall represent AAYSA at all STYSA meetings and shall include in the budget reasonable expenses to attend meetings; Ensure all Member Association conduct goal post inspections/insurance requirements shall have the right to designate individual(s) to carry out any of his/her listed duties and responsibilities; shall manage the day to day operations of AAYSA President shall appoint the registrar to support all Member Associations; registrar duties shall be documented and approved by the Governing Board, annually Executive Vice President The Executive Vice President shall succeed to the powers of the President in his/her absence and in addition have the following duties and responsibilities: Shall function as chairperson of the Discipline and Protest or Appeals Committee, unless a matter involves his/her own organization, then he/she shall appoint a chairperson from the Discipline and Protest. Prior to the start of each season, he/she shall appoint members (in addition to him/herself) to Discipline and Protest Committee to rule on any Association appeal matter; 5

7 Shall function as chairperson of the Appeals Committee, unless a matter involves his/her own organization, then he/she shall appoint a chairperson from the Appeals Committee. Prior to the start of each season, he/she shall appoint members (in addition to him/herself) to an Appeals Committee to rule on any Association appeal matter; Review and approve all applications to host invitational tournaments; ensure documents are within compliance Shall promote activities for the development of AAYSA players; and May appoint other individuals or committees to assist in carrying out his/her duties and responsibilities Vice President(s); Academy, Select/Recreational (D3) and Recreational (D4) Vice President (s) shall have the following duties and responsibilities: Coordinate and administer all inter-league play; Monitor all league play within member associations (clubs); Vice-Presidents shall hold themselves duty bound and expected under the jurisdiction of this Association to abide by the decisions of this organization, its officers, constitution and by-laws, to fulfill his or her obligation to AAYSA and shall not maliciously injure in act or deed any other member in any manner Receive and maintain penalty point records; determine if a forfeit shall be recorded for game cards not forwarded to their designee within seventy-two (72) hours; Determine whether a cancelled game shall be declared a forfeit, replayed or deleted from the schedule; Participate as the AAYSA liaison to the Western District and STATE tournaments and activities; Appoint committees or individuals to assist them with their duties; Compile and Assemble reports and statements on any D&P matters with the Executive Vice President Secretary Shall record and publish the minutes of all meetings, attend to all correspondence, and keep the records of AAYSA; shall maintain a complete mailing list of Member Associations, clubs and leagues, representatives and alternates of the Governing Board and Officer of AAYSA; Shall provide minutes of AAYSA Governing Board and Executive Committee meetings to all members of the Governing Board prior to the next scheduled AAYSA meeting; 6

8 Shall provide notice of all meetings as required in the AAYSA Constitution, Bylaws/Constitution; Shall receive and record the designated representative and alternate of each member organization; Shall obtain from the Registrar paid registration data according to the previous STYSA Summer Governing meeting. If an interim new Member Associations, voting rights will be based upon the number of paid registrations as provided by the Registrar by the first Fall registration date for the purpose of calculating each new member organizations voting power throughout the balance of the seasonal year; Shall maintain a hard copy of each Member Associations recent Constitution/Bylaws and Rules; and May appoint other individuals or committees to assist in carrying out his/her duties and responsibilities Treasurer It shall be the duty of the Treasurer to receive all fees, dues, monetary donations, contributions, and other income and provide a receipt thereof Shall prepare and submit a financial report of income, expenditures, current assets and liabilities to the Governing Board at each regular meeting; Shall pay all AAYSA bills properly passed upon and approved by the President; Shall assist the President in the preparation of the yearly AAYSA budget; and may appoint other individuals or committees to assist in carrying out his/her duties and responsibilities The Treasurer shall notify the Registrar of all members who are delinquent in dues, and/or indebted to the organization The records of the Treasurer shall be opened for audit at any time by the Auditing Committee, appointed by the President Referee Commissioner The Referee Commissioner must be a certified assignor and shall have the following duties and responsibilities: Shall conduct and coordinate the initial and continuing education of referees amongst the Member Associations; Shall monitor and track Member Associations club assignors and referees to ensure compliance with local and State certifications requirements Shall assign and coordinate referees for all AAYSA sponsored or hosted playoffs and tournaments; 7

9 Shall receive written complaints against member organization referees and investigate for possible further action and forward to the AAYSA D&P or Appeals Chairperson; Shall remain informed of FIFA, USYSA, STYSA and AAYSA rule changes and shall disseminate this and other pertinent information to Member Associations referees or their club assignors; May appoint other individuals or committees to assist in carrying out his/her duties and responsibilities Director of Coaching Act in an advisory capacity to the various Vice Presidents on questions regarding league play Access and disseminate all U.S. Youth Soccer and STYSA curriculums and updates Promote/Represent AAYSA to any club's constituents and potential prospects Aid in the development of AAYSA programs, including, but not limited to: organizing and planning coaches' clinics, speaking and participating in meetings of membership Organize, plan and conduct workshops, seminars and other types of educational programs for AAYSA s constituent clubs as requested Attend Governing Board meetings and report to the Governing Board on a regular basis as needed Act in an advisory capacity for any coaching issues to the AAYSA Governing Board and/or constituent clubs Be available, as requested, to participate in an advisory capacity any AAYSA and/or constituent club pre-season and/or post-season coaches meetings as well as meetings with club DOC s and Academy DOC s With the assistance of the AAYSA and constituent club registrars, develop, maintain and update as needed a coaches database of current AAYSA coaches and their respective coaching credentials Stay current with all STYSA and/or U.S. Soccer coaching licensing opportunities and communicate this information as needed. Develop and recommend minimal coaching standards for all coaches within AAYSA for all levels of play Director of Personnel AAYSA may employ/contract a Director, an administrator or staff. The Director or administrator/staff shall serve at the discretion of the Executive Committee and shall report to the President. If no Executive Director is employed/contracted by the Association, any and all duties of the Executive Director shall fall to the President, who may delegate such duties to other officers as he/she sees fit. The Executive Committee 8

10 and/or Board of Directors may choose to hire full time/part time employees for specific tasks and duties. The Executive Committee may recommend the employment of an Administrator and/or Secretary for the Association to provide information on AAYSA programs and file documents with various organizations on behalf of the Association as may be required. ARTICLE 9: MEETINGS 9.1 Governing Board Meeting (designated in November and June of each year) During November and/or June Governing Board meeting members shall review/approve budget and review/amend constitution/bylaws During May Governing Board meeting members shall conduct elections, review/amend budget and review/amend constitution/bylaws 9.2 Regular Board Meeting Regular board meeting will be held monthly. 9.3 Executive Board Meeting Shall be held in November, January, June, and July 9.4 Special Meeting A special meeting may be called by the President or any two elected officers. Any call of a special meeting shall be made to the Secretary, who shall then schedule same and notify the Governing Board within two (2) calendar days. Only the subjects for which a meeting has been called may be addressed at the meeting 9.5 Place of Meeting Shall be designated by the President. If a meeting is video/teleconference, minutes must be taken and submitted at the next regular meeting. 9.6 Notice Secretary shall publish meeting agenda, location, and time at least seven (7) days prior scheduled meeting. 9.7 Order of Business ~roll call and vote accreditation; ~Reading and approval of minutes of last meeting; ~Old business; ~reports, if any, of chairpersons of standing committees; ~reports of officers; ~elections of officers (November Governing Board Meeting); ~Amendments, if any, of Constitution, Bylaws or Rules. (Governing Board only); ~new Business; and ~adjournment 9

11 9.7.2 President may modify Order of Business of any meeting business to accommodate handling of matters presented. All meetings shall be conducted in accordance with the current edition of Robert s Rules of Order Quorum A majority of the total membership which comprises a governing board as of the date of the meeting shall constitute a quorum at all meetings. ARTICLE 10: OFFICES 10.1 Principal Office. The principal office of AAYSA shall be in the State of Texas and within the boundaries of AAYSA. It shall be located at the residence of the AAYSA President. The AAYSA President may designate other offices as may be required from time to time AAYSA shall have and continuously maintain in the State of Texas a registered office, and a registered agent whose office is identical with such registered office, as required by the Texas Non-Profit Corporation Act. The registered office may be, but need not be, identical with the principal office, and the address of the registered office may be changed from time to time. The registered agent shall be the AAYSA President unless the President appoints a designate to be registered agent in his/her place. ARTICLE 11: MEMBERSHIP 11.1 Application for Membership. An organization seeking membership in AAYSA must file a written application requesting membership which must be accompanied by a hardcopy of the applicant s Constitution/Bylaws and Rules. With the notice of the meeting in which membership is to be considered, the AAYSA Secretary shall include a copy of the applicant s application, Constitution, Bylaws and Rules to each member organization s representative Resignation. Any member association may resign by filing a written resignation with the Secretary, but such resignation shall not relieve the member association of the obligation of paying any and all dues, fees, assessments or other charges due and unpaid Reinstatement. Upon written request signed by a former member with up-to date copies of its Constitution, Bylaws and Rules and filed with the Secretary, the Governing Board may, by the affirmative vote of two-thirds (2/3) of its members at a duly constituted meeting, reinstate such former member to the membership on such terms as the Governing Board may deem appropriate Transfer of Membership. Membership in AAYSA shall not be transferable or assignable. 10

12 ARTICLE 12: VOTING 12.1 In all matters to be decided by the Governing Board, each organization shall have voting powers according to the player registrations within a seasonal year. (Fall player registrations plus new player registrations from the Spring). ~200 or less registrations. 1 vote ~ registrations. 2 votes ~ registrations. 3 votes ~ registrations... 4 votes ~ registrations. 5 votes ~ registrations. 6 votes If a new member association joins AAYSA in the interim, member association will be granted 1 vote. On the (1) One Year anniversary, member association will be granted voting rights in accordance with Voting powers shall remain the same until the next year s fall registration date regardless of whether or not registration changes or the member organization does not have a spring soccer season. The representative or alternate shall cast all votes for the member organization, unless there is a valid proxy A simple majority of the votes on any issue at any meeting shall decide all decisions or matters, and questions, except those involving amendments to the Constitution, Bylaws or Rules or to remove an officer No officer of AAYSA shall cast votes for a member association, unless such officer is the valid proxy of such organization Proxy To be valid, a proxy must be in writing, signed and dated by the chief executive officer or President of the member association. It must be presented to the AAYSA Secretary via or in person prior to any vote at which it will be utilized. The proxy must designate the individual appointed to vote for the member association and must designate the powers of the proxy holder. It shall be valid only for the meeting immediately after the date of the proxy. A proxy may not be cast by a member association not present at the last regular meeting nor by a member association which is not in good standing. 11

13 ARTICLE 13: EXECUTIVE BOARD MEMBERS 13.1 All Executive Board Members of AAYSA shall carry out the decisions of the Governing Board and shall uphold and enforce the provisions of the AAYSA Constitution and Rules. All officers shall report to the Governing Board meeting at its regular and special meetings 13.2 The Executive Board Members for matters demanding immediate attention where it is impractical or impossible to call a Governing Board meeting. The President or any three (3) Executive Board Members may call an Executive Board Meeting with two (2) days notice to the Executive Board Meeting. The President shall designate the location, date and time of Executive Board Meeting. The President/ Executive Board Meeting may not spend nonbudgeted funds in excess of $5, Executive Board Members shall record and publish the minutes and provide at the next Governing Board Meeting. ARTICLE 14: NOTICE 14.1 Notice in these Bylaws shall have been accomplished when the AAYSA Secretary or his/her designate places with electronic notification or the U.S. Postal Service, with a properly addressed, sufficient postage written notice to each Governing Board member or other person entitled to notice. ARTICLE 15: DISCIPLINARY/COMPLAINTS 15.1 The AAYSA D&P or Appeals Committee shall utilize STYSA s current Discipline, Protest, Grievance and Appeal Procedures in all disciplinary or appeals matters. STYSA Regulations ARTICLE 16: DISSOLUTION 16.1 In the event that AAYSA ceases to function or dissolves, and after paying or making provision for the payment of all just liabilities, the Governing Board shall transfer all of the net assets equally to all member association in good standing which has similar purposes as specified in this Constitution; provided, however, such successor organization qualifies under Section 501(c)(3) of the Internal Revenue Code (or any corresponding provision). Should no successor organization exist, then the net assets shall be distributed to STYSA, provided STYSA qualifies under Section 501(c)(3) If STYSA does not exist or does not qualify, then the Governing Board may distribute the net assets to any youth organization it designates so long as the organization qualifies under Section 501(c)(3).
