1 HOLY FAMILY CATHOLIC SCHOOL BOOSTER CLUB BYLAWS Section 1.01 Article 1: Name and Purpose The name of this organization shall be the Holy Family Catholic School Booster Club (HFCSBC). Section 1.02 HFCSBC is a non-profit organization approved by the Pastor of Holy Family Parish, as advised by the principal, and formed for the purpose of supporting students in the areas of athletics, and other supported programs at Holy Family Catholic School that are approved by HFCSBC in the manner described in Section This support shall include, without limitation, the following: Providing financial and staff support to all Holy Family Catholic School athletic, and other supported programs. Promoting and publicizing Holy Family Catholic School athletic, and other supported programs. Encouraging good sportsmanship in Holy Family Catholic School athletic programs. Developing and enhancing a sense of pride and tradition. Providing the necessary resources to supply Holy Family Catholic School athletic, and other supported programs with the highest quality training and equipment. Section 1.03 HFCSBC reserves the right to expand its support to other programs and is willing to do so once the initial goals are fully accomplished. Such other programs must be specifically identified in an amendment to these Bylaws, and the amendment must be enacted in the manner stated in Article 5. Section 1.04 HFCSBC shall cooperate with the Pastor, Principal and Athletic Director to achieve HFCSBC goals, and HFCSBC shall abide by the regulations and policies of the Roman Catholic Diocese of Sacramento and of Holy Family Catholic School. Minutes of all HFCSBC meetings shall be made available to the Pastor, the Principal, and Athletic Director of Holy Family Catholic School, and shall also be posted in a conspicuous location at Holy Family Catholic School at least 48 hours prior to any meeting.

2 Section 1.05 HFCSBC is not formed (and cannot be formed) to advance the pecuniary gain or profit of its membership. Any business conducted between HFCSBC and any of its members must be incidental to HFCSBC s stated purpose, as a non-profit organization. Section 2.01 Article 2: Membership and Dues Membership in HFCSBC shall be open to all parents of children attending Holy Family Catholic School. The Pastor, Principal, and Athletic Director shall automatically be non-voting members of HFCSBC. Section 2.02 Membership shall be accomplished by supplying the information as requested on the form provided by HFCSBC, and by paying the annual dues. The annual dues amount shall be determined at the regular HFCSBC meeting in May of each year to take effect the following August. All contributions, including without limitations, annual dues, shall become the property of the HFCSBC, and the contributor shall have no further claim. Section 2.03 Only members whose annual dues are currently paid shall be entitled to vote on HFCSBC matters as described in Article 4. Section 3.01 Article 3: Officers and Their Duties The officers shall consist of President, Vice-President, Secretary, and Treasurer. Nominations for officers shall be made at the April meeting, and submitted to the Pastor for approval prior to the May meeting. The election of officers shall occur annually at the regular May meeting, and take effect the following August. Officers are elected for terms of one year. Collectively, the officers, Pastor, Principal, and Athletic Director shall comprise the Executive Committee, which shall be responsible for oversight of all HFCSBC activities. The Executive Committee shall also be responsible for appointing a parent representative for each athletic program at Holy Family Catholic School, and providing HFCSBC with the name and contact information for each athletic program representative. At the regular meeting each May the following athletic programs shall have a designated representative who shall serve in that capacity until the following May: 1. Football 4. Volleyball 2. Little Dribblers 5. Track 3. Basketball 6. Golf

3 Section 3.02 The President will preside at all meetings of the Executive Committee and the general membership. The President shall organize and appoint chairpersons to committees to meet the mission of the HFCSBC. The President shall report his activities at the regular monthly meeting. The President shall appoint and/or fill all vacancies on the Executive Committee. The President shall also hold a voting position on the Holy Family Catholic School Parents Guide. Section 3.03 The Vice-President shall assist the President and serve in the President s absence. The Vice- President shall assume the duties of the President in the event that the President resigns, or otherwise is unable to fulfill his/her duties. Section 3.04 The Treasurer shall collect and deposit in the HFCSBC account all HFCSBC membership dues and funds, and monitor the income and expenses of HFCSBC. The Treasurer shall submit a written financial report at every regular monthly meeting. Section 3.05 The Secretary shall maintain a binder that includes, without limitation, minutes of the Executive Committee and general membership meetings, financial reports, and a copy of these Bylaws. Section 3.06 The Athletic Director shall act as liaison between HFCSBC and each athletic program representative to facilitate prompt response from HFCSBC to the needs of the supported programs. Article 4: Meetings and Voting Section 4.01 HFCSBC shall meet regularly on the last Tuesday of every month at 7:30 p.m. at the Holy Family Catholic School Community Center. The Pastor, Principal, or Athletic Director must be present at the regular meetings before the meeting can commence. The agenda for all regular meetings shall be posted in a conspicuous location at Holy Family Catholic School at least 48 hours before the meeting. The Executive Committee can cancel a regular meeting by posting notice of the cancellation in the same manner. In no event, however, can the Executive Committee cancel two consecutive regular meetings. Section 4.02 Executive Committee meetings shall be held as needed at a time and place which shall be designated by the President.

4 Section 4.03 The President or a chairperson may call a special meeting of the membership, Executive Committee, or committees at any time for purpose of transacting specific business of a nonmonetary nature. Section 4.04 Following the election of new officers in May, the President shall call a special meeting of the Executive Committee and the Executive Committee-elect for the purpose of organizing, appointing, and planning activities for the upcoming year. Section 4.05 The order of regular meetings shall be: Section 4.06 a. Opening prayer b. Call to order c. Reading of the minutes of the last meeting and action thereon d. Report on correspondence e. Treasurer s report f. Committee reports g. Unfinished business h. New business i. Adjournment Unless otherwise stated in these Bylaws, a simple majority vote of members in attendance at a regular meeting is required for each proposal placed before the membership. No proposal can be considered at a regular meeting unless properly agendized and noticed as required by Section Section 4.07 The procedural rules contained in the current edition of Robert s Rules of Order shall govern the conduct at all regular meetings, except where they conflict with specific provisions in those Bylaws. In the event of such conflict, the procedure established by there Bylaws, or subsequent amendment, shall control. Article 5: Amendments Section 5.01 Proposed amendments to these Bylaws may be submitted in writing by the membership at large at regular meetings of the membership.

5 Section 5.02 Amendments to these Bylaws must be reviewed by the Pastor and Principal to assure there is no conflict with school regulations of policies. No changes will be made that violate school regulations or policies. Section 5.03 Adoption of amendments to these Bylaws shall require a two-thirds majority vote of the membership in attendance at the regular monthly meetings following submission of the proposed Amendment. Article 6: Funds Section 6.01 All checks written on the HFCSBC account must be signed by one member from Group A, and one member from Group B: Group A President Vice-President Treasurer Secretary Group B Pastor Principal Section 6.02 The Executive Committee shall have authority to determine qualification for an expenditure of the HFCSBC funds up to $1, Any expenditure of funds above that amount, excluding emergency repair/replacement of critical equipment, must be approved by a simple majority vote of the membership present at any regular meeting as stated in Section Section 6.03 All HFCSBC funds will be maintained in a separate bank account, and shall be used exclusively for the programs outlined in Section 1.02, for financing fundraising events, for purchasing supplies necessary for the operation of the HFCSBC, and for publicizing of HFCSBC related or sponsored activities. Article 7: Termination Section 7.01 Should HFCSBC be terminated for any reason, whether voluntary or involuntary action, then all funds of HFCSBC shall be distributed as follows, and in the order of priority stated: (i) (ii) Payment of all obligations, claims, or liabilities against HFCSBC; Any remaining funds shall be distributed to Holy Family Catholic School sports programs.
