1 PETERS TOWNSHIP GOLF ASSOCIATION BYLAWS (Adopted August 2018) ARTICLE I: NAME The name of this organization is the Peters Township Golf Association, and may be referred to in these bylaws as the PTGA, located in McMurray, Pennsylvania. ARTICLE II: PURPOSE The purpose of the PTGA is to enrich the high school golf experience in the Peters Township School District ( PTSD ) by lending support to and promoting interest in the Peters Township High School ( PTHS ) boys and girls golf programs. This purpose will be accomplished by following all applicable PTSD policies and procedures and through the following activities: 1. Developing communication, support, and a working relationship among the PTGA members, PTHS golfers, PTHS golf coaches, PTHS athletic director, other school officials, and other booster organizations in the PTSD. 2. Providing financial support through fundraising activities. 3. Providing volunteer support for educational and extracurricular activities. 4. Supporting the training and safety of the PTHS golfers, in conjunction with the PTHS coaches and PTHS athletic director. 5. Promoting a positive image of golf at PTHS and within the community. 6. Encouraging parental participation and support at PTHS golf activities. ARTICLE III: MEMBERSHIP & DUES Section 1. Membership is open to parents or guardians of PTHS students who participate in the PTHS boys and girls golf programs. A maximum of one membership will be granted to each family with one or more students participating in the PTHS boys and girls golf programs. The PTGA membership year will begin on the date of the August general membership meeting annually. Section 2. An eligible person may become a member by paying the annual membership dues set by the PTGA Board of Directors. Annual membership dues are payable at the August general membership meeting.

2 Section 3. Good standing in the PTGA is subject to and conditioned on the following: a. Payment of the required annual membership dues; b. Adherence to applicable rules and regulations, including these bylaws; and c. Not having been declared ineligible by the PTGA Board of Directors due to conduct contrary to applicable rules and regulations, including these bylaws. Section 4. Only members in good standing are entitled to vote and hold office in the PTGA. ARTICLE IV: OFFICERS Section 1. Officers. The officers of the PTGA will consist of: a. One (1) president; b. Two (2) vice presidents (one vice president from PTHS boys golf program and one vice president from PTHS girls golf program); c. One (1) secretary; and d. One (1) treasurer. Section 2. Eligibility. The following provisions will govern the qualifications and eligibility of individuals to be officers of the PTGA: a. Any member in good standing is eligible to be elected to any of the offices; and b. No member will serve in more than one elected position of the PTGA simultaneously. Section 3. Term. Officers will assume their official duties at the May general membership meeting and will serve for a term of one (1) year, or until successors are named. a. An officer who has served for more than one-half of a full term will be deemed to have served a full term in office. b. No officer is eligible to serve more than three (3) consecutive terms in the same office. Section 4. Vacancy by Removal or Resignation. A vacancy occurring in the office of

3 president will be filled for the remainder of the unexpired term by the vice presidents, in designated order. A vacancy in any office, other than president, will be filled by a member elected by a majority vote of the PTGA Board of Directors. Section 5. Nominating Committee. a. Composition. The nominating committee will consist of two (2) at-large members and one (1) current officer. The president will not serve as a member of this committee. b. Appointment. The nominating committee will be formed by the PTGA Board of Directors and presented for approval at the February general membership meeting. c. Duties. The nominating committee will prepare a slate of officer candidates (one name for each position to be filled) to be presented for membership vote at the May general membership meeting. d. Report. The nominating committee will report its nominees to the PTGA Board of Directors at least one month prior to the election of officers at the May general membership meeting. e. Posting. The PTGA Board of Directors will post the nominating committee s slate of officer candidates for thirty (30) days prior to election. Section 6. Nominations from the Floor. Nominations from the floor will be accepted at the May general membership meeting. Section 7. Elections. Officers will be elected: a. At the May general membership meeting; b. By written ballot and a majority vote shall elect; and/or c. By voice vote when there is only one (1) candidate. Only affirmative votes will be valid. ARTICLE V: DUTIES OF OFFICERS Section 1. All officers will perform the duties as described by these bylaws. Section 2. The president will: a. Preside at all general membership and executive board meetings of the PTGA;

4 b. Act as a liaison among the PTGA members, PTHS golfers, PTHS golf coaches, PTHS athletic director, and school officials; c. Appoint chairpersons of any ad-hoc committees established by the PTGA Board of Directors; d. Oversee meetings and activities of ad-hoc committees; e. Assist in budget planning and fundraising development; f. Meet regularly with the treasurer to review financial position; g. Interact with other PTHS booster organizations, PTSD, and the community, as necessary; and h. Call special membership meetings as necessary. Section 3. The vice presidents will: a. Preside at all general membership and executive board meetings of the PTGA in the absence of the president; b. Assist the president, as requested; c. Administer and maintain the PTGA website, including keeping it up to date and informative as to current and future events; and d. In designated order, first vice president then second vice president, perform the duties of the president in the president s absence or inability to serve. Section 4. The secretary will: a. Record the minutes of all general membership and executive board meetings of the PTGA; b. Maintain a copy of the current bylaws and membership roster; c. Present a written copy of the minutes from the previous general membership meeting for corrections, amendments, and approval; d. Be responsible for all correspondence of the PTGA, as needed and as directed by the president; and e. Provide notice to the PTGA members, PTHS golfers, PTHS golf coaches, and PTHS athletic director regarding upcoming meetings and related information.

5 Section 5. The treasurer will: a. Hold and maintain a full account of all of the funds of the PTGA; b. Collect membership dues and all other direct payments from PTGA members and fundraisers; c. Keep a full and accurate account of all income and expenditures, including bank statements, deposit receipts, budgets, invoices, and paid receipts; d. Make disbursements in accordance with the budget adopted by the PTGA members; e. Serve as an authorized signer on the PTGA bank account and ensure that dual signature requirements are met for each disbursement; f. Prepare a financial report, with sufficient detail of income and expenditures, for each general membership meeting; g. Prepare and recommend for approval by the PTGA Board of Directors and PTGA members an annual budget, with sufficient detail of income and expenses of the PTGA; and h. Prepare and present an annual accounting of income and expenditures and available funds at the May general membership meeting. ARTICLE VI: BOARD OF DIRECTORS Section 1. The PTGA Board of Directors will consist of the officers as elected in accordance with these bylaws. The PTGA Board of Directors will conduct, manage, and direct the business of the PTGA. Sections 2. The PTGA Board of Directors will meet throughout the year, as requested by the president. Section 3. At all meetings of the PTGA Board of Directors, a majority of the members will constitute a quorum for the transaction of business. Section 4. The PTGA Board of Directors is authorized to establish ad-hoc committees, as necessary. The PTGA Board of Directors will assign duties and responsibilities to each established ad-hoc committee. ARTICLE VII: PTHS COACHING STAFF

6 Section 1. The PTHS golf coaches will act in an advisory capacity and may make requests from the PTGA for the welfare of the PTHS boys and girls golf programs. Section 2. The PTHS golf coaches, or their designees, will be present at PTGA general membership meetings. Section 3. The PTHS golf coaches are not members of the PTGA Board of Directors nor are they members of the PTGA in their capacity as coaches. ARTICLE VIII: MEMBERSHIP MEETINGS Section 1. Regular Meetings. At least three (3) general membership meetings will be held during the membership year: a. August - general membership meeting; b. February - general membership meeting, including selection of the nominating committee, fundraising discussion, and ad-hoc committee assignments, if any; and c. May - general membership meeting, including election of officers and approval of the operating budget for the upcoming PTHS golf season. Section 2. Special Meetings. The president or a majority of the PTGA Board of Directors may call PTGA special membership meetings. Notice of meetings will be the responsibility of the secretary. Section 3. Scheduling. Scheduling of PTGA membership meetings will be the responsibility of the president. Section 4. Notification. Notice of PTGA membership meetings will be the responsibility of the secretary. PTGA membership meetings will be communicated to PTGA members at least five days in advance of any meeting. The notification will include, at a minimum, the date, time, and location of the meeting, and the general purpose of any special meeting. Section 5. Location. PTGA general membership meetings will be held at PTHS. Section 6. Quorum. For membership meetings, a quorum of at least five members, including at least one officer, must be present. Section 7. Any business matter requiring a membership vote will be determined by majority vote of the members in good standing present at any meeting properly scheduled in accordance with these bylaws. Section 8. Membership vote is required for the election of officers, approval of the

7 annual budget, changes to these bylaws, acceptance of treasurer s reports, and expenditures, not specifically described and approved in the annual budget, in excess of $500. ARTICLE IX: FISCAL YEAR AND ACCOUNTABILITY Section 1. Fiscal Year. The PTGA fiscal year will begin on July 1 and end on June 30 annually. Section 2. Banking. a. All funds will be kept in a bank account in the name of the PTGA; b. The treasurer will maintain the PTGA bank account; c. The treasurer and one other designated officer, as listed at the bank following officer elections, will serve as authorized signers; d. All disbursements will be signed by two (2) authorized signers; e. Authorized signers will not be related by blood or marriage and will not reside in the same household; f. All funds collected or disbursed will be processed through the bank account. Section 3. Annual Budget. The treasurer will prepare and recommend for approval by the PTGA Board of Directors and PTGA members an annual budget, with sufficient detail of income and expenses of the PTGA. The annual budget for the upcoming golf season will be submitted for approval at the May general membership meeting. Section 4. Financial decisions in excess of $500, not specifically described and approved in the annual budget, must be approved by a majority vote of the PTGA members Section 5. Ad-hoc committees administering funds will keep a detailed record of all receipts and disbursements. Section 6. The treasurer will prepare a financial report, with sufficient detail of income and expenditures, for each general membership meeting. In addition, the treasurer will prepare and present an annual accounting of income and expenditures and available funds at the May general membership meeting. ARTICLE XI: AMENDMENTS

8 Section 1: Amendment Process. These bylaws may be updated or amended at any PTGA general membership meeting, provided that notice of the proposed changes be made available to the PTGA members for review at least 30 days prior to the membership vote to approve such amendments. ARTICLE XII: DISSOLUTION The general intent of these bylaws would be that the remaining proceeds from the dissolution of the PTGA be distributed to the PTHS athletic department for the sole and exclusive benefit of the PTHS boys and girls golf programs.
