1 BY-LAWS TOWNSEND BOOSTER CLUB TOWNSEND, MONTANA ARTICLE I Name, Purpose, and Objectives Section Name. The name of this organization shall be the Townsend Booster Club, commonly known as Bulldog Boosters, hereafter referred to as the Club. The principal office of this organization shall be located in Broadwater County, Montana, at an address to be established by resolution of the officers. Section Purpose. The purpose of the Club shall be to establish a support group to encourage parent and community participation and to raise funds to enhance and expand the academic, social, and athletic programs that are available to each individual student at Townsend Schools. The Club members feel strongly that parent and community involvement during the school years can be a key to the success of each individual student. Section Objectives. The objectives of the Club are as follows: a. Develop an organization with an active and involved membership that is concerned with the academic, social, and athletic programs and all of their participants regardless of sex, race, socio-economic status, or chosen activity. b. Promote school spirit and sportsmanship and encourage attendance at Townsend Schools activities and athletic events. c. Encourage and support the academic endeavors of Townsend students. d. Provide supplementary financial support and sponsorship for Townsend Schools sponsored activities. e. Provide supplementary financial support for non-school organizations for projects that will directly benefit the activities or image of Townsend Schools. f. With the advice and cooperation of the administration of Townsend Schools the Club will make the utmost effort to comply with school policy requirements of the Montana High School Association and the guidelines of Title IX. Section Non-profit status. The Club will be established as a 501 [c][3] non-profit organization. Notwithstanding any other provisions of these By-Laws, the Club shall carry out activities permitted by an organization exempt from Federal income taxes under Section - 1 -

2 501[c][3] of the Internal Revenue Code or by an organization, contributions to which are deductible under Section 170[c][2] of the Internal Revenue Code. Nothing herein shall be construed to authorize this organization to participate in any recommendations involving the hiring, disciplining, or dismissal of a coach, advisor, administrator, or teacher at Townsend Schools. Article II Membership and Fees Section Membership. Membership shall be divided into either Individual/Family, Corporate, or Ex-Officio as follows: a. Individual/Family Memberships include four categories. i) Blue & White Booster. Any individual/family may become a Blue & White Booster by payment of annual dues as established in Section 2.2. As a Blue & White Booster an individual/family will be recognized within any regular season activity programs, any Club listings in post-seasons tournament programs, and any seasonal activity newspaper advertisements generated by the Club. In addition, a Blue & White Booster will receive two adult regular season passes at no additional cost. Each adult individual member in good standing is entitled to one vote (not to exceed a total of two votes) at monthly, special, and annual meetings. ii) Bulldog Booster. Any individual/family may become a Bulldog Booster by payment of annual dues as established in Section 2.2. As a Bulldog Booster an individual/family will be recognized within any regular season activity programs, any Club listings in post-seasons tournament programs, and any seasonal activity newspaper advertisements generated by the Club. In addition, an individual Bulldog Booster will receive one adult regular season pass at no additional cost. An adult individual member in good standing is entitled to one vote (not to exceed a total of two votes) at monthly, special, and annual meetings. iii) Associate Booster. Any individual/family may become an Associate Booster by payment of annual dues as established in Section 2.2. As an Associate Booster an individual/family will be recognized within any regular season activity programs, any Club listings in post-seasons tournament programs, and any seasonal activity newspaper advertisements generated by the Club. Each adult individual member in good standing is entitled to one vote (not to exceed a total of two votes) at monthly, special, and annual meetings. iv) Alumni Membership. Any individual who is a graduate of Broadwater (County) High School may purchase an Alumni membership by payment of annual dues as established in Section 2.2. Alumni members will be recognized within any regular season activity programs, any Club listings in post-seasons tournament programs, and any seasonal activity newspaper advertisements generated by the Club

3 b. Corporate Memberships include three categories. i) Banner Booster. Any business may become a Bulldog Banner Booster by payment of annual dues as established in Section 2.2. As a Bulldog Banner Booster the business will receive a professionally made banner with the business name and logo mounted within the high school gymnasium of their choice; will be recognized within any regular season activity programs, any Club listings in post-seasons tournament programs, and any seasonal activity newspaper advertisements generated by the Club; may receive advertising spots on the school s marquee; a membership plaque; and two-four poster schedules. In addition, each Banner Booster business will receive four adult regular season passes at no additional cost. Each adult business member in good standing is entitled to one vote (not to exceed a total of two votes) at monthly, special, and annual meetings. If a business is a Banner Booster in good standing for a second year, a second banner will be mounted in the other gymnasium. ii) Premier Business Booster. Any business may become a Premier Business Booster by payment of annual dues as established in Section 2.2. As a Premier Business Booster the business will be recognized within any regular season activity programs, any Club listings in post-seasons tournament programs, and any seasonal activity newspaper advertisements generated by the Club; will receive a membership plaque; and one-two poster schedules. In addition, each Premier Business Booster business will receive two adult regular season passes at no additional cost. Each adult business member in good standing is entitled to one vote (not to exceed a total of two votes) at monthly, special, and annual meetings. iii) Business Card Booster. Any business may become a Business Card Booster by payment of annual dues as established in Section 2.2. As a Business Card Booster the business will be recognized within any regular season activity programs, any Club listings in post-seasons tournament programs, and any seasonal activity newspaper advertisements generated by the Club; will receive a membership certificate; and one poster schedule. In addition, each Business Card Booster business will receive one adult regular season passes at no additional cost. Each adult business member in good standing is entitled to one vote (not to exceed a total of two votes) at monthly, special, and annual meetings. c. Ex-officio members include the school s superintendent and principals, and the activities director of Broadwater High School. Ex-officio members are non-dues paying, voting members of the Club in order to further the objectives set out in Article I, Section 1.3. Section Annual dues. Annual membership fees will be determined each year for individual/family and corporate members. The purpose and use of these fund shall be for the establishment of member voting privileges and for the long-term survivability of the Club. The membership fee structure will be determined at the annual meeting by a majority vote of the members present

4 Section Payment of Dues. A planned effort to renew memberships and recruit new members will be made from the beginning of the school year through October 31 st of each year. Any person who has not paid his/her dues is not a member. Previous members will have until October 31 st of each year to pay their dues before they are dropped from the membership roles. Section Termination of Membership. Membership of any person is automatically terminated by non-payment of dues by the membership renewal date, except for ex-officio members referenced in Section 2.1. Section 2.5. Resignation. Any member may resign by writing the Secretary of the Club, expressing his/her intent to resign. No membership dues will be refunded upon resignation of a member. Article III Meeting of Members Section Annual Meeting. The annual meeting of the Club shall be held during the month of May or anytime within the last half of the fiscal year at a time and place of the regularly scheduled monthly meeting. The annual meeting shall be noticed in the paper published in Broadwater County at least one week prior to the meeting and, with Broadwater High School s permission, in the school newsletter published prior to the annual meeting. The annual meeting shall be open to all regular business of the Club. Section 3.2. Monthly Meetings. Monthly meetings of the Club shall be held on the first Tuesday of each month at a time and place to be determined by the President of the Club. With the permission of Broadwater High School, the schedule of the Club meetings shall be printed in the school newsletter. Section 3.3. Quorum. A quorum shall consist of at least two (2) officers (one of which must be either the President or Vice-President) and three (3) voting members. If a quorum is not present no formal business may be conducted, however the member(s) present can authorize the payment of current bills. Section 3.4. Voting rights. A member may not have more than two votes per household at monthly, special, and annual meetings even though that household may have multiple memberships as an individual/ family or corporate member. Article IV Officers Section 4.1. Officers. Elected officers will govern the Club. The officers shall consist of the President, Vice-President, Secretary, and Treasurer; each of whom shall be elected by the members

5 a. Election. The officers shall be elected by the majority of the voting membership at the annual meeting. Officers elected at the annual meeting shall assume their duties on the July 1 st following their election. b. Nominations. The President shall appoint a nominating committee of at least three (3) members at least sixty (60) days before the annual meeting. The nominating committee shall present a slate of nominees (who have agreed to serve) for positions of officers. Additional candidates may be nominated from the floor at the annual meeting. c. Term of office. A term is one fiscal year, July 1 through June 30. An individual may not serve in the same elective capacity for more than four (4) consecutive terms with the exception of Treasurer, which can serve for six (6) consecutive terms. d. Removal and resignation. An officer may be removed, with or without cause, by a majority vote of the members at the applicable monthly meeting. Written notice that the matter will be voted on at the next monthly meeting must be sent to each individual/family or corporate membership at least seven (7) days prior to the meeting. Any office may resign at any time by giving written notice to the remaining officers. Any such resignation shall take effect on the date of receipt of such notice or any later time specified therein, and unless otherwise specified therein, the acceptance of such resignation shall not be necessary to make it effective. e. Vacancy. Any officer vacancy occurring in the membership may be filled by the affirmative majority vote of the members at the next monthly meeting. An officer elected to fill a vacancy shall be elected for the unexpired term of their predecessor in office. Section 4.2. Duties of Officers. a. President. The President shall: (1) Preside at all meetings; (2) Appoint standing committee chairpersons; (3) Appoint and/or dissolve all other committees as required; (4) Serve as ex-officio member of all committees; (5) Serve as the primary contact between the Club and the Townsend Schools administration; (6) Direct goals and budget performance. b. Vice President. The Vice President shall assist the President at all times with respect to special assignments or committees. In the absence, inability or refusal to act, or resignation of the President, the Vice President shall assume the duties of the President. The Vice President shall be responsible for an annual review of the By-Laws, recommending revisions as deemed appropriate

6 c. Secretary. The secretary shall keep a record of all proceedings of the monthly and annual meetings and shall keep all non-financial records of the Club. He/she shall see that proper notices of the monthly and annual meetings are made; shall also keep a calendar of recurring activities for the Club; shall keep a record of the normal attendance at the activities; and shall keep a record of the quantities of materials and supplies use for the activities. d. Treasurer. The treasurer shall maintain a complete set of books of account in accordance with generally accepted accounting principles and practices. The Treasurer shall make disbursements from the general fund, pay expenses approved at the monthly or annual meetings; shall secure proper vouchers thereof; and shall receive, record and deposit moneys of the Club in the Club s checking and/or savings account. The Treasurer shall provide a year-todate summary of the income and expenses, and the current account balance(s) at each monthly or annual meeting. The Treasurer shall project the costs of any project or commitment of the Club. Article V Committees Section 5.1. Standing committees. The Club may create standing committees to address recurring business. Committee members will be appointed by the President. Standing committees will be comprised of at least three (3) members including a committee chairperson designated by the President. Section 5.2. Ad hoc committees. Ad hoc committees will be established for a specific purpose. The committee will be appointed by the President and will have the number of members deemed necessary by the President. At least two (2) voting Club members must be on the committee, but non-members may be appointed if such appointments are in the best interest of the Club. Article VI Finances Section Fiscal Year. The fiscal year of the Club shall be from July 1 st of each year through June 30 th of the following year. Section Expenditures. All expenditures of the Club shall first be approved by a majority the members at a monthly or annual meeting. Any contract entered into by the Club shall first be approved by two-thirds (2/3) of the members at a monthly or annual meeting. Section Banking transactions. All checks, drafts, or money orders for the payment of money, notes, or other evidences of indebtedness issued in the name of the Club shall be signed by two members of the Executive Committee

7 Article VII Miscellaneous Section 7.1. Amendments. These By-laws may be altered, amended, or repealed and new Bylaws may be adopted, except as noted in Article VIII, Section 2, by the approval of the majority at any monthly meeting and an affirmative vote of two-thirds (2/3) of the members at an annual meeting. The notice of the annual meeting shall contain a notice of any By-law alterations or amendments approved for consideration at any monthly meeting since the previous annual meeting. Section 7.2 Ownership of Equipment/Assets. The title to any property, equipment, or apparatus hereafter acquired shall be owned by the Club. If it is deemed advisable and prudent, certain items may be donated to Townsend Schools. Section 7.3 Dissolution of the Organization. Upon the dissolution of the organization, the officers shall, after paying all of the liabilities of the organization, dispose of all assets of the organization exclusively for the purpose for which the organization was organized.
