2 Change involving: Bylaw #: 3.3 Rule #: Page #: 7 Page #: Old bylaw/rule: _3.3 POLICY STATEMENT ON CONFLICT OF INTEREST In order for FYSA to complete its mission(s) in the education, administration, and development of soccer in addition to public service with unquestionable credibility, it is mandatory that its elected and appointed officers, office staff, state staff coaches, designated committee or task force chairpersons, and consultants ( Officers and Staff ) maintain the highest levels of integrity and credibility in the performance of their duties and responsibilities. Therefore, it is the purpose of this policy to ensure integrity and objectivity and to provide an understanding and awareness of conflicts of interests, whether real or perceived. The very perception of a conflict of interest may reflect adversely on FYSA, irrespective of the actual behavior of the individual. Actual or perceived conflict(s) of interest may cause FYSA Officers and Staff to lose credibility and may result in FYSA affiliate members and outside observers believing that the FYSA Officers and Staff act out of self-interest rather than for the benefit the membership of the organization as a whole. An FYSA BOD member shall be considered to have a conflict of interest if (a) such BOD member has existing or potential financial or other interests which impair or might reasonably appear to impair such BOD member's independent, unbiased judgment in the discharge of his/her responsibilities to FYSA, or (b) such BOD member is aware that a member of his/her family (which for purposes of this paragraph shall be a spouse, parents, sibling, children and any other relative) or any organization in which such BOD Member (or member of his/her family) is an officer, director, employee, member, partner, BOD member, or controlling stockholder, has such existing or potential financial or other interests. All BOD members shall disclose to the Board any possible conflict of interest at the earliest practicable time. No BOD member shall vote on any matter under consideration at a Board or committee meeting, in which such BOD member has a conflict of interest. The minutes of such meeting shall reflect that a disclosure was made and that the BOD member having a conflict of interest abstained from voting. Any BOD member who is uncertain whether a conflict of interest may exist in any matter may request the Board or committee to resolve the questions by majority vote. 3 Change involving: Bylaw #: 8.3 Rule #: Page #: 11 Page #: Old bylaw/rule: _8.3 AFFILIATES - REGIONAL AND STATE AGM ONLY 1. Each affiliate shall have one (1) vote for every fifteen (15) players registered with FYSA. The criteria for determining the number of votes for which the affiliate is eligible shall be that the affiliate is in good standing and all fees paid. 2. The FYSA Registrar shall certify each affiliate s votes as of registrations processed by July lst of each year. The affiliate will be notified as to their number of available votes. July lst shall be final date registrations will be considered for calculation of affiliate votes in either Regional elections or for the AGM. An affiliate shall have fifteen (15) days from receipt of notification to file any protest in writing with the FYSA Secretary as to number of available votes. The FYSA Secretary shall within seven (7) days of receipt of any protest, in writing, provide a ruling as to the validity of the protest. 3. In the event that the dispute is unresolved, the affiliate may file an appeal of the FYSA Secretary s decision to the BOD. The appeal must be filed at least seven (7) days before the AGM. 4. The BOD shall render an opinion prior to the close of credentials at the AGM. The decision of the BOD shall be based on the FYSA official affiliate registration printout and shall be final. Suggested change: 8.3 AFFILIATES - REGIONAL AND STATE AGM ONLY 1. Each affiliates votes shall be determined based on their number of registered players with FYSA (See chart below) and the affiliate shall is in good standing and all fees paid. The affiliates available votes: players 1 vote players 2 votes players 3 votes players 4 votes - over 1000 players 5 votes 2. Application must be submitted utilizing FYSA s application for Associate Membership. 2. Review and approval shall be vested to the BOD of FYSA. Renewal is neither automatic nor guaranteed. 3. The decision of the BOD is final and binding upon all parties. 4. Application fee as defined in Section 303 must be submitted League Affiliation 1. Any league, by application, agrees that 100% of all teams participating in that FYSA sanctioned league shall be properly registered with FYSA or US Youth Soccer. 2. All leagues will be designated as competitive unless approved for recreational or academy designation by FYSA s Vice President of Player and Coaching Development or his designee. 3. Shall ensure that red card summary reports along with copies of the game and supplemental referee reports for major infractions are submitted monthly to the FYSA office. The report must be typed, or computer generated. (No handwritten reports will be accepted.) Suggested change: Procedure for requesting Associate Membership 1. ((a) A new League Affiliation you must provide with the application letters from 4 clubs in your area stating they will participate in the newly formed league. 2. 5 Change involving: Bylaw #: Rule #: Page #: Page #: 34 Old bylaw/rule: Any full affiliate who in the preceding seasonal year fails to register fifty (50) players shall submit to the FYSA office a detailed explanation as to justification for re-affiliation and/or a plan to increase membership in the following seasonal year. This explanation must be received no later than 30 days prior to the AGM of FYSA. Any affiliate who fails to register fifty (50) players in two consecutive seasonal years must submit to the BOD a petition listing the reason(s) the application show be approved. The application for renewal may be denied by the BOD. Suggested change: Any full affiliate who in the preceding season year fails to register one hundred (100) players shall submit to the FYSA office a detailed explanation as to justification for re-affiliation and or a plan to increase membership in the following seasonal year. This explanation must be received no later than 30 days prior to the AGM of FYSA. Any affiliate who fails to register one hundred (100) players in two consecutive seasonal years must submit to the BOD a petition listing the reason(s) the application should be approved. The application for renewal may be denied by the BOD. Reason: Affiliates should evolve and for the GOOD OF THE GAME promote and grow their programs to attract & maintain membership rather than promote creation of new smaller clubs. Reason: Avoids clubs from just settling and selling their membership to rogue teams without having club accountability and sustainability. Have not used fields located more than 15 miles from their home field in which the affiliation was granted or FYSA sanctioned player training and/or home games with the exception of FYSA sanctioned tournaments. Suggested change: 4. Have not used fields located more than 15 miles from their primary home field in which the affiliation was granted or FYSA sanctioned player training and/or home games, with the exception of FYSA sanctioned tournaments. Reason: Affiliates have multiple homes fields and as such could have a secondary field 14 miles away. This rule eliminates the possibility of having a third field 15 miles from the secondary field making it in reality 29 miles from the primary home field originally established. An alternate primary color must also be declared. A solid white jersey may be used as a third alternate. Clubs must designate to FYSA the primary jersey colors at affiliation and reaffiliation. All jerseys for an affiliated club must use a single crest or logo that is registered with FYSA. In lieu of a crest, the club name may be worn on the jersey front. All jerseys for the club shall have the same crest. If no crest or logo is worn, all club names must be the same on the front of the jersey. Clubs may utilize sponsor names on the front of the jersey if the club is also wearing the crest. Jerseys may not have the names of professional clubs or sub-club denties on the front. Participation in FYSA sanctioned events in an non-fysa declared jersey color, may result in loss of FYSA affiliation. FYSA sanctioned events may also levy fines and/or game forfeitures for teams participating in non-approved FYSA club uniforms. Reason: In the interest of promoting a unified branding and identification of FYSA member affiliate clubs, new regulations for implementation of already existing rules are needed. Suggested change: A player must have attained his/her third (3 rd ) birthday in order to register with FYSA. Reason: Housekeeping. USYS has a signed partnership with SoccerShots which has a program inclusive of children 3-5 years of ages. In order for clubs to partner with SoccerShots, they will need to be able to register these players. Currently, clubs already have these programs, however they are not registering these players under FYSA, but under other affiliations. 10 Change involving: Bylaw #: Rule #: (2) Page #: Page #: Old bylaw/rule: Players in the 9U to 14U age groups will be allowed to roster up to two (2) years, subject to the restriction that no player may participate in a FYSA sanctioned competition in which heading is permitted before their eleventh (11th) birthday. Suggested change:* Deliberate heading is not allowed in 11U games. If a player deliberately heads the ball in a game, an indirect free kick should be awarded to the opposing team from the spot of the offense. If the deliberate header occurs within the goal area, the indirect free kick should be taken on the goal area line parallel to the goal line at the nearest point to where the infringement occurred. Heading is allowed in games with players that are labeled 12U and older without limitations. Reason: Clubs around the nation have begun to recognize that heading rules should be tailored to adjust for those players that mature at faster rates. Soccer clubs in Texas, Georgia, Tennessee, and others currently allow all players in the 12U age group to participate in competitions that permit heading. Policies and rules set forth in these clubs are evidence of a trend that is anticipated to be followed by many other states. In the interest of continuity with other clubs in the nation and eliminating confusion where players of different ages compete in the same age group. We request FYSA to adopt these policies and support the current trend for heading rules. As a practical matter, 10-year-old players could be precluded from playing in heading competitions even though they are within days of their 11 th birthday. Players who are eligible for "rostering" up two years are generally physically and developmentally similar to older players in the same age group. Bio banding has determined that kids who participate in soccer mature at different rates. In essence, not all players are created equally. The advanced physical attributes of players whose maturation is accelerated suggests that participation in a competition in which heading is allowed would be the same for an almost-eleven-year-old as it would be for the 12-year-old in the same age group. In other words, the 10-year-old who has matured early and has the same physical attributes as the 12-year-old is in no greater danger in heading a soccer ball. Players remain bound to their existing club for the current seasonal year pursuant to provisions contained in Rule Page 53 of 118 As of 10/2/ Seasonal Year. Violations may result in the Club s affiliation with FYSA being reviewed, and it may be denied by the BOD. Any club who chooses to be an affiliate of FYSA and participate in FYSA events should respect the rules of the organization, regardless of whether or not their US Club affiliation gives them the option to have a tryout earlier than FYSA try-out date set forth in rule Any/all clubs who choose to be an affiliate of and participate in FYSA should abide by the same rules regarding tryouts. Reason: This is to align RVP term limits to be in accordance with what is already in place for President, VP of Player Development, Secretary, and treasurer to add consistency to FYSA bylaws. This will encourage RVPs to move into other positions after 8 full years in office so fresh ideas can be brought into each region. Suggested change: _ A nominating committee (NC), having been previously approved by the BOD, shall post a notice of all elections, their duties, and the process for nominations on the FYSA website at least 90 days prior to the AGM. The NC will present a slate of candidates for all positions with the exception of RC at least 30 days prior to the AGM. This shall be posted on the FYSA website and given to the affiliates at registration. The President shall not select the nominating committee. All candidates can submit a statement of up to 1,000 words. Candidates who declare prior to the nominating deadline will be given priority for the candidate forum.
