CONTEST PERIOD: The Amex Shop the Web Online Spend Contest (the Contest ) begins on November 14, :00:01 a.m. Eastern Time ( EST ) and ends on December 31, 2016 at 11:59:59 p.m. EST (the Contest Period ). 2. ELIGIBILITY: Contest is open only to residents of Canada who: (i) have reached the legal age of majority in their province/territory of residence at the time of entry; and (ii) are not an employee, representative or agent (or domiciled with any such person, whether related or not) of Amex Bank of Canada (the Sponsor ), Amex Canada Inc., Audi Canada Inc., The Bank of Nova Scotia, and each of their respective parent companies, subsidiaries, associated and affiliated entities, prize suppliers, advertising/promotion agencies, as well as and any other individual(s), entity or entities involved in the development, production, implementation, administration or fulfillment of the Contest (collectively with the Sponsor, the Contest Parties ). Without limiting the generality of the foregoing, employees, representatives and agents (and those with whom such persons are domiciled, whether related or not) of the Participating Retailers (as defined below in Rule 4a) are eligible to participate in this Contest. 3. AGREEMENT TO BE LEGALLY BOUND BY RULES: By participating in this Contest, you are signifying your agreement that you have read and agree to be legally bound by these Official Rules and Regulations (the Rules ). Further, if you are a Cardmember (as defined below in Rule 4), then you are also signifying your agreement that you have read and agree to be legally bound by the Amex Bank of Canada Cardmember Agreement and the Registration Terms and Conditions (the Registration Terms and Conditions ). This Contest is deemed by Sponsor to be an Offer as defined in the Registration Terms and Conditions. 4. HOW TO ENTER: NO PURCHASE NECESSARY TO ENTER OR WIN. MAKING A PURCHASE WILL NOT INCREASE OR OTHERWISE IMPACT YOUR ODDS OF WINNING. There are two (2) ways for American Express Cardmembers to earn Entries and one (1) way for non-cardmembers to earn Entries (each, an Entry and collectively, the Entries ) in this Contest, as follows: a) CARDMEMBER ENTRY: i. Purchase: A Basic or Supplementary Cardmember (each, a Cardmember ) of an American Express Consumer or Small Business Credit or Charge Card issued by Amex Bank of Canada (excludes American Express Corporate Cards and American Express Gift Cards) or ScotiaBank American Express cards issued by The Bank of Nova Scotia (each, a Card ) must go to (the Website ) and register their Card for this Contest within the Contest Period. To register a Card, a Cardmember must follow the on-screen instructions to fully complete the official Contest registration form (the Registration Form ) with all required information, which requires the Cardmember to: (i) enter his/her first name, last name, valid address and ten (10) digit phone number; (ii) enter their American Express Card number as it appears on their Card; and (iii) accept and agree to be legally bound by the terms and conditions of these Rules and the Registration Terms and Conditions. When all required fields of the Registration Form are completed, click the Submit button to complete the Registration (the Registration ). Next, a Cardmember who has accepted the Rules and the Registration Terms and Conditions and completed his/her Registration in accordance with these Rules will automatically be eligible to receive one (1) Entry for each Eligible Purchase (each, an Eligible Purchase ) that is completed using his/her registered Card during the Contest Period when making an online purchase through the Participating Retailer Website of any of the following Participating Retailers: Participating Retailers AMAZON* BANANA REPUBLIC BODY SHOP CANON CANADA INC. The Registration Form only needs to be completed one (1) time during the Contest Period in relation to a Card in order for any subsequent Eligible Purchase(s) made with the Cardmember s registered Card to be eligible to count as an Entry/Entries during the Contest Period. The Registration Form must be completed and submitted before any subsequent Participating Retailer purchases can become an Eligible Purchase. No Entries will be granted for the mere completion of the Registration Form. Purchases made through a Participating Retailer Website during the Contest Period prior to completing a valid Registration in accordance with these Rules will not count as an Eligible Purchase. For the purposes of this Contest, Eligible Purchases will include certain goods and services purchased with a Cardmember s registered Card through a Participating Retailer Website during the Contest Period after completing a valid Registration in accordance with these Rules. The following will not be eligible to count as an Eligible Purchase for the purposes of this Contest: (i) shipping, handling and additional charges related to the purchase of a qualifying good or service; (ii) financed or buy now, pay later purchases; (iii) exchanges, price adjustments, returns and other fees assessed by or on behalf of the Sponsor to a Card and/or Account (as defined below); (iv) purchases made through a Participating Retailer Website during the Contest Period prior to completing a valid Registration in accordance with these Rules; and (v) purchases resulting from unauthorized Card use or made with lost, stolen or fraudulent Cards (all as determined by the Sponsor in its sole and absolute discretion). For greater certainty and the avoidance of any doubt, to be eligible to count as an Eligible Purchase (and as such an Entry into the Contest), the purchase must: (i) relate to qualifying goods and services purchased with a Cardmember s registered Card through a Participating Retailer Website during the Contest Period after completing a valid Registration in accordance with these Rules; (ii) be processed by no later than the end of the Contest Period; and (iii) be posted to the Cardmember s account (the Account ) by no later than January 14, IMPORTANT NOTE: If a purchase is completed in accordance with these Rules during the Contest Period but, is not processed and posted to the Cardmember s Account by January 14, 2017 then, it will NOT count as an Eligible Purchase. To be eligible to win the Prize (as defined below in Rule 6), a Cardmember s Account must be in good standing and must not otherwise have privileges suspended at the time of entry, winner selection and/or prize fulfillment. Only Eligible Purchases made with a Card associated with an Account that is in good standing (at time of entry, winner selection and prize fulfillment all as determined by the Sponsor in its sole and absolute discretion) and issued to an identifiable Cardmember are eligible for this Contest. In the event that a Cardmember replaces his/her registered Card through Amex Bank of Canada (including, without limitation, because it has been lost, stolen, damaged or there has been a fraud event), the Cardmember s Registration and Eligible Purchase(s) will automatically be transferred to his/her new Card. In this scenario, the Cardmember s replacement Card will become his/her registered Card for the purposes of this Contest. In the event that a Cardmember replaces his/her registered Card through a licensed third party issuer (e.g. Scotiabank), (including, without limitation, because it has been lost, stolen, damaged or there has been a fraud event), the Cardmember s Registration and Eligible Purchase(s) will not automatically be transferred to his/her new Card. In this scenario, the Cardmember s replacement Card will not become his/her registered Card for the purposes of this Contest and therefore a separate Registration will be required in respect of that Card. IMPORTANT NOTE: If there is a Basic Card and Supplementary Card(s) on the same Account, then for the purposes of this Contest each Card must be associated with a separate Registration completed in accordance with these Rules. ii. No Purchase Necessary: To enter without completing an Eligible Purchase, a Cardmember must hand-print his/her full name (as it appears on his/her Card), complete mailing address (including postal code) and telephone number on a plain piece of paper and mail it in a separate sealed postage pre-paid envelope along with a fifty (50) word or more unique and original essay (the Cardmember Essay ) on how Amex makes online purchases more convenient for me to: American Express Shop the Web Contest, P.O. Box 4099, Paris, Ontario, N3L 3W9 (the Cardmember Request ). Upon receipt of a valid Cardmember Request in accordance with these Rules, the Cardmember will be eligible to receive one (1) Entry in the Contest per unique and original Cardmember Essay per envelope with sufficient Canadian postage. To be eligible, any Cardmember Request submitted must: (i) be received separately in an envelope bearing sufficient Canadian postage (i.e. multiple mail-in Cardmember Requests in the same envelope will be void); and (ii) be post-marked during the Contest Period and received by no later than by January 14, 2017 in order for the Cardmember to be an eligible to earn an Entry. Note: There is no limit to the number of Entries a Cardmember may receive. b) NON-CARDMEMBER ENTRY: To enter without being a Cardmember and without completing an Eligible Purchase, an eligible entrant who is not a Cardmember must hand-print his/her full name, complete mailing address (including postal code), telephone

Upon receipt of a valid Non-Cardmember Request in accordance with these Rules, the eligible entrant will be eligible to receive one (1) Entry in the Contest per unique and original Non-Cardmember Essay per envelope with sufficient Canadian postage. To be eligible, any Non-Cardmember Request submitted must: (i) be received separately in an envelope bearing sufficient Canadian postage (i.e. multiple mail-in Non-Cardmember Requests in the same envelope will be void); and (ii) be post-marked during the Contest Period and received by no later than by January 14, 2017 in order for the eligible entrant to be an eligible to earn an Entry. SPONSOR S RIGHT TO VERIFY: If it is discovered by the Sponsor (using any evidence or other information made available to or otherwise discovered by the Sponsor) that any person has attempted to use multiple names, identities, and/or any automated, macro, script, robotic or other system(s) or program(s) and/or any other means not in keeping with the Sponsor s interpretation of the letter and/or spirit of these Rules to enter or otherwise participate in or to disrupt this Contest; then he/she may be disqualified from the Contest in the sole and absolute discretion of the Sponsor. The Contest Parties and each of their respective officers, directors, agents, representatives, successors and assigns (collectively, the Released Parties ) are not responsible for late, lost, misdirected, delayed, incomplete or incompatible Registrations/Entries/Eligible Purchases/Cardmember Requests/Non- Cardmember Requests (all of which are void). All Registrations, Entries, Cards, Accounts, Cardmembers, non-cardmembers, Cardmember Requests, Non-Cardmember Requests and Eligible Purchases are subject to verification at any time and for any reason. The Sponsor reserves the right, in its sole and absolute discretion, to require proof of identity and/or eligibility (in a form acceptable to the Sponsor including, without limitation, government issued photo identification): (i) for the purposes of verifying an individual s eligibility to participate in this Contest; (ii) for the purposes of verifying the eligibility and/or legitimacy of any Registration, Card, Account, Entry, Cardmember Request, Non-Cardmember Request, Eligible Purchase and/or other information for the purposes of this Contest; and/or (iii) for any other reason the Sponsor deems necessary, in its sole and absolute discretion, for the purposes of administering this Contest in accordance with the Sponsor s interpretation of the letter and spirit of these Rules. Failure to provide such proof to the complete satisfaction of the Sponsor within the timeline specified by the Sponsor may result in disqualification in the sole and absolute discretion of the Sponsor. The sole determinant of the time for the purposes of this Contest will be the official time-keeping device(s) used by the Sponsor. 6. THE PRIZE: There is one (1) Prize (the Prize ) available to be won consisting of a 2017, Audi A4 Technik 7-speed S-tronic automatic transmission with an approximate retail value of $53,287. Prize includes MSRP, Freight & PDI and all applicable fees and taxes. Without limiting the generality of the foregoing, the following general conditions apply to the Prize: (i) Prize must be accepted as awarded and is not transferable, assignable or convertible to cash (except as may be specifically permitted by Sponsor in its sole and absolute discretion); (ii) no substitutions except at Sponsor s option; (iii) Sponsor reserves the right at any time to substitute the Prize or a component thereof for any reason with a prize or prize component(s) of equal or greater retail value, including, without limitation, but solely at the Sponsor s sole discretion, a cash award; (iv) colour and other specifics of the Prize will be at the sole and absolute discretion of the Sponsor and subject to availability; (v) manufacturer s standard warranty applies to the Prize; (vi) upon notification, the confirmed Prize winner may, in the sole and absolute discretion of the Sponsor, be required to personally take delivery of the Prize from a location as selected by the Sponsor (in its sole and absolute discretion) and will be required to present adequate personal identification (in a form acceptable to the Sponsor including, without limitation, government issued photo identification); (vii) Prize will not be released unless and until the confirmed Prize winner first shows proof (in a form acceptable to the Sponsor) of having a valid driver s licence (equivalent to a full G class licence in Ontario) and proof (in a form acceptable to the Sponsor) of satisfactory insurance; (viii) confirmed Prize winner is solely responsible for all expenses that are not included in the Prize description above, including, but not limited to, registration and licence fees, insurance, additional accessories and all other costs associated with: (a) any upgrade or option package(s) that he/she may request (and that may be permitted by Sponsor in its sole and absolute discretion); (b) obtaining a valid driver s licence, licence plates, registration, insurance and/or fuel; and/or (c) taking delivery of the Prize. THE APPROXIMATE RETAIL VALUE OF THE PRIZE NOTED ABOVE IS CURRENT AS OF NOVEMBER 14, UNDER NO CIRCUMSTANCES WHATSOEVER WILL ANY DIFFERENCE BETWEEN THE ACTUAL RETAIL VALUE OF THE PRIZE AS AT THE TIME OF FULFILMENT OR ANY OTHER TIME AND THE APPROXIMATE RETAIL VALUE OF THE PRIZE NOTED ABOVE BE AWARDED. FOR THE AVOIDANCE OF ANY DOUBT, THE PRIZE CONSISTS OF THE VEHICLE ONLY AND NOT THE ACTUAL VALUE OF THE VEHICLE. None of the Released Parties makes any representation or offers any warranty, express or implied, as to the quality or fitness of the Prize awarded in connection with the Contest. To the fullest extent permitted by applicable law, the confirmed winner understands and acknowledges that he or she may not seek reimbursement or pursue any legal or equitable remedy from either the Sponsor or any of the Released Parties should his/her Prize fail to be fit for its purpose or is in any way unsatisfactory. For greater certainty and the avoidance of any doubt, by accepting the Prize, the confirmed winner agrees to waive all recourse against the Released Parties if his/her Prize or a component thereof does not prove satisfactory, either in whole or in part. 7. ELIGIBLE WINNER SELECTION PROCESS (RANDOM DRAW): On February 9, 2017 (the Selection Date ) in in Brantford, ON at approximately 2:00 p.m. ET, one (1) eligible entrant will be selected by random draw from among all eligible Entries submitted and received in accordance with these Rules. The odds of winning depend on the number of eligible Entries submitted and received in accordance with these Rules.

ELIGIBLE WINNER NOTIFICATION PROCESS: The Sponsor or its designated representative will make a minimum of three (3) attempts to contact the eligible winner within five (5) business days of the Selection Date. If the eligible winner cannot be contacted as outlined above, or if there is a return of any notification as undeliverable; then he/she may, in the sole and absolute discretion of the Sponsor, be disqualified (and, if disqualified, will forfeit all rights to the Prize) and the Sponsor reserves the right, in its sole and absolute discretion and time permitting, to randomly select an alternate eligible entrant from among the remaining eligible Entries submitted and received in accordance with these Rules in accordance with the procedures outlined in Rule 7 (in which case the foregoing provisions of this section shall apply to such newly selected eligible winner). 9. ELIGIBLE WINNER CONFIRMATION PROCESS: NO ONE IS A WINNER UNLESS AND UNTIL THE SPONSOR OFFICIALLY CONFIRMS HIM/HER AS THE WINNER IN ACCORDANCE WITH THESE RULES, EVEN IF SUCH PERSON IS ANNOUNCED AS THE WINNER OR AN ELIGIBLE WINNER. BEFORE BEING DECLARED AS THE CONFIRMED PRIZE WINNER, the eligible winner will be required to: (a) correctly answer a mathematical skill-testing question without mechanical or other aid (which may, in the sole and absolute discretion of the Sponsor, be administered online, by or other electronic means, by telephone, or in the Sponsor s form of declaration and release); and (b) sign and return within three (3) business days of notification the Sponsor s declaration and release form, which (among other things): (i) confirms compliance with these Rules; (ii) acknowledges acceptance of the Prize (as awarded); (iii) releases the Released Parties from any and all liability in connection with this Contest, his/her participation therein and/or the awarding and use/misuse of the Prize or any portion thereof; and (iv) agrees to the publication, reproduction and/or other use of his/her name, address, voice, statements about the Contest and/or photograph or other likeness without further notice or compensation, in any publicity or advertisement carried out by or on behalf of the Sponsor in any manner or medium whatsoever, including print, broadcast or the internet. If the eligible winner: (a) fails to correctly answer the skill-testing question; (b) fails to return the properly executed Contest documents within the specified time; (c) cannot accept (or is unwilling to accept) the Prize (as awarded) for any reason; and/or (d) is determined to be in violation of these Rules (all as determined by the Sponsor in its sole and absolute discretion); then he/she will be disqualified (and will forfeit all rights to the Prize) and the Sponsor reserves the right, in its sole and absolute discretion and time permitting, to randomly select an alternate eligible entrant from among the remaining eligible Entries submitted and received in accordance with these Rules in accordance with the procedures outlined in Rule 7 (in which case the foregoing provisions of this section shall apply to such newly selected eligible winner). 10. GENERAL CONDITIONS: By entering this Contest, each entrant expressly consents to the Sponsor, its agents and/or representatives, storing, sharing and using the personal information (information that identifies an entrant as an individual, such as telephone number, home address) submitted for the purpose of administering the Contest and in accordance with Sponsor s privacy policy (available at: This section does not limit any other consent(s) that an individual may provide the Sponsor or others in relation to the collection, use and/or disclosure of their personal information. By participating, each entrant agrees to release, discharge and hold harmless the Released Parties from any and all injuries, liability, losses and damages of any kind resulting from their participation in the Contest or their acceptance, use or misuse of the Prize or a portion thereof. The Released Parties are not responsible for and shall not be liable for: (a) any failure of any website, platform or device during or after the Contest; (b) any technical malfunction or other problems of any nature whatsoever, including, without limitation, those relating to the telephone network or lines, computer on-line systems, servers, access providers, computer equipment or software; (c) the failure of any Entry, Registration, Eligible Purchase, Cardmember Request, Non-Cardmember Request and/or other information to be received, captured, processed or recorded for any reason whatsoever, including, but not limited to, technical problems or traffic congestion on the internet or at any website; (d) any injury or damage to an entrant s or any other person s computer or other device related to or resulting from participating in the Contest; (e) anyone being incorrectly and/or mistakenly identified as a winner or eligible winner; (f) any condition caused by events beyond the control of the Released Parties that may cause the Contest to be disrupted or corrupted; (g) tampering, thefts, defects or typographical errors in materials; and/or (h) any combination of the above. All Entries, Registrations, Cardmember Requests and Non-Cardmember Requests become the property of the Sponsor. This Contest is subject to all applicable federal, provincial and municipal laws. The decisions of the Sponsor with respect to all aspects of this Contest are final and binding on all entrants without right of appeal, including, without limitation, any decisions regarding the eligibility/disqualification of Entries, Registrations, Eligible Purchases, Cardmember Essays, Non-Cardmember Essays, Cardmember Requests, Non-Cardmember Requests and/or entrants. ANYONE DEEMED BY THE SPONSOR TO BE IN VIOLATION OF THE SPONSOR S INTERPRETATION OF THE LETTER AND/OR SPIRIT OF THESE RULES FOR ANY REASON IS SUBJECT TO DISQUALIFICATION IN THE SOLE AND ABSOLUTE DISCRETION OF THE SPONSOR AT ANY TIME. In the event of a dispute regarding who submitted an Entry via Rule 4(a)(i) and/or Rule 4(a)(ii), the Sponsor reserves the right, in its sole and absolute discretion, to deem the Entry to have been submitted by the authorized card holder of the Card associated with the eligible Entry in question (as determined by Sponsor in its sole and absolute discretion). In the event of a dispute regarding who submitted an Entry via Rule 4(b), the Sponsor reserves the right, in its sole and absolute discretion, to deem the Entry to have been submitted by the individual whose verifiable full name appears on the Non-Cardmember Request. An entrant may be required to provide proof (in a form acceptable to the Sponsor including, without limitation, government issued photo identification) that he/she is: (i) the authorized account holder of the Card associated with the Eligible Purchase in question; or (ii) the individual whose verifiable full name appears on the Non-Cardmember Request (as applicable). The Sponsor reserves the right, subject only to the approval of the Régie des alcools, des courses et des jeux (the Régie ) in Quebec, to withdraw, amend or suspend this Contest (or to amend these Rules) in any way, in the event of any cause beyond the reasonable control of the Sponsor that interferes with the proper conduct of this Contest as contemplated by these Rules, including, without limitation, any error, problem, computer virus, bugs, tampering, unauthorized intervention, fraud or failure of any kind whatsoever. Any attempt to undermine the legitimate

5 operation of this Contest in any way (as determined by Sponsor in its sole and absolute discretion) may be a violation of criminal and civil laws and should such an attempt be made, the Sponsor reserves the right to seek remedies and damages to the fullest extent permitted by law. The Sponsor reserves the right, subject only to the approval of the Régie in Quebec, to cancel, amend or suspend this Contest, or to amend these Rules, in any way without prior notice or obligation, in the event of any accident, printing, administrative, or other error of any kind, or for any other reason whatsoever. Without limiting the generality of the forgoing, the Sponsor reserves the right, in its sole and absolute discretion, to administer an alternate test of skill as it deems appropriate based on the circumstances and/or to comply with applicable law. For Quebec residents: Any litigation respecting the conduct or organization of a publicity contest may be submitted to the Régie des alcools, des courses et des jeux for a ruling. Any litigation respecting the awarding of a prize may be submitted to the board only for the purpose of helping the parties reach a settlement. The Sponsor reserves the right, subject only to the approval of the Régie in Quebec, to adjust any of the dates, timeframes and/or other Contest mechanics stipulated in these Rules, to the extent deemed necessary by the Sponsor, for purposes of verifying compliance by any entrant, Entry, Registration, Eligible Purchase, Non-Cardmember Requests, Cardmember Request and/or other information with these Rules, or as a result of any technical or other problems, or in light of any other circumstances which, in the opinion of the Sponsor, in its sole and absolute discretion, affect the proper administration of the Contest as contemplated in these Rules, or for any other reason. In the event of any discrepancy or inconsistency between the terms and conditions of these English Rules and disclosures or other statements contained in any Contest-related materials (including without limitation the French version of these English Rules), the terms and conditions of these English Rules shall prevail, govern and control to the fullest extent permitted by law. In the event of any discrepancy or inconsistency between the terms and conditions of these English Rules and the Registration Terms and Conditions, the terms and conditions of these English Rules shall prevail, govern and control to the fullest extent permitted by law. The invalidity or unenforceability of any provision of these Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Rules shall otherwise remain in effect and shall be construed in accordance with the terms as if the invalid or illegal provision were not contained herein. To the fullest extent permitted by applicable law, all issues and questions concerning the construction, validity, interpretation and enforceability of these Rules or the rights and obligations of participants, Sponsor or any of the other the Released Parties in connection with the Contest will be governed by and construed in accordance with the domestic laws of the Province of Ontario and the federal laws of Canada applicable therein, without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other jurisdiction s laws. The parties hereby consent to the exclusive jurisdiction and venue of the courts located in Ontario in any action to enforce (or otherwise relating to) these Rules or relating to this Contest.
