This Tender Application Form (TAF) contains brief information about Cloak Room, Trolley Management, Porter Services and Baggage Strapping Services (collectively called Services ) at New Delhi, Shivaji Stadium, Dhaula Kuan, Delhi Aerocity, Airport and Dwarka Sector-21 stations of the Delhi Metro Airport Express Line of Delhi Metro Rail Corporation Ltd. This document duly encompasses the Scope of Work, Selection Procedure, Necessary Instructions, Financial Bid Form, Draft Indicative License Agreement, Terms & Conditions and other related/associated Documents/Annexure. The TAF can be purchased on payment of a non-refundable fee of Rs.1,050/- (inclusive of DVAT 5%) in the form of Demand Draft/Pay Order in favour of Delhi Metro Rail Corporation Ltd. from the following address: - Office of the DGM/Operations Room No.: 206, Train Depot Shastri Park East Approach Road, New Delhi Tele +91(11) Extn Between 0900 hrs to 1730 hrs on all working days from to only. 2. This TAF is also uploaded on DMRC s website and the same can be downloaded & used for tender submission. However, at the time of submission of tender the applicant shall require to enclose a Demand Draft/Pay Order of Rs.1050/- (inclusive of DVAT 5%), towards the cost of Tender Application Form, in addition to EMD of Rs.15,000/- (Rupees Fifteen Thousand only) in the form of Demand Draft/Pay Order, both in favour of Delhi Metro Rail Corporation Ltd. 3. Applicants who have downloaded the Tender Application Form are advised to remain in touch with O/o DGM/Operations of DMRC for all updates on Tender Application Form such as Addendums, postponement of any Schedule of this tender, etc. or monitor the DMRC s website for the same. 6 SERVICES (CROS/AEL-03/2014) GENERAL GUIDELINES This Tender Application Form does not purport to contain all the information that each Applicant may require. Applicants are requested to conduct their own investigations and analysis and to check the accuracy, reliability and completeness of the information in this Tender Application Form before participating in the tender process. DMRC Ltd. makes no representation or warranty and shall incur no liability under any law, statute, rules or regulations as to the accuracy, reliability or completeness of the Tender Application Form. Information provided hereunder is only to the best of the knowledge of DMRC Ltd. Applicants are required to carefully read the contents of this document and to provide the required information. Each page of the Tender Application Form (including General Conditions of Contract), Addendum (if any), Reply to Query (if any) and other submissions, along with submission of the tender, should be Numbered, Signed & Stamped, as a token of acceptance of terms and conditions of the tender. Any unsigned and unstamped document will not be considered for evaluation. Signature is required to be done by the bidder itself / authorized signatory of the Bidder for which a valid Power of Attorney shall be enclosed. All documents shall be submitted in English Language. Applicants may be single firms or as a partner in a joint venture or may be members of a consortium. Applicants may read carefully the directions concerning the requirements for consortiums. If an applicant submits, or if any one of the partners in a joint venture, or any one of the members of the consortium participates in more than one tender then all such tenders in which the applicant has participated will be considered invalid. For any query from Applicants, DMRC reserves the right not to offer clarifications on any issue raised in a query or if it perceives that the clarifications can only be made at a later stage, it can do so at a later date. No extension of any deadline will be granted on the ground that DMRC have not responded to any query or not provided any clarification. Applicants may clearly note the date and time of submittal of Tender. No late or delayed Tender will be accepted. Applicants are reminded that no supplementary material will be entertained by DMRC, and the evaluation will be carried out only on the basis of submittals, as per the prescribed format, received by the closing Date/Time. However, DMRC may ask for any supplementary information, if deemed so. It shall however be noted, that DMRC will not discuss any aspect of the selection process. However, DMRC may display name of successful Tenderer on DMRC s website. Applicants will deem to have understood and agreed that no explanation or justification of any aspect of the selection process will be given by DMRC and that DMRC's decisions are without any right of appeal/litigation, whatsoever. Applicants are advised that the selection process will be entirely at the discretion of DMRC. PAGE No.6 OF 75

7 SERVICES (CROS/AEL-03/2014) Applicants will not be considered if they make any false or misleading representations in statements / attachments. If any submission is found false or misleading even at later stage (i.e. after the award of Tender) then also, DMRC may annul the award. Further, the applicant may be blacklisted for participation in any future Tender of DMRC. In such a case DMRC shall forfeit the EMD (if any) and encash the bank guarantee (if any) held with DMRC. Tenderer agree to keep this tender open for acceptance for a period of 180 days from the date of opening of tender and in default thereof, applicant will be liable for forfeiture of his Earnest Money Deposit (EMD). 8 SERVICES (CROS/AEL-03/2014) INSTRUCTIONS TO TENDERER 1.0 The Applicant shall provide all the information requested in the Tender Application Form. DMRC reserves the right to reject an offer that does not contain all the required information requested therein. 2.0 DMRC shall not entertain any post submission date communication from the Applicants. However DMRC reserves the right to call for additional information/ clarifications. Applicants shall furnish such requirements within such time as may be permitted by DMRC. 3.0 A Draft Indicative License Agreement (Annexure 6) proposed to be entered into by DMRC with the successful applicant as a result of this tender, is attached with this Tender Application Form. 4.0 This Tender Application Form constitutes no form of commitment on the part of DMRC Ltd., whether in respect of the tendering process or otherwise. 5.0 DMRC Ltd. reserves the right to reject any or all of the tenders, if it considers necessary to do so, and / or to withdraw from the selection process or to vary any of the terms at any time without giving any reason. Nothing contained herein shall confer right upon the Applicant or any obligation upon DMRC. 6.0 Nothing in this Tender Application Form or in any communication issued by DMRC Ltd. shall be taken as constituting an agreement, offer, acceptance, warranty, covenant, confirmation or representation to the recipient of this document or any other party. 7.0 The tender and all correspondence/documents relating to the tender exchanged between the applicant and DMRC Ltd. shall be in English language. 8.0 At any time prior to the tender submission, DMRC may, for any reason, whether at its own initiative may modify the Tender Application Form through issuance of an Addendum. This shall be uploaded on DMRC s website. All the applicants are requested to be in touch with DMRC website for latest updates. In order to give the Applicants reasonable time, in which to take an Addendum into account, or for any other reason, DMRC may, at its discretion, extend the date & time of submission of Tender. Applicants are advised to remain in touch with DMRC website for latest updates regarding the tender. 9.0 While DMRC shall adhere to the dates mentioned in the notice, it reserves the right to change, modify or put on hold or withdraw this tender schedule without assigning any reasons whatsoever. 10 SCOPE OF WORK Service Provider shall provide the following services at its own cost, including manpower, stationary, equipment etc. PAGE No.8 OF 75

9 SERVICES (CROS/AEL-03/2014) 10.1 Cloak Room Services at New Delhi Station ( NDRU ) The Service Provider shall provide cloak room facilities to the passengers as per the terms and fees decided by Licensor. The terms of operations, and fees, may be revised by Licensor anytime and the same shall be binding on the Service Provider The current terms of operations and rate structure are mentioned in Annexure-7A & 7B To render the services as mentioned hereinabove, Service provider shall deploy the required manpower as mentioned in Annexure The service provider may procure & maintain photocopier with printer and fax for passenger facilitation inside the cloak room. The service provider is allowed to charge passengers for photocopy, printing and fax services as per the rates approved by Licensor and revenue earned will be the part of cloak room revenue The service provider shall keep the daily revenue but submit the revenue statement monthly in the format approved by Licensor Trolley Management The Service Provider shall provide the following services within the Services Areas as mentioned in Annexure-8A. a. Retrieval, storage and re-circulation of passenger trolleys. b. Stacking the trolleys at designated areas Return the same number of trolleys in serviceable condition, upon expiry or termination of the License Agreement Service Provider shall provide the above mentioned services during all the operational hours of the metro trains each day of the year during the tenure of this License Agreement. The Service Level Requirements to be fulfilled by Service Provider are mentioned in Annexure-8B. To render the services as mentioned hereinabove, Service Provider shall deploy the minimum manpower as mentioned in Annexure-8C The trolleys are to be handed over to Station Controllers of stations of Delhi Metro Airport Express Line daily at the end of the revenue services or after the evening shift of the staff of licensee managing the trolley Porter Services Service Provider shall provide the porter services at the following stations of the Delhi Metro Airport Express Line: (i) New Delhi (ii) Shivaji Stadium (iii) Dhaula Kuan (iv) Delhi Aerocity (v) Airport (vi) Dwarka Sector-21 The porter services to be provided by Service Provider within the service areas as mentioned in Annexure-9A, shall constitute, but not be limited to, the following services For passengers arriving at the Station PAGE No.9 OF 75

10 SERVICES (CROS/AEL-03/2014) (a) Unload baggage pieces from vehicles and load onto the baggage trolleys. (b) Accompany passenger with his/her baggage on the trolley from alighting point to either check-in counter inside the Station or inside the train For passengers departing from the Station (a) For passengers alighting at the platform, lift the baggage pieces identified by a passenger and place them on baggage trolley. (b) Accompany the passenger from the alighting point to either the car park or pick up kerb of the Station or, in case of Airport station, till the lift (concourse level) leading to the sky walk of IGI Airport Terminal-3. (c) The service charges of Rs 50/- shall be collected from the passenger if he uses the services of the porter. The process for collecting service charges from the passenger shall be advised by Licensor i.e. DMRC. The Service Provider shall follow the process advised by Licensor. (d) The service charges for porter service will be collected from passenger by Licensor. Service Provider or agency appointed by Service Provider shall collect the porter revenue of previous week from Licensor The porters deployed by the Service Provider shall also be utilized to provide wheelchair assistance to the passengers at the said Stations. Such passengers shall not be charged for this service. No extra fee shall be payable to the Service Provider for providing such wheelchair assistance services A maximum fee per porter trolley, as per rates approved by Licensor, may be charged to the passenger. This fee may be revised by Licensor at its sole discretion and the same shall be binding on the Service Provider A porter trolley shall not be used to carry more than 3 bags To render the services as mentioned hereinabove, Service Provider shall deploy the required manpower as mentioned in Annexure-9B Baggage Strapping Services The Service Provider shall provide baggage strapping facilities at New Delhi and Shivaji Stadium stations of DMRC Airport Metro Express Line The equipment required for baggage strapping shall be provided by Licensor as per following allocation: a. 1 number at New Delhi Station b. 2 numbers at Shivaji Stadium Station* *Subject to decision of Licensor to start the service Any material required for providing baggage strapping service shall be procured by Service Provider at its own cost Service Provider shall not be allowed to charge any fee to the passenger for providing such baggage strapping service Service Provider shall maintain sufficient spares and material supplies so that the services could be provided to the customers without any delay or disruption To render the services as mentioned hereinabove, Service Provider shall deploy the required manpower as mentioned in Annexure Baggage Stretch Wrapping Services Baggage stretch wrapping service is presently not available at Delhi Metro Airport Express Line stations and shall be made available by the Licensee as PAGE No.10 OF 75

11 SERVICES (CROS/AEL-03/2014) and when required by DMRC and charging for the stretch wrapping from the commuters shall be as per approved rates of DMRC Tender Requirements For the purpose of selection of Licensee, following requirements needs to be fulfilled: The bidder shall enclose a signed and stamped, lead member in case of Consortium, copy of the Tender Application Form (including Addendum(s) issued, Reply to Query(s) issued, General Conditions of Contract etc) and all other associated / required documents duly numbered, signed and stamped. This is in addition to the Tender Document Cost (if applicable) and Tender Security (EMD) A page-wise summary of all the documents shall also be enclosed as a part of document, by the Authorized Signatory of the applicant The bidder shall be required to enclose signed & stamped copy of valid registrations with the following: - i) Registrar of Companies (in case bidder being a company) ii) Employees Provident Fund Organization (along with copy of latest challan and corresponding ECR) iii) Employee State Insurance Corporation (along with copy of latest challan) iv) Service Tax Department (along with copy of latest challan) In case of a consortium, the above documents shall be mandatorily submitted for all the constituent members Bidder is required to submit The Initial Filter Criteria on the letter head of its company (each member in case of consortium) along with Annexure A as per the terms and details hereunder: - i) Bidder shall be required to fill the details as asked in the Initial Filter Criteria along with Annexure A on non-judicial stamp paper of Rs.100/-. ii) Bidder has to first qualify the Initial Filter Criteria in order to be eligible for evaluation of their Bid Each bidder (each member in the case of a consortium) shall be required to confirm and declare with the tender submission that no agent, middleman or any intermediary has been, or will be, engaged by them to provide any services, or any other items or works related to the award and performance of the Contract. They will have to further confirm and declare that no agency commission or any payment which may be construed as an agency commission has been, or will be, paid and that the tender price will not include any such amount. The format is given in Annexure-B of this Tender Document Financial Standing (Average Annual Turnover) calculated from last 03 Financial Years, as detailed in Annexure In order to help the applicant check whether necessary/required documents are enclosed with his Tender Application, a Check List is provided in Annexure POWER OF ATTORNEY Applicant is required to submit a supporting Power of Attorney, authorizing the Signatory of the Application to commit the Applicant and agreeing to ratify all acts, deeds and things lawfully done by the said attorney. 12 SERVICES (CROS/AEL-03/2014) Consortium, the Application shall be signed by the Authorized Signatory of the Lead Member and the Power of Attorney shall be signed by all members of the Consortium and shall be legally binding on all of them The Tender complete in all respect is to be submitted duly sealed as per following pattern: The tenderer shall seal the Tender Application Form, the Financial Bid, Tender Security (EMD) and Cost of Tender Application Form (if applicable) in an Envelope duly super-scribed TENDER APPLICATION FORM for Cloak Room, Trolley Management, Porter Services and Baggage Strapping Services at stations of Airport Express Line of DMRC Ltd. Tender complete in all respects as above, shall be deposited in the tender box kept in the office of DGM/Operations, Room No.: 206, Shastri Park Train Depot, Eastern Approach Road, Shastri Park, New Delhi Tele - +91(11) Extn on between 1000 hrs to 1400 hrs (as per master clock of DMRC) after which no tender bid shall be accepted COST OF TENDERING The applicant shall bear all costs associated with the preparation of the tender and DMRC shall in no case be responsible or liable for these costs, regardless of the conduct or outcome of the selection process DMRC reserves the right to out rightly reject conditional tenders without assigning any reason whatsoever Where the Tender Application Form has been downloaded, the applicant undertakes not to tamper/alter/correct/modify the document in any manner whatsoever. DMRC may out rightly reject the applicant, with forfeiture of Tender Security (EMD), in case it is found at any time that the Tender Application Form has been tampered/modified/altered in any manner. Further, in case of successful Applicant if it is found even after award of tender then also DMRC reserves the right to cancel the agreement, forfeiting all amounts in case of successful applicant and also to take necessary legal action. The applicant voluntarily and unequivocally agrees not to seek any claim, compensation, damages or any other consideration whatsoever, in case DMRC takes necessary action in this regard Tenders may not be modified or withdrawn by the applicant after the date of submission. Withdrawal of tender during the interval between date of tender submission and expiration of the Tender Validity Period would result in forfeiture of the Tender security (EMD) TENDER VALIDITY The Tender shall be kept valid for 180 days from the date of submission by the Applicant(s). In exceptional circumstances, prior to expiry of the validity period, DMRC may request the applicants for a specified extension in the period of validity of the Tender. The request and the response thereto shall be made in PAGE No.12 OF 75

13 SERVICES (CROS/AEL-03/2014) writing or by telefax. An applicant may refuse the request without forfeiting his Tender Security (EMD). An Applicant agreeing to the request, shall not be required or permitted to modify his tender but will be required to extend the validity of his Tender Security (EMD) accordingly ACCEPTANCE OF THE OFFER 19.1 DMRC shall issue Letter of Acceptance (LOA) to the successful applicant The successful applicant shall be required to send his unconditional acceptance of LOA within three (3) days from the date of its issue. DMRC shall retain the right to withdraw the LOA in the event of the successful applicant s failure to accept the LOA within the time limit specified in the LOA. In that event, DMRC shall forfeit the EMD of the successful applicant INTEREST FREE PERFORMANCE SECURITY (BANK GUARANTEE) 20.1 The successful applicant shall furnish to DMRC a Performance Security in the form of Bank Guarantee (BG) for an amount of Rs.2,50,000/- (Rupees Two Lakhs and Fifty Thousand Only) within 30 days from the date of issue of Letter of Acceptance. The validity of the Bank Guarantee shall be six month beyond the expiry of contract period. The Bank Guarantee shall be prepared as per the format of Bank Guarantee provided in this Tender Application Form, Annexure- 12, with a Scheduled Commercial Bank based in India and from a branch located in Delhi only The Contractor has to submit Bank Guarantee within 30 days of issue of Letter of Acceptance. If contractor fails to submit the Bank Guarantee within the stipulated time, then a penalty equal to 0.25% of the amount of Bank Guarantee per week or part thereof shall be imposed on him for delays upto 60 days from the date of Bank Guarantee becomes due to the time he submits the same. Any further delay would require Director s approval for condonation Failure of the successful bidder to submit the required Bank Guarantee shall constitute sufficient grounds for the annulment of the award of the Tender and forfeiture of the Tender Security (EMD), in the event of which the DMRC may award the Tender to the next lowest evaluated bidder EXECUTION OF LICENSE AGREEMENT 21.1 The successful Applicant will be required to execute the License Agreement within 30 days from the date of issue of the Letter of Acceptance by DMRC. Prior to signing of the License Agreement, the successful applicant shall: - (i) Submit, to DMRC, the Bank Guarantee of Rs.2,50,000/- (Rupees Two Lakhs and Fifty Thousand Only) with a validity of six months beyond the end of the License period of 03 years. (iii) The successful applicant, in case being a company, shall submit certified true copies of all resolutions adopted by its/their Board of Directors authorizing it/them for execution, delivery and performance of the License Agreement to DMRC before the signing of License Agreement. (iv) In case of successful applicant is a Joint Venture/Consortium, the License Agreement shall be signed by all the members of the JV/Consortia. PAGE No.13 OF 75

14 SERVICES (CROS/AEL-03/2014) (v) Successful bidder shall ensure that it does not in any way impinge on the safety and security of metro operations, passenger safety, commuter s convenience, safety of metro properties and its assets. Failure to meet above conditions will result in a breach and DMRC shall be entitled to cancel the award without being liable in any manner whatsoever to the successful applicant and to appropriate the Tender Security (EMD) as Damages The cost of Stamp Duty for execution of License Agreement, Registration Charges and any other related Legal Documentation charges/incidental charges shall be borne by the successful applicant In case of failure on the part of the successful applicant to sign the License Agreement within the stipulated time, DMRC shall retain the right to cancel the Award and forfeit the EMD, encash the Bank Guarantee if available and/or any other amount deposited till that time without being liable in any manner whatsoever to the successful applicant The tender is non-transferable under any circumstances RETURN OF TENDER SECURITY (EMD) 22.1 Unsuccessful Applicants: Tender Security (EMD) amounts of unsuccessful bidder will be refunded within 30 days from Letter of Acceptance being signed and returned by the successful bidder. The EMD of unsuccessful bidder shall be returned without payment of any interest Successful Applicant: Tender Security (EMD) amount of the successful tenderer shall be released only after receipt of Performance Security / execution of License Agreement BACKING OUT, IN CASE OF SUCCESSFUL APPLICANT 23.1 If the successful bidder backs out after being declared H1 (Highest Bidder) for two occasions/tenders, he will be banned for participating in any future business with DMRC Successful Bidders, as a result of tendering process, may kindly note that if the License Agreement is terminated on three instances in different cases on account of non-payment of licensed dues to DMRC, the said licensee/agency shall be banned for participation in future tenders for next five years with effect from date of issue of letters regarding banning of business Tenderer shall be charged as follows: Net Revenue = Revenue from Services Expenditure [1 + (Applicable Service Tax)] 100 Revenue from Services includes revenue from porters, cloak room etc Expenditure Includes (i) The minimum required manpower under the tender is presently kept 26 only. It may vary depending upon the requirement and approval of DMRC. Rates for required manpower of 26 are calculated as per applicable minimum wages and the rates so calculated will revise as per the revision in minimum wages declared by Government of NCT of Delhi or Central Government, whichever is higher. 15 SERVICES (CROS/AEL-03/2014) (ii) Calculation for 26 manpower as per minimum wages w.e.f works out to Rs.3,32,251/-, calculations are detailed in Table-1 at Page No.16 of the TAF, CROS/AEL-03/2014. Successful bidder, if require, may depute manpower more than 26 also but for the purpose of calculating the Expenditure, expense calculation only over deployed manpower i.e. presently 26 manpower shall be considered. This minimum manpower may vary in future depending upon the requirement and approval of DMRC. Other expenses, which includes Operation and Maintenance Costs, Stationary, Strapping, any applicable taxes etc, is considered as Rs.25,000/- per month (To be escalated 5% every half-yearly). Bidders may note that actual expenses may be more but for calculating the net revenue amount other expenses as Rs.25,000/- per month (with escalation as detailed above) shall only be taken herein. Revenue Share with DMRC = Net Revenue * % share with DMRC (Service Tax at applicable rate shall be paid extra over Revenue Share with DMRC) In above formula the percentage share of revenue shall be governed as per the following table wherein x% has to be quoted by the bidders/applicants. In case DMRC s monthly share of revenue goes below Rs.7000/- (excluding Service Tax) then a minimum of Rs 7000/- per month shall be payable by successful bidder to DMRC along with applicable service tax over it, irrespective of the revenue to the licensee (successful bidder). Note: For the purpose of Expenditure Calculation, Employer share of EPF contribution is taken into account, shown in the Table-1 below. Therefore, EPF exemption for Employees of Licensee through EPF Form-11 will not be accepted. Tenderer hereby agrees that the DMRC Administration reserves the right to accept or reject any tender applications without citing any reason whatsoever for rejecting the same. Tenderer hereby agrees not to seek any claim or damages on account of such rejection and further also undertake not to enter into any correspondence with DMRC with regard to the same. Tenderer agrees voluntarily not to contest this issue or seek any claim or compensation on this account. Corrigendum/Addendum (if any) shall be posted on DMRC website only, i.e Successful tenderer will be fully responsible for the maintenance of all the trolleys. All the trolley has to be handed over to DMRC in good condition at the end of License Period. 38 It will be considered that tenderer has seen the stations and has also evaluated their potential and fully understands and comprehends the requirements of the services and voluntarily and unequivocally agrees not to seek any claim, damages, compensation or any consideration, whatsoever on this account. 39 Tenderer hereby agrees to abide by all terms & conditions of this tender and also the other clauses mentioned in Draft License Agreement or part of this document. Tenderer/Bidder also agrees and understands that the draft license agreement is constituted as part of this Tender Application Form (TAF). As a token of full and unconditional acceptance of the terms and conditions of this Tender Application Form and the Draft License Agreement, tenderer has to duly sign & stamp each page of this TAF.
