2 SECTION I GENERAL INFORMATION 1. Cochin Shipyard Ltd, Cochin-15, a Government of India enterprise engaged in the activities of shipbuilding and ship repair, is having a Duty Credit Scrip of a face value of Rs.4,22,88,590/- issued by the Directorate of Foreign Trade, Kochi. 2. Sealed tenders are invited by COCHIN SHIPYARD LIMITED., KOCHI (hereinafter referred to as the CSL ) from competitive bidders for sale/transfer of scrip issued under MEIS in total compliance to the terms and conditions of the tender documents/scrip. For details please refer to Section V - Scope of work 3. EMD :The bid must accompany with Earnest Money of Rs. 8,45,780 /-(Rupees Eight Lakh Fortyfive Thousand Seven Hundred and Eighty only) by way of Crossed Demand Draft drawn on any nationalized bank, in favour of Cochin Shipyard Limited payable at Kochi. The bid received without EMD will not be considered. EMD of unsuccessful bidders shall be returned within 10days from date of price bid opening. 4. Tender quotations should be strictly on the basis of ALL EXCLUSIVE RATES (Excluding GST and any other statutory levies as applicable which shall be to the buyer s account). 5. The Company/Firm appointed by CSL as Consultant for obtaining the scrip offered for sale under this tender is not eligible to participate in the Tender. 6. The Price Offer consisting of Part II must be in a second sealed cover. On both the sealed covers the Tenderer's name and address, along with contact details of the company (name, address, telephone, fax, & mobile (if any)), should be indicated on the bottom left side of the cover. Both the sealed covers should then be put in a third cover, sealed and addressed to Shri Jose V J, Deputy General Manager (Finance), Cochin Shipyard Ltd, Kochi according to the instructions as mentioned above. 4 Corrigendum/Addendum/Clarification/Extension of the date of submission of the Tender, if any, shall only be available on the above website. 10. ASSESSMENT OF TENDER: The Bid shall comprise of Part-I (Technical Offer) and Part-II (Price Offer). The Price Bids of those bidders who qualify the eligibility criteria set at Section III shall be opened for selecting the successful bidder. Even though a tender is accepted based on the technical grounds (as per the eligibility criteria set at Section III), CSL reserves the right to reject all/ any of the tenders without assigning any reasons and the decision of CSL in this regard shall be final and binding. 11. Each and every page of the tender should be signed and seal affixed by the bidder or his representative as a token of acceptance. 12. The bid and all correspondence incidental to and concerning the bid shall be in the English Language. 13. The Tenderers are requested to quote their best highest offer. 6 SECTION III ELIGIBILITY CRITERIA 1. The bidder should be a single legal entity registered in India as a company under the Indian Companies Act or a Partnership firm registered under the Partnership Act of 1932 or a Limited Liability Partnership as defined in the Limited Liability Partnership Act,2008 or a proprietorship firm. Bidders to submit notarized copy of the certificate of incorporation/registration certificate of LLP/registered partnership deed/banker s certificate for proprietorship concern towards proof of legal entity. 2. The bidder shall have valid PAN/GST registration and shall submit self attested copy of PAN and GST Registration Certificate. 3. The annual turnover of the bidder shall not be less than the Scrip value in any year for the last three years. 4. The networth of the bidder as per the audited financial statement for the year ending should be positive. Copy of relevant audited Balance Sheet and P&L A/c for the last three years to be attached or a Certificate from a practising Chartered Accountant to be attached along with Part-I 5. The tenderer should have a minimum of Three (3) years of experience as on the date of publishing of tender in the the field of sale/purchase/utilization/ monetization of scrip issued under MEIS and/or under any other Schemes. Attach self attested copies of Letters of Award towards proof of the above. 6. The tenderer should not have unsatisfactory record in completion of any earlier contracts with Cochin Shipyard Limited (CSL) or any other PSU and shall submit a self declaration in this effect. 8 SCOPE OF WORK SECTION V Cochin Shipyard Ltd, Cochin (CSL), is presently having a Merchandise Exports from India Scheme (MEIS) Duty Credit Scrip for a face value of Rs.4,22,88,590/- (Rupees Four Crore Twentytwo Lakh Eightyeight Thousand Five Hundred and Ninety only) issued by the Directorate of Foreign Trade, Kochi, vide Scrip Authorisation (1of1) dated as detailed below: DETAILS OF THE SCRIP OFFERED FOR SALE/TRANSFER Sl.. MEIS Scrip Authorisation. Date of Issuance Scrip Authorisation value in INR Port of Registration (1 of 1) INCOK1 Cochin Sea CSL invites competitive bids for sale of the above MEIS Scrip in total compliance to the terms and conditions of the tender documents/attachments. For details please refer to various terms and conditions of the tender document. 8

9 SPECIAL INSTRUCTIONS TO THE BIDDER SECTION VI 1. Price bid shall be submitted by way of percentage of premium of the face value of the scrip upto two decimals. 2. Bidders are requested to submit their most competitive offer as per the Price Bid format attached with the tender document. 3. Taxes, duties, other statutory levies, if any, applicable on the sale of scrip shall be borne by the bidder and comply with the statutory provisions in sale/purchase/utilisation/ monetization of the Scrip. 4. Price bids shall be submitted on zero deviation without any condition and bids with any deviations/conditions will be summarily rejected. Bid offer must be complete in all respect without any deviations. 5. The bidders offer will be evaluated based on the details submitted in their offer. Bidders are advised to ensure that their Bids are complete in all respect and confirms to tender terms and conditions. As commercial/technical queries is not envisaged, bidders, if required, may seek pre-bid clarifications from CSL immediately on receipt of this Tender Document. 6. Successful bidder will be finalized on highest offered value. The offered value is arrived by applying the premium percentage on the face value of the scrip. 7. In case of multiple H1 bidders for the scrip, such bidders will be asked to give the revised improved price bids for such scrip within 30 minutes from determination of H1 status. In case of emergence of multiple H1 bidders in the revised improved price bid one more opportunity for submission of final improved price bids with 30 minutes time will be given to such bidders before cancellation of the tender for such scrip. 8. The amount quoted in the bid by the bidder shall be firm and fixed till complete execution of the contract. Once the offer is accepted and Letter of Award is issued to the successful bidder, the premium shall be valid till the completion as per the contract terms. 9. The Company will reserve full and final authority to withdraw or cancel the bidding process. CSL reserves the right to accept/reject any bid or part thereof without assigning any reasons. 10. The MEIS scrip offered for sale is registered in the INCOK1 Cochin Sea. It is the responsibility of successful bidder to apply for telegraphic Release Advise (TRA) by their own and comply with any other procedural requirement/formalities as per Foreign Trade Policy & Procedures/Customs provisions for utilization of MEIS Scrip within the scrip validity period. Bidder while submitting the offer shall ensure and examine the related procedural requirement and statutory provisions for the same. 11. The validity of the scrip is 24 months from the date of issue, ie. from

10 1. Letter of Award: SECTION VII LETTER OF AWARD & TERMS OF PAYMENT Once the offer is accepted, CSL will issue Letter of Award to the Successful H1 bidder for sale of the scrip. The Successful bidder is required to depute his authorized representative for taking delivery of the original scrip, tax invoice and CSL authorization to utilize the scrip. The scrip, tax invoice and CSL Authorisation will be issued to the authorized representative of the successful bidder after ascertaining the receipt of the full value of the bid amount and furnishing the authorization letter to receive the same as per the format attached at Section XI. 2. Terms of Payment: (i) (ii) Initial Payment: 10% of the quoted value of scrip after adjusting EMD amount shall be paid by the bidder in the form of RTGS/NEFT to Cochin Shipyard Ltd within Three (3) working days from the date of issue of the Letter of Award to the successful bidder. Final Payment: Balance amount shall be paid by the party in the form of RTGS/NEFT within 10 working days from the date of issue of letter of award by CSL to the successful bidder. Any other fees, stamp duty, cost of transfer, sale shall be to the account of the Bidder. Presently the rate of GST on Duty Scrip is 0% as per GST Provisions. 4. Successful bidders to depute authorized representative for taking delivery of the original scrip, tax invoice and CSL authorization to utilize the scrip. The scrip, tax invoice and CSL Authorisation will be issued to the authorized representative of the successful bidder after ascertaining the receipt of the full value of the bid amount and furnishing the authorization letter to receive the same as per the attached format. 10

11 SECTION VIII GENERAL TERMS AND CONDITIONS 1. Bidders are required to carefully study the entire tender document and terms and conditions as specified before quoting their premium. alteration in the quoted premium will be allowed. Bidder shall quote premium after careful analysis of tender document and submission of the offer by the bidder implied to mean that the premium quoted is after taking into consideration all the costs involved towards buying transfer/utilisation of the scrip offered for sale. The premium quoted in the bid by the bidder shall be firm and fixed till complete execution of the contract. Once the contract is accepted and Letter of Award is issued to the successful bidder, the premium shall be valid till the completion as per contract terms. 2. The tender in two parts should be submitted in a sealed cover addressed to as under, so as to reach CSL not later than 14:00 hours, 02/03/2018. The authorised representatives of the tenderer who wish to be present at the time of opening of quotations are welcome. SEALED TENDER SUBMISSION The Tenderer may send the tender by post/ courier service at the above mentioned address so as to reach at the above address on or before the due date and time. Tenders received after the due date and time will not be accepted. Tenders received by / fax will also not be accepted. 3. VALIDITY OF THE BID The bid shall be valid for a period of Forty five (45) days from the date of opening the Tender. 11

PERIOD OF CONTRACT The whole process of the sale/purchase formalities are required to be completed within 10 working days from the date of placement of the Letter of Award for the sale of the subject scrip. 5 EARNEST MONEY DEPOSIT The tender should be accompanied by a Crossed Demand Draft drawn in favour of Cochin Shipyard Limited. payable at Kochi, for a sum of Rs. 8,45,780 /-(Rupees Eight Lakh Fortyfive Thousand Seven Hundred and Eighty only) as Earnest Money Deposit to be refundable, except on withdrawal of the offer before decision and/or failure of the Tenderer to accept the contract, if awarded. The Demand Draft for Earnest Money Deposit must be enclosed with the Technical Offer only and the details should be indicated in Section IV of the Tender Documents at Part I. 6. FORFEITURE OF EARNEST MONEY DEPOSIT (EMD) The Earnest Money Deposit submitted with the tender shall stand forfeited in the event:- 6.1 The Tenderer withdraws his offer any time before the tender is finally considered/decided upon. 6.2 The Tenderer reduce the quoted price during the validity of the quotation/extension granted on the validity. 6.3 The Tenderer fails to accept the contract, if awarded. 6.4 The Tenderer fails to execute the contract, even after acceptance of the contract, as per terms and conditions stipulated in the Letter of Award/ Tender documents. 7. DISQUALIFICATION The tender is liable to be disqualified if: 7.1 t submitted in accordance with terms and conditions of the Tender Form. 7.2 t accompanied by Earnest Money Deposit in the form of Pay Order/ Demand Draft. 7.3 During validity of the quotation period or its extended period, if any, the Tenderer reduces his quoted price. 7.4 The Tenderer qualifies the Tender with his own conditions. 7.5 Tender received is in incomplete form. 7.6 Received after due date and time. 7.7 Information submitted in Offer is found to be incorrect or false at anytime either during the processing of the tender (no matter at what stage) or during the tenure of the contract including the extension period if any. 12

13 7.8 Multiple tenders being submitted by one Tenderer or if common interests are found in two or more Tenderers, all the Tenderers are liable to be disqualified. 7.9 While processing the tender documents, if it comes to the knowledge of CSL that some of the Tenderers have formed a cartel resulting in delay/holding up the processing of tender. All such Tenderers involved in cartel are liable to be disqualified for this contract as well as for a further period of two years Tenderers may please note that their performance during past contracts with Cochin Shipyard Limited and also if they had committed breach of contract etc. would be taken into account and it would be at CSL s sole discretion whether to consider such parties for award of the contract If any alteration is found in the tender document downloaded from CSL Website, the submitted tender is liable to be rejected Tenders which do not meet the technical pre-qualification requirements, as prescribed in SECTION III (Eligibility Criteria) and SECTION IV (BQC) above are liable to be rejected and decision of CSL in this regard shall be final and binding. 8 CSL reserves the right to decide about technical capability, expertise and/or the Tenderer s capacity for fulfillment/ compliance of all the terms and conditions spelt out in SECTION III (Eligibility Criteria) above. 9 The submission of a tender by a Tenderer implies that he has read these instructions and has made himself aware of the scope of work and the conditions of contract and CSL will not therefore, pay any extra charges on any account in case the Tenderer finds later on to have misjudged the conditions. 10 Ethical practice clause The Cochin Shipyard Limited (CSL), a premier commercial organisation, is committed to maintaining ethics of the highest standard and adopts best industry practices in all its activities. During the course of business, CSL transacts with various firms and companies in their capacity as bidders / vendors / contractors / agents, hereinafter, referred to as the Entity. CSL considers all its business dealings as a relationship and no relationship can be built on deceit or unethical conduct. CSL in all its business dealings endeavours to maintain fairness, transparency and it is expected that the other party to the deal will also uphold similar code of conduct. CSL reserves the right to (i) initiate action for Removal of an Entity from the approved list (ii) Suspension and (iii) Banning of an entity from doing business with CSL, for any good and sufficient reasons. 13

14 11 TERMINATION CLAUSE CSL reserves its right to terminate the contract for any reason at its absolute discretion including but not limited to the following: 11.1 If the Tenderer is adjudicated insolvent by a Competent Court or files for insolvency or if the Tenderer being a company is ordered to be wound up by Court of Competent Jurisdiction The Tenderer commits any breach of the terms of this contract/ tender document If any charge sheet is filed by a competent authority of the Government against the Tenderer or the company, or the Tenderer is convicted by a criminal court on grounds of moral turpitude If the Contractor is making default in the payment as stipulated in this Tender In the event of unsatisfactory service or failure on the part of the Tenderer at any time, to fulfill the terms and conditions of the contract to the satisfaction of CSL, of which CSL shall be the sole judge, CSL reserves the right to forthwith terminate the contract and in such case the loss/expenses, if any, suffered by the Company, the tender will be liable to pay such sums. In such case the initial payments made, if any, will also be forfeited The decision of CSL in terminating the contract will be final and binding on the Tenderer. 12 Force Majeure If the performance of both parties is delayed beyond the stipulated period as a result of outbreak of war, acts of God, fire, flood, accidents, earth quakes, strikes, riots or acts of nature or any situation which is beyond the control of both the parties, either party shall not be held responsible for such delay. CSL and the successful bidder shall immediately consult each other to determine the measures to be taken. 13 It is clearly understood by the Tenderer that if a charge sheet is filed by any competent authority of the Government against the Tenderer, the Tenderer is obliged to notify CSL within seven days of filing of the charge sheet. Failure to do so shall result in forfeiture of all payments made by the Tenderer. 14 If there is a change in the name of the Tenderer s firm/ company s etc. arising out of: i) merging with some other company or ii) collaboration with some other company or iii) for any other reason or, if any changes take place in the proprietorship or partnership of the Tenderer s firm, CSL should be intimated within 7 (Seven) days of such changes. Whatever be the reason of changes, the subject contract would be terminated unless the new 14

15 company/entity accepts the subject contract at the same rates, terms and conditions laid down herein and subject to acceptance of CSL. 15 EXIT CLAUSE CSL at its sole discretion can terminate the contract without assigning any reasons whatsoever by giving Seven (7) days notice to the Contractor. 16 JURISDICTION This agreement including all matters connected with this Tender/ contract shall be governed by the Indian Law both substantive and procedural, for the time being in force and shall be subject to the exclusive jurisdictions of Indian Courts at Kochi. 17 ARBITRATION Any dispute or difference whatsoever arising between the Parties out of or in relation to the construction, interpretation, application, meaning, scope, operation, performance or effect of this tender/ contract or the validity or breach thereof, there shall first be an attempt to mutually settle the same amicably. If however, the said settlement is not possible within a period of 30 days from the date of notice then such dispute shall thereafter be referred to a Sole Arbitrator, to be appointed/ nominated by CSL. The venue of the said Arbitration shall be at Kochi. And the provision of the Arbitration and Conciliation Act, 1996 shall apply to the said proceedings. The Award of the Arbitrator shall be final and binding upon both the parties. 18 DEFINITIONS 18.1 The terms CSL wherever used shall mean Cochin Shipyard Limited The term TENDERER, BIDDER shall mean and include the person, firm or a body corporate which is submitting its tender The term CONTRACTOR shall mean and include the person, firm or a body corporate with whom the Contract has been placed including their heirs, executors, administrators, successors and their permitted assigns, as the case may be WE AGREE TO ABIDE BY THE ABOVE TERMS AND CONDITIONS.
