1 International West Virginia District West Virginia District Board Meeting May 22, 2010 Minutes In Attendance: Christine Larch, Governor; Kevin Dean, Governor-elect; Jim McClung, Immediate Past Governor; Larissa Dean, District Secretary; Jan Shelburne, Lt. Governor, Division 7; Bernie Knott, International Trustee. 1. Call to Order 1.1. Governor Tina Larch called the meeting to order at 12:18 p.m Pledge of Allegiance 1.3. Invocation Bernie Knott 2. Reading of the Minutes 2.1. Minutes of the March 13, 2010 board meeting were read by District Secretary Larissa Dean and were approved by acclamation. 3. Treasurer s Report 3.1. The Treasurer s report was read by District Secretary Larissa Dean, in the absence of Treasurer Dave Fuller, who submitted the report in writing. The District currently has $21, in our account at the Bank of Charles Town and all bills are currently paid. All tax reporting to the State and IRS has been completed. 4. Board Reports 4.1. Division 1 Lt. Governor Janet Shelburne submitted the following report. The Wheeling club is coming along nicely with its evening Satellite club. There are currently 5 members and continued growth is expected. The club had to take 3 inactive members off the rolls. A membership drive is underway for the noon club. The Weirton club lost 10 members in March who they new would be coming off due to inactivity. As of April the club has already replaced 5 of those, with more expected. Moundsville, Chester, & Wellsburg are currently at the same membership as the end of last year, however it is expected th a t membership wil l finish the year in a growth position across the division. Weirton is in the process of forming an Aktion Club at the Hancock County Sheltered Workshop. The club is currently meeting with potential members and parents and is expected to be chartered before the end of the year. The club currently does 2 projects a year with them. I continue to be speaking with all clubs in division about growth.

2 West Virginia Kiwanis District May 22, 2010 Page 2 of Division 2 Lt. Governor Wayne Sanders submitted the following report. There are only 2 clubs in the division. North Parkersburg is doing well with 51 members. Their sponsored Key Clubs came and did appreciation meeting for the club. There were 75 total in attendance, including 4 from the Marshall Circle K, and Key Club parents. Key Club members ran the program, the Key club Lt. Governor installed officers for next year in 3 Key Clubs,, and Lt. Governor Wayne inducted 7 new Kiwanians. The Parkersburg club is faltering. It used to have members, but is now down to 10 people on books. However, only 4 people have paid and attend any meetings. North Parkersburg has interclubbed with the club and Lt. Governor Wayne continues to dialog with the president. This club turns 90 years old this year and we do not want to lose the charter, but things are not going well. North Parkersburg has offered help. The District can t afford to lose the club or its 10 members. It is not believed that the club has the treasury to pay dues for those members as it has approached North Parkersburg recently to ask for help for one of its projects - $150 for graduation from adult education program. The club is a noon club which used to be made up of members from downtown businesses, most of which no longer exist. It does not engage in many projects; Boys & Girls clubs is one. The club now meets near school board office. Another option is to meet at a time other than noon Kevin Dean mentioned that without payment, the club will be suspended by the Kiwanis International Board at its October meeting Kevin Dean further explained the probable efforts toward a membership drive in Philippi in the summer and noted that a similar effort can be pursued for Parkersburg, and he offered to help with that initiative and will reach out to the club president Division 3 Lt. Governor James Swiger submitted the following report. Salem-Doddridge is up to 30 members now. The club is working on BUG & Terrific Kids at both elementary schools and is going to have a blood drive with Red Cross on Halloween. The Clarksburg club brought in 7 members, but on paper breaking even or a loss due to attrition. The Bridgeport club is going strong, and Suncrest remains strong and is growing. I need to visit White Hall and Fairmont. White Hall continues working to get defibrillators in all schools. I attended an informational meeting for rechartering Shinnston. Only 5 people were in attendance, but the chances look good for chartering. There are at least 15 known interested parties already. The club will most likely be chartered by end of September Kevin Dean mentioned the need to talk to Fairmont about having a Kiwanis PB&J event. They have 3 Key Clubs and could probably add several parents as Kiwanis members clubs will be 90 in Division 3 in 2010 Fairmont, Morgantown, and Clarksburg. Clubs should consider having a Governor s visit combined with celebration Division 5 Lt. Governor Gary Stickley submitted the following report. The Keyser evening club is adding one new member. The club finished up manning a concession stand at Potomac State College Flower & Garden show ( ) and is preparing for Strawberry Festival concession stand ( ). The club is planning for the July 3 rd Bluegrass Festival (Keyser High School and Fourth of July weekend activities) and is having a food handler s class for club and other organizations Having election of officers ( ) for A number of donations for end of school awards and events are given annually. The club hosted an annual community interclub banquet (Keyser Breakfast Kiwanis, Keyser Rotary, Keyser Lions, Fountain Ruritan), with each club giving $100 toward activities and supplies (DVD player, DVDs, other books, toys) for pediatric unit at the new Potomac Valley Hospital. The Potomac State Circle K has no members for next year, as most were sophomores. The club will have to be built from scratch next fall. There were several problems with officers after

3 West Virginia Kiwanis District May 22, 2010 Page 3 of 10 snow days at school th is year (tesignations) and no members attended Kiwanis meetings this year (evening classes/labs/work). The club is still trying to meet with the Keyser High School Key Club. It is not clear if the club has paid dues yet or not. Not good communications or response with their president or advisor this year, and they have sent no members to our meeting for two years. Keyser Primary/Middle School Builder Club seems to be doing OK and school is nearly out. Not a lot of communications, no members attend our meetings. Keyser Breakfast has a reading program (not RIF) at four elementary schools and one after school program. Books are furnished and the club reads to students and has students read. The club wrapped up a Mothers Day project and is preparing for its Fourth of July weekend run and walk. The club was told about its 990 form being due, and dues were sent out about due date. Petersburg has lost 5 members since beginning of year. The club continues Terrific Kids programs in several schools and is preparing for its concession stand at Tri-county Fair in August. This is their main fundraiser which raises $16,000 - $17,000 annually. It is usually is the weekend of district convention. It is all week long. They give out a scholarship at the close of school. I will try to make their meeting. The club has switched to noon meetings, which makes attendance challenging. We continue to pursue with them a possible satellite in Moorefield which is a growing community, and has new, large businesses Division 6 Trustee Bernie Knott mentioned that the Martinsburg and Charles Town clubs are growing. Shepherdstown recently added one member from a Key Club banquet, and it held its annual installation of new officers for its Key Club Division 7 Lt. Governor Buddy Fry submitted the following report. All clubs in the division are showing an increase in membership from last year, including Hinton. All clubs are functioning well also. Still need to schedule the Governor s visit. No progress has yet been made on rebuilding the Bluefield club. A Site Survey is required. Bluefield in Division 8, but geographically should be Division Past Governor Jim McClung asked if Princeton-Athens had worked with the Welch club on building Bluefield and asked if Lt. Governor Buddy had been in touch with Lt. Governor Gene Vandevander Governor-elect Kevin Dean mentioned that he had provided a roster of former Bluefield members to Lt. Governor Gene, as well as a Site Survey, and has offered to come down with Past Governor Jim McClung and help to build the club. There has not yet been any response from the Welch club Key Club The Key Club Administrator s report was read by District Secretary Larissa Dean, in the absence of District Administrator Richard Yurko, who submitted the report in writing. At the end of the administrative year, the West Virginia Key Club District had 55 clubs, 8 of which were listed as inactive and 4 listed as suspended. Total member count was 1,536. As of May 15, 2010, we have 55 clubs, 37 of which are listed as active, 11 as inactive, and 7 as suspended, with a total of 1,341 members. The suspended clubs are Big Creek, Cabell Midland, East Fairmont, Keyser, Philip Barbour, South Harrison, and Summersville. I expect that these suspended clubs will pay dues before October 1, 2010, before they are listed as inactive. The 11 inactive clubs are Bishop Donahue, Lincoln, Oak Hill, Poca, Robert C. Byrd, Spring Valley, St. Albans, Trinity, Tucker County, Tug Valley and Winfield. I expect that Lincoln and Robert C. Byrd will be reactivated. The remaining clubs have been inactive for several years. Since the mid-year conference, Governor David Ehrenberg attended the Carolinas District Key

4 West Virginia Kiwanis District May 22, 2010 Page 4 of 10 Club Convention. The West Virginia District Convention was held March at the Charleston Marriott. Our Keynote speaker at the Friday night opening session was supposed to be Congressman Nick Rahall, but legislative duties relating to the new health care bill prevented him from attending, although he sent a legislative aide. Hypnotist Steve Meade did an excellent job as our entertainment. Our charity event at convention was Heaven Sent Ministries, and the convention attendees put together food packets to send to underdeveloped countries. We had 188 total attendees, including 18 Kiwanians, 2 Circle K members, and 11 Builders Club members. Governor Tina and Governor-elect Kevin attended the convention. The new Key Club Governor is Philip Mickinac from Oak Glen High School in New Manchester, WV. The Oak Glen Key Club is sponsored by the Chester Kiwanis Club. We have 20 new board members, and the new board was trained in mid-april. We have a young board, with all of the executive officers juniors to be. The trainer went well, and initial indications are that this board will be successful. Philip and I attended the Governors and Administrators Training Conference in Indianapolis April 29 to May 2. Key Club International Convention is July 7 11 in Memphis, TN. The District Tour is July We will be bussing to Memphis, and visiting local attractions on the way to Memphis, while in Memphis, and on the way home. Cost of the trip is $950.00, and I ask that all Kiwanis clubs be receptive to requests to assists the attendees. We will have 38 attendees, including 5 adults, four of whom are Kiwanians. To date, the following clubs have made a contribution to Key Club Outreach: Weirton, Wellsburg, Suncrest Area, North Parkersburg, Huntington, Wheeling, Clarksburg, Bridgeport, Shepherdstown, and Moundsville. Circle K The Circle K report was read by District Secretary Larissa Dean, in the absence of District Administrator Greg Sheperd, who submitted the report in writing. I apologize for not being present at this board meeting. However, I have a 16 hour Emergency Medical Service Class spanning May 22 and 29. The 5 district matching scholarship recipients are: Jessica Henson (Concord) ; Christa Fry (Marshall); Grace Williams (WJU) ; Rita Targosky (Concord); Bethani Barsch (WJU) The WV District of CKI completed a District Officer Training over the weekend of May 15th at the Wheeling Kiwanis Club's Fresh Air Farm. During the 3 day event, the group stepped back, and took a strategic look at what progress they hope to make over the next three years. You'll note in their goals an increased emphasis on not only membership building, but also working close with other branches of the Kiwanis Family. There will be monthly face to face board meetings for all months starting now through March except December. We hope to establish a charter at WVU- Parkersburg. We have a supportive Kiwanis Club, and a CKI alumni that is looking to take on the role as a Kiwanis advisor. We also have a student with great promise of reactivating WVU - Morgantown. Both were in attendance at our DOTC. The students will be working toward finalizing the strategic plan, and budget to go with it at the next meeting in June. I believe Gov. Julie has sent the WV CKI calendar for the coming year to Gov. Elect Kevin Dean at his request.

Mission: The West Virginia District of Circle K International will strive to work cohesively with each other and with the Kiwanis-family to grow in strength and numbers, will use their passion to positively affect society, and will develop the potential of each member by instilling in them a love of service, by honing their leadership skills, and by providing opportunities to foster meaningful relationships. We have 97 members now, minus 27, due to Bethany and Potomac State starting from almost scratch, graduating members (5), and attrition (8 for WJU, 6 for Concord, 10 for Marshal l). We will start with 41 members in the Fall. To meet our goal we need to get 79 new members. Current Club Goals for New Members Bethany - 6 Concord - 11 Marshall - 17 Potomac State - 10 WJU - 15 New and Reactivated Club Goals for New Members WVU, a currently inactive club, is looking to add members. WVUP, a potential new club, wants to recruit a minimum of 15 members. Using the minimum numbers, our end of the year member total would be 135 members. This total is 15 over our year-end goal. Recruitment and Retention Plan: The Recruitment Committee will send out a recruitment packet for clubs before the first week of school. The Recruitment Committee will supply schools with display boards and recruitment supplies as needed and as requested by schools. The Recruitment Committee, along with other members of the district, will make recruitment trips to different schools as suggested by the District Board. The Recruitment Committee will send out a retention packet after the first few weeks of schools to help clubs retain their members. The Recruitment Committee will also publish at least a quarterly newsletter with tips on continued recruitment and retention. Service Goal 4500 Reported Service Hours 1 hour of service every 1.5 weeks per member Creating of a Service Committee Interclubs/Points of Contact: Definitions:

7 West Virginia Kiwanis District May 22, 2010 Page 7 of 10 Interclubs (from the CKI Policy Code) An interclub meeting is a meeting staged by two or more Circle K clubs (including clubs in formation), or by a Circle K club and any K-Kids, Builders Club, Key Club, Aktion Club, Kiwanis Junior or Kiwanis Club. Clubs with 20 or fewer members need a minimum of two members in attendance to constitute an interclub meeting. Clubs with members need three members and clubs with 31 or more members need at least four members in attendance. (10/06) Mileage shall be counted for interclub credit, not service hours. The total measure of an interclub shall be the round-trip mileage multiplied by the number of interclub participants. Mileage shall not be counted for less than two participants. Clubs may wish to keep a record of travel that does not qualify as an interclub and designate it as such on district monthly reports and achievement awards. (10/06) Time spent performing service with members of other Kiwanis-family clubs may be dually counted as interclub credit, if applicable, and as service hours. (9/00) Interclub credit shall be dually counted only when the visiting and hosting groups are performing service. (10/06) Point of Contact A CKI member going to another Kiwanis-family meeting An interclub without the member requirement. Interclubs/Points of Contact at District Events: If one club hosts a district event, e.g., Fall Retreat, DCON, and SpOT, the event may count as an interclub or point of contact by the other attending clubs in the district. The district will help encourage interclubs and points of contact by posting information about club events online via resources such as Facebook, Google Calendar, etc. The District Board will create a Kiwanis-family Relations Committee. Club POC goals for K family event- WJU 8, Bethany 7, Marshall 15, Concord 30, WVU 7, WVUP 4. Next Steps: Wait for committee reports to discuss more at the next board meeting. 5. District Conventions 5.1. Lt. Governor Jan Shelburne indicated that the 2010 convention info has been ed to all clubs and will be mailed to Presidents and Secretaries, and will be in the next Mountaineer Bulletin. $500 is left over from Mid-Year, so there are start up funds available. The next meeting of the convention committee is on June 15. Division 1 is hosting the convention and a budget has been developed. Clubs are expected to sell enough ads to pay for everything. A block of rooms has been reserved at the hotel. Early-bird registrations will be eligible for a drawing for a $50 rebate on convention Governor elect Kevin presented a proposal to have the 2011 convention at the Marriott in Charleston recognizing a need to move the convention from the northern part of the state. Because the Key Club convention has been held at this facility for the past years, we know the hotel well and it gives us good rates no room rental or set up fees, which saves us several hundred dollars. For August 12-14, 2011, we can have all meeting rooms. He successfully negotiated meal prices down to $30/$20/$19, but couldn t get below $100 for room it will be $101 plus tax, which is the same as this year for Holiday Inn at Weirton. West Charleston has agreed to host the convention and will handle registration, hospitality suites, door prizes, program ads, etc. Plans will be to attend a West Virginia Power baseball game on Friday night August 12. The proposal is to move the event back to 2 nd weekend in August. No contract has been signed pending approval of the Board. A motion was solicited.

8 West Virginia Kiwanis District May 22, 2010 Page 8 of Lt. Governor James Swiger so moved. Governor Tina seconded the motion. The motion passed unanimously Lt. Governor Buddy Fry proposed Pipestem for the 2012 convention and noted that scheduling Pipestem must be done far in advance. A motion was solicited to hold the 2012 convention at Pipestem and to informally secure the facility Lt. Governor Jan Shelburne so moved. Lt. Governor James Swiger seconded the motion. The motion passed unanimously Governor-elect Kevin Dean proposed holding the 2011 Mid-Year conference once again at the Bridgeport conference center. The Circle K board has not yet decided whether or not it will once again hold its district convention concurrently with th is event. Governor-elect Kevin has encouraged them to do so. A motion was solicited to approve the location for the 2011 Midyear Conference Lt. Governor Buddy Fry so moved. Lt. Governor Gary Stickley seconded the motion. The motion passed unanimously Governor-elect Kevin Dean noted that as of the date of the board meeting, no declared candidates have been announced for the office of Governor-elect for It was acknowledged that there is a need for candidates and it is not advisable to move into the convention in August without declared candidates. He asked each board member to solicit candidates. 6. International Convention Past Governor Jim McClung indicated there are 20 or 21 registered as of the date of the meeting. District Secretary Larissa Dean will send out yet another reminder to clubs to register before the deadline of May 25. There are currently only 11 confirmed registrations for the District Dinner at Tony-n-Tina s Wedding. Money for tickets must be paid during May. 7. International Foundation District Secretary Larissa Dean reviewed the status of per capita giving for the Kiwanis International Foundation and noted that we are significantly off last year s record level of giving. Governor-elect Kevin Dean reminded the board that the matching scholarship program has changed and although there were 10 scholarships last year because we exceeded $5.00 per capita giving, in the future, the maximum will be six, and at current levels, we would only receive three. 8. Growth Update 8.1. Growth Chair Kevin Dean announced that membership is at 1,016 as of May 1, which is still very much on the brink of losing our district status. War is growing significantly. He has committed to Philippi that he will help them get 20 new members before the end of the year if they will participate in an organized membership drive. He asked all board members to please continue to work on membership. Every single member counts. Recent good news is that rechartering the Shinnston club looks very possible. Problems remain with the potential to lose the charters of Parkersburg and West Huntington unless they pay their dues and successfully grow. The Suncrest Area club is proposing to assist the Morgantown club in a membership drive. Everyone needs to keep positive and upbeat in their communications, yet maintain our sense of urgency, and keep an eye on their numbers West Virginia has 7 clubs turning 90 in 2010: Moundsvil le, Parkersburg, Philippi, Will iamson, Morgantown, Fairmont, Clarksburg. Two are in dire straights, and 3 more are considered weak The district is thinking about a Young Professionals club in Charleston, and discussions continue with Beckley about sponsoring a club in Lewisburg. There has never been a Kiwanis club in Greenbrier County Lt. Governor Buddy Fry asked about a pending change to the bylaws to extend the waiver of district dues for first two years of membership for former sponsored youth. Governor-elect

9 West Virginia Kiwanis District May 22, 2010 Page 9 of 10 Kevin Dean noted that proposal is included in all of the proposed amendments to the district Bylaws, to be reviewed later in the meeting. 9. New Club Fees Trustee Bernie Knott reviewed the recent change from Kiwanis International wherein if a new club is chartered between April 1 and September 30, 2010, all international dues and fees are waived for the club s first year dues cycle. Beginning in 2011, that applies to clubs chartered between January 1 and September 30. This includes waiver of magazine fee/insurance and is a Policy change. The result is that a club formed this month would have 18 months before having to pay dues. A motion was solicited for the district to mirror the International policy Governor-elect Kevin Dean so moved. Lt. Governor Wayne Sanders seconded the motion. The motion passed unanimously. 10. Proposed Amendments to District Bylaws and Policies Governor-elect Kevin Dean reviewed the proposed Bylaw changes. Kiwanis International has reviewed the entire document and has approved the Bylaw changes, contingent on the Board s approval and the approval of the House of Delegates in August. Kiwanis International has also looked at policies, but does not require that policies conform to those of International. The changes to the Bylaws are either things that are out of date or things that are no longer practiced or are in practice and do not conform with the Bylaws One example is committees. The district had approximately 30 committees, but most of them are never filled and don t do anything. It was acknowledged that in this climate of the need for continued membership growth, it was important to focus only on necessary, critical committees Language has been added to allow for not-in-person meetings conference calls or video conference or on-line meetings. The board is currently prohibited from doing this Proposals must go out to the clubs 30 days before convention. There is a 60-day rule, but the first 30 days of that period is for Kiwanis International to review and approve the proposed changes, which has already been done. The proposed Bylaw changes will be to all presidents and secretaries, and if we do not have an address a hard copy will be mailed through the U.S. Postal Service. Cover information will not go into a lot of detail, but will present the amendment regarding the graduated new member fee separately so as not to put the procedural and housekeeping amendments in jeopardy over a potentia l ly problematic financial amendment, which was approved for submission at the March 13 board meeting Comments Lt. Governor Jan Shelburne would like to see West Virginia District Foundation added to list of committees similar to the International Foundation committee, which upon further review was noted not to be a committee. Foundations have their own independent boards. Don t need to address in district Bylaws Reviewed other proposed standing committees Discussed elimination of past Lt. Governor Committee. The decision was made to retain this committee Discussed Voting in Article VIII, Section 6. Decided to allow Past Lt. Governors to vote on behalf of absent clubs. Governor-elect Kevin noted that this change will have to be approved by Kiwanis International Nomination and election of offices Article X, Section (1)(c)(2) is a change to conform with the International Bylaws to require written submission and declaration of candidacy.

10 West Virginia Kiwanis District May 22, 2010 Page 10 of The section on divisional council meetings was originally proposed to be stricken because the district does not follow that requirement. However, International wouldn t let us strike it because it is part of the International Bylaws Past Governor Jim McClung asked to have the words in good standing inserted after the words chartered club, where appropriate. Governor-elect Kevin noted he would review that request with Kiwanis International Lt. Governor Gary Stickley moved to accept all the proposed changes with corrections cited above to retain the Past Lt. Governor Committee and to allow Lt. Governors to vote on behalf of absent clubs if duly certified. The motion was second by Lt. Governor Jan Shelburne. The motion passed unanimously. District Secretary Larissa Dean will send the proposal out to clubs as soon as the final language is approved by Kiwanis International, but no later than July Proposed changes to the District Policies were reviewed and it was noted that these do not need to be approved by the House of Delegates. They can be adopted by the Board only Policy 12, paragraph 18 was written by Governor-elect Kevin Dean to accommodate the new Kiwanis International Foundation Matching Scholarship Program procedures Discussion Policy 13 on convention sites was changed from requiring accommodation for a maximum of 200 to minimum of 200 attendees Lt. Governor Wayne Sanders reviewed 2 additional proposed changes. The first is to waive the convention registration fee during the first year a member is a Kiwanian, for only the first function attended (either Mid-Year or District Convention). This proposal was discussed and it was decided this should be done by application to the District Treasurer for a rebate. The second additional proposed change was determined to be a convention procedure as opposed to a policy change, which encouraged having a new member orientation. Closing Remarks by Governor Tina Larch Governor Tina thanked Governor-elect Kevin Dean for drafting the Strategic Plan and working to amend the district Bylaws Governor Tina thanked District Secretary Larissa Dean for serving between January and June and reminded the board that Trustee Bernie Knott would resume his former position as District Secretary on July Governor Tina thanked all Lt. Governors for serving and encouraged everyone to attend the district convention in August and reminded the board of the need to assist in identifying candidates for the position of Governor-elect. 13.
