17 CITY OF SOUTH MIAMI OFFICE OF THE CITY MANAGER M E M O R A N D U M TO: FROM: The Honorable Mayor & Members of the City Commission Steven Alexander DATE: June 5, 2018 SUBJECT: Managers Report The PTP Program is administered by the Citizens' Independent Transportation Trust (CITT), who has the Audit And Management Services Department perform audits of the program. In its Review called the Final Audit Report the County Auditor stated that Overall, we are pleased with the corrective actions planned, and thus the audit has been closed. Miami-Dade Mosquito Control staff will be conducting bi-weekly larvicide treatments by truck in South Miami (Sunset Drive Area) starting June 11 th. This treatment is strictly proactive and not in response to any immediate treat regarding Zika or any mosquito borne disease. The start time will be in the early morning hours, between 1:00am and 5:00am. We expect to continue bi-weekly treatments until further notice. The PAL program Track Team competed in the Atlantic Coast Youth Track & Field competition, last Friday night. Out of 41 teams they came in 3 rd place. This is the 3 rd year Officer Marcus Kinlaw has been coaching the kids who are all South Miami kids and they did a great job at the competition. the trophy is here tonight John s the Audio/visual desk. We met with the FOP last month in an effort to close out the negotiations on their new contract. Although the meeting was received better than previous negotiation sessions, we left with the agreement that they would contact us, maybe even that same day 17

As you are aware we have offered significant raises for our police since January, but, we have not received any positive comments from them on the proposed increases in salary. On behalf of Fellowship Church we received a formal request from one of their attorneys requesting that the hearing for Fellowship Church rezoning be deferred from the June 19 th Commission meeting to the August 7 th Commission meeting. South Miami has received 160 points, in the SolSmart program eligibility review which qualifies for Bronze designation! This should be seen as an indicator of the City s commitment to making it faster, cheaper and easier to go solar. This designation is in recognition of all the hard work and leadership our community has shown to reduce soft costs and barriers to going solar. 18

A Resolution approving, and authorizing the City Manager to pay, the invoice of George Lott, Esquire, for title research and drafting of an Opinion of Title required by Miami-Dade County Water & Sewer Department ( WASA ) for the construction of sewer infrastructure, including a pumping station, for 205 single-family homes. WHEREAS, the City desired to increase its sewer connections and provide sewers to approximately 205 additional single-family residences; and WHEREAS, in order to install additional sewer lines and connect to the Miami- Dade County sewer system, the City is required to designed, constructed and installed all of the necessary sewer facilities. These facilities included gravity sewer mains, laterals, manholes, sewer force mains, sewage pumping station and equipment; and WHEREAS, all of the installations are required to be deeded to the County and therefore the County requires that the City provide an Opinion of Title as to all parts of the City where the sewer pipes, force mains, and pumping stations and equipment are to be installed; and WHEREAS, the City Attorney contacted George Lott, a real estate attorney, to provide the Opinion of Title to all the properties that are anticipated to contain all of the pipe, pumping station and other equipment needed for the 205 homes. Two largest title companies in Miami-Dade County, Attorney's Title and National Title, were contacted for the preparation of a title report for examination by the title attorney in order to prepare the Opinion of Title required by WASA. However, because of the nature of the project, Attorney s Title was not able to prepare a report and National Title's time frame for a report was 4 to 5 months, at a cost of over $10,000.00, which would not have included the attorney's fees involved in review of the report and preparation of the Opinion of Title. The City also had a deadline with WASA for the delivery of the Opinion of Title in order to timely enter into the Water and Sewer Agreement with WASA, which National Title could not meet. Thus, the City s title attorney had to personally locate and examined all of the relevant documents in the public records which were needed to issue the Opinion of Title to WASA; and WHEREAS, the title work initially was anticipated to cost less than $5,000 but as time went on the scope of the work became more arduous than anticipated; and WHEREAS, the Opinion of Title was timely prepared and the City thus able to entered into the Water and Sewer Agreement with WASA before the proposed agreement expired; and WHEREAS, Mr. Lott has submitted a bill in the amount of $11, for the time that he spent researching the title to all of the properties in question and drafting his Opinion of Title. The time expended and his hourly rate are reasonable and a copy of Page 1 of 2 46

47 his billing, his letter explaining the difficulty of the work and the letter of National Title are attached; and WHEREAS, Mr. Lott s invoice will be paid from Account number Engineering & Construction Capital Outlay before the payment of this invoice which as a balance of $1,006,320 at the time of drafting this resolution. NOW THEREFORE, BE IT RESOLVED BY THE MAYOR AND CITY COMMISSIONERS OF THE CITY OF SOUTH MIAMI, FLORIDA: Section 1. 67 RESOLUTION NO. A Resolution of the Mayor and City Commission for the City of South Miami encouraging Miami-Dade County Board of County Commissioners to ban plastic straws or restrict their use. WHEREAS, the straw in the average glass of water served in a restaurant will be used for just a few minutes, but in the environment, it can last more than several lifetimes; and WHEREAS, wax paper straws wrapped in plastic were successfully used for many decades before the invention of single use plastic straws; and WHEREAS, plastic straws, though small, cause serious harm to our environment for a number of reasons: it easily finds its way into our waterways due to its lightweight nature, it doesn t biodegrade, but instead it fragments into smaller pieces which are frequently mistaken for food by marine animals, and it can t be recycled; and WHEREAS, the harmful effects of the unmitigated use of plastic straws and other plastic products are currently being seen in our environment and, once in the environment, plastic enters our food chain where, increasingly, microplastic particles are turning up in our stomachs, blood and lungs the effects of which are only beginning to be studied; and WHEREAS, a recent article in National Geographic stated that: One million seabirds and 100,000 marine mammals are killed annually by plastic in our oceans. Forty-four percent of all seabird species, 22 percent of whales and dolphins, all sea turtle species, and a growing list of fish species have been documented with plastic in or around their bodies. 1 ; and WHEREAS, British Prime Minister, Theresa May, was quoted in a BBC article on April 19, 2018, saying that plastic waste was one of the greatest environmental challenges facing the world 2 ; and WHEREAS, the United Kingdom is part of the growing list of countries that have banned or will be banning single-use plastics such as plastic straws; and WHEREAS, according to a June 5, 2018 article in The Guardian, current projections show that global plastic production will skyrocket in the next years. This year alone, manufacturers will produce an estimated 360m tonnes. With a booming population driving demand, production is expected to reach 500m by 2025 and a staggering 619m tonnes by ; and WHEREAS, we are so dependent on plastic in our everyday lives and it will take a movement, a shift in mindset to tackle this problem; and Page 1 of 2 67

68 WHEREAS, we each have a part to play in curbing our plastic consumption: individually, we can act as responsible and informed consumers, the private sector can adopt business practices that reflect environmental responsibility, and governments can enact policies that mandate the responsible production and use of plastics; and WHEREAS, it is time for Miami-Dade County to take a first-step towards action and ban plastic straws. NOW, THEREFORE, BE IT RESOLVED BY THE MAYOR AND CITY COMMISSION OF THE CITY OF SOUTH MIAMI, FLORIDA THAT: Section 1. This software is in compliance with F.S. 553 mandating that as of October 1, 2017 all building jurisdictions in the State of Florida must keep electronic records available to the public. The acquisition of two additional modules: itrakit Inspect and itrakit Code to be used by the Building Department and the Code Enforcement Division will further enhance and increase efficiency related to critical on-site data entry during daily field inspections routinely conducted by staff from these organizations. A Resolution of the City of South Miami, Florida, ratifying the correction to Resolution No for the placing of a question on the August 28, 2018, primary election ballot seeking voter approval of an amendment to the City s Charter, Article II, Section 6D, reducing voting requirements needed to amend land use and development regulations in certain commercial, industrial, and mixed-use areas near the South Miami Metrorail Station. WHEREAS, it is possible to selectively change voting requirements for a portion of the Transit Oriented Development District, the Light Industrial District, and Hometown Overlay District and not change the 5-of-5 voting requirement for all single family residential neighborhoods in the City; and WHEREAS, businesses located in the Transit Oriented Development District, the Light Industrial District, and Hometown Overlay District generate far more of the City s revenues than all of the single family residential neighborhoods combined; and WHEREAS, the City Commissioners desire to have a ballot question submitted to the electorate for a Charter amendment that will encourage policies to revitalize the City s Commercial Core (see Attachment A) located in the Transit Oriented Development District, the Light Industrial District and the Hometown Overlay Districts; and WHEREAS, the City Commission has identified the City s Transit Oriented Development District, the Light Industrial District and the Hometown Overlay Districts as the City s Commercial Core and set the boundaries (Attachment A) of the Commercial Core by Resolution ; and WHEREAS, the City Charter s use of the phrase less restrictive in Article II, section 6D(1) has proven to be confusing, ambiguous, and problematic for the City s administration of its land use and land development regulations as well as for residents and property owners within the City. WHEREAS, the election department found that the words land use/development regulations are treated by the election department as four word, whereas the word counting program in MS Word program treats them as three words; and WHEREAS, the title to a ballot question is limited to 15 words and the election department s word count, based on its interpretation of the words land use/development regulations, was 16 words; and Page 1 of 5 94

95 WHEREAS, City, with the advice of its City Attorney, corrected this scrivener s error by striking the word all in the ballot title to reduce the word count to 15 words. NOW, THEREFORE, BE IT RESOLVED BY THE MAYOR AND CITY COMMISSION OF THE CITY OF SOUTH MIAMI, FLORIDA: Section 1. A question shall be placed on the ballot for the August, 2018 primary election to submit a ballot question to the qualified electors as set forth below. Section 2. Notice of such election shall be published in accordance with the election laws. Section 3. The result of such election shall be determined by a majority of the qualified electors of the City of South Miami voting upon the referendum at the August, 2018 primary election. All qualified electors of the City of South Miami shall be entitled to vote at said election. The question shall appear on the ballot in substantially the following form: TITLE: Establishment of 4/5 majority Commission voting requirements for land use/development regulations in certain areas. BALLOT QUESTION Shall Charter Article II, section 6.D.1. (requiring unanimous voting for some land use and development regulations) be amended to enable the City Commission by 4/5 majority vote to change land use and development regulations in certain commercial, industrial, and mixed-use areas near the South Miami Metrorail Station, the Commercial Core as further described in Resolution YES NO Section 4. The form of the ballot shall be in accordance with the requirements of general election laws. Section 5. Early voting shall be conducted in accordance with the requirements of general election laws. Section 6. Vote-by-mail ballot may be used by qualified electors of the City of South Miami for voting on this question. The form of such absentee ballot shall be in accordance with the requirements prescribed by general election laws. Page 2 of 5 95

A sample ballot showing the manner in which the question or proposal aforesaid will appear at this election shall be published and provided in accordance with the applicable provisions of general election laws. Section 8. This election on the proposal aforesaid shall be held and conducted in accordance with applicable provisions of the general laws relating to elections and the provisions of the Miami-Dade County Home Rule Charter. The City Manager or the Manager s designee, the Finance Director, and the City Clerk are hereby authorized and directed to take all appropriate actions necessary to carry into effect and accomplish the provisions of this resolution. In addition, the City Clerk may mail a copy of this resolution to all of the persons who are registered to vote in the election. Section 9. If the ballot question is answered in the affirmative by the requisite number of voters, Subsection D of SECTION 6. titled Ordinances of Article II of the City Charter shall be amended as follows: D. Voting Procedure. Voting shall be by roll call. The yeas and nays shall be recorded individually in the minutes of each meeting. No Commission member shall be excused from voting as required by law. 1. Requirements for Adoption. All resolutions or ordinances shall be adopted by no less than three affirmative votes of the City Commission. Except as otherwise provided in this Charter, four affirmative votes of the City Commission shall be required in the following instances: To issue bonds or borrow money To grant, renew or amend any lease or franchises To transfer title to property To appropriate or expend non-budgeted funds To approve an initiatory ordinance pursuant to Article V To amend land use and development regulations in any manner in the City s Commercial Core which is defined as the area encompassed by the following roadways: from the point of beginning at SW 62nd Avenue and US1, then north on SW 62 nd Avenue to SW 69th Street, then east to SW 59th Place, then north to SW 68th Street, then east to SW 57th Avenue, then south to SW 74th Street, then west to SW 61st Avenue, then west to US1, then southwest on US1 to the point of beginning. Except as otherwise provided in this ccharter, five affirmative votes of the ccity ccommission shall be required to approve the actions indicated below: Page 3 of 5 96

To issue bonds or borrow money in excess of five percent of the ccity s current operating budget. Section 10. Severability: If any section clause, sentence, or phrase of this resolution is for any reason held invalid or unconstitutional by a court of competent jurisdiction, the holding shall not affect the validity of the remaining portions of this resolution. Section 11. Effective Date: This resolution shall become effective immediately upon adoption by vote of the City Commission and, if approved by the electorate, the amendment to the City Charter shall become effective ten (10) days following the date of the election held for its approval. Upon adoption of this resolution, this resolution shall ratify the correction to Resolution as submitted to the elections department. In an effort to continue the routine maintenance partnership, Miami Dade County has submitted the attached agreement to maintaining the City s Ludlam Glades and Broad Canals Systems. However, if it is not feasible to perform Mechanical Harvesting due to limited access to body of water or if this method proves ineffective in controlling aquatic plants growth, the County will use Herbicide Treatment to ensure the necessary flow in the water body. The projected cost to the City of managing this expanded coverage area with Herbicide Treatment is projected to be approximately $140,000. 103 1 RESOLUTION NO A Resolution authorizing the City Manager to enter into a multi-year Interlocal Agreement with Miami Dade County for canal maintenance for the Ludlam Glades and Broad Canals for an amount not to exceed $220,290 annually. WHEREAS, the Mayor and City Commission wish to provide canal maintenance along the Miami Dade County canal (Ludlum Glades and Broad Canals); and WHEREAS, an Interlocal Agreement has been created between Miami Dade County and the City of South Miami for the purpose of sharing the cost for the maintenance; and WHEREAS, Miami Dade County shall provide canal maintenance services as set forth in the Interlocal Agreement for the Ludlam Glades, from SW 52 nd Street to SW 80 th Street, and Broad Canal the South side of SW 58 th Street culvert to SW 62 th Street; and WHEREAS, the total annual expenditure, including the mechanical harvesting amount, shall not exceed $220,290; and WHEREAS, the Mayor and City Commission desire to authorize the City Manager to enter into a Agreement with Miami Dade County for routine canal maintenance for the Ludlam Glades and Broad Canals and to provide a funding source. NOW THEREFORE BE IT RESOLVED BY THE MAYOR AND CITY COMMISSION OF THE CITY OF SOUTH MIAMI, FLORIDA THAT; Section 1. 106 STORMWATER MANAGEMENT INTERLOCAL AGREEMENT BETWEEN THE CITY OF SOUTH MIAMI (CITY) AND THE MIAMI-DADE COUNTY STORMWATER UTILITY (UTILITY) THIS INTERLOCAL AGREEMENT, [the "Agreement"] by and between the Miami- Dade County Stormwater Utility, a public body corporate and politic, through its governing body, the Board of County Commissioners of Miami-Dade County, Florida [hereinafter sometimes referred to as "UTILITY",] and the City of South Miami, a Florida Municipal Corporation, through its governing body, the South Miami City Commission of the City of South Miami, Florida [hereinafter sometimes referred to as "CITY",] is entered into as follows: WITNESSETH WHEREAS, Section , Florida Statutes (F.S.), authorizes the establishment of stormwater utilities to plan, construct, operate, and maintain stormwater management systems; and WHEREAS, the Board of County Commissioners of Miami-Dade County, did, by adoption of Miami-Dade County Ordinances No and Ordinance No , as amended by Ordinance Nos and 92-86, create a stormwater utility [hereinafter referred to as the "UTILITY"], and which UTILITY may operate within a municipality or municipalities; and WHEREAS, it is the intent of the UTILITY and the CITY, through this Agreement, to establish relationships and responsibilities for the maintenance of shared stormwater systems by the CITY and the UTILITY; and WHEREAS, the UTILITY and the CITY recognize that there are operating costs, as well as benefits, associated with maintaining shared stormwater drainage systems; and WHEREAS, the UTILITY and the CITY want to share these costs in proportion to the drainage area, the service provided, and the benefits received, Now, therefore, in consideration of the mutual promises and covenants contained herein and the mutual benefits to be derived from this Agreement, the parties hereto agree as follows: of 11

107 ARTICLE I PURPOSES The UTILITY and the CITY enter into this Agreement to further the following purposes: (1) to protect and promote the public health, safety, and general welfare through the management of stormwater run-off; (2) to maintain and improve water quality and preserve and enhance the environmental quality of the receiving waters; (3) to control flooding that results from rainfall events; (4) to deter unmanaged rainwater from eroding sandy soils and causing sedimentation; (5) to help preserve the habitat of aquatic plants and animals; (6) to promote intergovernmental cooperation in effectively and efficiently managing stormwater run-off; (7) to maintain and repair shared stormwater systems located within the limits of the drainage service areas in accordance with the approved plans. These include maintaining canals, and any required maintenance of flow control structures and stormwater pump stations and their mechanical and electrical components; maintaining stormwater systems as determined by conditions of the system, prevailing environmental conditions, and the level of service established. (8) to provide a mechanism for the UTILITY and the CITY to share and allocate the cost of maintaining and repairing shared stormwater drainage systems as stated in (7), above. ARTICLE II DEFINITIONS Agreement shall mean this document, including any written amendments, attachments, and other written documents, which are expressly incorporated by reference. Stormwater Management Plans shall mean stormwater management plans developed by both the CITY and by the UTILITY, to meet the required level of service as established in their respective stormwater management programs or master plan pursuant to Florida Statute CITY Stormwater Utility Budget shall mean the CITY s developed and approved fiscal year budget which includes a component for stormwater management of its drainage system, including capital and operating outlays necessary to maintain the level of service established in the CITY s Stormwater Management Plans of 11

108 Utility Stormwater Budget shall mean the UTILITY s developed and approved fiscal year budget for stormwater management of its drainage system, including capital and operating outlays necessary to maintain the level of service established in the Utility s Approved Plans. Shared Stormwater Drainage System shall mean that portion of the drainage system owned by either the CITY or the UTILITY to which both the CITY and the UTILITY contribute stormwater runoff and which is further identified in Attachment A. Costs allocable to the CITY shall mean those portions of the actual maintenance and operating outlays budgeted by the UTILITY in its yearly budget process, which are allocated to the CITY based on the CITY s relative stormwater runoff contribution to the shared portion of the stormwater drainage system of the UTILITY. Costs allocable to the Utility shall mean those portions of the actual maintenance and operating outlays budgeted by the CITY in its yearly budget process, which are allocated to the UTILITY based on the UTILITY s relative stormwater runoff contribution to the shared portion of the stormwater drainage system of the CITY. Operating Outlays shall mean expenses budgeted by the CITY and the UTILITY which are actual expenses incurred in each fiscal year, which due to their nature are considered reoccurring expenses to sustain yearly stormwater drainage operations. Capital Outlays shall mean expenses budgeted by the CITY and the UTILITY which are actual expenses incurred in each fiscal year, which due to their nature are considered nonreoccurring and producing a long term benefit to the users. The yearly charges allocable to the CITY or to the UTILITY shall be that amount prorated, plus interest charges and administrative fees, for no longer than the calculated useful life of the capitalized item in no case exceeding 20 years. A separate Interlocal Agreement is required for any approved Capital Outlays that may be amortized beyond the life of this Agreement. Fiscal Year shall mean the period beginning on October 1 and ending on September 30 of the following year. Force Majeure shall mean an act of God, epidemic, lightning, earthquake, fire, explosion, hurricane, flood or similar occurrence, strike, an act of a public enemy, or blockade, insurrection, riot, general arrest or restraint of government and people, civil disturbance or similar occurrence, which has had or may reasonably be expected to have a material adverse effect on the rights or obligations under this Agreement, and which, by the exercise of due diligence, such parties shall not have been able to avoid. Such acts or events DO NOT INCLUDE inclement weather (except as noted above) or the acts or omissions of subcontractors, third-party contractors, material men, suppliers, or their subcontractors, unless such acts or omissions are otherwise encompassed by the definition set forth above. Maintenance is defined by, and limited to, the tasks listed in the Attachment B or other related stormwater drainage tasks agreed to by both parties Project Managers. Project Manager shall mean the persons designated by the CITY and by the UTILITY to serve as the representative of each for the purposes of exchanging communications and to issue and receive directives pursuant to and within the powers provided under this Agreement of 11

109 Written notice shall mean written communication between the Project Managers. ARTICLE III STATEMENT OF WORK The CITY AND the UTILITY shall fully and timely perform all work tasks described in this Statement of Work: The CITY shall maintain and repair shared stormwater systems located within the limits of the drainage service areas in accordance with this Agreement and the CITY s stormwater management plan. The CITY shall be responsible for maintaining aesthetic conditions only on canals and other water bodies within the CITY s boundary by providing for litter and minor debris removal as needed, and at no cost to the County. The UTILITY shall maintain, repair, and enhance shared stormwater management systems located within the limits of the drainage service areas in accordance with Attachment A and Attachment B. The CITY s relative stormwater runoff contribution to the UTILITY s shared drainage system and the UTILITY s relative stormwater runoff contribution to the shared drainage system is depicted in Attachment A. ARTICLE IV TERM OF THE AGREEMENT This Agreement shall commence on March 1, 2018 and end on September 30, 2020, provided however, either party may terminate this Agreement without cause prior to the expiration date upon one (1) year s advance written notice to the other party of its decision to terminate this Agreement. Upon mutual written consent of the parties, this Agreement may be extended for a term of two (2) additional years, from October 1, 2020 to September 30, ARTICLE V CITY AND UTILITY RESPONSIBILITIES A. Upon the request of either the CITY or the UTILITY, each shall share information in matters related to operations, maintenance, design and construction costs and cost allocation determinations associated with shared drainage systems. B. The CITY and the UTILITY shall provide notice to each other, as provided, in this Agreement designating their respective Project Manager. Each shall promptly notify each other of any change in the Project Manager designation by written notice as specified in this Agreement of 11

110 C. Commencing with Fiscal Year 2018, and after approval of the Agreement, the costs allocable to the CITY and the costs allocable to the UTILITY based on the relative stormwater runoff contribution to each other s shared portion of the stormwater drainage systems are included in this Agreement and presented as described in Attachment B. Estimated total expenditures for the term of this Agreement are also included and shall not be exceeded. D. The tasks and levels of service set forth in Attachment B may be adjusted by the UTILITY with prior notice to the CITY due to prevailing environmental conditions, maintenance needs, or ownership, provided that the total annual estimated expenditures are not exceeded. The CITY may also request modifications to the tasks or level of services set forth in Attachment B. Any such work requested by the CITY shall commence within reasonable time after the request has been made to the UTILITY. If the tasks and level of service must be adjusted in such a manner that the annual estimated expenditure will be exceeded in any given year, then prior written approval by both parties Project Managers must be obtained. However, the total five-year cost of the Agreement shall not be exceeded. E. Payments by the CITY are to be made within 30 days after the bill presentation. In the event of a dispute on the billed amount, the CITY may notify the UTILITY of the nature of the dispute and the UTILITY shall make arrangements for the pertinent records to be made available for inspection by the CITY, as indicated under Article V (H) of this Agreement. Upon resolution of the dispute, payments by the CITY are to be made within 30 days. In the event of an overpayment by the CITY, the UTILITY shall reimburse the CITY within 30 days after verification of the overpayment by the UTILITY. F. The CITY and the UTILITY shall maintain financial records pertaining to this Agreement for five (5) years after the expiration of this Agreement, and shall make them available for inspection and copying at the place where the records are maintained within a reasonable time after receiving a records request. G. The CITY and the UTILITY shall each be responsible for procuring independently all necessary permits in the performance of their respective work under this Agreement. H. The CITY and the UTILITY shall each comply with all applicable regulations, ordinances and laws in effect in the performance of this Agreement. I. If requested, the UTILITY will provide a tentative yearly maintenance schedule at the beginning of each fiscal year. As an update to the yearly maintenance schedule, the UTILITY will coordinate (via or telephone) with the CITY within 48 hours prior to commencing work in the CITY. The UTILITY contact for maintenance activities will be the Chief of Miami- Dade County Department of Transportation and Public Works Road, Bridge, and Canal Maintenance Division of 11

111 ARTICLE VI NO THIRD PARTY BENEFICIARIES OR OTHER PARTIES TO THE AGREEMENT A. It is the intent and understanding of the parties that this Agreement is solely for the CITY and the UTILITY. No person or entity other than the CITY or the UTILITY shall have any rights or privileges under this Agreement in any capacity whatsoever, either as a third-party beneficiary or otherwise. B. Nothing in this Agreement expressed or implied is intended to confer upon any person other than the parties hereto any rights or remedies under or by reasons of this Agreement. CITY Event of Default ARTICLE VII DEFAULT Without limitation, the failure by the CITY to substantially fulfill any of its material obligations in accordance with this Agreement, unless such failures are justified by Force Majeure, shall constitute a "CITY event of default". The UTILITY shall not be required to provide one year prior notice as required under Article IV before terminating this Agreement for default. If the UTILITY determines that a CITY event of default has occurred, the UTILITY shall provide written notice of such default to the CITY and allow the CITY a thirty (30) calendar day period to rectify the CITY event of default. In the event that the UTILITY determines that the CITY event of default has not been rectified, the UTILITY shall have the right to terminate the Agreement with the following cumulative and independent rights and remedies: 1. The right to declare that this Agreement together with all rights granted to the CITY are terminated, effective upon such date as is designated by the UTILITY. 2. Any and all rights and remedies provided under federal laws and the laws of the State of Florida. ARTICLE VIII GOVERNING LAW This Agreement shall be governed by and construed in accordance with the laws of the State of Florida. The UTILITY and the CITY agree to submit to service of process and jurisdiction of the State of Florida for any controversy or claim arising out of or relating to this Agreement or a breach of this Agreement. Venue for any court action between the parties for any such controversy arising from or related to this Agreement shall be in the Eleventh Judicial Circuit in and for Miami-Dade County, Florida, or in the United States District Court for the Southern District of Florida, in Miami-Dade County, Florida. ARTICLE IX ENTIRETY OF AGREEMENT The parties agree that there are no commitments, agreements, or understandings concerning the subject matter of this Agreement that are not contained in this Agreement, and that this Agreement contains the entire agreement between the parties as to all matters contained herein. Accordingly, it is agreed that no deviation from the terms hereof shall be predicated upon any prior representations or agreements, whether oral or written. It is further agreed that any oral representations or modifications concerning this Agreement shall be of no force or effect, and that this Agreement may be modified, altered or amended only by a written amendment duly executed by both parties hereto or their authorized representatives. ARTICLE X HEADINGS Captions and headings in this Agreement are for ease of reference only and do not constitute a part of this Agreement and shall not affect the meaning or interpretation of any provisions herein. ARTICLE XIII REPRESENTATION OF UTILITY The UTILITY represents that this Agreement has been duly approved, executed and delivered by the Board of County Commissioners, as the governing body of the UTILITY, and it has granted the Miami-Dade County Mayor or the Mayor's Designee the required power and authority to perform this Agreement. ARTICLE XIV WAIVER There shall be no waiver of any right related to this Agreement unless in writing and signed by the party waiving such right. No delay or failure to exercise a right under this Agreement shall impair such right or shall be construed to be a waiver thereof. Any waiver shall be limited to the particular right so waived and shall not be deemed a waiver of the same right at a later time or of any other right under this Agreement. ARTICLE XV INVALIDITY OF PROVISIONS, SEVERABILITY Wherever possible, each provision of this Agreement shall be interpreted in such manner as to be effective and valid under applicable law, but if any provision of this Agreement shall be prohibited or invalid under applicable law, such provision shall be ineffective to the extent of such prohibition or invalidity, without invalidating the remainder of such provision or the remaining provisions of this Agreement, provided that the material purposes of this Agreement can be determined and effectuated. ARTICLE XVI INDEPENDENT CONTRACTOR The CITY shall perform all work and services described herein as an independent contractor and not as an officer, agent, servant, or employee of the UTILITY. CITY shall have control of the work performed in accordance with the terms of this Agreement and of all persons of 11

Nothing in this Agreement shall be construed as creating a partnership or joint venture between the UTILITY and the CITY. ARTICLE XVII INDEMNIFICATION The CITY shall indemnify and hold harmless the UTILITY and its officers, employees, agents and instrumentalities from any and all liability, losses or damages, including attorney s fees and costs of defense, which the UTILITY or its officers, employees, agents or instrumentalities may incur as a result of claims, demands, suits, causes of actions or proceedings of any kind or nature arising out of, relating to or resulting from the performance of this Agreement by the CITY or its employees, agents, servants, partners, principals or subcontractors. CITY shall pay all claims and losses in connection therewith and shall investigate and defend all claims, suits or actions of any kind or nature in the name of the UTILITY, where applicable, including appellate proceedings, and shall pay all costs, judgements and attorney s fees which may issue thereon. Provided, however, this indemnification shall only be to the extent and within the limitations of Section Fla. Stat., subject to the provisions of that Statute whereby the CITY shall not be held liable to pay a personal injury or property damage claim or judgement by any one person which exceeds the sum of $200,000, or any claim or judgement or portions thereof, which, when totaled with all other claims or judgement paid by the CITY arising out of the same incident or occurrence, exceed the sum of $300,000 from any and all personal injury or property damage claims, liabilities, losses or causes of action which may arise as a result of the negligence of the CITY. The UTILITY does hereby agree to indemnify and hold harmless the CITY to the extent and within the limitations of Section Fla. Stat., subject to the provisions of that Statute whereby the UTILITY shall not be held liable to pay a personal injury or property damage claim or judgement by any one person which exceeds the sum of $200,000, or any claim or judgements or portions thereof, which, when totaled with all other occurrence, exceeds the sum of $300,000 from any and all personal injury or property damage claims, liabilities, losses and causes of action which may arise solely as a result of the negligence of the UTILITY. However, nothing herein shall be deemed to indemnify the CITY from any liability or claim arising out of the negligent performance or failure of performance of the CITY or any unrelated third party of 11

BACKGROUND: On Tuesday, April 14, 2015, the City Commission had approved of a resolution amending the City of South Miami ( CSM ) Pay Plan to facilitate an in-house City tennis program. In December of 2015, the City s Parks and Recreation Department officially brought the operations and maintenance of this program and associated facility in-house in order to deliver exceptional customer service, quality programs and facility improvements that the community expected and deserved. The Parks and Recreation Department ( department ) had proposed using the existing fee schedule from the previous Operating Contractor in an effort to retain existing customers and to simplify the transition process. At the May 17, 2016 City Commission meeting, the Mayor and Commission adopted the City s Schedule of Fees and Fines, which included new tennis fees such as court rentals, camps, afterschool program, clinics, private lessons, and tournaments at Dante Fascell Park tennis facility. Two (2) years later, the department is proposing revisions to the tennis fee schedule summarized on the following pages. 126

On average, residents pay approximately $5.60 per hour and non-residents pay $7.00 per hour to reserve a clay court. The City s closest competitor, Salvador Tennis Center in Coral Gables, charges $4.60 court rental fee per hour for all residents of Miami-Dade County whereas the City of South Miami currently charges $5.00 to its residents. Moreover, the City currently charges $8.00 or roughly $1.00 more to reserve the courts by non-residents compared to local market rate. Said increases in camp fees will bring the City s rate closer to local market average while still maintaining its status as one of the most affordable and quality tennis camps in the area. Residents and non-resident are encouraged to register in advance for halfor full-day weekly camps. Drop-in patrons will pay a higher rate. TENNIS AFTER SCHOOL PROGRAM The Parks and Recreation Department conducted an evaluation for the after school program as illustrated below in Table E. On average, patrons pay approximately $22.00 dollars per hour for an afterschool tennis program. This is $2.00 dollars more than what the City currently charges. Adults are willing to pay more for clay courts because playing on clay courts reduces the risk of injury, clay is cooler, slower ball speeds, and clay courts are easier on the body, just to name a few. However, playing on clay courts is not an advantage for children so pricing needs to be set to compete with hard court facilities in our area as illustrated in Table E. Due to the proximity to Salvadore Tennis Center and the quality of instruction being delivered at Dante Fascell Park, staff recommends eliminating the hourly fee of $60 dollars and adding a 30-minute private class option for $35 dollars as outlined in below in Table H. The proposed fee is slightly above market rate but is competitive with our neighbor Salvadore Tennis Center ($34). Furthermore, a 60-minute class option is not needed as more patrons prefer a 30-minute session for reasons other than the price (i.e. sun exposure, limited physical condition). BACKGROUND: At the June 7, 2016 City Commission meeting, the Mayor and Commission reviewed the proposed revisions to the City's "Schedule of Fees and Fines." Membership descriptions/types such as teens, adults, South Miami business owners and residents were eliminated from the Fee Schedule. The annual fitness membership fee was set at a flat rate of $200 per patron. Attached is a proposal to adopt a new Fee Schedule for annual membership fees per patron and add an option for dependent children under the age 18 years old, as illustrated in the table below: Description Current Proposed Notes Annual Membership Fee $200/yr. $150/yr. Dependent chjldren under 18 $0 $100/yr. For each child, up to 2 max. in one household Under the proposed plan, the reduction of fees helps eliminate barriers to exercise and encourages community residents to be physically activ e. Parents Of legal guardians that possess an active membership can add up to two (2) dependent children under the age of 18 years old. Each dependent child shall be charged $100 per year and parent(s)/legaj guardian{s) must be able to prove eligibility.
