CALL TO ORDER The December 8, 2017, Regular Board Meeting of the Verona Walk Community Development District was called to order at 10:03 a.m. in the Town Center at Verona Walk located at 8090 Sorrento Lane, Naples, Florida B. PLEDGE OF ALLEGIANCE C. PROOF OF PUBLICATION Proof of publication was presented that notice of the Regular Board Meeting had been published in the Naples Daily News on November 13, 2017, and November 20, 2017, as legally required. D. ESTABLISH A QUORUM It was determined that the attendance of the following Supervisors constituted a quorum and it was in order to proceed with the meeting: Chairperson Diann Cucinella Present Vice Chairman Patrick Clifford Present Supervisor Marilyn Czubkowski Present Supervisor Jack Hogan Present Supervisor Michael J. E. ADDITIONS OR DELETIONS TO THE AGENDA Mr. Urbancic announced that there had been no responses to the refinancing RFP and therefore the Board would not be holding a public hearing today. COMMENTS FROM THE PUBLIC FOR ITEMS NOT ON THE AGENDA There were no comments from the public for item not on the agenda. G. APPROVAL OF MINUTES 1. September 11, 2017, Regular Board Meeting The September 11, 2017, Regular Board Meeting minutes were presented for approval. A motion was made by Ms. Czubkowski, seconded by Mr. Hogan and passed unanimously to approve the minutes of the September 11, 2017, Regular Board Meeting, as presented. H. PUBLIC HEARING Levy Non-Ad Valorem Assessments This item was removed from the agenda. 1. Proof of Publication 2. Update from Financial Advisor Regarding RFP Results Mr. Lalla advised that the RFP had been issued for a bank loan and that there were no responses. He explained that the nearby District of Village Walk was going through a parallel process and had received a viable bid that is aggressive and saves a great deal for the homeowners. He asked if the bank, Bank United, would offer the same term sheet to Verona Walk, which is a 15 year 3.25% rate with a reset in the last five years, capped at the current rate of 5.37%. It also has a five year call period, which is beneficial to the District. Mr. Doyle asked if the RFP went out to the bond market and Mr. Lalla responded that it went only to banks and the changes to the Federal tax laws are impacting the returns. However, the current proposal produces a gross savings of $1.6 Million or $1.2 Million in today s dollars. He stated that this is far beyond the threshold for refinancing. Mr. Lalla went on to state that he had looked at other CDD s in Florida that had recently refinanced and that all show higher interest rates than Bank United and have a 10 year call period. Mr. Lalla indicated that Bank United is committed to the terms and he would expect the positive impact on assessments to be a greater than originally proposed. Ms. Cucinella asked when the homeowners would see a reduction in their assessments and Mr. Lalla responded that it would be on their next November tax bill. The consensus of the Board was to move forward with the proposal. I. OLD BUSINESS There were no Old Business items to come before the Board. Page 2 of 7 Page 4

Consider Resolution No Rescinding Resolution No Relating to the Refunding Resolution No was presented, entitled: RESOLUTION NO A RESOLUTION OF VERONA WALK COMMUNITY DEVELOPMENT DISTRICT RESCINDING RESOLUTION RELATING TO THE REFUNDING OF THE VERONA WALK COMMUNITY DEVELOPMENT DISTRICT CAPITAL IMPROVEMENT REVENUE BONDS, SERIES 2006 AND WHICH RESOLUTION, AMONG OTHER THINGS, DECLARED SPECIAL ASSESSMENTS AND THE MANNER IN WHICH SAID SPECIAL ASSESSMENTS WOULD BE MADE, AND CALLED FOR A PUBLIC HEARING TO CONSIDER THE ADVISABILITY AND PROPRIETY OF SAID SPECIAL ASSESSMENTS AND THE RELATED IMPROVEMENTS; PROVIDING FOR SEVERABILITY, PROVIDING FOR CONFLICT; AND PROVIDING FOR AN EFFECTIVE DATE. A motion was made by Mr. Doyle, seconded by Mr. Hogan and passed unanimously to adopt Resolution No , as presented. 2. A motion was made by Mr. Clifford, seconded by Ms. Czubkowski and passed unanimously approving the Fourth Supplemental Assessment Methodology Report of Benefits for 2017 Refunding, as presented. 4. Mr. Urbancic noted that a redlined version had been distributed to the Board Members. A motion was made by Mr. Clifford, seconded by Mr. Hogan and passed unanimously to adopt Resolution No , as presented. 5. Consider Resolution No Setting a Public Hearing on Imposing Special Assessments Related to Refunding Resolution No was presented, entitled: RESOLUTION NO A RESOLUTION OF THE BOARD OF SUPERVISORS OF VERONA WALK COMMUNITY DEVELOPMENT DISTRICT SETTING A PUBLIC HEARING TO BE HELD ON FEBRUARY 15, 2018 AT 10:00 A.M. AT THE TOWN CENTER AT VERONA WALK, 8090 SORRENTO LANE, NAPLES, FLORIDA 34114, FOR THE PURPOSE OF HEARING PUBLIC COMMENT ON IMPOSING SPECIAL ASSESSMENTS ON CERTAIN PROPERTY WITHIN THE DISTRICT GENERALLY DESCRIBED AS THE VERONA WALK COMMUNITY DEVELOPMENT DISTRICT IN ACCORDANCE WITH CHAPTERS 170, 190 AND 197, FLORIDA STATUTES; PROVIDING FOR CONFLICTS, PROVIDING FOR SEVERABILITY AND PROVIDING AN EFFECTIVE DATE. A motion was made by Mr. Doyle, seconded by Ms. Czubkowski and passed unanimously to adopt Resolution No , as presented, setting the Public Hearing for February 15, Update on Lake Edge Mowing Mr. Hirniak stated that the mowing of the dead material had begun and is looking good. He noted that scheduling had begun for other areas to be mowed. Page 5 of 7 Page 7

10 VERONA WALK COMMUNITY DEVELOPMENT DISTRICT PUBLIC HEARING & REGULAR BOARD MEETING DECEMBER 8, 2017 Ms. Czubkowski asked about the screen material being removed from the lakes and Mr. Hirniak responded that about half had been removed. K. ADMINISTRATIVE MATTERS 1. District Attorney Update Mr. Urbancic stated that he was monitoring legislation and would keep the Board posted on anything that might impact the District. 2. District Engineer Update Mr. Cole advised that the lake is approaching dry season levels and is therefore, back to normal. 3. Field Inspector Update Mr. Hirniak stated that the four wells were now running, three of which are pumps and one that is artesian. He has been reading the meters and they are providing half of what is needed to replace irrigation use. Mr. Doyle stated that the water management district has stated that Verona Walk is out of compliance and the HOA needs to take care of the issue before the dry season by modifying the permit for more water out of the artesian well and monitoring properly. Ms. Cucinella suggested that the information be given to the management company. Mr. Hirniak went over lake levels and rainfall levels over the past year and stated that the system worked well. Mr. Hirniak advised the Board that Clarke Aquatics was looking into the spike rush and that the torpedo grass, though present, is less than in prior years. 4. District Manager Update Ms. Dailey reminded the Board that January 18, 2018, was their next scheduled meeting and that February 15, 2018, is the date for the public hearing on the refinancing. L. BOARD MEMBER COMMENTS Mr. Hogan began a discussion on a gift for former Chairman Harry Barford and stated that he would take charge of getting the gift. Ms. Cucinella indicated that she believes Mr. Barford is out of town. The Board Members each agreed to donate $20 and Mr. Hogan noted he would put the gift in the mail to Mr. Barford with the Board s thanks. Page 6 of 7 Page 8

She then asked about the usage of wells and homeowners cutting back on sprinkler use. Ms. Cucinella added that this is a work in progress, as there is a balance between use and lawns dying. M. ADJOURNMENT There being no further business to come before the Board, the Regular Board Meeting was adjourned at 11:03 a.m. on a motion made by Mr. Clifford, seconded by Mr. Hogan and passed unanimously. All cut material will be removed and properly disposed, and all other treated material will remain within the LSPA s. A qualified project manager licensed to apply herbicide will supervise all work. 13 Task Supplemental Littoral Planting: Earth Tech Environmental LLC will supply and install bare root aquatic plants within the designated littoral shelf planting areas (LSPA) od Phase 1A, Phase 1B, Phase 2, Phase 2A, Phase 2B, Phase 2C, Phase 3A, Phase 3B, Phase 4A, Phase 4B, Phase 4C and Phase 4D of VeronaWalk. The intent of this task is to provide supplemental planting in LSPA s void of the required percentage of desirable plant material. Plant material will consist of a combination of pickerelweed, arrowhead, spikerush, soft-stem bulrush, alligator flag and/or yellow canna. Quantities per species will be determined based on site inspections and approval by a representative VeronaWalk CDD. This task will be performed on a semiannual schedule when water-levels are at their lowest. Starting & Ending Date: The starting date for this agreement will be the 1 st business day after contract execution and the ending date will be upon completion of the last business day of each task, unless otherwise agreed to by both Parties in writing. 4. Schedule of Payment: Customer agrees to pay Earth Tech Environmental LLC within thirty (30) days of any submitted invoice. Invoicing will occur throughout the life of the contract on a quarterly basis, unless an alternative payment schedule is agreed upon by both Parties in writing. 5. Default: Should Customer default on any provision of this agreement, Customer agrees that Earth Tech Environmental LLC may, at its sole discretion, seek any and all of the following remedies: Termination of this Contract Agreement. In the event, Customer agrees to make immediate payment of the Total Contract Amount, less payments made, through the end of the Contract Term as liquidated and agreed upon damages. Collection Charges for Monies Due. Customer agrees to pay Earth Tech Environmental LLC reasonable attorney s fees, court costs, collection costs and all other expenses incurred by Earth Tech Environmental LLC from this collection activity. Termination: This Agreement is subject to termination by either party upon at least thirty (30) days written notice prior to the commencement of any schedule activities for the current contract year. 7. Safety: Earth Tech Environmental LLC agrees to use its best efforts and specialized equipment, products and procedures to provide safe and effective results for treatment area sites. 8. Additional Services: Work requested by the Customer such as trash clean up, debris removal, horticultural disposal, native vine removal, and other services performed outside the scope of this contract will be billed separately at an agreed upon price by both parties. 9. Insurance: Earth Tech Environmental LLC maintains Worker s Compensation, General Liability, Auto, Property and Casualty coverage. A Certificate of Insurance will be provided upon request. 10. Contract Documents: This contract constitutes the entire agreement of Earth Tech Environmental LLC and Customer in the event that any portion of this agreement shall be held invalid or unenforceable; the remaining portions shall be binding upon both parties. No oral changes or modifications of the terms contained herein shall be valid unless made in writing and accepted by both Parties or authorized by their designated agents. (E.g., geographic locations of the firm s headquarters or permanent office in relation to the project; capabilities and experience of key personnel; evaluation of existing work load; proposed staffing levels, etc.) 2. Proposer s Experience (10 Points). (E.g. past record and experience of the Proposer in similar projects; volume of work previously performed by the firm; past performance for other Community Development Districts in other contracts; character, integrity, reputation of Proposer, etc.) 3. Understanding of Scope of Work (10 Points). Extent to which the proposal demonstrates an understanding of the District s needs for the services requested. 4. Ability to Furnish the Required Services (10 Points). Present ability to manage this project and the extent to which the proposal demonstrates the adequacy of Proposer s financial resources and stability as a business entity necessary to complete the services required (E.g. the existence of any natural disaster plan for business operations). 5. DUE DATE. Sealed proposals must be received no later than February 22, 2018 at 4:00 p.m., at the offices of District Manager, located at 2501A Burns Road, Palm Beach Gardens, Florida SECTION 2. FAMILIARITY WITH THE LAW. By submitting a proposal, the Proposer is affirming its familiarity and understanding with all federal, state, and local laws, ordinances, rules and regulations that in any manner affect the work. Ignorance on the part of the Proposer will in no way relieve it from responsibility to perform the work covered by the proposal in compliance with all such laws, ordinances and regulations. SECTION 3. QUALIFICATIONS OF PROPOSER. The contract, if awarded, will only be awarded to a responsible Proposer who is qualified by experience and licensing to do the work specified herein. The Proposer shall submit with its proposal satisfactory evidence of experience in similar work and show that it is fully prepared to complete the work to the satisfaction of the District. SECTION 4. REJECTION OF PROPOSAL. Proposers shall be disqualified and their proposals rejected if the District has reason to believe that collusion may exist among the Proposers, the Proposer has defaulted on any previous contract or is in arrears on any previous or existing contract, or for failure to demonstrate proper licensure and business organization. SECTION 5. SUBMISSION OF PROPOSAL. Submit eight (8) copies of the Proposal Documents and one (1) digital copy, and other requested attachments at the time and place indicated herein, which shall be enclosed in an opaque sealed envelope, marked with the title Auditing Services Verona Walk Community Development District on the face of it. SECTION 6. MODIFICATION AND WITHDRAWAL. Proposals may be modified or withdrawn by an appropriate document duly executed and delivered to the place where proposals are to be submitted at any time prior to the time and date the proposals are due. After proposals are opened by the District, no proposal may be withdrawn for a period of ninety (90) days. Page 17

20 SECTION 7. PROPOSAL DOCUMENTS. The proposal documents shall consist of the notice announcing the request for proposals, these instructions, the Evaluation Criteria Sheet and a proposal with all required documentation pursuant to Section 12 of these instructions (the Proposal Documents ). SECTION 8. PROPOSAL. In making its proposal, each Proposer represents that it has read and understands the Proposal Documents and that the proposal is made in accordance therewith. SECTION 9. BASIS OF AWARD/RIGHT TO REJECT. The District reserves the right to reject any and all proposals, make modifications to the work, and waive any informalities or irregularities in proposals as it is deemed in the best interests of the District. SECTION 10. CONTRACT AWARD. Within fourteen (14) days of receipt of the Notice of Award from the District, the Proposer shall enter into and execute a Contract (engagement letter) with the District. SECTION 11. LIMITATION OF LIABILITY. Nothing herein shall be construed as or constitute a waiver of District s limited waiver of liability contained in section , Florida Statutes, or any other statute or law. SECTION 12. MISCELLANEOUS. All proposals shall include the following information in addition to any other requirements of the proposal documents. A. List position or title of all personnel to perform work on the District audit. Include resumes or each person listed; list years of experience in present position for each party listed and years of related experience. B. Describe proposed staffing levels, including resumes with applicable certifications. C. Three references from projects of similar size and scope. The Proposer should include information relating to the work it conducted for each reference as well as a name, address and phone number of a contact person. SECTION 13. PROTESTS. Any protest regarding the Proposal Documents, must be filed in writing, at the offices of the District Manager, within seventy-two (72) hours after receipt of the Request for Proposals and Evaluation Criteria or other contract documents. The formal protest setting forth with particularity the facts and law upon which the protest is based shall be filed within seven (7) calendar days after the initial notice of protest was filed. Failure to timely file a notice of protest or failure to timely file a formal written protest shall constitute a waiver of any right to object or protest with respect to the aforesaid Request for Proposals, Evaluation Criteria, or other contract documents. 21 SECTION 14. EVALUATION OF PROPOSALS. The criteria to be used in the evaluation are presented in the Evaluation Criteria Sheet, contained within the Proposal Documents. SECTION 15. REJECTION OF ALL PROPOSALS. The District reserves the right to reject any and all bids, with or without cause, and to waive technical errors and informalities, as determined to be in the best interests of the District. Page 19

22 VERONA WALK COMMUNITY DEVELOPMENT DISTRICT REQUEST FOR PROPOSALS FOR ANNUAL AUDIT SERVICES The Verona Walk Community Development District hereby requests proposals for annual financial auditing services. The proposal must provide for the auditing of the District s financial records for the fiscal years ending September 30, 2017, September 30, 2018, and September 30, 2019, with an option for an additional two year renewal. The District is a local unit of special-purpose government created under Chapter 190, Florida Statutes, for the purpose of financing, constructing, and maintaining public infrastructure. The District was formed in 2004 and encompasses approximately 760 acres in Collier County. In 2004 there were special assessment bonds issued in the amount of $7,820,000; and in 2006 there were special assessment bonds issued in the amount of $9,520,000. The 2004 bonds were refinanced in The bonds financed all or a portion of certain public infrastructure improvements within the District. Additional information about the District is available upon request. All applicants must be duly licensed under Chapter 473 and qualified to conduct audits in accordance with government auditing standards as adopted by the Florida Board of Accountancy (Yellow Book). Audits shall be conducted in accordance with Florida Law and particularly Section , Florida Statutes, and the rules of the Florida Auditor General. Proposal packages, which include evaluation criteria and instructions to proposers, are available from the District Manager.
