McFarland and cunsel fr Defendants Suth ridge Capital Management, LLC, /

3 Stephen Hicks, and McCrmack Avenue Ltd. ("Suthridge Defendants" and tgether with Plaintiffs Thmas and McFarland "Settling Parties") filed their Jint Mtin fr Apprval f Settlement and Dismissal. A decisin n that mtin was delayed until the Curt culd rule n Plaintiffs' mtin t add plaintiffs, S. Laird Ellis, III and Francise Ellis, in rder t carry n the derivative claims f LecStar Crpratin. Subsequently, the escrw agent anticipated by the Settling Parties has left the firm identified in the settlement agreement and frmed his wn firm. As a result, Suth ridge Defendants argue that this situatin makes the escrw agreement they drafted pursuant t the settlement agreement nn-perative. Suthridge Defendants argue that, therefre, they are "incapable f delivering the prmised perfrmance" and "culd nt have breached the settlement agreement." The Suthridge Defendants maintain that "they will make every effrt t clse the settlement with Thmas at the apprpriate time."
