3 ADVERTISING Authority: Bylaw 3.07.(2) (D) & Policies Muskies, Inc. Chapter Advertising Guidelines Reports to: Editor & Vice President Communication Mission: The Advertising Sales Manager and the Editor are given the responsibility to review all submitted ads for acceptability and if a question arises it is to be sent to the VPC who may decide if Executive Committee review is necessary. Membership Requirement: Advertising Sales Manager/Vice President Communciations must be the chairs of this committee. 4 AL SKAAR MEMORIAL LEADERSHIP TRAINING. Authority: Policies III C evolved from the Leadership Committee. Reports to: Vice President Membership & Marketing Mission: To seek out ways to prepare future leadership for Muskies, Inc. To seek out members with leadership potential and develop those qualities so as to assure a continuation of sound leadership of Muskies, Inc. and its Chapters. 5 BYLAWS. Authority: Board Meeting Bylaw (5). The Bylaws Committee of Muskies, Inc., is granted ongoing authority to make emendations to the Bylaws and other official MI documents, without following the established amendatory procedures in the following categories and circumstances: A. To make changes in spelling, orthography, capitalization, grammar, or syntax to ensure consistency and to bring text into accord with currently accepted usage. However, such emendations may not change the intent or meaning of the text. B. To add new Chapters to Regions or subtract dissolved Chapters from Regions as determined by the Board of Directors. The Committee may not shift Chapters from one Region to another. C. To make changes in the Chapter documents, Policies, Resolutions, Procedures and Guidelines and related documents necessary to bring those documents into conformity with the MI Bylaws. 6 COMMUNICATIONS Authority: Bylaws (2) (D) Reports to: Vice President Communications Mission: The VICE PRESIDENT COMMUNICATIONS shall supervise, with the appropriate assistance as needed, the Muskies, Inc. Website and Computer Systems, publication of MUSKIE magazine, (including formatting, printing, editorials, articles, and advertisement sales and placement), an annual Photo Contest, and maintain a record of exceptional service awards presented by Muskies, Inc. Membership Requirement: Have some knowledege of Computers, Websites, & Muskie, Inc. Photo Contest and Muskies, Inc. magazine. 7 ETHICS Authority: Bylaws (4) Reports to: Muskies, Inc. President Mission: To investigate on its own initiative or any complaint alleging a conflict of interest pertaining to any Board member. Membership Requirement: Committee shall be chaired by the Parliamentarian and further consist of the Corporate Secretary and an experienced elected leadership position with Muskies, Inc. to be appointed by the Parliamentarian. Chair: Parliamentarian Others: Corporate Secretary To be appointed by the Parliamentarian 7
8 FINANCE COMMITTEE Authority: Bylaw (2) (A) & Policies of the Finance Committee Reports to: Vice President Finance/Treasurer Mission: To generally oversee the corporation finances both current and future, review motions, activities or programs that impact finances, and to control expenditures. May set reimbursement procedures & requirements. Prepare and recommend a proposed Annual Budget to the Execurtive Committee and Board. Nine (9) members, more if needed: VPF/T, M.I. President, Executive Accountant, and other members as appointed by the Chairman. 9 FISHERIES Authority: Bylaw (2) (G) Reports to: Vice President Fisheries and Research Mission: The Vice President Fisheries and Research shall provide the Board and members with information on scientific research opportunities on muskies, habitat improvement, and information on legislative proposals, in any of the several states affecting muskies and muskie habitat. This officer shall continue to seek out responsible research projects and activities that will aid the conservation, preservation, restoration and protection of muskie fisheries, assist in searching for funding sources and educating legislators and others about muskies. He/She shall assist and collaborate with Fisheries, Muskie Symposium, and the Review and Use Committee as may be feasible and productive. Collaborates with Symposium and Review and Use Committees. Membership Requirement: Have some knowledge of muskie habitat, legislative proposals. Chair: VPF/R Dan Crooms Others: Gerald Bucholtz Steve Budnick Tom Penniston 9
10 FUTURES COMMITTEE Authority: Annual Board Meeting Reports to: President Mission: To develop recommendations for the Board (or Executive Committee) to improve the corporation s management and/or improve the ability to deliver critical services in the furtherance of the mission. Membership Requirement: A total of five members appointed or reappointed annually by the President and confirmed by the Board. Chair: An Officer of the Board - Muskies,Inc. President Carl Phillips Others: Greg Kvale Jay Zahn - Lee Bertolini Frank Walter (Advisors Henry Hemp Lorin Nevling, & Jeff Young). Note: Member 2 a Senior Regional Representative (once appointed may continue to serve the Committee although SRR term has been completed) Member 3 a Chapter President (once appointed may continue to serve the Committee although term has been completed) Member 4 a Past MI President; Member 5 from any source, but a critical thinker (in the sense of an informed thinker not a negative one). Qualifications: Dedication to improving MI and not maintaining the status quo; willingness and ability to devote time and effort to the Committee; endowed with good spoken and written communication skills; ability to work cooperatively with others; experience in other non-profit organizations. Internal appointment: The chairperson of the Committee should appoint a Committee Scribe from among the Committee members for the purpose of recording recommendations and assuring communications among the members in the period between meetings. Committee exclusion: The VP Finance/Treasurer is deliberately excluded from this part of the process because of financial state of the corporation, the role of the VP Finance/Treasurer currently is one of primarily reining in new expenditures and that dampens new initiatives before they are fully developed. The VP Finance/Treasurer and Finance Committee do review all recommendations that have a financial impact at the appropriate time. Implementation: At the end of the 2013 Annual Board Meeting. 10
11 GIL HAMM MEMORIAL CHAPTER CHALLUNGE Authority: Policies Statement of purpose, location, outting hours, etiqettee, scoring, teams and other rules and recommednations. Reports to: Vice President Internal Affairs Mission: To write guidelines for the Gil Hamm Memorial Chapter Chullunge and to create an advisory policie for the Chapters to use in their own states. The host Chapter shall select the outing water for the following year with the help from the GHMCC Committee. Collaborates with the managing Committee. Membership Requirement: Five (5) members of the winning Chapter each year of the Gil Hamm Memorial Chapter Challunge. The Chair of the GHMCC shall be the Vice President Internal Affairs. 13 HISTORY & ARCHIVES Authority: Bylaw (2) (E) Reports to: Vice President Internal Affairs Mission: To develop and maintain a history of Muskies, Inc. and its Chapters. Compile the statistics of contribution to the fishery by Muskies, Inc. and its Chapters. Membership Requirement: Interest in organizational history and archives. 14 INTERNAL AFFAIRS Authority: Bylaws (2)(E) Reports to: Vice President Internal Affairs Mission: The Vice President Internal Affairs shall provide such oversight, assistance, direction and guidance to the Regional Representatives as may be necessary or desirable from time to time. This officer shall also oversee maintenance of the Muskies, Inc. Hall of Fame, Lunge Log, Members Only Fishing Contest, Tournaments, History & Archives, and the Gil Hamm Memorial Chapter Challenge. Membership Requirement: One member from each of the Groups, Hall of Fame, Lunge Log, & Members Only Fishing Contest, M.I. Tournaments, History & Archives, and Gil Hamm Memorial Chapter Challunge Committees. Be a member of each group listed in Membereship Requirement. 15 MAGAZINE (MUSKIE) EDITORIAL Authority: Bylaws (2) (D) Policies Muskie Magazine Editorial, Photo, Advertising, Guidelines - General Reports to: Vice President Communications Mission: To assure the production of a quality magazine that promotes the ideals and principles of Muskies, Inc. and is the communication link between the organization and its members. Assures compliance with the Policies Muskie Magazine. If matters of major importance evolve, they shall refer those matters to the Executive Committee for resolution. Publication decisions are made by the Editor in consultation with the Editorial Committee as necessary. Develop, publish and monitor newsletter policies. Research improvements and solicit Contributing Editors. Provide interesting and informativge magazines. Membership Requirement: Familiarity with the editing and publication processes. 16 MEMBERSHIP/MARKETING Nature: Ad hoc Authority: Bylaw (2) (C) & Policies Chapter Benefits and Duties; Provisional Status Reports to: Vice President Membership/Marketing Mission: Sustain and increase membership. Promote awareness of Muskies, Inc. increase membership, and provide leadership to Chapters to improve membership growth. Build membership of organization by contests, advertising, and other means. Supervise membership brochure design and printing. Coordinate and assist Chapter membership drives. Develop new member gift packages and prizes for sponsoring members. Coordinate advertising programs for members. Membership Requirement: Knowledge of marketing with the intent of increasing membership. 17 MERCHANDISING Nature: Ad hoc Authority: Bylaw (2) (C) Reports to: Vice President Membership & Marketing Mission: To establish and maintain a high quality and appropriate line of merchandise for sale to members and muskie fishing world. 18 MEMBERS ONLY FISHING CONTEST Authority: Policies and all others within that section. Reports to: Vice President Internal Affairs Mission: To serve as the fishing contest rules committee. They will serve as judgment to all disputes of the contest. Said committee would also determine budget and expenditure items involving the contest. to review all entered fish. They will arbitrate any disputes or questions and their decisions shall be accepted as final. At its discretion the committee may require additional documentation consisting of a photograph and/or a 2 nd witness before any entry is accepted. An Muskies, Inc. 19 RESEARCH Authority: Bylaw (2) (G) & Bylaw 8.04 Reports to: Vice President Fisheries and Research Mission: Collaborates with Symposium and Review and Use Committees. Actively seek out research programs deserving of financial support by the fund. Review and evaluate projects for merit and need report directly to the Muskies, Inc. Board of Directors for action. Administer the distribution of funds as directed by the Muskies, Inc. Board of Directors. Membership Requirement: Some scientific background and knowledge of the research and funding processes. 20 SYMPOSIUM Nature: Ad hoc Authority: Bylaws (2) (G) Reports to: Vice President Fisheries and Research & M.I. Board Mission: A forum for presentation of research papers,panel discussion and lectures on Muskie rearing, feeding of figerlings, population problems, club projects, etc. Invite biologistd, natural resource people and layman to participate. Papers presented and minutes available to anyone who wants them. Provide commond ground for exchange and gathering of available information. Membership Requirement: Knowledge of planning and operating large meeting.
